Specifically, this technique showcases how an individual can extract in depth details about a situation,

analyzes an hour of a husband and wife talking, he can predict with 95 percent accuracy whether that
couple will still be married fifteen years later. If we watched a couple for fifteen minutes, his success

However, Gladwell does outline the dangers of thin slicing when done inaccurately exemplified by

(Cartesian) scepticism as it allows you to have some form of knowledge. However this can also be
considered an issue as the rule of attention shows that it is very easy to lose knowledge by shifting
from a low to a high context, as soon as you add a possibility you cannot ignore it and therefore you
lose knowledge as soon as your attention is drawn to a sceptical scenario. This is a weakness as you

huge parts of land stretching from northern Syria to central Iraq, and it has struck fear into the hearts

have traveled all over New England and have visited many different states. Baseball is my first sport,
the sport I focus on the most throughout the year. Baseball has always been my favorite sport ever
since I was little. My dad taught me to play when I was around 6 and I have played extensively every
year since. I looked up to my brother a lot growing up and I remember playing with him when I got
home from school. My family was always there for me and always was around to help me do what I
wanted to do. It has been my goal to play in college and get a scholarship. This summer I took my first

colleges.

1. Essential Facts
In the matter of Sydney Project Group Pty Ltd (Administrators Appointed) (Receivers and Managers
Appointed) and S.E.T. Services Pty Ltd (Administrators Appointed) (Receivers and Managers
Appointed) [2017] NSWSC 881 (30 June 2017) ( SPG and SET ) concerns the events involving
plaintiffs Michael Hogan (H) and Christian Sprowles (S). Salim Mehajer (M) is the sole shareholder
of both Sydney Project Group Pty Ltd (SPG) and S.E.T. Services Pty Ltd (SET). M appointed

These events prompted the plaintiffs to initiate the present proceedings on 20 June 2017.
2. Director Removal
It is necessary to determine when L was removed as director of SPG and SET to ascertain the validity
of the plaintiffs appointment as administrators. To establish L s time of removal, one must first
conclude whether the decision at the meeting took effect immediately, or if the subsequent messages
exchanged between M and L, and belated lodging with ASIC, suggest a later removal date.
Shareholders Meeting
The replaceable rule in s 203C provides that, in a proprietary company, a director may be removed and
another appointed at the same general meeting by resolution. In this event, there are no specific notice
requirements for the removal. However, as SPG and SET are sole shareholder companies, it is
necessary to use s 249B, which outlines the proceedings for resolutions of one member companies.
This section states that, when a company only has one shareholder, an ordinary resolution may be
passed if the appropriate documentation is recorded and signed, and subsequently lodged with ASIC if
necessary.
In the present case, these requirements were clearly satisfied for the removal of L, and subsequent
replacement by KM. This is displayed in the minutes recorded for the meeting and the signing of the

Director Removal It is necessary to determine when L was removed as director of SPG and SET to ascertain the validity of the plaintiffs appointment as administrators. To establish L s time of removal, one must first conclude whether the decision at the meeting took effect immediately, or if the subsequent messages exchanged between M and L, and belated lodging with ASIC, suggest a later removal date. Shareholders Meeting The replaceable rule in s 203C provides that, in a proprietary company, a director may be removed and another appointed at the same general meeting by resolution. In this event, there are no specific notice requirements for the removal. However, as SPG and SET are sole shareholder companies, it is necessary to use s 249B, which outlines the proceedings for resolutions of one member companies. This section states that, when a company only has one shareholder, an ordinary resolution may be passed if the appropriate documentation is recorded and signed, and subsequently lodged with ASIC if necessary. In the present case, these requirements were clearly satisfied for the removal of L, and subsequent replacement by KM.
