We conducted our audits in accordance with auditing standards generally accepted in the United States of America. Those
standards require that we plan and perform the audit to obtain reasonable assurance about whether the financial statements
are free of material misstatement. An audit includes examining, on a test basis, evidence supporting the amounts and
disclosures in the financial statements. An audit also includes assessing the accounting principles used and significant estimates
made by management, as well as evaluating the overall financial statement presentation. We believe that our audit provides a

In our opinion, the financial statements referred to above present fairly, in all material respects, the financial position of the
Educational Systems Federal Credit Union for the years ended December 31, 2009 and 2008, and the results of its operations

As discussed in Note 17 to the financial statements, the Credit Union, as an insured claimant, is a co-defendant in a declaratory
judgment action filed by Cumis Insurance Society, Inc. in the United States District Court for the Western District of Wisconsin,
and it has filed a counter declaratory judgment and breach of contract action in the United States District Court for the District
of Maryland. Preliminary hearings and discovery proceedings on both actions are in progress. The ultimate outcome of the
matter cannot presently be determined. If unfavorable, the outcome of the matter would concretize a loss of up to nearly
$5 million apart from legal fees, which is not reflected in the accompanying financial statements.
