Symphony Technology Group Enters Definitive Agreement with Dell Technologies to
Acquire RSA
Symphony Technology Group, Ontario Teachers’ Pension Plan Board and
AlpInvest Partners has entered into a definitive agreement with Dell
Technologies to acquire RSA in an all-cash transaction for $2.075 billion,
subject to certain adjustments. The transaction, which includes the purchase
of RSAArcher, RSA NetWitness Platform, RSA SecurID, RSA Fraud and
Risk Intelligence and RSA Conference, is expected to close in the next six to
nine months. Terms of the agreement were not disclosed. RSA provides risk,
security and fraud teams with the ability to holistically manage digital risk,
including threat detection and response, identity and access management,
integrated risk management and omnichannel fraud prevention. Today, more
than 12,500 customers rely on RSA to enable their digital transformation,
address increasingly advanced cyber threats and adapt to more complex
digital regulations. RSA Conference is the world’s largest security conference
where leading experts gather to discuss the most important cybersecurity
trends, challenges, solutions and innovations.

Year 2019 Financial Results
Fourth Quarter 2019 Financial Performance
• Net revenues were $1,208.1 million, an increase of 2% year-over-year, and an increase of 7%
sequentially.
• GAAP operating margin was 14.8%, a decrease from 16.7% in the fourth quarter of 2018, and
an increase from 12.2% in the third quarter of 2019.
• Non-GAAP operating margin was 20.3%, a decrease from 21.1% in the fourth quarter of
2018, and an increase from 18.3% in the third quarter of 2019.
• GAAP net income was $168.4 million, a decrease of 12% year-over-year, and an increase of
70% sequentially, resulting in diluted earnings per share of $0.49.
• Non-GAAP net income was $198.7 million, a decrease of 3% year-over-year, and an increase
of 19% sequentially, resulting in non-GAAP diluted earnings per share of $0.58.
Full Year 2019 Financial Performance
• Net revenues were $4,445.4 million, a decrease of 4% year-over-year.
• GAAP operating margin was 9.9%, a decrease from 12.3% in fiscal year 2018.
• Non-GAAP operating margin was 16.6%, a decrease from 18.1% in fiscal year 2018.
• GAAP net income was $345.0 million, a decrease of 39% year-over-year, resulting in diluted
earnings per share of $0.99, a decrease of 38% year-over-year. The change in GAAP net
income was primarily due to a higher tax rate and lower revenue.
• Non-GAAP net income was $597.5 million, a decrease of 10% year-over-year, resulting in
diluted earnings per share of $1.72, a decrease of 9% year-over-year.

Nokia to acquire Elenion to improve economics of advanced optical connectivity solutions
Nokia announced plans to acquire Elenion Technologies, a U.S.-based company
focusing on silicon photonics technology. Elenion’s technology expertise and
unique design platform and services enable Nokia to expand its market footprint
by addressing the critical and rapidly evolving optical connectivity requirements
of 5G, cloud and enterprise networking. Ownership of these key assets brings
time-to-market and cost advantages to Nokia’s broad portfolio of networking
solutions by applying the massive scale and economies of silicon design and
manufacturing to the optical supply chain. Elenion develops highly integrated,
low-cost silicon photonics technologies for short-reach and high-performance
optical interfaces and has pioneered a design toolset which enables a greatly
simplified, low cost, scalable manufacturing process. The Elenion platform
simplifies integration with optical chipsets, lowers power consumption,
improves port density and helps to lower the overall cost per bit for network
operators. Elenion was founded in 2014 and is privately held and headquartered
in New York, NY. The planned transaction is expected to close in Q1 2020,
subject to regulatory approvals and customary closing condition.

silicon photonics solutions, advanced packaging and custom design services,
Elenion provides a strong strategic fit for Nokia. Its solutions can be readily

Nokia Corporation Financial Report for Q4 and Full Year 2019
• Adjusted net profit of EUR 1 309 million;
• Cash inflows related to net working capital primarily due to a decrease in inventories, partially offset by an
increase in receivables;
• Net interest including a one-time benefit as a result of settling certain interest rate derivatives;
• Continued cash outflows related to restructuring; and
• Capital expenditures and income taxes.
• Full year 2019 results for non-IFRS diluted EPS, non-IFRS operating margin, and recurring free cash flow
were in line with our guidance.
• Net sales in Q4 2019 were EUR 6.9 billion, approximately flat compared to Q4 2018. On a constant currency
basis, net sales decreased 1%. Excluding one-time licensing net sales in Q4 2019 and Q4 2018, net sales grew
1%, reflecting improved overall industry demand and particularly strong growth with enterprise customers,
driven by increased demand for mission-critical networking solutions. In full year 2019, net sales were EUR
23.3 billion, compared to EUR 22.6 billion in full year 2018.
• Non-IFRS diluted EPS in Q4 2019 was EUR 0.15, compared to EUR 0.13 in Q4 2018, primarily driven by
continued progress related to our cost savings program, which resulted in lower operating expenses across
Networks, Nokia Software and Nokia Technologies. This was partially offset by lower gross profit, particularly
in Mobile Access within Networks. In full year 2019, Nokia’s non-IFRS diluted EPS was EUR 0.22, compared
to EUR 0.23 in full year 2018.
• Reported diluted EPS in Q4 2019 was EUR 0.10, compared to EUR 0.03 in Q4 2018, primarily driven by
continued progress related to our cost savings program, lower transaction and integration costs, a net positive
fluctuation in financial income and expenses, lower income taxes and a net positive fluctuation in other income
and expenses. This was partially offset by lower gross profit, primarily due to our business performance. In full
year 2019, on a reported basis, Nokia generated a profit of EUR 18 million and a diluted EPS of EUR 0.00,
compared to a loss of EUR 549 million and a diluted EPS of negative EUR 0.10 in full year 2018.
• In Q4 2019, net cash and current financial investments increased sequentially by approximately EUR 1.4
billion, resulting in a net cash balance of approximately EUR 1.7 billion.

“Nokia’s fourth quarter 2019 results were a strong end to a challenging year. We saw strength in many parts
of our business in the quarter, delivered a slightly better operating profit than the same period in 2018,
generated solid free cash flow, and increased our net cash balance to EUR 1.7 billion. When I look at
Nokia’s full-year 2019 performance, we saw good progress in our strategic focus areas of enterprise and
software. Nokia Enterprise delivered exceedingly well on its target of double-digit sales growth,
considerably outpacing the market. Nokia Software showed its long-term promise, with exceptional
profitability expansion compared to 2018. In addition, IP Routing continued its remarkable momentum,
gaining significant share and increasing profitability in a difficult market; and Nokia Technologies

Connection Reports Fourth Quarter and Full Year Results
• Net sales for the quarter ended December 31, 2019 increased by 1.0% to $716.6
million, compared to $709.5 million for the prior year quarter.
• Net income for the fourth quarter ended December 31, 2019 increased by 3.1% to
$22.0 million, or $0.83 per diluted share, compared to net income of $21.3 million,
or $0.80 per diluted share, for the prior year quarter.
• Included in the prior year results was a favourable resolution of a contract dispute
that resulted in an increase of $0.06 per diluted share.
• Net sales for the year ended December 31, 2019 increased by 4.5% to $2.8
billion, compared to $2.7 billion for the year ended December 31, 2018.
• Net income for the year ended December 31, 2019 increased by 27.1% to $82.1
million, or $3.10 per diluted share, compared to net income of $64.6 million, or
$2.41 per diluted share, for the year ended December 31, 2018.
• Desktop sales increased by 21% year over year and accounted for 12% of net
sales in the fourth quarter of 2019, compared to 10% of net sales in the prior year
quarter. All three selling segments experienced strong year-over-year growth in
desktop sales.
• Software sales increased by 4% year over year and accounted for 12% of net sales
in the fourth quarter of 2019 and 2018. The Business Solutions segment
experienced strong year-over-year growth in software sales.

RingCentral Announces Fourth Quarter 2019 Results
• Revenue: Total revenue was $253 million for the fourth quarter of 2019, up from $189 million in the fourth
quarter of 2018, representing 34% growth.
• Operating Income: GAAP operating loss was ($20) million, compared to a GAAP operating loss of ($3)
million in the same period last year, primarily driven by higher share-based compensation, amortization of
intangibles, and acquisition related matters. Non-GAAP operating income was $24 million, compared to a

period last year. The fourth quarter of 2019 reflected a 22.5% non-GAAP tax rate, compared to nearly 0%

Nokia announced the launch of the Nokia Network Operations Master to provide communication service providers with highly-automated and

Lorem ipsum dolor sit amet, consec- tetuer Financial, M&A Updates IT Shades Engage & Enable Symphony Technology Group Enters Definitive Agreement with Dell Technologies to Acquire RSA Symphony Technology Group, Ontario Teachers’ Pension Plan Board and AlpInvest Partners has entered into a definitive agreement with Dell Technologies to acquire RSA in an all-cash transaction for $2.075 billion, subject to certain adjustments. The transaction, which includes the purchase of RSAArcher, RSA NetWitness Platform, RSA SecurID, RSA Fraud and Risk Intelligence and RSA Conference, is expected to close in the next six to nine months. Terms of the agreement were not disclosed. RSA provides risk, security and fraud teams with the ability to holistically manage digital risk, including threat detection and response, identity and access management, integrated risk management and omnichannel fraud prevention.
