Altice USA to Acquire Morris Broadband
Altice USA announced it has entered into a definitive agreement to acquire the assets of Morris
Broadband, LLC. The transaction will expand Altice USA’s footprint in North Carolina, where it
already has a presence with its Suddenlink business, and implies an enterprise value of $310
million total for the Morris Broadband business on a debt-free and cash-free basis. Following this
acquisition, North Carolina will represent the sixth largest state for Altice USA out of its 21 states
of operations in terms of number of residential customers, demonstrating the Company’s
commitment to invest heavily in the region with additional resources and network investments.
Morris Broadband is a rapidly growing broadband communications services company providing
high-speed data, video and voice services to approximately 36,500 residential and business
customers in western North Carolina. As of December 31, 2020, Morris Broadband passed
approximately 89,000 homes throughout growing communities including Hendersonville,
Franklin, Sylva, Nebo and West Jefferson with broadband penetration of approximately 35%.As
part of Altice USA, Morris Broadband will benefit from enhanced scale, operating efficiencies
and further investment support that are at the core of the Altice business model and strategy,
including accelerated new homes build. Altice USA’s commitment to innovation, best-in-class
services, long-term network investments and customer service creates significant benefits and
long-term value for customers, employees and shareholders.

Airtel (India) to acquire 20% stake in Bharti Telemedia from Warburg Pincus
Bharti Airtel (“Airtel”), India’s premier Digital communications Company, said
that it will acquire a Warburg Pincus affiliate’s 20% equity stake in its DTH arm
Bharti Telemedia for a total consideration of ~ INR 31,260 million which will be
discharged primarily via issuance of ~36.47 million equity shares of Airtel at a
price of INR 600 per share; and up to INR 10,378 million in cash. The issuance of
shares proposed through preferential allotment is subject to shareholders’
approval. The proposed transaction is part of Airtel’s strategy to align the
shareholding of its customer facing products, services and businesses under the
same holding group. A full control and ownership over Bharti Telemedia allows
Airtel to offer differentiated and converged solutions to customers so as to
promote “One Home” strategy. Airtel will issue its shares to the Warburg Pincus
affiliate at a premium of ~0.50% to the floor price determined as per ICDR
regulations. The remaining consideration of ~ INR 9,378 million shall be paid in
cash on the closing date of the proposed transaction. There may also be minor
customary closing adjustments not exceeding INR 1,000 million.

• Total revenues of $2,886 million were flat compared to the prior year quarter, both reported and ex-FX.

• International advertising revenues decreased 1% and distribution revenues decreased 4%, both ex-FX.
• Net income available to Discovery, Inc. was $271 million and EPS was $0.42 per diluted share.

RTL (Luxembourg) Group to acquire full ownership of Super RTL
RTL Group announced that its largest business unit, Mediengruppe RTL Deutschland, has signed a binding agreement with its current joint
venture partner, BVI Television Investments, Inc., a subsidiary of The Walt Disney Company, to acquire the outstanding 50 per cent
shareholding in Super RTL. This will take RTL Group’s shareholding in Super RTL to 100 per cent. The transaction is subject to approval
from the German and Austrian competition authorities. The full acquisition of Super RTL will support the growth plan for the RTL streaming
service, TV Now. The transaction is another step in RTL Group’s strategy to consolidate across its existing European broadcasting footprint.
In 2019, RTL Group’s French broadcasting business, Groupe M6, completed the acquisition of the country’s leading free-TV channel for
children, Gulli, and five pay-TV channels from Lagardère. Most recently, RTL Group acquired the outstanding shareholdings in RTL
Belgium’s TV and radio businesses, taking its ownership in RTL Belgium to 100 per cent. Super RTL was founded in 1995 as a 50/50 joint
venture between RTL Group and The Walt Disney Company. With its umbrella brands, Toggo and Toggolino, Super RTL has successfully
developed into a digital entertainment company, distributing its content via linear TV channels, the RTL streaming service TV Now, digital

additional stake in JSC Elektrozavod
Sistema PJSFC a Russian publicly traded investment company, announces that LLC Megapolis Invest (the
“Purchaser”), a joint venture between Sistema (75.86%) and LLC Sberbank Investments has acquired an additional
29.64% stake in JSC Elektrozavod from a private investor for RUB 5.8bn provided to the Purchaser by SberInvest in
the form of debt financing. As a result of the transaction, the Purchaser’s total stake in JSC Elektrozavod has reached
94.01%. In December 2020, the Purchaser acquired a 64.37% stake in JSC Elektrozavod and 100% in LLC

Verizon (USA) officially closes Bluegrass Cellular deal
Verizon Communications Inc. announced that it has officially
closed the deal to acquire certain assets of Bluegrass Cellular, a rural
wireless operator serving central Kentucky. Verizon now provides
wireless service to 210,000 customers previously served by
Bluegrass Cellular in 34 counties in rural service areas 3, 4 and 5 in
central Kentucky. Bluegrass Cellular’s sales and operations,
including the vast majority of customers, are expected to be fully
integrated into Verizon by the end of 2021. No action is needed from
customers right now, as they will receive information regarding the
acquisition and the array of services that will be available from
Verizon, including wireless data services delivered on the nation’s
leading wireless networks, next month.

To Expand Broadband Availability To Over 1 Million New Customer Locations

Solution Description
Charter Communications, Inc. announced the launch of a multiyear, multibillion-dollar broadband buildout initiative to deliver gigabit high-speed
broadband access to more than 1 million unserved customer locations, as estimated by the Federal Communications Commission (FCC) and
awarded to Charter in the Rural Digital Opportunity Fund (RDOF) Phase I auction. Charter expects to invest approximately $5 billion to support
its buildout initiative - offset by $1.2 billion in support won from the RDOF auction - expanding Charter's network to lower-density, mostly rural
communities that do not have access to broadband service of at least 25/3 Mbps. The new initiative is in addition to Charter's existing network
expansion plans, including numerous state broadband grant projects, as well as the Company's previously planned privately funded expansions.
The network Charter will build in these rural areas will offer 1 Gbps high–speed broadband access to all newly served customer locations with
starting speeds of 200 Mbps, enabling consumers to engage in remote learning, work, telemedicine and other applications that require
high-bandwidth, low-latency connectivity. These new customer locations also will benefit from Charter's high-value Spectrum pricing and

Telekom has carried out a video call at its first 5G standalone site. After numerous tests, Telekom's technical team has
now achieved a breakthrough. The call could be carried out without interruption in a pure 5G environment. The call
was made via the standalone antenna in Garching to Bamberg in Telekom's first 5G standalone core network and from
there to Bonn. In addition to the stable data connection, very low latency was realized in the live network. In Garching,
the response time was 13 milliseconds. These will be further reduced in the future as part of network optimizations.
The 5G technology currently deployed in Germany is based on the 5G Non-Standalone (5G NSA) network
architecture. This means that today's 5G offerings are still technically dependent on a simultaneously available 4G

demand for antiviral products that can be used in settings in which cards change hands, such as payments at cash registers and administrative processes at counters
in public offices and medical institutions. Toppan has responded by establishing technology to add antiviral performance to plastic cards. An antiviral agent reduces
the presence of virus particles on the card surface by more than 99% over 24 hours. As the agent is incorporated into the card material itself, antiviral performance
is maintained even if the surface of the card is scratched or damaged. Based on testing in line with the ISO 21702 international standard, the newly developed cards
are the first in Japan to receive certification from the SIAA for their antiviral performance. Certification marks can be displayed on the cards in recognition of
quality control in accordance with SIAA guidelines. The antiviral cards can be employed for a wide range of applications. These include dual interface cards with

home due to the COVID-19 pandemic, day-to-day living has changed significantly. Growth in at-home consumption has driven needs for products that can be prepared
in microwave ovens. Toppan launched its Susceptor® heating sheet for microwave cooking in the 1980s, but with the number of microwavable food products increasing,
demand has arisen for more effective heating solutions. To address this, Toppan has developed a new susceptor that achieves a higher maximum surface temperature for
added crispness, browning, and shorter preparation times. Toppan’s Susceptor® is a heat-producing sheet made by using vapor deposition to create a thin layer of
aluminum on a polyethylene terephthalate (PET) film, which is then laminated to thin paper. When used in a microwave oven, a susceptor absorbs microwaves and can
generate a surface temperature of approximately 200℃ due to induction heating. This makes it possible to heat foods in a short time, adding crispness and browning,
without using a flame. Toppan’s new solution uses paperboard instead of thin paper to achieve a maximum temperature roughly 20℃ higher than that of the conventional
Susceptor®. In addition to adding greater crispness, this also helps to accentuate flavor and shorten the time required to cook the food. In addition, because the susceptor
film is now applied directly to the full surface of the paperboard, possibilities for design are expanded and the shape of the susceptor can be matched to that of the product
it is coupled with.

to be created for the same package. Toppan has applied its extensive information processing technologies to achieve quality equivalent to that of gravure printing and enable the production of
packages that stand out in stores. The technology also facilitates test marketing, limited edition package ranges, and a host of other possibilities, while the ability to produce only the required

in the foods and toiletries sectors. The Sustainable Development Goals (SDGs) and other initiatives aimed at environmental preservation and resource
saving are gaining momentum on a global scale. The problem of marine pollution caused by plastic waste has prompted a focus on packaging with
reduced environmental impact. Reduction of consumption of plastic resin for injection molded containers, however, requires the minimum possible
thickness when molding is performed and has presented challenges in terms of costs, durability, and the feasibility of mass production. Thermoforming
has generally been considered better for producing containers that need thin walls, but it does not offer the same scope of possibilities for design as
injection molding. Toppan has developed a new technology making it possible to exceed the conventional limit of injection molding and form products
with a reduced thickness close to that achieved by thermoforming. Supercritical fluid is dissolved in molten resin to ensure that it efficiently reaches
every corner of the injection mold. This means lighter containers with thinner walls can be produced while ensuring freedom for shape and design.

Orange is joining forces with ENGIE, the leading developer of solar and wind power in France, to deliver a global renewable energy
supply solution in the country. This will involve creating new solar energy production capacities, managing the production of all
renewable electricity capacities contracted by Orange with other producers and supplying additional volumes to cater to Orange's
actual consumption. The 15-year Corporate Power Purchase Agreement (PPA) between Orange and ENGIE covers the development
of two new solar projects totalling 51 MWp in L’Epine (38 MWp) and Ribeyret (13 MWp), both located in the Hautes-Alpes region.
These two solar farms will be operational by 1 January 2023 at the latest. The regions covered by these solar projects will reap
significant economic benefits: local companies will build, operate and maintain the sites, and rent will be collected and tax income
generated by the facilities. Under this agreement, ENGIE will aggregate all of the renewable energy produced by the wind farms and
solar plants for which Orange France signed a power purchase agreement. Furthermore, ENGIE will put its expertise in energy
management to use to deploy a continuous energy strip that caters as closely as possible to Orange's actual consumption profile.

Sky UK has extended its contract with SES for satellite capacity in a new agreement that will add over EUR 90 million
in secured backlog. This renewal is in addition to capacity already under contract that extends through 2027. By the
end of the renewed contract, Sky UK will have been an SES customer continuously for almost four decades, illustrating
the strength and value of the partnership to Sky UK’s business in terms of the reliability, performance, high-quality
viewing experience and the reach of SES’s satellite services. As part of the contract, SES will deliver Sky UK’s
channels in a mix of standard definition (SD), high definition (HD) and ultra-high definition (UHD) from the 28.2/28.5

SES announced that it has signed multi-year capacity agreements totaling over EUR 66 million in backlog with multiple public
broadcasters in Europe throughout 2020, enabling millions of satellite TV households across Europe to continue watching SD and HD
content delivered with world-class reliability. The public broadcasters who have signed contracts directly with SES include ARD and
ZDF in Germany, BBC in the UK, BVN in the Netherlands, as well as TV5Monde and France 24 from France via its partner Globecast,
strengthening SES’s position as the world’s leading global content connectivity provider. With almost the entire global population being
impacted by some form of COVID-19 containment measures throughout 2020, public broadcasters have seen a surge in viewers across
all age groups relying on linear television programmes to get the latest, official and well-researched news about the pandemic. The
increase in linear content in 2020 also reinforces satellite as the most reliable way to broadcast to the widest possible audience and in the
best quality desired by the viewer. The latest agreements signed between public broadcasters and SES illustrate how European

designed, developed and is fielding an O3b Medium Earth Orbit (MEO) loopback capability to provide greatly improved mission-critical
communications for Department of Defense operations in remote locations in Southwest Asia. The awarded task order is against the
single-award Blanket Purchase Agreement (BPA) with the U.S. Department of Defense (DoD) for Medium Earth Orbit (MEO)
low-latency High Throughput Satellite (HTS) services. Using the loopback configuration, U.S. Government customers can take
advantage of the high-throughput, low-latency capability without using a commercial gateway. The configuration leverages an in-theatre
hub and provides in-beam connectivity, similarly to a hub-spoke configuration, and is managed and controlled from an SES Network
Operations Centre (NOC) via a Skala Network terminal. The solution utilises two MEO beams in loopback mode across five sites, each
providing up to 450 Mbps of capacity, connecting users to required points of presence. The agile nature of the loopback solution-set
provides the most tactical-edge customers the ability to leverage MEO connectivity solutions, and acts as a bridge to SES’s
game-changing next-generation O3b mPOWER communications system.

daily fantasy experiences directly to DISH customers nationwide, beginning with a first-of-its-kind DraftKings app integration on the
DISH TV Hopper platform. The agreement also allows for subsequent DraftKings sportsbook and daily fantasy experiences with DISH
Network's SLING TV and Boost Mobile in the future. DISH TV customers with an internet-connected Hopper family receiver will be
able to access the DraftKings app to view betting odds and fantasy contests. They can initiate bets or contest entries with DraftKings
directly from their TV, then set recordings and watch the live sports that correspond with those bets or fantasy teams. Once a bet or fantasy
contest entry is initiated, customers will be prompted via text message through DraftKings-created technology to complete the transaction
within the DraftKings app on their mobile device. Once launched, DISH TV customers can initiate bets for NCAA basketball, NBA, and

Safaricom has partnered with the Higher Education Loans Board (HELB) to roll out a smart mobile payment solution for students
of tertiary institutions to access and utilise their loans and bursaries. The solution will aid HELB to promote responsible spending
with the funds locked for specific allocations, such as tuition or library fees only accessible to the specific Paybill account of the
recipient's University or TVET institution. The students upkeep allowance can now also be transferred into the student’s M-PESA
wallet for everyday use. Students can access the system through HELB USSD and the mobile app once completed from where
they will view their loan allocations, current balances, statements and make payments. HELB disburses over KSh 15 billion to
over 200,000 beneficiaries annually. Part of the loan is usually channelled directly to the learning institution to settle part of the
tuition and accommodation fees while the rest is sent to the student for upkeep. The solution will create efficiencies for all
stakeholders by reducing queues during registration as students can now pay through their mobile phones. There will be effective
management and monitoring of all loans throughout the loan lifecycle.

demonstrating how flexible 5G networks can devote specific capacities to different services and customers. Specifically, this
project consists of implementing a demonstrator on laboratory infrastructure at the facilities of the University of Vigo, where
three slices will be deployed in order to offer distinctive services: low latency, high bandwidth and emergencies. This will enable,
for example, customers to make use of the 5G network and enjoy ultra-high-definition content while guaranteeing the resources
of the mobile network in the event of an emergency in the area. With this initiative the intention is also to begin building services
for customers to be marketed via Telefónica’s 5G network. The project will thus enable Telefónica to obtain key results that will
serve to drive the ecosystem and promote the interoperability and standardization of this technology with a view to its marketing
towards the end customer. Some of the sectors that can benefit the most from Network Slicing are the State Security Corps and
Forces, media and communication, cars, industry and hotels.

Telstra and MYOB have partnered in a bid to make it easier for Australian small and medium sized business (SMB) customers to
access the digital solutions they need to survive and grow, with MYOB Essentials the first business management solution Telstra
offers direct to its business customers. Launching the partnership recognises the need for small businesses to adopt digital technology,
particularly after the challenges presented last year. The offer includes a free three-month MYOB Essentials subscription[1] for new

Rogers Communications announced it has awarded Ted Rogers Community Grants to ten British Columbia organizations this year which are making a
difference in the lives of hundreds of youth. Through programs in innovation, entrepreneurship, mentorship and community leadership, these organizations
are providing critical supports to youth across B.C. by building confidence and pride, while helping them achieve their highest potential. Rogers is proud to
have provided more than $800,000 in grants to 54 organizations in British Columbia since the program launched in 2017. Since 2017, Rogers has also
provided more than $500,000 in Ted Rogers Scholarships to 116 B.C. youth attending post-secondary education – many from our community grants partners
– with 75% of community recipients from the Class of 2020 nationally from BIPOC (Black, Indigenous, People of Colour) communities. Supporting youth

Over 1,000 learners in Turkana County have benefitted from classrooms, books, desks and chairs donated by Safaricom
Foundation. Among the schools are Katiko Primary School which got 5 new classrooms and Jeriman Lokitaung which
received 2 classrooms. Nariding Nursery School and Katongun Mission Station each had one classroom constructed and
furnished. Lolobo, Lokutumo and Loreamatet Primary Schools each had one classroom constructed and furnished under the
Accelerated Learning Programme (ALP), a literacy and numeracy programme being implemented by Safaricom Foundation
and Zizi Afrique Foundation. Nakiria Primary School also had a library constructed under the ALP Programme. Learners in
Katilu Mixed Primary School also received desks and chairs, while visually impaired students in Katilu Integrated Primary
School benefitted from furnishing works. Kilokony Eboyor, a local community organization was equipped with more than
500 books for learners they support. The total investment in the school projects was KES 21 million.

Verizon (USA) Foundation donates $250,000 to Feeding Texas for winter
storm relief

The Verizon Foundation is making a $250,000 donation to Feeding Texas to support immediate relief efforts in
communities across the state. The organization will use the funds to help relieve hunger, an issue which was further
exacerbated by the storms. Verizon customers can also assist in relief efforts by texting the word REDCROSS to 90999
and $10 will be added to their Verizon bill and donated to American Red Cross upon confirmation of the billing zip
code. American Red Cross is supporting at least 35 warming centers with cots and blankets across the state and more.
Customers also can text RESCUE to 52000 to give a one-time $10 donation to the Salvation Army USA, which is
providing shelter, food, and other necessary items to those in need.
