Altice USAAnnounces Preliminary Results of Its Tender Offer
Altice USA, Inc. announces the preliminary results of its modified “Dutch auction” tender offer to repurchase up to $2.5 billion of its Class A common stock
which expired at one minute after 11:59 p.m., New York City time, on Monday, December 21, 2020. Based on the preliminary count by American Stock
Transfer & Trust Company, LLC (“AST”), the Depositary for the tender offer, 64,814,209 shares of Class A common stock were properly tendered and not
properly withdrawn at or below the expected final purchase price of $36.00 per share, including shares that were tendered through notices of guaranteed
delivery. In accordance with the terms and conditions of the tender offer, the Company expects to purchase 64,814,209 shares of Class A common stock at
a final purchase price of $36.00 per share, for an aggregate purchase price of approximately $2.33 billion (excluding fees and expenses relating to the tender
offer). These shares represent approximately 18.3% of the Company’s issued and outstanding shares of Class A common stock as of December 21, 2020.
The number of shares to be purchased and the price per share are preliminary and are subject to verification by AST and subject to change for a number of
reasons, including if some or all of the shares tendered through notices of guaranteed delivery are not delivered within the applicable two trading day
settlement period. The actual number of shares to be purchased and the final price per share will be announced following the expiration of the guaranteed
delivery period and completion of the confirmation process by AST, and are not expected to be announced until at least December 28, 2020, three business
days after the expiration of the tender offer. Promptly after such announcement, AST will issue payment for the shares validly tendered and accepted for
payment under the tender offer and will return shares tendered and not purchased in the tender offer.

Liberty (UK) Broadband And GCI Liberty Announce Closing Of Combination
Liberty Broadband Corporation and GCI Liberty, Inc. each announced that Liberty
Broadband has closed its acquisition of GCI Liberty via a stock-for-stock merger. At the
effective time of the combination, (i) each share of GCI Liberty Series A common stock
outstanding immediately prior to the effective time was converted into 0.580 of a share of
Liberty Broadband Series C common stock, (ii) each share of GCI Liberty Series B common
stock outstanding immediately prior to the effective time was converted into 0.580 of a share
of Liberty Broadband Series B common stock and (iii) each share of GCI Liberty Series A
Cumulative Redeemable Preferred Stock outstanding immediately prior to the effective time
was converted into one share of newly issued Liberty Broadband Series A Cumulative
Redeemable Preferred Stock. Cash will be paid in lieu of issuing fractional shares of Liberty
Broadband Series C common stock and Liberty Broadband Series B common stock. As a
result of the completion of the combination, shares of GCI Liberty Series A common stock
and GCI Liberty Series A Cumulative Redeemable Preferred Stock will no longer trade on,
and shares of GCI Liberty Series B common stock will be removed from quotation on the
OTC Markets. Shares of Liberty Broadband Series A Cumulative Redeemable Preferred
Stock are expected to begin trading on the Nasdaq Global Select Market under the symbol
“LBRDP” when the market opens on December 21, 2020.

NTT DATA Services (Japan) to Acquire Hashmap to Advance Data-driven
Analytics and AI Solutions
NTT DATA Services, a global digital business and IT services leader, has entered an agreement to acquire
Hashmap, adding deep technical expertise with modern data platforms to support analytics, artificial
intelligence and machine learning. Together, the companies will help clients gain insights from their cloud
data and accelerate digital enablement. Hashmap is a Snowflake Premier Partner and has partnerships with
Databricks and several other leading cloud, data and technology providers. These partnerships, together
with NTT DATA's existing relationships with companies like Snowflake and Dataiku, will greatly expand
its ability to accelerate clients' digital transformation journeys and establish a trusted data foundation to
operationalize and scale AI. NTT DATA continues to scale its cloud, data, analytics and AI solutions to help
clients manage increasing amounts of data within the cloud and as part of broader transformation initiatives.
In a recent study by NTT DATA, “The Big Pivot: From Data Islands to Data Insights," 79% of executives
said they recognize the value of data but only 10% are very effective at using it to adopt new business
models and enter new markets. Hashmap adds to other recent acquisitions completed by NTT DATA in the
past 12 months to support clients' digital transformation efforts, including:
• December 2019 acquisition of Flux7, an AWS partner that provides cloud implementation and
migration, automation, and DevOps consulting services. Hashmap will help clients make the most efficient
use of their data when moved to the cloud
• October 2020 acquisition of Acorio, a ServiceNow Elite Partner that helps clients enable automated
and intelligent digital workflows with ServiceNow. Hashmap also helps clients advance digital
transformation with trusted data and cloud consultants

Mobile Vikings joins the Proximus Group (Belgium)
Proximus is announcing that it has signed a definitive agreement with DPG Media to acquire Mobile
Vikings, which also includes the Jim Mobile brand. With this transaction, Proximus brings on board a
major Belgian mobile virtual network operator that primarily targets the segment of youngsters.
Founded in 2007, Mobile Vikings is an important brand in the Belgian telecoms market, with a mobile
offer that appeals to young people making intensive use of mobile data. The Mobile Vikings and Jim
Mobile brands together have around 335,000 customers. On top of that, Mobile Vikings differentiates
itself with its “Viking community” as one of the most beloved telecom brands in Belgium. Fully in line
with its strategy #inspire2022, this acquisition opens up a complementary market segment to
Proximus’ current core target group (Scarlet and Proximus), optimizing its multi-brand positioning in
the residential market. Proximus will preserve the essential brand identity of Mobile Vikings, which
will continue to offer its products and services under the same conditions and name. Customers will
keep their current services and benefits while gaining future access to the best mobile network in
Belgium and benefit from Proximus’ future innovations. Based in Hasselt and with around 80
employees, Mobile Vikings will continue to operate as a separate entity within the Proximus Group,

S&P Global (USA) and IHS Markit Announce Divisional Structure of Combined
Company
S&P Global and IHS Markit announced the future divisional structure of the combined company,
effective upon completing their pending merger.
Divisional Structure
• S&P Global Ratings will be led by Martina Cheung, currently President of S&P Global
Market Intelligence, upon close. Effective immediately, Ms. Cheung will also lead the S&P
Global ESG team, consolidating cross-divisional ESG assets with a leadership group designed to
scale quickly and accelerate growth. John Berisford, currently President of Ratings, will lead the
Integration Management Office upon closing, in partnership with Ewout Steenbergen, Chief
Financial Officer.
• S&P Global Market Intelligencewill be combined with IHS Markit's Financial Services
business upon close and led by Adam Kansler, currently President of Financial Services at IHS
Markit.
• S&P Global Platts will be led by Saugata Saha, currently CFO of S&P Global Market
Intelligence and Platts, effective January 2021. After close, Mr. Saha will continue leading Platts,
combined with the Energy & Natural Resources business of IHS Markit. For nearly seven years,
Mr. Saha has led initiatives to drive growth and execute on complex transformations at S&P
Global. Saugata's vast experience spans strategy, operations, finance and integration, as well as
consulting at McKinsey and several business roles at The Godrej Group.

Sistema (Russia) agrees to acquire Elektrozavod Group
Sistema PJSFC (“Sistema” or the “Corporation”, together with its subsidiaries and associates, "Sistema Group") a Russian public
diversified holding company, announces that its affiliate LLC Megapolis Invest has entered into agreements to acquire a 64.37%
share in JSC Elektrozavod and control over 100% in LLC Elektrokombinat (“Elektrozavod Group”) from certain private investors
for RUB 24.7bn (with a net cash position) with the goal of creating Russia’s leading manufacturer of transformer equipment and
implementing a real estate development project on land plots located in Moscow owned by Elektrozavod Group (the “Transaction”).
The Transaction is expected to be financed via investments to be provided by Sistema Group (in the total amount of up to RUB
11.0bn) and certain third-party partners. The completion of the Transaction is anticipated by the end of 2020 subject to satisfaction
of certain conditions stipulated in the agreements. Additional co-investors may be brought in at a later stage for both the transformer
business and the real estate development project. Elektrozavod Group includes transformer equipment production facilities in
Moscow and Ufa, maintenance divisions, research and design institutes, an engineering centre and land plots totalling 19 hectares
near the Elektrozavodskaya metro station in Moscow.

Notice Concerning Consideration of Acquiring 100% Ownership and Absorption-type
Merger of LINE MOBILE Corporation by SoftBank Corp.
SoftBank Corp. has decided and announced that it will consider making LINE MOBILE Corporation, a MVNO service provider, a wholly owned subsidiary and
implement an absorption-type merger (the “Merger”). Details including purpose and schedules are as follows. In March 2021, with the aim of further improving
user convenience, the Company will launch a new brand dedicated to online, as well as a 4G/5G*1 service plan that provides a 20GB monthly data allowance at
a monthly price of JPY 2,980. Under the brand concept of “SoftBank on LINE”, the new brand provides unlimited use of messaging app “LINE” without
consumption of the monthly data allowance*2. It will also enable a variety of procedures to be performed on “LINE.” This will be achieved through detailed
discussions, conducted between LINE Corporation and the Company, regarding new telecommunications services utilizing the LINE platform. The Merger will
be implemented as part of this process. The Merger will be realized due in part to the business integration between LINE Corporation and Z Holdings Corporation
in March 2021. In recent years, there has been an increase in the use of online services in people’s lifestyles. However, due to factors including the coronavirus
disease 2019, there is an even greater need for non-face-to-face services that can be completed online, which reduce the burden as well as costs. The new brand
will be launched to respond to these environmental changes, and this will enable the Company to respond to the diversifying needs of customers with its three
main brands. The Company and LINE Corporation have entered into a non-binding memorandum of understanding which provides for discussion of the Merger.
The two companies will proceed with discussions and will immediately announce the details after the resolution of the Merger.

Vivendi (France) enters into exclusive negotiations for the acquisition of
Prisma Media
Vivendi announces that it is entering into exclusive negotiations with Gruner + Jahr / Bertelsmann concerning the
acquisition of 100% of Prisma Media. This acquisition would fit perfectly into the strategy of Vivendi, a leading media,
content and communication group, by usefully complementing the spectrum of its existing activities. It would also offer
interesting opportunities for collaboration within the group and for the development of the high-quality titles that make
up Prisma Media. The acquisition project will be submitted, in accordance with the regulations in force, to the
information and consultation of the personnel representative bodies concerned, as well as to the finalization of the legal
documentation. Prisma Media is the n ° 1 French press group in the sector, in print and digital, with twenty essential
flagship brands of the magazine press, from Current Woman to GEO, via Capital. More than 42 million French people
are in contact each month with a brand of the group, whether it is leafing through a magazine, surfing the web, on a

Vivendi (France): the consortium led by Tencent acquires an additional
10% of the capital of UMG
Vivendi announces that the Consortium led by Tencent has decided to exercise its option to acquire an additional 10% of Universal Music Group (UMG)
on December 17, 2020 on the basis of an enterprise value of 30 billion euros for 100% of UMG's capital. The sale and payment will take place during the
first half of 2021, subject to regulatory approvals. Following the agreement signed on December 31, 2019, the Consortium, led by Tencent (00700.HK),
comprising Tencent Music Entertainment and other financial co-investors, had acquired 10% of the capital of '' UMG on March 31, 2020 with the option to
acquire, on the same valuation basis, up to an additional 10% of the capital of UMG until January 15, 2021. Vivendi is pleased with the presence of Tencent
and its co-investors in UMG capital since last March and is very happy that the Consortium has decided to exercise its option. This will allow UMG to
continue its development in Asia. Tencent and the members of the Consortium are delighted to support UMG in its growth through this new investment.
Together with Vivendi, Tencent and Tencent Music Entertainment will continue their work to increase opportunities for artists and provide music fans with
an enriched experience, further promoting a thriving music industry. This operation is completed by a separate agreement signed on March 31, 2020,
allowing Tencent Music Entertainment to acquire a minority stake in the capital of the UMG subsidiary grouping its Chinese activities. Following the
success of this important strategic agreement, Vivendi is pursuing the plan to sell additional minority stakes in UMG with the assistance of several mandated
banks. A stock market listing is scheduled for 2022 at the latest. Vivendi should use the cash from these various transactions to reduce its financial debt, and
to finance share buybacks and acquisitions.

software, for approximately €231 million in cash. The acquisition extends GRC
Compliance Solutions’ leading position in U.S. mortgage and loan document
generation and analytics into the fast-growing digital loan closing and storage
adjacency. eOriginal is a trusted leader in digital lending technology, serving
more than 650 customers in the U.S., including banks, mortgage lenders,
consumer lenders, and auto and equipment finance lenders. The eOriginal
platform enables lenders and their partners to create, store and manage digital
assets from close through to the secondary loan market. GRC’s Compliance
Solutions business has had a strategic partnership with eOriginal since 2016,
which allows the integration of eOriginal’s electronic vaulting and closing
software with Expere. The offerings of eOriginal and GRC Compliance Solutions
are highly complementary and together will form an industry leading end-to-end
digital lending platform.

Starting, Bell is the first wireless provider in Canada to offer cellular service for Family Setup, which allows kids and older family
members of the household who do not have iPhone to enjoy Apple Watch. Apple introduces Family Setup in watch OS 7.2[1], bringing
the communication, health, fitness, and safety features of Apple Watch to kids and older family members of the household who do not
have iPhone. For the first time, Apple Watch can be set up through a parent's iPhone, so kids can enjoy its fun and useful tools while
parents have peace of mind knowing they can reach their child and identify their location, and that all personal data stays securely
encrypted. Kids and older family members using Family Setup will have their own phone number through a separate cellular plan. Family
Setup is available to Canadian customers with watchOS 7.2 and iOS 14.3, and requires cellular models of Apple Watch Series 4 or later
or Apple Watch SE, paired with iPhone 6s or later. Bell has also introduced a new Smartwatch Standalone plan to accompany Family
Setup, enabling customers to have a dedicated phone number for Apple Watch. The new plan includes voicemail, unlimited nationwide
calling, unlimited text and 1GB of data, all for $15 per month ($5 off with a limited time promotion). The plan also includes call display,

Comcast Spectacor, owner of the Wells Fargo Center arena and the National Hockey League’s Philadelphia Flyers, is advancing its commitment to renewable energy and
sustainability at two of its primary facilities. Through an agreement with SunPower, a leading solar technology and energy service provider, Comcast Spectacor completed the
installation of a 1.06 megawatt (MW) onsite solar system at the Virtua Center Flyers Skate Zone at Voorhees in New Jersey. Comcast Spectacor has also introduced an electric
Zamboni ice resurfacer and will achieve 100 percent renewable electricity supply for the facility starting in 2021. The Virtua Center Flyers Skate Zone at Voorhees is the training
facility for the Philadelphia Flyers and the National Lacrosse League’s Philadelphia Wings and offers public ice-skating sessions and youth hockey activations year-round.
Installation of the rooftop solar panels began in May 2020 and was completed in November 2020. Comcast Spectacor will sell the Renewable Energy Certificates (RECs) from
the onsite solar and purchase national RECs to provide all Spectacor facilities with 100% renewable electricity. The Virtua Center Flyers Skate Zone at Voorhees has also
replaced its traditional propane Zamboni machine with an electric model. The onsite solar project is the latest in an ongoing series of sustainability efforts across Comcast
Spectacor facilities. In combination with the electric Zamboni machine, Comcast Spectacor’s purchase of renewable energy credits will contribute an additional annual
reduction of more than 1,700 metric tons of carbon dioxide equivalent greenhouse gases. That reduction is equivalent to removing more than 370 passenger vehicles driven for
a year. These developments are in addition to Wells Fargo Center’s 100 percent renewable electricity initiative, which was achieved through an agreement with Constellation
that completely powers the arena with wind. The wind power generation avoids more than 15,000 metric tons of greenhouse gas annually which is equivalent to the amount
produced by 3,373 passenger vehicles over the course of a year. All of these efforts will provide Comcast Spectacor facilities with 100% renewable electricity and supports
Comcast NBCUniversal’s long-term aspirational goal of achieving 100 percent renewable energy.

Display Features
• The in-built motion sensor detects the movements of users and operators, and by activating the LC light control film, which is integrated into the transparent screen, makes it

• Bringing the palm of the hand closer to the screen activates the sensor, which causes the cursor to appear. The cursor can then be maneuvered in a touchless format via hand
movements, including clicking on screen buttons to set actions into motion by bending the index finger towards the screen.
• DNP's proprietary LC light control film leverages coating technology to achieve a precise coating of the LC. And, by controlling the direction of the LC using electrical power, it
is possible to block or transmit light with high precision, enabling the display of diverse and clear images.
• The DNP transparent screen is produced by applying a precision lens to a large film substrate using advanced optical lens design technology and fine shaping technology.
• The background can be viewed by making the integrated LC light control film transparent then projecting an image upon it. In this way, it is possible to achieve an AR effect in

objects. In the first stage, the program receives several images with the marked object. In stage two the algorithm trains the object recognition. And in the
third stage the user generates his program and can test its learned "abilities" on unknown images. Professionals can also access pre-installations of common
open source frameworks (utility programs with open source code). Exemplary are mentioned here: Tensorflow, PyTorch, Mindspore, MXNet and Caffe. They
can immediately work with their own code. In addition, ready-made algorithms, which only need to be trained accordingly, shorten programming times. With
virtual OpenSource Jupyter notebooks, they have access to the required computing and storage power. The preparation of the data and the training of the AI
takes place exclusively in the Open Telekom Cloud. The relevant training data is specially secured in accordance with the basic data protection regulation
(DSGVO). The finished AI model can be used from the cloud or at a later development stage on an edge device. All resources, including computing and
storage capacity, are only billed according to use. The developer switches these on and off with a mouse click. If autostop is activated, the system does this

Wales. The ground station will support O3b mPOWER, SES’s next-generation non-geostationary (NGSO) constellation and enable the delivery of

leading remote communication provider Pivotel and global content and connectivity solutions provider SES, will provide much needed
high-performance and low-latency connectivity services across Australia, New Zealand and the Pacific Islands. The terabit-level constellation will
deliver multiple gigabits-per-second beams of data services to customers, providing fibre-like connectivity with more bandwidth and improved
flexibility to remote and underserved regions across Australia and the Pacific islands. The Dubbo gateway will commence operations in the second
half of 2021 and will track SES’s O3b mPOWER constellation operating at Medium Earth Orbit (MEO) 8,000km away from Earth. This ground
station will also support telemetry, tracking and commanding systems needed to control the satellites during the early stages of launch and
complete integration with the Satellite Operations Centre. Pivotel has been hosting an O3b gateway since 2013, when SES’s current MEO
constellation was launched. Through the O3b gateway, SES has been instrumental in enabling the delivery of connectivity services to communities
and the regional government entities of countries such as Papua New Guinea, Nauru and Federated States of Micronesia.

system, advocated by Commissioner Breton, is set to provide secure communication services to the EU and its Member States as well as broadband connectivity for European
citizens, companies and mobility sectors, strengthening EU digital sovereignty. It will build upon the European Union’s GOVSATCOM programme of pooling and sharing
satellite services, and will ensure a high level of reliability, resilience and security not currently available in the market; it will also leverage the EuroQCI initiative that promotes
innovative quantum cryptography technology. More specifically, the study phase awarded by the European Commission will consolidate the user and mission requirements and
provide a preliminary architectural design and service provision concept, as well as associated budgetary estimates. A Public-Private Partnership (PPP) scheme will be
considered and assessed during this phase. The study will look at how the space-based system could enhance and connect to current and future critical infrastructures, including
terrestrial networks, strengthening EU capability to access the cloud and providing digital services in an independent and secure way, which is essential for building confidence
in the digital economy and ensuring European strategic autonomy and resilience. It will leverage and strengthen the role of satellites in the 5G ecosystem, assessing
interoperability whilst also taking into account the evolution towards upcoming 6G technologies.

each of the phases of their growth. A database will help the farmers to improve production and guarantee the best crop parameters, without the need to use fertilisers and without having
to constantly keep an eye on the weather. Innovation thus adapts to a paradigm shift in the agricultural sector, that of producing greater amounts with fewer resources. Smart Agro’s
Vertical Green solution simplifies logistics and makes food production more sustainable, particularly in urban and interurban areas. This new cultivation system has also included and
patented an innovative and unique RHPA (Rotating High Pressure Aeroponic Irrigation) system permitting farming by means of a rotating system of aerial tubes which, by means of
the regular movement of the crops, irrigates all the plants in a uniform manner, reducing the space required for irrigation devices, favouring the use of the space, increasing production
by 40% and lowering water consumption by 95%. The nozzles of the irrigation system also incorporate an innovative feature that facilitates the atomisation of the water and air to
prevent any blockages and reduce maintenance costs. This solution is already being used in a pilot project by Onubafruit, one of Europe’s leading strawberry producers. This
association of cooperatives is working on a crop-growing project with RHPA technology in Spain to grow strawberries in a high-density indoor space. The academic world is also
promoting this technology and the UPM (Polytechnic University of Madrid) has created a three-year industrial doctorate together with Vertical Green that’s financed by the CAM

Telefónica, KT Corporation and China Unicom announced the successful verification of its 5G Multi-access edge computing (MEC) technology for global roaming
infrastructure and federation among different edge platform. Since March 2020, the group has initially been focusing on basic functionalities and interfaces for
application requirements on smart edge discovery and federation of multiple operator’s MEC platforms. The platforms used have been based on Altran technology
and China Unicom in house technology. MEC roaming mechanism allows mobile users visiting abroad to leverage nearby MEC infrastructure for optimal MEC
experience beyond their home networks. Without this mechanism, mobile users abroad will have to resort to MEC infrastructure located back in home country,
significantly undermining the low-latency feature at the expense of user experience. This scenario has been successfully tested between KT and Telefonica.
Telefónica also completed experiments on federation between heterogeneous MEC platforms to cope with fragmentation of the current MEC environment to
expand its market outreach of MEC service. This will lay groundwork for enterprises and private developers to be able to make inroads into domestic and global
markets with a single service development that satisfies common standards. The group of companies will share the findings and developments of this project with
the GSMA Operator Platform group to help fulfilling the requirements of the Telco Edge Cloud reference architecture with regards to mobility, roaming and
federation. This contribution is extremely relevant to allow Telco Edge Cloud meet its requirement of offering a global reach, providing edge platform
interconnection and edge service availability to roamers. This in return will allow operators to create a competent universal Edge Cloud service and customers to

matched to the characteristics of each person’s skin. The COVID-19 pandemic has limited opportunities for face-to-face contact and counselling with customers in stores,
and in many cases testers have been removed from display shelves. This has made it more difficult for consumers to select the best product for their needs. Toppan and
KOSÉ therefore launched pilot testing with a view to developing systems that facilitate virtual skin counselling and selection of the right cosmetic products for each

Verizon and SAP have expanded their strategic partnership to develop and test 5G and compute at the edge solutions. Verizon has lit up its 5G Ultra Wideband service at
SAP Labs in Palo Alto, CA. The engagement will leverage a vast partner ecosystem that includes system integrators, technology partners and industry specialists who
will work together to explore how 5G can deliver tangible innovations that address real business challenges across nearly every industry. Verizon and SAP will initially
explore how 5G and edge compute can transform digital supply chains on factory floors, at fulfillment centers and distribution warehouses, and within retail stores. The
first set of target use cases include retail stocking and shelf layout compliance as well as predictive quality and predictive maintenance. Verizon and SAP have already
been collaborating for several months to create enterprise solutions that use Verizon’s network and platform capabilities integrated with SAP’s software and services,
particularly SAP offerings for providing end-to-end visibility across the digital supply chain, and delivering operational efficiencies in the retail and warehouse
environments. This engagement is part of Verizon Business’ broader strategy to partner with enterprises, startups, universities and government/military to explore how
5G can disrupt and transform nearly every industry. Verizon operates six 5G Labs in the U.S. and one in London that specialize in developing use cases in industries

Based on the preliminary count by American Stock Transfer & Trust Company, LLC (“AST”), the Depositary for the tender offer, 64,814,209 shares of Class A common stock were properly tendered and not properly withdrawn at or below the expected final purchase price of $36.00 per share, including shares that were tendered through notices of guaranteed delivery. In accordance with the terms and conditions of the tender offer, the Company expects to purchase 64,814,209 shares of Class A common stock at a final purchase price of $36.00 per share, for an aggregate purchase price of approximately $2.33 billion (excluding fees and expenses relating to the tender offer). These shares represent approximately 18.3% of the Company’s issued and outstanding shares of Class A common stock as of December 21, 2020. The number of shares to be purchased and the price per share are preliminary and are subject to verification by AST and subject to change for a number of reasons, including if some or all of the shares tendered through notices of guaranteed delivery are not delivered within the applicable two trading day settlement period. At the effective time of the combination, (i) each share of GCI Liberty Series A common stock outstanding immediately prior to the effective time was converted into 0.580 of a share of Liberty Broadband Series C common stock, (ii) each share of GCI Liberty Series B common stock outstanding immediately prior to the effective time was converted into 0.580 of a share of Liberty Broadband Series B common stock and (iii) each share of GCI Liberty Series A Cumulative Redeemable Preferred Stock outstanding immediately prior to the effective time was converted into one share of newly issued Liberty Broadband Series A Cumulative Redeemable Preferred Stock.
