Annaly Capital Management, Inc. (USA) Announces Agreement to Sell Its Commercial
Real Estate Business to Slate Asset Management for $2.33 Billion
Annaly Capital Management, Inc. announced that it has entered into a
definitive agreement to sell its Commercial Real Estate business to
Slate Asset Management L.P. a global investment and asset
management firm focused on real estate. The transaction is valued at
$2.33 billion and represents substantially all of the assets that
comprise the Company’s Commercial Real Estate business, which
include equity interests, loan assets and commercial mortgage-backed
securities. Certain Annaly employees who primarily support the
Commercial Real Estate business are expected to join Slate upon
completion of the sale, including Timothy Gallagher, Head of
Commercial Real Estate, and Michael Quinn, Head of Commercial
Investments.
Executive Commentary
“The Commercial Real Estate business has been an important
component of Annaly’s differentiated investment model since
2013,” remarked Annaly’s Chief Executive Officer and Chief
Investment Officer. “This transaction delivers compelling

Dexus (Australia) establishes new JV to acquire interest in 1 Bligh Street Sydney
Dexus announced the establishment of the Mercatus Dexus Australia
Partnership joint venture with Mercatus Co-operative Limited. MDAP
has exchanged contracts to acquire a 33.33% interest in 1 Bligh Street,
Sydney, for $375 million. Mercatus will hold an indirect 90% share in
MDAP, with Dexus holding the remaining 10%. MDAP is structured to
enable additional office acquisitions in the future. Dexus is the
investment manager of the JV and post-acquisition will continue to
manage 1 Bligh Street. The establishment of MDAP and acquisition of a
further interest in 1 Bligh Street (increasing Dexus’s effective ownership
interest to 36.66%) is consistent with Dexus’s strategic initiative of
expanding and diversifying the funds management business while
progressing the objective of being the wholesale partner of choice.

Broadridge (USA) Extends Capital Markets Franchise with Acquisition of Itiviti
Significantly strengthening its capital markets capabilities and enhancing its

announced it has signed a definitive agreement to acquire Itiviti Holding AB a

industry, in an all-cash transaction valued at €2.143 billion (approximately $2.5

Host Hotels & Resorts, Inc. (USA) Acquires Hyatt Regency Austin
Host Hotels & Resorts, Inc. the nation’s largest lodging real estate
investment trust, announced that it has acquired the fee simple interest in
the 448-room Hyatt Regency Austin in Austin, Texas for approximately
$161 million in cash. The purchase price represents a 10.0%
capitalization rate and an 8.8x EBITDA multiple based on 2019 actual
results(1) and reflects a 20-25% discount to pre COVID-19 pricing based
on comparable publicly-disclosed hotel sales.(2) Hyatt will continue to
manage Hyatt Regency Austin under a long-term management
agreement. Situated on nearly six acres in a park-like setting along Lady
Bird Lake, this waterfront hotel commands scenic views and is near the
vibrant South Congress District with easy access to numerous leisure
attractions, including the South Congress entertainment area, Zilker
Park, and the Colorado River which offers recreational water activities.

IHS (UK) Markit Shareholders Approve Strategic Merger with S&P Global
IHS Markit a world leader in critical information, analytics and
solutions, announced that its shareholders voted overwhelmingly to
approve its merger with S&P Global. At a special general meeting of
shareholders 98.95 percent of the votes cast voted to approve the
proposed merger agreement. Under the terms of the proposed
merger, each share of IHS Markit common stock will be exchanged
for a fixed ratio of 0.2838 shares of S&P Global common stock. IHS
Markit continues to anticipate that the closing of the merger will
occur in the second half of 2021 pending antitrust and regulatory
approvals, and satisfaction of other customary closing conditions.

Johnson Controls (Ireland) Agrees to Acquire Silent-Aire to Accelerate Growth in
Hyperscale Data Center Vertical
Johnson Controls the global leader for smart, healthy and sustainable buildings, announced
it has entered into a definitive agreement to acquire Silent-Aire, a global leader in hyperscale
data center cooling and modular critical infrastructure solutions. This all-cash transaction is
valued at up to $870 million, including an upfront payment of approximately $630 million
and additional payments to be made subject to the achievement of post-closing earnout
milestones. Silent-Aire specializes in the design, engineering and manufacturing of mission
critical custom air handlers and modular data centers for hyperscale cloud and colocation
providers. Silent-Aire's portfolio of data center solutions allow for rapid deployment of
critical infrastructure in flexible configurations, with a focus on quality, scalability, and
speed-to-market. Silent-Aire's revenue for fiscal year 2021 (May) is expected to approximate
$650 million. The continuous migration of applications to the cloud (SaaS) has resulted in
unprecedented demand for computing power and the rapid expansion of data center
infrastructure. Over the last several years, this trend has overwhelmingly favored the
development of hyperscale cloud and colocation facilities. Hyperscale providers have unique
capabilities in deploying large-scale computing power with increasingly more efficient, more
rapidly deployed solutions and with greater geographic reach.

SHKP (Hong Kong) signs five-year HK$16.8 billion syndicated credit facility
Sun Hung Kai Properties Limited (SHKP) signed a five-year HK$16.8 billion
syndicated credit facility with a consortium of 17 leading international and
local financial institutions. The facility received an overwhelming response
from banks, with the loan size increased significantly from the initial amount
of HK$5 billion to HK$16.8 billion. This is another clear demonstration of the
banking community’s strong faith in SHKP. The facility was signed by Sun
Hung Kai Properties (Financial Services) Limited, with its parent, SHKP,
providing a guarantee. It has a 30:70 split between a term loan and revolving
credit tranches and a maturity of five years. The proceeds will be used to
refinance a HK$15 billion syndicated credit facility due in May this year and
as general working capital for the Group’s business development. SHKP has
the highest credit ratings among property companies in Hong Kong, with an
A1 and A+ rating with stable outlook from Moody’s and Standard & Poor’s,
respectively.

participating banks for their strong support despite the various challenges
facing Hong Kong, including COVID-19, which testifies to their
confidence in SHKP and its growth prospects. The Group remains

SGS is pleased to announce the acquisition of the minority stake in The Lab
(Asia) Ltd (TLA). It now becomes a wholly owned subsidiary of the SGS
Group following the initial acquisition of 51% in 2016. Headquartered in
Hong Kong with offices in Macau and Zhuhai, China, TLA is an
independent materials testing, inspection and consulting company serving
the construction, civil engineering, highways, airports and associated
industries. It has a balanced portfolio of public and private sector
infrastructure projects, including dedicated testing and inspection services
for the Hong Kong Airport Authority. It has already been awarded a
contract to support the construction of the third runway and will launch one
of the largest onsite labs for the construction sector, employing over 300
technicians. TLA also offers both the platform and competence for further
expansion into the mainland Chinese infrastructure market.

SGS signed a contract with the Ministry of Industry, Trade, Green and Digital Economy (MICEVN) of the Kingdom of
Morocco for the implementation of the Conformity Assessment Program on industrial products, starting May 1, 2021.
Under the contract, SGS acting on behalf of MICEVN, will perform conformity assessment services for exporters of
industrial products to the Kingdom of Morocco to verify that those products meet relevant national standards and/or
technical regulations. Only products that meet the Moroccan standards and/or technical regulations will be issued a
certificate of conformity at the country of origin. The exporter will release the certificate of conformity to his importer or
its local agent. Upon arrival of the goods, the certificate of conformity issued by SGS at the country of origin will be
authenticated by SGS Morocco at the Ministry portal. Products intended for destination intervention upon arrival (no
inspection at origin) will undergo the conformity assessment process at destination; the intervention level will be defined
by the Ministry.

Sino Group and Hong Kong Innovation Foundation unveiled the City Air Purification System 2.0 (‘CAPS 2.0’). The state-of-the-art
invention, jointly developed by Sino Inno Lab and Arup, doubles as a functional bus shelter and aims to protect those in populous cities
by improving the surrounding air quality. The full-scale CAPS 2.0 bus shelter will be on display at Central and Western District
Promenade (Central Section) from 1 April to 6 June 2021 for the public to have a first-hand experience of the novel filtration and
sanitisation technologies of this innovative air purification system. The World Health Organisation ranks air pollution as the single largest
environmental health concern in the world. The CAPS 2.0 can serve as a citywide solution to urban pollution: its patented technology
efficiently recycles clean air within a semi-open space and has been proven to reduce pollution exposure by half, remove 99.95% of
PM0.1 airborne allergens, and kill viruses, bacteria and fungi within seconds. The CAPS 2.0 draws in surrounding polluted air, creating
an invisible shield-like air curtain from the underside of the canopy, while concurrently generating air currents within that space to clean
up the air. Polluted air is then internally purified with its dual protection technology, which removes harmful suspended particles and
eliminates coronaviruses.

grades 5 through 12. Building on the findings of The Girls' IndexTM 2017, the country's largest study of its kind, the goal of the study
is to understand the experiences, perceptions, beliefs and behaviors of girls. Findings from the research will be used to identify the
social, emotional and academic needs of girls, and will help educators, parents, mentors and coaches make data-informed decisions
in schools and communities throughout the country. With the goal of ensuring a diverse and nationally representative sample, ROX
is currently recruiting schools to participate in the project. Participating schools will receive a customized, detailed report outlining
findings from their school along with analysis that can be used for administrative decision-making. Comprehensive survey findings

Seiko Epson Corporation has announced that its worldwide Group sites will all meet their electricity needs from 100% renewable
energy sources (renewable electricity) by 2023. With growing global interest in societal issues such as the environment and
energy, Epson established its Environmental Vision 2050 to express its commitment to environmental management, and
subsequently rolled out various measures aimed at achieving this. The Paris Agreement subsequently established decarbonization
targets, and Epson created a scenario to achieve by FY2025 science-based targets aimed at achieving these goals. This scenario
included the use of renewable electricity as an important theme, and Epson made plans and implemented measures to expand its
use over the long term. The company has established its policy as it seeks to accelerate its plans to become a leading
environmental company, and with the belief that climate change represents a serious corporate risk and that Epson must play a
greater role in mitigating that risk as it rolls out its business worldwide. As a result of these plans, Epson has calculated it can
reduce emissions of CO2 by 36,000 tonnes annually to zero by using 100% renewable electricity at all sites worldwide by 2023.

The facility received an overwhelming response from banks, with the loan size increased significantly from the initial amount of HK$5 billion to HK$16.8 billion. This is another clear demonstration of the banking community’s strong faith in SHKP. The facility was signed by Sun Hung Kai Properties (Financial Services) Limited, with its parent, SHKP, providing a guarantee. It has a 30:70 split between a term loan and revolving credit tranches and a maturity of five years. The proceeds will be used to refinance a HK$15 billion syndicated credit facility due in May this year and as general working capital for the Group’s business development.
