I – Company Overview
Founded in 2007 as a result of the merger between Sirius Satellite Radio and XM Satellite Radio,
Sirius XM Holding Inc., is the largest radio broadcaster in the world by revenue. It currently offers
more than 165 streams, including:
72 streams of commercial–free music over 50 streams of news, sports, weathers
18 Latin streams (Sirius XM, 2014).
Sirius Satellite Radio itself was founded in 1999 by Martine Rothblatt, David Margolese and Robert
Briskman. At that time, together with XM Satellite Radio, its major competitor, they have
revolutionized the radio industry which was experiencing the last stage of its business cycle. With
the idea of "enjoying the clearest, hottest, hippest and most provocative radio entertainment,
seamlessly across the country on customer's demands" (Sirius XM, 2014), Sirius invested more than
$1.5 billion to build and launch three orbiting satellites. Unlike terrestrial radio, satellite radio
mechanism is beaming programs to orbiting satellites, which in turn transmit the signal directly to

There were many changes in the business of music records from the 1980s onward. For example, the
Telecommunications Act of 1996 law was passed. This enabled a free–for–all in for the record
companies and granted them the ability to compete with anyone in the market. What ended up
happening was the companies bought each other left and right until there were 5 or 6 big companies
that ran everything. The record industry controlled music production, distribution, and airplay on the
radio. Radio started out on the AM frequencies, then later the FM higher fidelity stations. The only
way to get music through to the masses feasibly was to go through the highly selective record
companies because they were the only ones who could mass produce music. To distribute, first they
sold music on gramophone records, an early distribution medium made of processed shellac from
the lac bug. Then they moved on to track tapes, vinyl records, compact cassettes, and eventually
CDs.

SWOT analysis of Sirius XM Radio where it was noted that the Sirius XM is firmly at the top of its
industry. For the purposes of this project, I went through the financial statements of Sirius XM as
well as computed several key financial ratios to indicate Sirius XM's profitability, growth,

Sirius XM also proves that it can, for the most part, meet its short–term obligations by boasting a
current ratio of 0.79. Sirius XM's current ratio is relatively low because of its strong operating cash
flow (over 800M). Just like the debt to equity ratio, this low current ratio can also mean a higher
return on assets for Sirius XM. It should however be noted that, when I calculated the quick ratio, I
took into account the quick ratio with accounts receivable (0.78) and without accounts receivable
(0.32).
One glaring issue that I found in the notes to the financial statements of Sirius XM radio is the fact
that Liberty Media owns over 50% of Sirius XM radio. Because of this fact, Liberty Media owned
all of Sirius XM's Series B Preferred Stock. In September of 2012, Liberty Media converted over 6
million of these shares into over a billion shares of common stock, which no doubt affected Sirius
XM's earnings per share as well as price to earnings ratio. It should also be noted that in January
2013, Liberty Media converted the rest of its Series B Preferred Stock into common stock as well,
which will further affect earnings per share.
Overall, Sirius XM is a profitable company, but I am unsure of how much longer Sirius XM will be
able to sustain such profitability simply because of its reliance on the auto industry and new

In last 10 years there has been a major emergence of a company called XM / Sirius Satellite radio.
When fellow competitors XM Radio and Sirius Satellite Radio announced plans for a merger in
2007, most thought that an answer from the FCC would be coming the usual window of six months,
allowing for a smooth transition of these two companies. Ignoring a self–imposed rule to handle
such cases in 6 months of less, FCC Chairman Kevin Martin chairman withheld the verdict for
approximately 17 months as his FCC debated the antitrust issues between Sirius and XM. Briefs
were submitted by the Justice Department, individual citizens, and traditional radio broadcasters,
arguing that the XM–Sirius merger should have been prevented over antitrust concerns. Ultimately,
the Justice Department, and then the FCC, on a 3–2 vote, approved the merger in 2008. This paper
seeks to discuss merger and antitrust positions concerning Sirius XM by starting with a history of
each individual company, explaining the relevant business law topics and opponents'/proponents'
arguments, and highlighting the post–merger financial success of the combined company.
