The Specialists Group LLC ("TSG") shall have earned a placement fee
payable by Client for each person referred by TSG and hired by Client
within one (1) year of the date of referral who satisfies the applicable
trial period set forth in this brochure.
TSG shall have earned a placement fee payable by Client even where
the person referred by TSG to Client is subsequently referred by Client
to, and hired within one (1) year of the date of referral by, an associated
or subsidiary company or a mere acquaintance of Client, and said person
satisfies the applicable trial period set forth in this brochure.
A placement fee earned by TSG shall not be adversely affected even if:
A) the person referred by TSG is hired for a position other than the
position for which said person was originally referred by TSG;
B) the person referred by TSG is subsequently referred by another
service and Client hires said person, regardless of the position for
which hired;
C) the Client advertises the position and the person referred by
TSG subsequently responds to the advertisement and is hired by
Client for that or another position;
D) subsequent to receiving the referral from TSG, the Client discovers
an application or resume in the Client's files for the person referred
by TSG;
E) at any time within one (1) year of the date of referral, the person
referred by TSG contacts Client and expresses a continuing interest;
and/or
F) TSG is not the direct cause of Client hiring the person referred
by TSG.
The amount of the placement fee earned by TSG, for which a trial period
is applicable, shall be calculated pursuant to the fee schedule set forth
in this brochure, and shall be due and payable no later than the final
day of the applicable trial period.
For each TSG temporary employee directly hired by Client, TSG shall
have earned a placement fee immediately due and payable by Client,
and there shall be no trial period. The amount of the placement fee
earned by TSG shall be calculated pursuant to the fee schedule set forth
in this brochure, and shall be due and payable on the date the temporary
employee is hired.
If Client fails to immediately pay amounts due and TSG retains an
attorney to assist collecting amounts due, Client shall pay TSG a
reasonable attorney's fee for services associated with collecting
amounts due and Client shall reimburse expenses incurred by TSG
in collecting amounts due.
On all amounts past due and owing, Client shall pay interest at the rate
of 11/2% per month.
Should TSG and Client agree to change or modify any term or condition
specified in this brochure, the remaining terms and conditions shall
continue to govern their rights and responsibilities.
For each person on whom TSG has earned a placement fee, for a period
of one year from the date said person is hired, TSG shall not recruit said
person; provided, however, that at the time said fee became due and
payable, Client shall have immediately paid said fee.
Client's receipt of any referral from TSG, whether by telephone, hand-
delivery, mail, fax, email or otherwise, shall constitute Client's acceptance

conditions shall be applicable for all referrals.

Our Temporary Division is widely recognized as
efficient and timely in response to the needs of our
clients. We furnish temporary employees on our
payroll for short or long-term assignments at

TSG shall have earned a placement fee payable by Client even where the person referred by TSG to Client is subsequently referred by Client to, and hired within one (1) year of the date of referral by, an associated or subsidiary company or a mere acquaintance of Client, and said person satisfies the applicable trial period set forth in this brochure. A placement fee earned by TSG shall not be adversely affected even if: A) the person referred by TSG is hired for a position other than the position for which said person was originally referred by TSG; B) the person referred by TSG is subsequently referred by another service and Client hires said person, regardless of the position for which hired; C) the Client advertises the position and the person referred by TSG subsequently responds to the advertisement and is hired by Client for that or another position; D) subsequent to receiving the referral from TSG, the Client discovers an application or resume in the Client's files for the person referred by TSG; E) at any time within one (1) year of the date of referral, the person referred by TSG contacts Client and expresses a continuing interest; and/or F) TSG is not the direct cause of Client hiring the person referred by TSG. The amount of the placement fee earned by TSG, for which a trial period is applicable, shall be calculated pursuant to the fee schedule set forth in this brochure, and shall be due and payable no later than the final day of the applicable trial period. For each TSG temporary employee directly hired by Client, TSG shall have earned a placement fee immediately due and payable by Client, and there shall be no trial period. The amount of the placement fee earned by TSG shall be calculated pursuant to the fee schedule set forth in this brochure, and shall be due and payable on the date the temporary employee is hired. If Client fails to immediately pay amounts due and TSG retains an attorney to assist collecting amounts due, Client shall pay TSG a reasonable attorney's fee for services associated with collecting amounts due and Client shall reimburse expenses incurred by TSG in collecting amounts due. On all amounts past due and owing, Client shall pay interest at the rate of 11/2% per month. Should TSG and Client agree to change or modify any term or condition specified in this brochure, the remaining terms and conditions shall continue to govern their rights and responsibilities. For each person on whom TSG has earned a placement fee, for a period of one year from the date said person is hired, TSG shall not recruit said person; provided, however, that at the time said fee became due and payable, Client shall have immediately paid said fee. Client's receipt of any referral from TSG, whether by telephone, hand- delivery, mail, fax, email or otherwise, shall constitute Client's acceptance of the terms and conditions in this brochure, and these terms and conditions shall be applicable for all referrals. terms & conditions 8
