4.2 Vivendi vs Gameloft
4.2.1 Overview
Vivendi is known for aggressively acquiring companies through financial pressure for some time now,
as observed with Havas (Vivendi, 2017), Dailymotion (Lunden, 2015) and buying CanalPlus s joint
owner s stakes (Keslassy, 2013). So as the trend goes, Vivendi wanted to return to the video game
industry and chose the largest mobile games developer, Gameloft, acquiring it through a hostile
takeover in 2016. The structure of the takeover as well as what caused it are detailed in further
sections.
4.2.2 The Process
In the October of 2015, Vivendi bought 6% shares in Gameloft and immediately within a week
increased it 10%, causing a small panic in Gameloft s upper management, issuing a public declaration
from Gameloft as well as its sister company Ubisoft, saying that Vivendi s involvement was quite
unwelcome (Morris, 2016) (cited in Nutt, 2016).
On February 2016, Vivendi again upped its share to 30%, forcing them to make a formal bid for
ownership of Gameloft according to the French Mergers and Acquisitions Law (Kerr, 2016), detailed
description of the law can be found in Appendix C. Although, proposition of the offer was mandatory
for Vivendi, Gameloft had no such reservations about accepting and it was made clear with their
statement, The offer launched by Vivendi has no strategic interest for Gameloft (cited from Nutt,
2016). After the initial rejection, Vivendi proposed to purchase all of Gameloft s share for a rate of €6
per share as opposed to the market price of €4, this was a fifty percent premium profit for all of
Gameloft s shareholders, but as bargaining goes the shareholders upped the offer to a rate of €8/share
which was double the stock price (Keslassy, 2016), ultimately leading Vivendi to reject the Michel
Guillemot s plea and acquiring Gameloft under its banner.

impossible. Then there is the kitchen. It is almost impossible to open the door of the fridge while the
