www.seribangash.com
A Memorandum of Association (MOA) is a legal document that outlines the fundamental principles and objectives upon which a company operates. It serves as the company's charter or constitution and defines the scope of its activities. Here's a detailed note on the MOA:
Contents of Memorandum of Association:
Name Clause: This clause states the name of the company, which should end with words like "Limited" or "Ltd." for a public limited company and "Private Limited" or "Pvt. Ltd." for a private limited company.

Registered Office Clause: It specifies the location where the company's registered office is situated. This office is where all official communications and notices are sent.
Objective Clause: This clause delineates the main objectives for which the company is formed. It's important to define these objectives clearly, as the company cannot undertake activities beyond those mentioned in this clause.

Liability Clause: It outlines the extent of liability of the company's members. In the case of companies limited by shares, the liability of members is limited to the amount unpaid on their shares. For companies limited by guarantee, members' liability is limited to the amount they undertake to contribute if the company is wound up.

Capital Clause: This clause specifies the authorized capital of the company, i.e., the maximum amount of share capital the company is authorized to issue. It also mentions the division of this capital into shares and their respective nominal value.
Association Clause: It simply states that the subscribers wish to form a company and agree to become members of it, in accordance with the terms of the MOA.
Importance of Memorandum of Association:
Legal Requirement: The MOA is a legal requirement for the formation of a company. It must be filed with the Registrar of Companies during the incorporation process.
Constitutional Document: It serves as the company's constitutional document, defining its scope, powers, and limitations.
Protection of Members: It protects the interests of the company's members by clearly defining the objectives and limiting their liability.
External Communication: It provides clarity to external parties, such as investors, creditors, and regulatory authorities, regarding the company's objectives and powers.

Binding Authority: The company and its members are bound by the provisions of the MOA. Any action taken beyond its scope may be considered ultra vires (beyond the powers) of the company and therefore void.
Amendment of MOA:
While the MOA lays down the company's fundamental principles, it is not entirely immutable. It can be amended, but only under specific circumstances and in compliance with legal procedures. Amendments typically require shareholder
3. Existing Product
Large title text so that it stands out
among the rest of the text on the front
cover of the magazine so that at first
glace you can recognize the creator of
the magazine which is good because not
only do people know what their buying
but making the title text bigger than the
rest of the text allows for the audiences
and the buyers of the product to
remember the text on the product
(magazine) easier especially when the
text is bright red which stands out well
with a white backdrop which might be
appealing to people.
Since there’s a lot of popular
professional premier league footballers
on the front cover, it will attract a lot of
football fans and more specifically
English football fans into reading the
magazine since the people on the front
cover may make people interested in to
what the potential information could be
within the magazine because those
players are a big deal within the league.
Alluring statements to make
costumers be more intrigued to want
to buy the magazine because of the
new and interesting information in the
double page spread.
5. Existing Product

Within this double page
spread, it uses quotes of text
to reference what the player
has said so that the
descriptions and statements
link to what a professional
footballer has said so that it
backs up the narrative and/or
opinion that what is in the
double page spread is saying
so that it seem more
legitimate and solid hence
there is a quote of an opinion
or statement behind it within
the text.
Large picture of player spread
out on A4 with player name to
showcase what the player
looks like and what club the
player plays from via the logo
of the team on his shirt so that
the people reading the text
know who they’re reading
about s they aren’t confused.
On the side of the text there is a image filling up a quarter of the side with
works are a visual connecter to what is being said within the text so that
learn better with visual interpretations can learn and understand what is
being said in the text better. Also, overall, it make the double spread as a
whole looks more interesting to read which will in return make more
people be interested in the product because there is more to ponder at
then just text for the reader of the magazine.
The text itself is organized and near on the spread which looks good because its not scattered and hard to read. Also the
text’s color on the spread is black which is very good if you take into account the visual context of the whole side of the
spread because the background is white which makes the black more visible to the eye because there contrasting colors.
Also since the text’s size is small, the font choice was great because it isn’t too complex and unreadable which is great for
the people who would buy the product because they can be happy reading information without the text looking too Arabic.
7. Existing Product
This magazine cover uses a
large green text at the top to
clearly present the brand of
magazine produced company
so that people can easily spot
what type of magazine it is.
Behind this text is a yellow
backdrop which contrasts well
with the green above it and
both colors share symbolism
with the nations flag, which
link back the legendary
footballer Pele on the front
cover who is Brazilian which is
suitable for the magazine
because it is carrying an
obvious Brazilian theme so
that the magazine has a
certain aesthetic behind it so
that it loos more suitable for
the information inside the
magazine.
On the magazines front cover it includes
exclusive interviews of different professional
football players, which makes people more
interested in the product.
Because this magazine uses a
iconic football player that played in
the past along with colorful visual
cover, this will attract younger
people to want to buy this product
because they might be interested
in what it has to say about one of
the all time greats in football
history. Also because its Pele on
the cover and the older
generations might recognize him
from their childhood, they too
might be interested in buying this
product because it might be
nostalgic and a read for
information that they didn’t know
about this player when they were
growing up.
8. Research Analysis
• What common features do the researched products have?
– A common feature from the products that I have researched is colourful front covers, sometimes relating
and being symbolic of the football player on the cover which is good because using colourful coloration can
make the magazine look good and also when it links with the themes of the featured people in the
magazine and the information it make the appeal of the magazine greater especially since it will make the
younger populous crave for the product more thus the younger demographics on average prefer more
colourful magazines in contrast to the older demographics. Also since overall the main people who buy
magazines are younger people in general, this would be a smart business move because it would optimize
the amount of potential buyers of the product because there would be a lot of eyes on the product.
– Large title and masthead to make it clear what magazine it is and what the magazine will be about so that
when some glances at the product they recognise what magazine it is via its style and texts font and what is
being said within the font.
– On the front a magazine cover there is often a phrase (similar to clickbait) and/or featured people list to
hype people to buy the magazine product because they want to read the information inside of the magazine
because of these alluring and intriguing texts which seem to be quite effective because some people like
gossip and interesting information about something that their interested in and/so not knowledgeable
about and want to be educated on.
– What aspects of the research will you include within your on work?
– I will include quotes from footballers in my double page spread like in my researched magazines so that I can
reference my point off what someone has experienced the footballing world so that it can backup my stance or
statement that I might write about within my magazine in my double page spread.
– I will use a lot of colours on my magazine cover that might relate to what I will be talking about in my magazine
because it can be more visually attractive then a less colourful magazine cover and also it will be influential for
primary demographic to be interested in my product because my primary audience is teens too young adults so
applying vibrant colours will appeal to the main audiences for people who primarily buy magazines who are young
people.
– I will add the name of my magazine in large text size at the top of my magazine so that people who will see my
magazine will know straight away the name of the magazine, which important because it allows people know would
would potentially be inside information-wise in the magazine. Also from my research I have also noticed that there
is often large titles at the bottom on the over that can also be at the top but its there in place with the magazine
cover to inform what will be in the magazine to someone who sees the product.
– I n my magazine I will use phrases on the cover to lure people into wanting to read the magazine out of curiosity
because of certain phrases that will feel gossipy and/or interesting information to find out about.
