Goodwill
Goodwill is an intangible asset that represents the value of a company’s reputation, brand, customer relationships, and other non-
physical attributes. When assessing goodwill, we typically encounter it in the context of business acquisitions or when one company
buys another.
Here are the key points about measuring goodwill:
1. Definition of Goodwill:
o Goodwill encompasses various forms, including reputation, brand recognition, domain names, intellectual property,
and commercial secrets.
o It reflects the advantage a business gains from its connection with customers and the circumstances that make that
connection enduring.
2. Recognition of Goodwill:
o Internally generated goodwill (such as in-house-created brands, mastheads, customer lists) is not recognized under
accounting standards.
o The only accepted form of goodwill is externally acquired goodwill, obtained through business combinations,
purchases, or acquisitions.
3. Calculating Goodwill:
o According to IFRS 3 (Business Combinations), goodwill is calculated as the difference between the consideration
transferred from the acquiring company to the acquired company and the net identifiable assets acquired.
o The general formula for calculating goodwill under IFRS is: [ text{Goodwill} = (C + NCI + FV) - NA ] where:
 (C) represents the consideration transferred.
 (NCI) is the amount of non-controlling interest.
 (FV) denotes the fair value of previous equity interests.
 (NA) stands for net identifiable assets1.
4. Example:
o Suppose Company A acquires Company B for $10 million.
o Company B’s net identifiable assets (tangible and intangible) are valued at $8 million.
o The goodwill calculation would be: [ text{Goodwill} = (10 + 0 + 0) - 8 = 2 text{ million dollars} ]
Remember that goodwill is an essential concept in accounting, especially during business transactions.
It reflects the intangible value that contributes to a company’s overall worth.
If Magi & Marcus sell hyD Division to the
automakers based on the Future Value of the
business to the Market, they can gain at least
the value of their portal arrangements. This
tangible representation of their customer
and vendor loyalty is a great drawing card for
the purchase because it is a business fabric
already produced, viable and certified to be
re-sellable in its componentized form.
