Abstract
English is the most international of languages. It is spoken as a native language in the
United States, Britain, Australia, New Zealand, most of Canada and in some other
countries .It is also used as a second and foreign language by 700 million people in the
remaining parts of the world. To many people, English is an important language to master
because it is a gateway to world scholarship and international trade. It has become the official
language in the fields of politics, business, science and technology.
Nowadays, the integration door of our country, WTO is gradually opening and
Vietnam is on track development. Consequently, we need a language that can help us to
communicate with the world and English is the best tool of communication in business
effectively. In fact, the promises and opportunities of world trade add English are adhesive to
connect economies in the world together; it is very advantageous for our country’s economy.
Thus, most of University in Vietnam uses English as the main language for teaching in all
subjects. Generally, a company in Vietnam that is bilingual has more advantages than others
are because they can communicate and achieve many contracts from their clients. We can see
specifically that companies pay the labor force knows English high salary than the labor force
doesn’t know English. In addition, English is very necessary in business because every
important data, information and documents are in English. Especially, commercial letter and
contracts in business.
I carried out my internship at Vinh Phat Art Pottery Establishment (Vinh Phat APE).
Vinh Phat APE is licensed under the Ministry of Finance and it acts in producing and
exporting art pottery. It offers internship opportunities to the students in need of education
about Business English, Marketing and Accounting. Internship is an opportunity to relate
what has been covered in class and what is applicable in the field in an operational
environment. The purpose of this program is to fulfill the core equipment for the award of a
Bachelor Degree in Business English to get a practical aspect of the theoretical work studied
at the university and to understand the operations in the Business English sector and to enable
students gain experience in different tasks.
I was assigned to Administration Department and it help me develop my business
English. I gained knowledge on how to translating a documents, information and especially
contracts including commercial contracts, labor contracts and editing bilingual text.
Stemming from the importance of English in business and during an internship at the
Vinh Phat APE with the help of managing director and whole-hearted guidance of Ms.
Nguyen Hoang Minh Duc, I choose the topic for my internship report is “advantages and
disadvantages in translating and text editing in English at Vinh Phat art pottery establishment”.

CHAPTER I: INTRODUCTION
The following report describes the activities carried out during a six- week, full-time
internship at Vinh Phat 1 Art Pottery Establishment. The document contains information
about the organization and the responsibilities performed throughout the period between 15th
February and 27th March 2016. More than a plain account of tasks, the objective of this text is
to reflect upon the experiences collected during the internship from the perspective of Foreign
Language student in Thu Dau Mot University. Hereafter, this is the company overview where
I start internship:
Long time ago, Lai Thieu was known as a cradle of pottery and pioneers in the
ceramic industry in Vietnam in general and Lai Thieu in particular was the Chinese migrant.
They came to Vietnam and brought their culture, their business. We can say that they are the
first foreign investments in Vietnam. In one of the Chinese migrant came to Vietnam, there
are Mr La Van Viet who founded Vinh Phat pottery kilns and made it development. Before
1975, Vinh Phat was one of the famous potter kilns in Lai Thieu , the traders from everywhere
even the foreign traders did business with him. In the late of 1980, his son, Mr La Van
Hoang, developed Vinh Phat kilns become a limited liability company with charter capital
was four billion eight hundred million. In this time, the operation of company still kept
traditional produce as using wood to dry pottery but in 1999, the company officially changed
from using wood to using Gas to dry products. In the early 2000, the company changed the
structure of company from Vinh Phat Ltd to Vinh Phat Art Pottery Establishment. However,
although the structure of company has had changed, the production scale of the company is
still the same. The key products are pottery indoor such as glasses, bowls, pots…etc. With
long manufacturing tradition, sophisticated design and high quality, Vinh Phat’s potteries are
popular not only in the country but also abroad. Over fifty percent of products primarily
export abroad and the main market of the company is Europe Countries. This is organizational

CHAPTER II: INTERNSHIP CONTENT
2.1 Description of internship
2.1.1 Description of the whole process relating to the topic
In society, the transaction is very diverse, so the contracts are divided into three basic
categories including civil contracts, business contract and labor contracts. I practiced in two of
three contracts above; these are labor contracts and business contract. Nevertheless, I just
translated and edited the business contracts. Due to practicing with business contracts so in
this internship report, I would like to introduce some knowledge about business contracts I got
and the process of internship in translating business contracts.
The contents of the contract business are the exchange agreement with the price of the
transaction object. Nevertheless, owing to goods or services have large quantity and be more
complex. Hence, beside the basic content, it is concretized detail. The agreement will be
mutually agreed upon and included in the content of the contract clearly and exactly
Most of clients of my company are foreign clients or foreign companies in Vietnam.
Hence, all contracts in my company will be translated into two languages: Vietnamese and
English.
In a business contract, there are four parts: heading, information about subject of
contract, content of contract, contracting.
+ Heading including national brand (this is obligatory part in contract), numbers and
signs the contract, name of contract, the grounds for establishment, place and date for
contracting.
+ Information about subject of contract including name of contracting subject, address
of contracting subject, number phone, fax, tax code and number account, name of bank, name
of representative.
+ Content of contract including usual article (its contents are stipulated in legal
documents), main article (is the most fundamental article of the contract, both subjects must
agree and record on the contract) and optional article (is articles which both subject agree
each other by themselves)
+ Contracting including the number of contract that need signing, signature of both,
sealed.
This is the structure of a business contract, which I studied from my supervisor and
follow this I edited a contract for the company. The main company’s market is foreign
companies so not only contracts but also other documents such as quotation, catalog,

orders…have to be translated into two languages English and Vietnamese. Each document has
two copies: English and Vietnamese.
Besides, my supervisor assigned me photocopying, sending fax, storing documents, typing
documents and checking L/C (letter of credit)
2.1.2 Description of the real job
Because I am a novice, so the company has not given me main works such as translating
and text editing. Thus, in the first week, my supervisor took me around the company, visited
departments in the company, and introduced me to all staff and production process of
company. Besides, my supervisor guide me several pottery stages to produce a bowl that
made from clay. Furthermore, I saw painted ceramic artists were flowing soul into cups,
bowls and pots. The most interesting thing I have in the first week is that I know about the
tradition of pottery, culture of ancient Chinese. I knew the special ingredients to make pottery,
the way to make the best potteries, the way to classify clays and the best clay to produce best
pottery, it’s located in Tan Khanh town, Binh Duong province. In other days in the first week,
the supervisor handed me some documents about the company, gave me assignment on
receiving phones from customers and noted all opinion of customers.
In the second and third week, my supervisor gave me some exhibits of company including
invoices, orders, quotation, contracts and tax panels by Vietnamese and I took on assignment
translating all this exhibits from Vietnamese to English, it took me 5 days to complete all this
exhibits. My supervisor gave me all exhibits that were samples, which had been translated
before. Primarily, he would like to check my translation ability. Luckily, I completed my
work well so he gave me an official catalog of company for me to translate. This catalog was
very important because it would be sent to the foreign clients to refer. In my internship period,
there was an annual meeting with clients. Thus, I had to help other staffs in company prepare
necessary documents as catalogs, financial reports and plans. Because this was a bilingual
meeting so all documents had to translate into two languages i.e. English and Vietnamese.
Hence, I was given assignment on translating. The last day in the third week, my supervisor
gave me a timetable for next week by handwriting and my task was typing and sending it to
everybody by email. In the next couple of weeks, I feel more confident in working, I am able
to integrate with everybody in company well. Nevertheless, there are some problems in
working process, I had some mistakes in my translation but fortunately it doesn’t make any
problem.
In the fourth and fifth week, my supervisor gave me business contracts sample of
company in English. He taught me how to edit and translate a business contract exactly. Then,
he gave me a Vietnamese contract and I would translate it into English. In the next day, he

gave me two Vietnamese business contracts, three English contracts and I had to translate it. It
took me three days to finish. After that, basing on the business contract sample, I edited a
business contract for my supervisor to check. In the first time, I had over ten mistakes, in
second time I had five and six mistakes and in the last time, I could edit a contract without
mistakes. After translating and editing contract samples, finally my supervisor gave me
official contracts of company and I would translate it for the director, Mr. La Van Hoang and
his client, Mr. Martin Hudson. After that contract, I was given assignment on translating and
editing contracts, documents of the company. This was the great opportunity for not only my
internship but also my future career. Indeed, the theory at school and practice in working are
very different. For instance, the vocabulary in books is much smaller than the vocabulary in
reality. Especially, different careers have different vocabularies such as my company is
Pottery Company so the vocabularies in contract lean to pottery and the vocabulary of the
electric company lean to electric.
In the last week, I still translated and edited contract. In addition, I also translated and
edited other documents for company as catalogs, order and invoice for the company’s clients.
In catalogs, I met some problems in vocabulary such as the name of products “CB3 trứng lở
sọc ngang Oxyt Đen – Trắng”, it’s difficult to translate into English and specifications of
products. Furthermore, my supervisor gave me assignment on writing some commercial
letters such as thank you letters, confirm letters…etc. Luckily, I had studied commercial
letters at school. Thus, I was confident that I was able to write letter very well without guide.
In this week, my company received four orders from a foreign company; they are a big client
of company. They required us to give them all contracts as well as other documents in English.
Consequently, we need to prepare everything perfectly. Because this is important contract for
my company so my supervisor, Mr. La Huy would translate and edit related documents in
person. Fortunately, Mr. Huy allowed me follow and assist him. I studied a lot when I assist
him, he taught me how to convince the clients and what we need to prepare if we meet a big
client. Besides, I assigned to check L/C (Letter of Credit) that was sent by fax or email to my
company ( including letter of Indemnity – LOI) after the bank opened L/C. At that time, I will
have the responsibility for checking L/C about the information such as L/C Number, Notify,
transshipment prohibited, Made out to order of … bank, the typing mistake or the priting
mistake,...with the purchasing contract, B/L (Bill of Lading) . Then, taking note if something
does not match with the terms of the contract and other documents in order to protect the
rights and to be safe for my company.
2.2 Analysis and evaluation

In internship period, the company assigned me many works but my main works are
translating and editing contracts and documents. Time for internships in the company, I
learned a lot of interesting and useful things that previously I hadn’t known as process of
drafting and translation of documents in the company
Editing a contract is very difficult, let alone in translating. The most difficult things in
translating is vocabulary because there are many new words or new structures which I have
not studied at school such as “hereinafter”, “forthwith”, “hereby”, this is ancient words,
it seldom uses in common English but it usually uses in contracts or preposition
phrases as “subject to”, “pursuant to”, “IN WITNESS WHEREOF/THEREOF.
For example: “The Richman Air Travel Company, hereinafter “The Company”.
In this event, the contract shall be terminated forthwith. Translator hereby declares
and warrants the Translation is an original work translated by Translator.
In addition, when I translate into Vietnamese, I meet problems such as name of
products or Vietnam style is different from English style. For instance:
“This Contract is made by and between the Buyer and the Seller, whereby the
Buyer agrees to buy and the Seller agrees to sell the under-mentioned commodity
according to the terms and conditions stipulated below.”
“Bên mua và Bên bán lập ra hợp đồng này, theo đó Bên mua đồng ý mua và
Bên bán đồng ý bán mặt hàng được đề cập sau đây theo các điều khoản được quy định
dưới đây.”
The major words are also obstacles for translating. For example: “The Seller
shall…”
 Someone will translate “the seller will do something” but it is not true. In the
contract “shall” means have to do something. Thus, ‘the seller shall….”, it means “the
seller must do something”
Beside business contracts, I have to editing and translate other documents such
as catalogs, order and especially commercial letters.
Following theory in book, in the beginning of letter, we have to consider who
is the receiver and use words accordingly such as if I know he/she, I will use Mr./Mrs.,
if they are women and not married, I will use MS, if I don’t know them, I will use
Sir./Madam. However, in fact, I just need to know that who are they, Men or women
and I will use Mr. /Ms.

In the end of letters, I have to use “your sincerely” if I know them and “yours
faithfully” if I don’t know them. Nevertheless, in fact, I know or do not know them, I
will use “best regards”
b. Evaluation
During my internship, I feel that I have more deficiencies. For instance, my reflection in
working is low and telephone language is weak. However, I am confident that in the next
week, I will be better.
Editing a contract is complex. In the first time, I had many mistakes because editing is not
a subject at school so I have problem in how to edit a good and correct contract. In addition,
my knowledge about vocabulary in contract is very bad. However, under the instruction and
supervision of the company, I gradually complete my editing ability. Making mistakes
diminishes day by day.
I am lack of major words so translating contract is difficult for me, and I have more
mistakes in this part. Nevertheless, now my translating ability is relatively stable. At the
present, I am able to translate properly eighty percent without helps of technology tool.
I am confident in editing commercial letters and it is the easiest part for internship.
Because I used to study commercial letters at school and vocabulary is very easy for me.
Moreover, the practice is easier than theory.
Generally, my knowledge and ability are able to support me in working. I have mistaken
but it is not too big, I can overcome it.

CHAPTER 3: CONCLUSION
In review, this internship has been an excellent and rewarding experience. I have been
able to meet and network with so many people that I am sure that it will be able to help me
with opportunities in the future. One main thing that I have learned through this internship is
time management skills as well as self-motivation. When I first started, I did not think that I
was going to be able to make myself sit in an office for eight hours a day, five days a
week. From this internship and time management I had to learn how to motivate myself
through being in the office for so many hours. I came up with various proposals and ideas
that the company is still looking into using. Besides, after completing internship program, I
have accumulated many experiences in editing and translating for myself, even so practicing
perseverance, tenacity in working and I know to listen to my colleagues. Generally, my
academic was knowledge sufficient for the internship. Thank to internship, I also have
valuable experiences to expropriate knowledge and skills, creating a platform for future jobs.
Now, I am more confident in translating and editing documents. Especially, translating and
editing business contracts. Actually, my training courses at Thu Dau Mot University are very
good for myself; it prepares me a helpful knowledge such as four skills in English (writing,
reading, listening, speaking), presentation skill, and communication skill. In addition, courses
in Thu Dau Mot University are very helpful; I applied knowledge, which I studied in Thu Dau
Mot for my working in the company well. For instance, commercial letters course of Mr.Vo
Trung Hung helped me a lot. He gives me situations, which are reality. Thus, when I met it in
my work, I did not feel nervous.
Beside advantages, there are also disadvantages for example our major is business English
so translating and editing documents by English is popular in work. Nevertheless, there are
not many course related to translating or editing documents. Hence, I think that we need to
have more courses related to translating and editing such as translating press, editing
contracts, contracts in business…etc. In addition, through the internship about translating and
editing documents in the company, I realize that I have many deficiencies such as major
vocabularies, structures in business contracts. For myself, I think that I need to study more
knowledge that is practical.

It is mutually agreed by both parties to signthis translation contract with
the following terms and conditions:
Article 1: Commodity
1.1 Commodity: Party B supplies and installs for Party A: Shelf products follow the
order No. PO1215-0002 and an enclosed drawing. The total value of the order is
476.950.000 (four hundred seventy-six million, nine hundred fifty thousand VND)
1.2 Quantity: the commodities are new 100% and it does not error
(cracking, breaking, folding, peeling…etc.); the quality ensure in compliance with
standards which are published by Party B.
1.3 Guarantee: commodities are warranted by Party B in 24 months

Article 2 : Payment
Concrete payment period :
+ First period: Party A pays an advance for Party B 50% total of value of
contract is 238.475.000 VND (two hundred thirdty-eight,four hundred seventy-five
thousand VND) right after both sides’ signing the contract.
+ Second period: After installation complete, both sides conduct test volume
of actual installation ( including springing if there, according to agreement about
payment of both sides) Party A pays for Party B 45% total value of contract is
214.627.500 VND and pays the remaining 5% after 12 months of acceptance and
handing over.
Payment deadline: Party A pay for Party B within 5 working days from the
Date of acceptance and Party A receive documents including:
- Request for payment
- Acceptance record and handing volume of commodities.
- VAT invoice
Mode of payment: the payment shall be made by transfering VND
Article 3: Construction time
Completion time: 20 days from the date receive advance of Party A.
After constracting, Party B staffs and supplies materials for installation follow
the contract duration. If the party B construct slowly or over the stipulated time, Party
B will be fined 1% value of remaining work for each day of delay.
In the force majeure, contract duration will be extended and it is equal the duration
of the force majeure that affect both sides’ implementation of obligations under the
contract. The force majeures are specified as follows: the events that are beyond both
sides’ control such as natural disasters, war, storm, arin, fire...etc
Article 4: Responsibilities ofboth sides
Responsibilities of party A
Providing favourable conditions for Party B during the process of regrouping
finished products in workshop. Appointing technical staff checks and takes over
quantity and quality.
After completing installation acceptance by both sides. Party A has responsibility
for making full payment and as scheduled to Party B as provided in Article 2 herein.
If Party A does not complete the payment as the contract that both sides are signed,
Party A will be fined 1% / working day / late payment amount.
- Party A has right to deny acceptance, payment without paying any damages to
Party B in these cases : Party B does not warrant the technical requirements for
installation, materials do not identical to the agreement.

- Party A has right to terminate contract or add other company for installation in
the case, Party B does not meet the required of schedule.
Responsibilities of party B
Providing and installing correct quantity and quality as provided in Article 1 of the
contract
Completing installation as schedule in Article 1 of the contract.
providing vouchers of products related to Party A
Abiding by the rules and regulations about labor safety, security installation area,
clean area installation strictly
Article 5: Guarantee workload performance
Party B shall guarantee volume of installation which are signed by both sides
within 24 months from the date of acceptance and handover installed shelves.
. When there are problems in the process of using. Party B shall be responsible for
repairing freely after 2 days (two working days) since Party A notice requiring repair
(Due to installation errors of Party B).
If Party B delays to guarantee when receiving the repair notice of Party A, Party A has
right to request another company repaire, the repair costs will be pays by Party B.
Article 6:General Provisions
Two Parties hereby commit to fully and seriously execute the terms and conditions
provided in this contract, neither party edit the contract arbitrarily. Either party shall
notify the other of arisen problem for mutual discussion to come to an agreement in
spirit of mutual benefit. the party violating the provisions of this contract shall be
responsible for such violation. In case two parties can reach agreement by the said
way, the problem shall be brought to the Economic Court for settlement. The Court’s
decision shall be final and binding both parties. The legal cost shall be for the losing
party’s account.
This contract is made in 4 originals of equal validity. Each Party shall keep 01
original. The contract becomes effective from the signing date and shall expire upon
two parties’ signing the Minutes of Contract Liquidation.

1.2. Yêu cầu về chất lượng hàng hóa: Hàng hóa mới 100%, không bị lỗi (nứt, gãy
gập, bong xước...); Chất lượng đảm bảo đúng tiêu chuẩn công bố của Bên B.
1.3. Bảo hành: Hàng hóa được Bên B bảo hành về chất lượng 24 tháng ( Theo tiêu
chuẩn trọng lượng trên bản vẽ số: PO1215-0002)

ĐIỀU 2: PHƯƠNG THỨC THANH TOÁN
2.1 Các giai đoạn thanh toán cụ thể như sau:
+ Đợt 1: Bên A tạm ứng cho bên B 50% giá trị hợp đồng số tiền là 238,475,000
VNĐ (Hai trăm ba mươi tám triệu, bốn trăm bảy mươi lăm nghìn đồng) ngay sau khi
ký hợp đồng.
+ Đợt 2: Sau khi lắp đặt xong hai bên tiến hành nghiệm thu khối lượng lắp đặt thực
tế (Kể cả phát sinh nếu có, theo sự thỏa thuận thanh toán của hai bên) bên A thanh
toán cho bên B 45% giá trị hợp đồng số tiền là 214,627,500 VNĐ . 5% còn lại
thanh toán sau 12 tháng khi nghiệm thu và bàn giao.
Thời hạn thanh toán: Bên A thanh toán cho bên B trong vòng 05 ngày làm việc
kể từ ngày nghiệm thu và bên A nhận được các hồ sơ sau:
 Công văn đề nghị thanh toán;
 Biên bản nghiệm thu bàn giao khối lượng;
 Xuất hoá đơn VAT.
Hình thức thanh toán: Chuyển khoản bằng tiền đồng Việt Nam.
ĐIỀU 3: THỜI GIAN THI CÔNG
Thời gian hoàn thành : 20 ngày, kể từ ngày nhận tiền tạm ứng của bên A.
Sau khi ký hợp đồng, bên B bố trí nhân lực, vật tư để lắp đặt, theo thời gian hợp
đồng. Nếu bên B thi công chậm, quá thời gian của hợp đồng thì bên B phải chịu phạt,
theo mức phạt là 1% giá trị phần việc còn lại cho mỗi ngày chậm hoàn thành.
Trong trường hợp xảy ra sự kiện bất khả kháng, thời gian thực hiện hợp đồng sẽ
được kéo dài, bằng thời gian diễn ra sự kiện bất khả kháng mà hai bên ảnh hưởng
không thể thực hiện các nghĩa vụ của mình theo hợp đồng. Trường hợp bất khả kháng
được quy định như sau: Những nguyên nhân nằm ngoài tầm kiểm soát của hai bên như
thiên tại, chiến tranh, mưa bão, lũ lụt, hỏa hoạn .....
ĐIỀU 4 : TRÁCH NHIỆM CỦA CÁC BÊN:
Trách nhiệm bên A
- Hỗ trợ, hợp tác với bên B trong quá trình tập kết thành phẩm vào xưởng. Cử cán
bộ kỹ thuật nghiệm thu số lượng, chất lượng .
- Sau khi việc lắp đặt được 2 bên (Bên A + Bên B) nghiệm thu hoàn tất. Bên A có
trách nhiệm thanh toán cho bên B theo đúng điều 2 của hợp đồng. Nếu bên A không
hoàn thành việc thanh toán như hợp đồng mà hai bên đã ký thì sẽ chịu mức phạt 1%
/ngày làm việc/số tiền chậm thanh toán.
- Bên A có quyền từ chối không nghiệm thu, không thanh toán và không chịu mọi
tổn thất cho bên B trong trường hợp: bên B lắp đặt không đảm bảo yêu cầu kỹ thuật,
vật liệu không đúng mẫu đã thỏa thuận.

- Bên A có quyền chấm dứt hợp đồng hoặc bổ sung đơn vị khác lắp đặt trong trường
hợp bên B không đáp ứng được yêu cầu tiến độ.
Trách nhiệm của bên B:
- Cung cấp và lắp đặt đúng số lượng, quy cách chất lượng theo điều 1 của hợp
đồng.
- Hoàn thành lắp đặt đúng tiến độ theo điều 3 của hợp đồng.
- Cung cấp chứng từ sản phẩm liên quan cho bên A.
- Chấp hành nghiêm chỉnh các nội quy, quy chế, an toàn lao động, an ninh khu vực
lắp đặt, vệ sinh sạch sẽ khu vực lắp đặt
ĐIỀU 5: BẢO HÀNH KHỐI LƯỢNG CÔNG VIỆC THỰC HIỆN
. Bên B có trách nhiệm bảo hành khối lượng lắp đặt đã được 2 bên A ký hợp đồng
trong vòng 24 tháng kể từ ngày ký nghiệm thu và bàn giao kệ đã lắp đặt. Khi có sự cố
trong quá trình sử dụng Bên B phải có trách nhiệm sữa chữa miễn phí sau 2 ngày (hai
ngày làm việc) kể từ khi bên A thông báo yêu cầu sữa chữa (Do lỗi lắp đặt của bên B).
- Nếu bên B chậm trể bảo hành sau khi có thông báo sữa chữa của bên A thì bên A có
quyền yêu cầu đơn vị khác sữa chữa, chi phí sữa chữa sẽ được bên B thanh toán.
ĐIỀU 6: ĐIỀU KHOẢN CHUNG
- Hai bên cam kết thực hiện nghiêm túc các điều khoản đã ghi trong hợp đồng,
không bên nào tự ý sữa nội dung hợp đồng. Mỗi sữa chữa bổ sung phải có sự thống
nhất và đồng ý của hai bên bằng văn bản.
- Trong quá trình thực hiện hợp đồng, nếu có vướng mắc, hai bên cùng bàn bạc giải
quyết, trên tinh thần hợp tác và tôn trọng lẫn nhau. Trong trường hợp không thống
nhất được, vấn đề tranh chấp sẽ được đưa ra Tòa án kinh tế giải quyết, hai bên sẽ thực
hiện theo phán quyết cuối cùng của Tòa án, án phí sẽ do bên sai chịu.
Hợp đồng được lập thành 04 bản, mỗi bên giữ 02 (hai) bản, có giá trị pháp lý như
nhau.

It is mutually agreed by both parties to sign this translation contract with the
following terms and conditions:
Article 1: COMMODITY, QUALITY, QUANTITY AND PRICE.
1.1 Commodity, quantity and price: Party B supply art potteries for party
A with sort, quantity and price are showed via the orders (signed by the person
authorized to sign orders) and it is the inseparable part of this contract.
1.2 Quality: Commodity shall follow the standards and demand when
ordering. Party B only delivery Party A first-class prooducts and follow control sample
which are confirmed between Lam Dung Son Ltd., and Vinh Phat 1 Art Pottery
Establishment.
Article 2: PAYMENT
2.1 Party A pay Party B in monthly follow the delivered products under

liabilities (from 21th of last month to before 20th of this month) and VAT has to be paid
at the latest on 05th of next month. Party B takes responsibility for invoicing to Party
A after delivering products. Party B completely takes responsibility for legal about
invoices that delivered to Party A in front of legal.
2.2. The transfer fee is paid by Party A.
Article 3: DELIVERY PERIOD AND DELIVERY LOCATION.
3.1. Party B deliveries follow the time that require in each order.
3.2. Delivery location: at the warehouse of Party A.
Article 4: RESPONSIBILITIES OF BOTH SIDES
 Responsibility of Party B (the seller):
- To ensure that supplying goods, delivery quality goods and commitment
deadline.
- Responsible for any loss (if there) due to breach of contract, such as late
delivery, quality of goods is not as a control sample as.
- Bearing all fees about shapes, core to produce products for Party A.
 Responsibility of Party A (the buyer)
- The payments on time as agreed.
- Bearing the fees about shapes, cores for sample consignments or orders in
small quantities.
Article 6: GENERAL PROVISIONS:
Two Parties hereby commit to fully and seriously execute the terms and conditions
provided in this contract, neither party edit the contract arbitrarily. Either party shall
notify the other of arisen problem for mutual discussion to come to an agreement in
spirit of mutual benefit. the party violating the provisions of this contract shall be
responsible for such violation. In case two parties can reach agreement by the said
way, the problem shall be brought to the Economic Court for settlement. The Court’s
decision shall be final and binding both parties. The legal cost shall be for the losing
party’s account.
This contract is made in 2 originals of equal validity. Each Party shall keep 01
original. The contract becomes effective from the signing date and shall expire upon
two parties’ signing the Minutes of Contract Liquidation.
