Container Terminal Development on the Continent: Africa PerspectiveWSP
During this workshop, delivered at the African Ports and Rail Evolution 2018 forum, WSP led a discussion on port and the container business in Africa.
The two main topics were:
- Development that should be considered with procurement in mind
- Planning of container terminal to inform decision-making.
Discussion featured PRIME, the WSP Terminal Planning Tool.
WSP uses PRIME for individual marine and rail terminals as well as entire port complexes.
PRIME includes site and model components for container, break/neo-bulk, dry bulk, liquid bulk, and RO/RO facilities. Custom program code transfers all attributes of the plan directly to Microsoft Excel, where a sophisticated model is ready to estimate capacity, equipment needs, equipment usage, operating expense, capital expense, cash flow, and environmental measures. This tight linkage between the plan and the analysis model means the planner can make site changes and instantly see the effect across the full range of impacts.
From PRIME Model:
Client was provided a comprehensive, robust view of:
—What the terminal should look like
—How we get from current state to final state
—How much time it will take to convert
—How much it is going to cost over time
—How construction will disrupt capacity
—How development will affect cash flow
—How much the operating costs will improve
—How capital and operating costs are intertwined
Client was able to:
—Craft a sensible bid
—Make a well-supported case to bankers and financiers
—Put a well prepared feasible solution to market
The Transit System Review will take a complete view of the existing COTA bus system including the number of riders, lines, facilities, buses, road network, operating budget and technology. The intent of the TSR is to improve the effectiveness and continued expansion of COTA’s bus network, downtown operations and technologies to meet the needs of growing and changing land uses in the central Ohio region.

Ppp for solving public transport woes in indiaAmit Jain
The public transport in most of the cities are dependent on buses, auto rikshaws, cycle rikshaws which are not able to meet the demand, prone to accidents, delays & traffic jams. The cities need to create an efficient and affordable public transport services. The private sector may be invited through PPP to develop an integrated public transport system in a city. The private sector may charge an appropriate user fee (fare) from the users and earn revenue from commercial activities like advertising, renting & leasing of commercial spaces etc to cover his capital and recurring cost.

The Census Bureau, in partnership with other federal and state agencies, produces data on employment and where employees live. The Longitudinal Employer-Household Dynamics program combines administrative data to provide a larger, more detailed data set on employment and workers' trips from home to work. The data derives primarily from unemployment insurance records, so it is important to note that not all jobs are counted. Examples of jobs not counted in this data set include military in uniform, self-employed workers, informally employed people, and postal employees.
This data set is compiled annually, although the latest release is for 2011. The information presented by MVRPC in these maps is based on the workplace, not the worker’s home. These maps are of all jobs, not just an employee’s primary job.

Memorandum Of Association Constitution of Company.pptseri bangash
www.seribangash.com
A Memorandum of Association (MOA) is a legal document that outlines the fundamental principles and objectives upon which a company operates. It serves as the company's charter or constitution and defines the scope of its activities. Here's a detailed note on the MOA:
Contents of Memorandum of Association:
Name Clause: This clause states the name of the company, which should end with words like "Limited" or "Ltd." for a public limited company and "Private Limited" or "Pvt. Ltd." for a private limited company.
https://seribangash.com/article-of-association-is-legal-doc-of-company/
Registered Office Clause: It specifies the location where the company's registered office is situated. This office is where all official communications and notices are sent.
Objective Clause: This clause delineates the main objectives for which the company is formed. It's important to define these objectives clearly, as the company cannot undertake activities beyond those mentioned in this clause.
www.seribangash.com
Liability Clause: It outlines the extent of liability of the company's members. In the case of companies limited by shares, the liability of members is limited to the amount unpaid on their shares. For companies limited by guarantee, members' liability is limited to the amount they undertake to contribute if the company is wound up.
https://seribangash.com/promotors-is-person-conceived-formation-company/
Capital Clause: This clause specifies the authorized capital of the company, i.e., the maximum amount of share capital the company is authorized to issue. It also mentions the division of this capital into shares and their respective nominal value.
Association Clause: It simply states that the subscribers wish to form a company and agree to become members of it, in accordance with the terms of the MOA.
Importance of Memorandum of Association:
Legal Requirement: The MOA is a legal requirement for the formation of a company. It must be filed with the Registrar of Companies during the incorporation process.
Constitutional Document: It serves as the company's constitutional document, defining its scope, powers, and limitations.
Protection of Members: It protects the interests of the company's members by clearly defining the objectives and limiting their liability.
External Communication: It provides clarity to external parties, such as investors, creditors, and regulatory authorities, regarding the company's objectives and powers.
https://seribangash.com/difference-public-and-private-company-law/
Binding Authority: The company and its members are bound by the provisions of the MOA. Any action taken beyond its scope may be considered ultra vires (beyond the powers) of the company and therefore void.
Amendment of MOA:
While the MOA lays down the company's fundamental principles, it is not entirely immutable. It can be amended, but only under specific circumstances and in compliance with legal procedures. Amendments typically require shareholder

• ODOT administered the statewide program
• MVRPC scored and ranked applications
• Grantees ordered vehicles from state contract
• Long delay between application and delivery
• Agencies reported directly to ODOT on usage
• Inspections every three years (MVRPC)
• Most vehicles were used for one set of clients
• Many agencies had no back up in case of
mechanical problems
• Vehicles were sometimes underutilized
3. New Under MAP-21New Under MAP-21
• Section 5310 becomes Enhanced Mobility
for Seniors and Individuals with Disabilities
• Merges former New Freedom functions
and funds into 5310

• Performance measures must be
established
5. Eligible 5310 ProjectsEligible 5310 Projects
• Minimum of 55% must go
to “traditional”
5310 projects
• Typically carried out
by non-profits

• How do we choose projects?
• How do we procure vehicles?
• How do we provide the most/best service?
• How do we fund the local match for that
that service?
• How do we do required reporting?
• How do we maintain “continuing control?”
• How do we track and maintain vehicles?
• How do we link to the Coordinated Plan?
10. New TechnologyNew Technology

–make drivers/vehicles more efficient
–improve customer service (automatic reminder
calls, arrival notifications, etc.)
–allow for “real time dispatching”
–greatly simplify reporting
–enable agencies to accept payment/fares
from multiple sources
–track maintenance, ridership, usage
