AES (USA) Announces Equity Units Offering
The AES Corporation announced its intention to offer to sell, subject to market and other conditions, 10,000,000 Equity Units, each with a stated amount
of $100. The Company expects the Units will initially consist of an aggregate of 1,000,000 shares of Series A Cumulative Perpetual Convertible Preferred
Stock (the "Convertible Preferred Stock"), with an aggregate liquidation preference of $1.0 billion, and contracts to purchase, for an aggregate of $1.0
billion, shares of the Company's common stock. The Company expects to grant to the underwriters an option to purchase up to an additional 1,500,000
Units, solely to cover over-allotments. The offering will be made pursuant to an effective registration statement filed with the Securities and Exchange
Commission. The Company expects to pay, quarterly in arrears, contract adjustment payments on the stated amount of each Unit and cumulative dividends,
when, as and if declared by the Company's board of directors, on the $1,000 liquidation preference per share of Convertible Preferred Stock, in each case,
at a rate to be determined in connection with the offering. The Company may pay such contract adjustment payments and dividends in cash, shares of
Common Stock or a combination of cash and shares of Common Stock, at the Company's election, unless the Company has previously irrevocably elected
a contract adjustment payment method or dividend payment method, as the case may be, to apply. The Company may also, in its discretion, defer contract
adjustment payments on the Units. Each share of Convertible Preferred Stock may be converted only after being separated from the Units and, prior to
February 15, 2024, only upon the occurrence of certain fundamental change events if such fundamental change event occurs prior to a successful
remarketing of the Convertible Preferred Stock.

CenterPoint Energy (USA) Announces Its Support of the Proposed Merger
Between Enable Midstream Partners, LP and Energy Transfer LP
CenterPoint Energy, Inc. announced support for the merger between Enable Midstream Partners,
LP and Energy Transfer LP which will result in an exchange of its investment in Enable
Midstream Partners, LP in an at market, unit-for-unit transaction. CenterPoint Energy currently
owns 53.7 percent of the common units representing limited partner interests in Enable, a
publicly traded master limited partnership that owns, operates and develops strategically located
natural gas and crude oil infrastructure assets. At closing, Energy Transfer will acquire 100% of
Enable’s outstanding equity interests, resulting in the exchange of CenterPoint Energy’s Enable
common units at the transaction exchange ratio of 0.8595x Energy Transfer common units for
each Enable common unit. CenterPoint Energy will also receive $5 million in cash in exchange
for its Enable general partner interest and approximately $385 million of Energy Transfer Series
G Fixed-Rate Reset Cumulative Redeemable Perpetual Preferred units in exchange for $363
million of Enable Series A Fixed-to-Floating Non-Cumulative Redeemable Perpetual Preferred
units owned by CenterPoint Energy. CenterPoint Energy is under no obligation to retain the
Energy Transfer common or preferred units issued by Energy Transfer after transaction close.
Upon the consummation of the transaction, the partnership agreements between CenterPoint
Energy and OGE will terminate, and CenterPoint Energy will pay $30 million to OGE.
CenterPoint Energy expects its total transaction related expenses to be $45 million, which is
inclusive of legal, financial advisory, and the $30 million payment.

“I could not be more excited to share this announcement. This transaction aligns with our
new long-term growth strategy and gives us the ability to accelerate our transition to a fully
regulated business. We are now on an accelerated path to reducing our exposure to the
volatility of the midstream industry, while supporting our ability to deliver utility guidance
basis earnings per share growth of 6%-8% and grow annual rate base at 10%. This
transaction will support our previously announced 2021 guidance basis utility EPS range of
$1.23 - $1.25,” said President and CEO.

EDP (Portugal) strengthens growth in solar energy with company acquisition in
Brazil
EDP Brazil signed a contract for the purchase of AES Inova, AES Brazil's
distributed generation investment platform. The total investment is of
R$177 million (about 26 million euros), considering the acquisition value
of R$101,7 million, and CapEx, for projects' development. With this
operation, EDP - which operates in all segments of the electric sector in the
Brazilian market - doubles the size of its project portfolio and takes another
significant step in the growth strategy in the solar energy segment. The
closing of this business adds almost 34 MWp to EDP Smart's portfolio,
through assets located in Rio Grande do Sul, São Paulo and Minas Gerais.
From this number, approximately 16 MWp refer to contracted and
commercial projects. The remaining 18 MWp involve ready-to-build
projects in Minas Gerais, which will enable EDP to develop the project,
engage in a strategic market and exploit operational synergies with other
assets in the region.

contracted projects - which means guarantee of revenue and mitigation
of risks - and projects under construction - in which we stand out for the
excellence of delivery in the predefined time and cost," says EDP's CEO

EDP (Portugal) Comercial consolidates entrance into Italy by purchasing solar
energy company
EDP Comercial, EDP has taken another decisive step into the Italian energy market by purchasing
Enertel, a company that provides decentralized solar energy self-consumption solutions. The
Verona-based company has had a sales volume of €9 million in 2020 and focuses on small and
medium-sized enterprises. With the purchase of Enertel, EDP Comercial gains access to a local
sales force comprising about 40 agents and a team which has sold more than 350 decentralized
solar energy projects, totaling almost 14 MWP. EDP Comercial is thus ramping up its presence in
the Italian market, where it first entered in late 2019 with the first energy supply contracts. By
2020 the company had contracts worth 13 GWh of electricity in Italy and had consolidated its
presence in that market through decentralized solar energy solutions for business customers. EDP
Comercial, which dominates the Portuguese residential market and has been chosen by
Portuguese companies as a partner in almost 800 solar energy projects, has already concluded the
first self-consumption solar farm agreements in Italy. Decentralized solar energy is one of the
main resources listed by European institutions to achieve the goal of reducing the environmental
footprint and CO2 emissions, and over the next decade its installed capacity is expected to triple
on a global scale. EDP, whose ambition is to lead the energy transition process, is ramping up
investment in solar energy production by building and operating its own solar farms, but also by
building partnerships with customers who, by producing their own energy, are also reducing their
energy bill.

"When we decided to internationalize EDP Comercial by expanding our operations to other
European markets, we did not want to be just another energy supplier. We want to be a major
player in the international market's energy transition and have a relevant position in the solar

Fortum (Finland) to sell its district heating business in the Baltics for EUR 800
million
Fortum has signed an agreement to sell its district heating business in the Baltics
to Partners Group, a leading global private markets firm, acting on behalf of its
clients. The total consideration on a debt- and cash-free basis is EUR 800 million.
Fortum expects to record a tax-exempt capital gain of approximately EUR 240
million in the City Solutions segment’s second-quarter 2021 results. The
transaction is subject to customary closing conditions and is expected to be
completed in the second quarter of 2021. The transaction is a continuation of
Fortum’s strategy execution, whereby Fortum continuously reviews its businesses
to optimise its portfolio for value creation. In June 2019, Fortum announced it
considered the strategic options for its district heating businesses in Estonia and
in February 2020, Fortum announced it would review the district heating
businesses in the other Baltic countries. In 2020, Fortum divested the district
heating businesses in Joensuu and Järvenpää, in Finland. The strategic reviews of
the heating and cooling businesses in Poland, its 50% stake in Stockholm Exergi,
and the Consumer Solutions business are currently ongoing.
Executive Commentary
“The divestment is in line with our portfolio optimization and follows our
successful divestments in Finland in 2020. The assets raised large interest
among buyers as the business transformation to lower carbon intensity for
these assets has largely been done,” says Executive Vice President, City
Solutions at Fortum.

Fortum (Finland) makes substantial investments in dam safety in Sweden
Fortum will make a substantial investment in dam safety in Sweden where an
extensive rebuild is planned for the over 100-year-old Forshuvud hydropower
plant. Fortum will invest just over SEK 450 million (approximately EUR 45
million) during 2021-2025. With this investment Fortum wants to guarantee the
plant’s continued life span as a supplier of renewable electricity and balancing
power for more weather-dependent types of power. Forshuvud hydropower plant
on the river Dalälven dates back to the 1920s and, despite refurbishments in 1990
and 1998, the original power station remains as part of the dam. Forshuvud will
now have a completely new power station, as well as upgrades to the extension
dam. Fortum is collaborating with the Swedish construction company NCC in this
project. The power plant has an output of 44 MW and it produces approximately
229 GWh of electricity annually. It is thus an important component in the Swedish
energy system. Fortum installed the Nordic region’s largest battery plant in
connection with Forshuvud. The battery enables faster regulation of the frequency
in the electricity grid with less wear on turbines and generators.

a cornerstone in Swedish CO2-free electricity production,” says Vice
President, Hydropower at Fortum. For us, this investment is very much about
safety – for the staff at the facility, for the surrounding environment, and for

project that will deliver sustainable solutions for dam safety and continued

Stonehenge and UGI (USA) Acquire Pine Run Midstream Natural Gas Gathering
System
Pine Run Gathering LLC announced that it has completed a transaction to acquire
Pine Run Midstream, LLC from an affiliate of PennEnergy Resources, LLC and
minority partners for $205 million. Pine Run Gathering is a joint venture owned by a
subsidiary of Stonehenge Energy Resources III, LLC a portfolio company of Energy
Spectrum Partners VIII LP, and by a subsidiary of UGI Energy Services, LLC which
is a subsidiary of UGI Corporation. PennEnergy, a Pittsburgh-based independent oil
and gas company, is a leading Appalachian based producer and anchor customer on
the Pine Run system. Stonehenge III is the third partnership between Energy
Spectrum Capital and Stonehenge Energy Resources (“Stonehenge”) management.
The transaction will be financed with equity capital from both Stonehenge III (51%)
and UGIES (49%) as well as a senior secured loan credit facility. Pine Run
Midstream operates 43-miles of dry gas gathering pipeline and compression assets
located in Butler and Armstrong counties in western Pennsylvania. The Pine Run
Midstream system has been in operation since 2014 and will be operated by
Stonehenge. Stonehenge and UGI expect the investment to be immediately accretive
to earnings.

in western Pennsylvania and views the strategic partnership with UGIES as a
beneficial step to providing area producers with cost-effective, customer-focused
services,” said CEO of Stonehenge. “The Pine Run Midstream system is a

Six major utilities announced a plan to ensure that electric vehicle (EV) drivers have access to a seamless network of charging stations connecting major
highway systems from the Atlantic Coast, through the Midwest and South, and into the Gulf and Central Plains regions. The Electric Highway Coalition
– made up of American Electric Power, Dominion Energy, Duke Energy, Entergy Corporation, Southern Co., and the Tennessee Valley Authority –
announced a plan to enable EV drivers seamless travel across major regions of the country through a network of DC fast chargers for EVs. The
companies are each taking steps to provide EV charging solutions within their service territories. This represents an unprecedented effort to offer
convenient EV charging options across different company territories and allow EV travel without interruption. The Edison Electric Institute estimates
18 million EVs will be on U.S. roads by 2030. While many drivers recognize the benefits of driving an EV, such as the ease of low-cost home charging,
some are concerned with the availability of charging stations during long road trips. With efforts like the Electric Highway Coalition, electric companies
are demonstrating to customers that EVs are a smart choice for driving around town, as well as traveling long distances. This effort will provide drivers
with effective, efficient, and convenient charging options that enable long-distance EV travel. Sites along major highway routes with easy highway
access and amenities for travelers are being considered as coalition members work to determine final charging station locations. Charging stations will
provide DC fast chargers that are capable of getting drivers back on the road in approximately 20-30 minutes.

Solution Description
Consumers Energy announced an agreement to purchase 140 megawatts of clean, renewable energy – enough to power
about 70,000 residential customers -- from the Calhoun Solar Center. Invenergy, a leading Midwest-based developer
and operator of sustainable energy solutions, is developing and building the project. The agreement makes Calhoun
Solar Center one of the largest single projects providing solar energy to Consumers Energy customers. The plan
requires approval by the Michigan Public Service Commission. Calhoun Solar Center will have a total capacity of 200
megawatts and is expected to be completed in 2022. Under the proposed agreement, Consumers Energy would
purchase 140 megawatts from the solar facility for 25 years. Solar energy is a major component of Consumers Energy's
Clean Energy Plan, a blueprint to eliminate coal and dramatically boost renewable energy to help achieve net zero
carbon emissions by 2040. The plan calls for adding approximately 1,100 MW of solar through 2024.

Consumers Energy (USA) Announces Crescent Wind Now Producing

Consumers Energy announced it began ownership of 166-megawatt Crescent Wind which began producing clean, renewable energy for residents
and businesses in Michigan. Crescent Wind in Hillsdale County features 60 turbines with a capacity to power about 64,000 residents. Invenergy
developed and built the wind farm. Consumers Energy took ownership and operations of the facility upon its completion. A team of 11 highly
trained full-time employees will operate the electric generation facility from a newly established service center in Jonesville, Michigan, scheduled
to be completed this month. Consumers Energy's newest wind project represents a $246 million investment in Michigan's clean energy
infrastructure. It joins Lake Winds Energy Park, Cross Winds Energy Park, and Gratiot Farms Wind Project, which went online in late 2020, as
wind energy projects Consumers Energy owns and operates. Combined, the four Consumers Energy wind energy farms can produce enough clean,
renewable energy to power about 249,600 residents. Crescent Wind plays a key role in fulfilling the energy provider's Clean Energy Plan, which
calls for eliminating coal as an energy source, achieving net-zero carbon emissions and meeting 90% of customers' energy needs through clean
sources like renewable energy, energy waste reduction and energy storage. Consumers Energy, Michigan's largest energy provider, is the principal
subsidiary of CMS Energy, providing natural gas and/or electricity to 6.7 million of the state's 10 million residents in all 68 Lower Peninsula
counties.

County solar project

Solution Description
Expanding its significant clean-energy portfolio, Duke Energy has begun construction on the 50-MW Broad River
Solar power plant in Cleveland County, N.C. The project will be owned and operated by Duke Energy Renewables, a
commercial subsidiary of Duke Energy. The project was selected as part of the competitive bidding process established
by 2017’s landmark solar legislation in North Carolina. The power plant will contain more than 170,000 solar panels
across approximately 500 acres near Boiling Springs. The facility will power the equivalent of 12,500 homes. It is
expected to reach commercial operation by the end of 2021. Under North Carolina’s Competitive Procurement for
Renewable Energy, proposed projects must be built where there is a need for energy capacity on the Duke Energy
system in North Carolina or South Carolina. The bids can come from any company, including Duke Energy, and can
be in the form of power purchase agreements (PPA), utility self-developed facilities or utility asset acquisitions.

FERC for proposed advanced bilateral market platform

Southeast Energy Exchange Market (SEEM) members filed with the Federal Energy Regulatory Commission (FERC) for approval of an
automated, intra-hour energy exchange that aims to lower costs to customers and optimize renewable energy resources. The FERC filing and
approval process will provide an opportunity for the members of SEEM to demonstrate the benefits of the proposed market design and for
interested parties to provide feedback and comments for FERC to consider. The new SEEM platform will facilitate sub-hourly, bilateral trading,
allowing participants to buy and sell power close to the time the energy is consumed, utilizing available unreserved transmission. The platform is
an extension of the existing bilateral market. The result will be cost savings and improved integration of all energy resources, including
renewables, which are expanding rapidly in the Southeast. This will lead to a cleaner, greener, more robust electricity system. Founding members
of SEEM are expected to include Associated Electric Cooperative, Dalton Utilities, Dominion Energy South Carolina, Duke Energy Carolinas,
Duke Energy Progress, Georgia System Operations Corporation, Georgia Transmission Corporation, LG&E and KU Energy, MEAG Power,
NCEMC, Oglethorpe Power Corp., PowerSouth, Santee Cooper, Southern Company and TVA. Participation in SEEM is open to other entities that
meet the appropriate requirements. Some utilities will make decisions about whether to commit following FERC approval.

EDP Comercial and Maia City Hall have just created the largest public charging hub in a municipality connected to MOBI.E. This hub will be a
decisive contribution to the charging options available to EV customers in the municipality and help build a cleaner and more sustainable city. The
hub is located next to Fórum da Maia, in one of the city's most central areas. EV users now have nine charging points available. One of them is a
fast charging point, which allows users to recharge 100 km of range in just half an hour. This charging hub is part of the regional authority's energy
transition strategy, which is anchored in the project 'BaZe|Maia Living Lab - Net Zero Carbon City.' To EDP Comercial, this is yet another
important step to accelerate electric mobility in Portugal and achieve the goal of leading the energy transition process, with the company expecting
to exceed 1,000 charging points by the end of the year. EDP has been spearheading the development of charging solutions in public spaces and was
the operator with the highest charging infrastructure growth in 2020. EDP is also the company with the largest number of EV customers and has
already issued more than 25,000 EDP Electric Mobility cards. To date, 125,000 charges have been made at the EDP Comercial stations included
in the MOBI.E network, preventing the emission of over 1,100 metric tons of CO2. The adoption of electric mobility through the various types of
vehicles available to private and business consumers is one of the keys to meeting the ambitious European and domestic decarbonization targets.

The EDP Group has strengthened its commitment to decarbonization by launching two units that will exploit the potential of green
hydrogen and energy storage systems. The H2 Business Unit (H2BU) will be the Group's new arm for the development of green hydrogen
projects, while the dedicated storage unit, built in EDPR NA, will aim to achieve a storage capacity of 1 GW within five years. The green
hydrogen market represents one of the growth axes for EDP, the result of not only the decarbonization objectives, but also of the cost
reduction that has been achieved and is expected to achieve competitiveness over the course of this decade. As a leader in the energy
transition, EDP efficiently and dynamically supports the decarbonization of all sectors of the economy. With the creation of the new

Tennessee Valley Authority – announced a plan to enable electric vehicle drivers seamless travel across major regions of the country through a network of
direct current fast chargers for electric vehicles. The companies are each taking steps to provide EV charging solutions within their service territories. This
represents an unprecedented effort to offer EV drivers convenient charging options across different company service territories and allow EV travel without
interruption. The Edison Electric Institute estimates 18 million EVs will be on U.S. roads by 2030. While many drivers recognize the benefits of driving an
EV, such as the ease of low-cost home charging, some are concerned with the availability of charging stations during long road trips. With efforts like the
Electric Highway Coalition, electric companies are demonstrating to customers that EVs are a smart choice for driving around town as well as traveling long
distances. This effort will provide drivers with effective, efficient and convenient charging options that enable long distance electric travel. Sites along major
highway routes with easy highway access and amenities for travelers are being considered as coalition members work to determine final charging station

electricity to the grid, keeping families warm and protected from arctic temperatures and essential businesses and services operating across the region. Exelon
Generation’s Illinois nuclear fleet has proven its reliability year after year during Midwest deep freezes. The six Illinois nuclear plants recorded a near-perfect
reliability rate last winter, running nearly 99 percent of their planned operating time, one of many indicators that industry experts use to rate efficiency and
performance. Together, the plants generate more than half of Illinois’ electricity and nearly 90 percent of its carbon-free energy. Winter resiliency and
reliability requires year-long planning and maintenance. Exelon Generation workers spend months ensuring that backup generators and supplemental
equipment is ready for inclement weather. Last fall, operators and maintenance personnel inspected freeze protection systems, tested electrical equipment,
and properly aligned plant systems to prepare all Exelon Generation facilities for sub-zero temperatures, icy conditions, and heavy snowfall. These efforts
are in addition to the many equipment upgrades and winter readiness maintenance activities performed during refueling outages.

Fortum and the Russian Direct Investment Fund (RDIF) will build a 116 MW solar power plant in Kalmykia in
Southern Russia. When commissioned, it will be the largest solar power plant in Russia. The project will be
implemented by the recently established joint venture between Fortum and RDIF, which already has 350 MW of wind
power plants in the Ulyanovsk and Rostov regions. The solar power plant is estimated to be commissioned in its full
scale in the second half of 2022. The first construction phase of 78 MW is expected to be commissioned in the fourth
quarter of 2021 and the remaining 38 MW in 2022. In line with its strategy Fortum aims to grow a sizable portfolio of
onshore wind and solar based power generation. Fortum is one of the largest players on the renewable energy market
in Russia with a portfolio of 2 GW of wind and solar power parks and development projects, together with its joint
ventures. 670 MW of this capacity is operational.

Naturgy has signed an agreement with Gestamp to supply it with renewable energy in Spain. The agreement will allow that from 2022
all the production and R&D centers that the automotive components group has in Spain will operate with 100% renewable energy.
The company thus becomes the first in the automotive sector in Spain to operate with electricity generated in a totally renewable way.
Specifically, Gestamp will receive a supply of energy equivalent to 203 GWh per year from renewable energy, solar and wind, in an
agreement that includes the PPA (energy purchase agreement) modality. Thanks to this agreement, which will last for 10 years and
start in January 2022, the multinational group of automotive components will reduce its emissions into the atmosphere by 50,000 tons
of CO2 per year. This represents a 13% reduction in the total carbon footprint due to the group's electricity use and an amount
equivalent to the CO2 absorbed by 350,000 trees. The company, which is present in 24 countries, has its largest volume of centers in
Spain. Specifically, of the more than 100 plants that Gestamp has in the world, a total of 21 are located in Spain. In addition, the group
has two R&D centers. The electricity consumed in all these Spanish centers accounts for 18% of Gestamp's consumption worldwide.

launch a green hydrogen project in the Highlands. The result will allow the whisky and spirit production industry in Scotland to develop this technology and fight
climate change. The North of Scotland Hydrogen Scheme will create a state-of-the-art hub in the Cromarty Firth to produce, store and distribute renewable
hydrogen to the region and other parts of the UK and Europe. One of the leading projects - whose feasibility study will be released in May - will supply Scottish
distilleries with renewable hydrogen. The scheme will be funded by ScottishPower and drinks giants Glenmorangie, Whyte & Mackay and Diageo in collaboration
with energy company Pale Blue Dot. They will produce electricity with electrolysers powered by 100 % clean energy from existing and future offshore and onshore
wind farms along the Cromarty Firth coast. This supply of green hydrogen will enable Glenmorangie, Whyte & Mackay and Diageo to decarbonise heat production
in their distilleries and malting plants close to the Cromarty Firth, replacing fossil fuels with hydrogen to produce the steam required for distilling. The scheme will
boost climate neutrality and decarbonisation in Scotland, which has set its sights on becoming the industry's world leader when it comes to green hydrogen. The
project furthers these companies' strategies and actions by allowing them to work together on a competitive technology to supply green hydrogen to the distillery
industry and to public services such as ports, while decarbonising their operations. There are massive opportunities in the Highlands for decarbonising industry,
transport and the heating and refrigeration sectors and to export green energy to other parts of the UK and continental Europe.

through its EV Fast Charge program are now open at the 7-Eleven® store in West Sacramento at 4010 Lake Road.
Drivers can charge their vehicles at the four new advanced 125kW-capable EV fast chargers. This 7-Eleven store
operates 24 hours a day and supports the fueling needs of both EVs and conventional cars, both options owned and
operated by 7-Eleven. PG&E is also working with 7-Eleven to install fast chargers at additional locations. PG&E's EV
Fast Charge program complements state and privately funded fast charge deployments to help improve long-distance
travel for EV drivers. Public fast charging is critical to increasing EV adoption as it builds driver confidence in their
ability to charge away from home and provides access to drivers who do not have residential charging. Fast chargers
can potentially add hundreds of miles of range in as little as 30 minutes, compared to Level 2 chargers that fuel a car
in several hours.

LNG truck drivers can now fill up their vehicles at filling stations operated by LIQVIS and pay cashless with the BayWa fuel card. BayWa is a
full-range provider of heat and mobility solutions for the energy sector. BayWa Mobility Solutions GmbH, a fully owned subsidiary of BayWa AG,
offers fleets and haulers a broad range of mobility services from electromobility through to LNG, including fuel cards and charging cards. Thanks
to the company's partnership with LIQVIS, BayWa customers can currently make cashless payments at twelve LNG stations — and this network
is set to be significantly expanded over the course of 2021. LNG trucks release very little particulate matter and nitrogen oxide, which means they
easily meet the high environmental requirements of the Euro VI emission standards. Moreover, heavy-duty LNG trucks weighing over 18 tons with
an annual mileage of at least 100,000 kilometers have significantly lower fuel costs than diesel vehicles. A further advantage of vehicles powered
by LNG is that they are exempt from motorway tolls in Germany. Uniper subsidiary LIQVIS has been operating LNG filling stations since 2017.
These are located at strategic transport hubs that serve a particularly high volume of trucks, such as Kassel-Lohfelden and Berlin-Grünheide. To
meet the increasing demand for this alternative fuel, systematic expansion of the German LNG filling station infrastructure is planned for the
coming years. Additional LIQVIS stations are therefore set to be commissioned in the regions of Hanover (Langenhagen), Hamburg, Magdeburg
and Bönen, among others.

an extension of the existing bilateral market. The result will be cost savings and improved integration of all energy resources, including
renewables, which are expanding rapidly in the Southeast. This will lead to a cleaner, greener, more robust electricity system. Founding members
of SEEM are expected to include Associated Electric Cooperative, Dalton Utilities, Dominion Energy South Carolina, Duke Energy Carolinas,

Terna has begun the participatory design of the Adriatic Link, the new undersea power line which will connect Abruzzo and Le Marche, for which the Italian
electricity grid operator will invest over € 1 billion, involving approximately 120 companies directly and through allied industries. The new interconnection,
completely “invisible” and approximately 285 km long overall, will consist of an undersea cable, two buried overland cables - therefore, with no
environmental impact - and two converter substations located nearby the existing Cepagatti (Abruzzo) and Fano (Le Marche) electrical substations. This
project, on the cutting edge of technology and environmental sustainability, is strategic for the Italian electricity system. In fact, the infrastructure will
facilitate the development and integration of renewable sources, helping to decarbonise the Italian electricity system, in line with the targets outlined by the
National Integrated Energy and Climate Plan for Italy. Additionally, it will help improve the electricity exchange capacity between the various regions of the
country, especially between the Centre-South and the Centre-North, thanks to the increase in power of approximately 1,000 MW, improving the transmission
grid’s efficiency, reliability and resilience. The Adriatic Link, which ARERA recently judged favourably in its opinion sent to the Italian Ministry of
Economic Development, is among the main grid development projects Terna has planned, which - with nearly € 9 billion in investments called for in its
2021-2025 Industrial Plan - further reinforces its role as an energy transition manager and facilitator, as well as Italy’s role as an electricity hub for Europe
and the entire Mediterranean area.

Alliant Energy’s natural gas-fired West Riverside Energy Center near Beloit has received a 2021 Engineering Excellence Best of State award from
the American Council of Engineering Companies (ACEC) of Wisconsin. The facility competed in the energy category and won the award based
on the skill and creativity shown in engineering. West Riverside Energy Center is Wisconsin’s newest and most efficient natural gas generating
station. Put into operation in May 2020, it features the latest technology including the use of a plume abatement system and state-of-the-art water
treatment process equipment. The combined-cycle natural gas facility can rapidly adjust its output rate up or down based on regional wind and
solar resources, perfectly complementing Alliant Energy’s growing investment in cleaner energy. The West Riverside Energy Center previously
received a Recycling Excellence Award from the Wisconsin Department of Natural Resources. The award was for developing a waste management
and recycling program during construction. The recycling program resulted in over 90% of the project’s construction waste being diverted from
the landfill. The generating station was also recognized in May 2020 with an Envision™ Platinum award. The Envision program rates the
sustainability of infrastructure projects. It looks at a full range of environmental, social and economic impacts. The Platinum award is the highest
Envision recognition. The West Riverside Energy Center is the first Envision Platinum verified project in the state of Wisconsin.

The world’s most authoritative academic journal in the field of global engineering construction, the US’ Engineering News-Record (ENR for short) announced the
world’s best and outstanding engineering projects in 2020, and the new Shougang Bridge won an award of merit for “the 2020 ENR Global Bridge / Tunnel Excellence
Award”. The new Shougang Bridge has the advantages of ingenious integration of both its bridge type and nature, with a novel structural system and unique curved
surface shape making it difficult to design and implement. Many indexes of the bridge are at the leading level in China and even in the world. The new Shougang Bridge
is a two-way, eight-lane urban trunk road. The widest part of the bridge is 54.9 meters, with five spans in total, and the width of the main span is 280 meters. It is the
largest span bridge in Beijing and the widest steel bridge in China at present. The total steel consumption of the main bridge, which is welded using all steel structures,
reaches 45,000 tons. All the steel plates that have been used are supplied by Shougang, which is more than the total steel consumption of The Bird’s Nest. This is another
example where Shougang’s high performance bridge steel has been supplied as a whole in the construction of domestic key municipal works. In the construction of the
bridge, the Shougang Construction Investment Company and other units actively connected with the bridge design and construction units and others, accelerated the
construction of green space around the bridge and the landscape on both sides of the road, and successively completed the construction of the temporary occupied ground
wire of the Fengsha Line reconstruction project, involving buildings and structures, equipment and facilities, pipeline relocation, tree transplantation and other
Shougang-related work. The Steel Structure Branch of the Shougang Construction Group also completed the fabrication, installation and welding of the main body of
the ladder bridge on the east and west sides of the new Shougang Bridge, which is the only way for pedestrians to cross the bridge, and also the pedestrian suspension

EDP Renováveis (EDPR) has secured, through its subsidiary EDP Renewables North America LLC, a contract for the
sale of wind power produced by a park with 204MW of total installed capacity. The Power Purchase Agreement (PPA)
will last 15 years. The project will be built in the U.S. state of Indiana and is expected to be operational in 2023. With
this new agreement, EDPR has now secured 2.3GW of additional capacity for the United States, which will begin to
be operational later this year. The company currently has 5.8 GW of installed capacity in that country, in wind power
and solar, having 6.3GW in North America, including EDPR's operation in Canada and Mexico. EDPR recently

DP Renováveis (EDPR) has just secured a Contract-for-Difference for the sale of solar energy in Hungary, which will be produced in
a photovoltaic plant with 50MW. The project is expected to enter commercial operation in 2022 and will contribute to the growth of
the rapidly developing renewable energies sector in Hungary. Hungary expects to increase its solar photovoltaic capacity to 6.5 GW
by 2030, mostly through an auction-based regulatory framework. With this contract, EDP group enters the Hungarian market and
increases its presence worldwide, assuming its commitment to 20 countries already. Hungary is the 15th market with the presence of
EDP Renováveis, which permanently evaluates opportunities for growth worldwide, based on profitable projects in countries with a
low risk profile and regulatory stability. Last week, EDP Renováveis was chosen by the Spanish authorities to develop in Spain six
new wind and solar farms, including hybrid parks, with a total of 143MW. The company also won a public auction in Italy for a new

a total volume of 9 million euros. This contract includes the supply of gas throughout this year and includes an extension for two
additional years, by mutual agreement between the parties. The company chaired by Francisco Reynés has managed to win back this
contract, which reaches an annual volume of 37 GWh in the 52 supply points of its different facilities spread throughout the peninsular
territory. And it is that Naturgy has managed to renew this agreement after two years of supply, which supports the good work of the
company with its client portfolio. This award joins the tenders obtained by Naturgy in the last two years, among which the contracts with
Correos, Telefónica, the State Tax Administration Agency, the National Currency and Stamp Factory, the so-called Pandemic Hospital,

(ECI) process, for the development of the proposed Waasigan Transmission Line project. An ECI model enables two qualified engineering, procurement and
construction (EPC) contractors to be engaged in the early stages of project development, allowing for additional planning, collaboration and innovation on a
project. Hydro One completed a comprehensive market evaluation to identify and engage the most experienced EPC contractors in the electrical transmission
industry. This evaluation focused on ensuring the selected contractors are experienced leaders in Indigenous inclusion, procurement and employment, and
demonstrate the highest health, safety and environmental qualifications. Following the completion of the ECI process, Hydro One will select one contractor
for project construction. Northwestern Ontario plays a major role in the success of Canada’s mining and forestry industries, and the proposed Waasigan
Transmission Line between Thunder Bay, Atikokan and Dryden will bring additional power to the region. This increase in capacity will support and attract

new high-voltage underground electrical cables. The 17 firms awarded the contracts, in the form of Temporary Joint Ventures, are all Italian and are part of the
Terna qualification system, highly specialised for the complexity of the work. The activities concern infrastructures for 150 kV underground power lines to be laid
all over the country in the next 3 years. The tender procedure was carried out in accordance with current legislation on contracts for the special sectors and assigned
overall to the 17 winning firms (6 from the North Italy, 7 from the Centre, 4 from the South) the 5 batches into which it was divided: batches 1 and 3 in the
Centre-South area for an amount respectively of € 97.5 million and € 52.5 million; batch 2 in the Centre-South and North-West areas for an amount of € 67.5
million; batch 4 in the North-East and North-West areas for an amount of € 43.5 million; batch 5 in the North-East area for an amount of € 39 million. The tender
procedure is part of the performance of the activities provided for in Terna’s 2021-2025 Industrial Plan and aims to enable, also during this covid-19 crisis, an
efficient and secure resumption of the production of small and medium-sized companies in the sector, in support of the economic recovery of the entire industrial
supply chain involved and therefore of the country. The contracts awarded will be used to carry out some of the main development and modernisation projects that

UGI Utilities, Inc. a subsidiary of UGI Corporation announced that the company has signed an agreement with Archaea Energy, LLC of Canonsburg, PA to
accept delivery of renewable natural gas from the Keystone Landfill located in Dunmore, PA into its distribution system. This is the first RNG supply
interconnect agreement UGI Utilities has signed to-date. The RNG supply will be injected into UGI Utilities’ high-pressure natural gas pipeline serving its
distribution system located in Lackawanna County, PA. The landfill gas, a byproduct of naturally decomposing materials in the landfill, will be processed
and conditioned to meet UGI Utilities’ gas quality requirements. The project is scheduled to become operational in September 2021. When fully operational,
the UGI Utilities system will be designed to take up to 16,000 mcf (thousand cubic feet) per day of RNG supply at a rate of up to 780 mcf per hour, making
this the largest RNG supply point in the United States to-date. This supply point will be available for the company, as well as for natural gas suppliers
operating on its system, for the purpose of supplying UGI Utilities customers. Moving this RNG supply into the UGI Utilities distribution system provides
benefits to the company and to the many communities it serves. In addition to securing a local source of gas for UGI Utilities customers, accepting the
delivery of RNG for customer use reduces the release of naturally occurring methane from the Keystone Landfill into the atmosphere. From an environmental
perspective, accepting delivery of the RNG will reduce CO2 emissions that would otherwise occur by up to approximately 314,000 metric tons per year. This
CO2 reduction equates to removing the emissions from more than 67,000 passenger vehicles over the course of a calendar year.

Efforts to provide broadband internet service in Louisa County took a leap forward when officials announced a recently proposed partnership with the energy
utilities serving the community. Bob Babyok, Chairman of the Louisa County Board of Supervisors, announced that Louisa County is finalizing a partnership with
Rappahannock Electric Cooperative (REC), Firefly Fiber BroadbandSM, a wholly-owned subsidiary of Central Virginia Electric Cooperative, and Dominion
Energy Virginia to ensure high-speed internet access is available to all of the homes and businesses in the County. The partnership includes a significant capital
investment from all parties to ensure its success. In September 2020, the Louisa County Board of Supervisors unanimously earmarked $15 million to incentivize
the deployment of end-user fiber on a countywide basis. The funds will be used to prepare for construction and offset other project-related costs. Serving as the
cornerstone of the proposed partnership, REC will own the fiber network constructed in the majority of the county, and is providing use of its infrastructure,
including poles, to make the Louisa County broadband initiative a reality. Initial phases of the project are slated for early 2021. Firefly will be the internet service
provider for the partnership and will ensure the availability of fiber broadband on a county-wide basis. Firefly will oversee construction of the REC-owned fiber
in the REC service territory and then be responsible for network operation and fiber maintenance. As it moves forward with efforts to modernize Virginia’s energy
grid, Dominion Energy is working to provide “middle-mile” fiber optic cable infrastructure that can also be used to bridge the digital gap and reduce broadband
deployment costs in Louisa County. Firefly will lease the “middle-mile” fiber installed by Dominion Energy in the company’s electric service area in Louisa

Six major utilities announced a plan to ensure electric vehicle (EV) drivers have access to a seamless network of charging stations connecting major
highways in the South, Midwest, Gulf and Central Plains regions. The Electric Highway Coalition – made up of Duke Energy, American Electric Power,
Dominion Energy, Entergy Corporation, Southern Co., and the Tennessee Valley Authority – will enable EV drivers seamless travel across a broad
portion of the country through a network of DC fast chargers. The companies are each taking steps to provide EV fast charging options within their
service territories to facilitate interstate travel. This partnership represents an unprecedented effort to offer EV drivers convenient charging across
different company boundaries and allow travel without interruptions. The Edison Electric Institute estimates 18 million EVs will be on U.S. roads by
2030. While many drivers recognize the benefits of driving an EV, such as the ease of low-cost home charging, some are concerned with the availability
of charging stations during long road trips. Coordinated efforts like this are demonstrating that EVs are a smart choice for driving around town as well
as traveling long distances. For Duke Energy, specific fast charging station locations will be determined through the course of existing and planned fast

in Portugal. EDP is one of the leaders in the distribution of solar energy in the Iberian Peninsula, with more than 800 projects for
photo-voltaic solar parks in companies in Portugal and Spain. In 2020, the number of solar projects grew by about 90%, compared to
2019, with EDP's business customers producing enough energy to supply 60,000 households in a year. In partnership with Burger King,
the energy plan will be developed throughout this year in the free standing dining spaces (whose buildings are independent) already
existing in Spain. In addition to these, all newly constructed spaces in the same model will also incorporate self-consumption of solar
energy. In total, the plan foresees the installation of more than 12,000 photo-voltaic panels, which will occupy an area of 25,000 square
meters, the equivalent of almost four football fields. Restaurant chain self-consumption facilities will reach a total installed power of more
than five megawatts-peak, the energy generated will be equivalent to the average electricity consumption of more than 2,000 homes.

Enel X, the Enel Group’s advanced energy solutions business line and Sterling and Wilson Pvt Ltd (SWPL), a Shapoorji Pallonji group company and India’s
leading engineering, procurement and construction (EPC) company, have entered into a joint venture (JV) aimed at accelerating the electric vehicle (EV) uptake
in the Indian subcontinent. Starting from April 2021, the JV will leverage Enel X’s technological know-how and e-Mobility experience as well as the engineering,
operations and deployment expertise of SWPL to promote the adoption of EV charging infrastructure in the Indian subcontinent. The JV will target private and
public EV charging infrastructure and will benefit from the support of its shareholders. The new business will market and distribute solutions that already have
worldwide recognition, including JuiceBox and JuicePump, which have been licensed by Enel X, adjusted to the needs of India. In addition, the JV will contribute
to the spread of reliable and connected charging infrastructures and technology, with Enel X’s charging infrastructures’ back-end platform, tapping into the growth
potential of the Indian market, as well as the software as a service (SaaS) business model. The partnership is in line with the Enel Group’s commitment to boosting
the development of electric mobility, which is a key element in the energy transition of smart cities. Enel X is driving the creation of public and private charging
infrastructure and innovative services, to overcome usage barriers and to create new economic, social, and environmental value for all: shareholders, consumers,
businesses, and public administrations. India has joined the global electrification trend and, based on the 2020 BNEF forecast, is expected to go electric for 33%
of its internal four wheels vehicles market by 2040. To meet this challenging goal, the Indian Government, since 2019, has been designing supporting policies like
the “Faster Adoption and Manufacturing of Electric Vehicles” (FAME II phase) scheme and recently updating the Charging Infrastructure for EV Guidelines.

REC Limited, Navratna company under the Ministry of Power, along with Power Finance Corporation Limited has signed Memorandum of
Understanding (MoU) on 9th March 2021 with Kholongchhu Hydro Energy Ltd. (KHEL) for financing of 600 MW Hydro Electric Project at
TrashiYangtse, Bhutan. KHEL is a JV company of SJVN (India) and Druk Green Power corporation Limited (Bhutan) set up with 50:50
shareholding pattern for the development of 600 MW Kholongchhu Hydro Electric Project in Eastern Bhutan. The MoU was signed in the presence
of CMD - REC, CMD - PFC, CMD - and Chairman KHEL. From REC Limited, Director (Technical), Director (Finance) and Executive Director
were also present along with other senior officers who joined virtually. The project is being executed as per an inter-governmental (IG) agreement
signed between the Govt. of India and the Royal Govt. of Bhutan (RGoB) in April 2014 to undertake implementation of four hydroelectric projects
in Bhutan through a Joint Venture (JV) model to be formed by PSUs of the two governments. Kholongchhu Hydro Energy Limited (KHEL) is, the
first Joint Venture Company being undertaken between the two governments for implementation of 4x150 MW Kholongchhu Hydro Electric
Project. KHEL has signed a Concession Agreement with The Royal Govt. of Bhutan dated 29.06.2020 for a concession period of 30 years. The
project is proposed to be funded in debt-equity ratio of 70:30 and as per the MoU, REC would be extending Rupee Term Loan of Rs. 2029 Crore.
The balance debt shall be extended by PFC (Rs. 2029 Crore), NPPF, Bhutan (Rs. 200 Crore) and Bank of Bhutan (Rs. 200 Crore).

The Company expects the Units will initially consist of an aggregate of 1,000,000 shares of Series A Cumulative Perpetual Convertible Preferred Stock (the "Convertible Preferred Stock"), with an aggregate liquidation preference of $1.0 billion, and contracts to purchase, for an aggregate of $1.0 billion, shares of the Company's common stock. The Company expects to grant to the underwriters an option to purchase up to an additional 1,500,000 Units, solely to cover over-allotments. The offering will be made pursuant to an effective registration statement filed with the Securities and Exchange Commission. The Company expects to pay, quarterly in arrears, contract adjustment payments on the stated amount of each Unit and cumulative dividends, when, as and if declared by the Company's board of directors, on the $1,000 liquidation preference per share of Convertible Preferred Stock, in each case, at a rate to be determined in connection with the offering. CenterPoint Energy currently owns 53.7 percent of the common units representing limited partner interests in Enable, a publicly traded master limited partnership that owns, operates and develops strategically located natural gas and crude oil infrastructure assets. At closing, Energy Transfer will acquire 100% of Enable’s outstanding equity interests, resulting in the exchange of CenterPoint Energy’s Enable common units at the transaction exchange ratio of 0.8595x Energy Transfer common units for each Enable common unit. CenterPoint Energy will also receive $5 million in cash in exchange for its Enable general partner interest and approximately $385 million of Energy Transfer Series G Fixed-Rate Reset Cumulative Redeemable Perpetual Preferred units in exchange for $363 million of Enable Series A Fixed-to-Floating Non-Cumulative Redeemable Perpetual Preferred units owned by CenterPoint Energy. The total investment is of R$177 million (about 26 million euros), considering the acquisition value of R$101,7 million, and CapEx, for projects' development. With this operation, EDP - which operates in all segments of the electric sector in the Brazilian market - doubles the size of its project portfolio and takes another significant step in the growth strategy in the solar energy segment. The closing of this business adds almost 34 MWp to EDP Smart's portfolio, through assets located in Rio Grande do Sul, São Paulo and Minas Gerais. From this number, approximately 16 MWp refer to contracted and commercial projects. The remaining 18 MWp involve ready-to-build projects in Minas Gerais, which will enable EDP to develop the project, engage in a strategic market and exploit operational synergies with other assets in the region. The Verona-based company has had a sales volume of €9 million in 2020 and focuses on small and medium-sized enterprises. With the purchase of Enertel, EDP Comercial gains access to a local sales force comprising about 40 agents and a team which has sold more than 350 decentralized solar energy projects, totaling almost 14 MWP. EDP Comercial is thus ramping up its presence in the Italian market, where it first entered in late 2019 with the first energy supply contracts. By 2020 the company had contracts worth 13 GWh of electricity in Italy and had consolidated its presence in that market through decentralized solar energy solutions for business customers. EDP Comercial, which dominates the Portuguese residential market and has been chosen by Portuguese companies as a partner in almost 800 solar energy projects, has already concluded the first self-consumption solar farm agreements in Italy. Decentralized solar energy is one of the main resources listed by European institutions to achieve the goal of reducing the environmental footprint and CO2 emissions, and over the next decade its installed capacity is expected to triple on a global scale. The total consideration on a debt- and cash-free basis is EUR 800 million. Fortum expects to record a tax-exempt capital gain of approximately EUR 240 million in the City Solutions segment’s second-quarter 2021 results. The transaction is subject to customary closing conditions and is expected to be completed in the second quarter of 2021. The transaction is a continuation of Fortum’s strategy execution, whereby Fortum continuously reviews its businesses to optimise its portfolio for value creation. In June 2019, Fortum announced it considered the strategic options for its district heating businesses in Estonia and in February 2020, Fortum announced it would review the district heating businesses in the other Baltic countries. In 2020, Fortum divested the district heating businesses in Joensuu and Järvenpää, in Finland. The strategic reviews of the heating and cooling businesses in Poland, its 50% stake in Stockholm Exergi, and the Consumer Solutions business are currently ongoing. Fortum will invest just over SEK 450 million (approximately EUR 45 million) during 2021-2025. With this investment Fortum wants to guarantee the plant’s continued life span as a supplier of renewable electricity and balancing power for more weather-dependent types of power. Forshuvud hydropower plant on the river Dalälven dates back to the 1920s and, despite refurbishments in 1990 and 1998, the original power station remains as part of the dam. Forshuvud will now have a completely new power station, as well as upgrades to the extension dam. Fortum is collaborating with the Swedish construction company NCC in this project. The power plant has an output of 44 MW and it produces approximately 229 GWh of electricity annually. It is thus an important component in the Swedish energy system. Fortum installed the Nordic region’s largest battery plant in connection with Forshuvud. The battery enables faster regulation of the frequency in the electricity grid with less wear on turbines and generators. Pine Run Gathering is a joint venture owned by a subsidiary of Stonehenge Energy Resources III, LLC a portfolio company of Energy Spectrum Partners VIII LP, and by a subsidiary of UGI Energy Services, LLC which is a subsidiary of UGI Corporation. PennEnergy, a Pittsburgh-based independent oil and gas company, is a leading Appalachian based producer and anchor customer on the Pine Run system. Stonehenge III is the third partnership between Energy Spectrum Capital and Stonehenge Energy Resources (“Stonehenge”) management. The transaction will be financed with equity capital from both Stonehenge III (51%) and UGIES (49%) as well as a senior secured loan credit facility. Pine Run Midstream operates 43-miles of dry gas gathering pipeline and compression assets located in Butler and Armstrong counties in western Pennsylvania. The Pine Run Midstream system has been in operation since 2014 and will be operated by Stonehenge. Stonehenge and UGI expect the investment to be immediately accretive to earnings. The Electric Highway Coalition – made up of American Electric Power, Dominion Energy, Duke Energy, Entergy Corporation, Southern Co., and the Tennessee Valley Authority – announced a plan to enable EV drivers seamless travel across major regions of the country through a network of DC fast chargers for EVs. The companies are each taking steps to provide EV charging solutions within their service territories. This represents an unprecedented effort to offer convenient EV charging options across different company territories and allow EV travel without interruption. The Edison Electric Institute estimates 18 million EVs will be on U.S. roads by 2030. While many drivers recognize the benefits of driving an EV, such as the ease of low-cost home charging, some are concerned with the availability of charging stations during long road trips. This is the first RNG supply interconnect agreement UGI Utilities has signed to-date. The RNG supply will be injected into UGI Utilities’ high-pressure natural gas pipeline serving its distribution system located in Lackawanna County, PA. The landfill gas, a byproduct of naturally decomposing materials in the landfill, will be processed and conditioned to meet UGI Utilities’ gas quality requirements. The project is scheduled to become operational in September 2021. When fully operational, the UGI Utilities system will be designed to take up to 16,000 mcf (thousand cubic feet) per day of RNG supply at a rate of up to 780 mcf per hour, making this the largest RNG supply point in the United States to-date. This supply point will be available for the company, as well as for natural gas suppliers operating on its system, for the purpose of supplying UGI Utilities customers. Moving this RNG supply into the UGI Utilities distribution system provides benefits to the company and to the many communities it serves. In addition to securing a local source of gas for UGI Utilities customers, accepting the delivery of RNG for customer use reduces the release of naturally occurring methane from the Keystone Landfill into the atmosphere. From an environmental perspective, accepting delivery of the RNG will reduce CO2 emissions that would otherwise occur by up to approximately 314,000 metric tons per year. Bob Babyok, Chairman of the Louisa County Board of Supervisors, announced that Louisa County is finalizing a partnership with Rappahannock Electric Cooperative (REC), Firefly Fiber BroadbandSM, a wholly-owned subsidiary of Central Virginia Electric Cooperative, and Dominion Energy Virginia to ensure high-speed internet access is available to all of the homes and businesses in the County. The partnership includes a significant capital investment from all parties to ensure its success. In September 2020, the Louisa County Board of Supervisors unanimously earmarked $15 million to incentivize the deployment of end-user fiber on a countywide basis. The funds will be used to prepare for construction and offset other project-related costs. Serving as the cornerstone of the proposed partnership, REC will own the fiber network constructed in the majority of the county, and is providing use of its infrastructure, including poles, to make the Louisa County broadband initiative a reality. Initial phases of the project are slated for early 2021. Firefly will be the internet service provider for the partnership and will ensure the availability of fiber broadband on a county-wide basis. Firefly will oversee construction of the REC-owned fiber in the REC service territory and then be responsible for network operation and fiber maintenance.
