AGL (Australia) rings in a new era with acquisition of Southern Phone
Company finalised
AGL is pleased to announce it has finalised its acquisition of Southern Phone
Company. Over the past few weeks, 35 councils agreed to sell their respective shares
in Southern Phone to AGL for $785,714 following an initial investment of $2 in
2002. The total deal was worth $27.5 million and marks AGL’s move into data and
telecommunications.
Executive Commentary
AGL CEO and Managing Director, said there was new era for AGL as it
converges energy and data together, in a bid to create more streamlined services
for the ever-growing connected customer. This deal is very meaningful to our
growth, but I also hope that the sale allows these hard-working councils to
continue delivering a range of important projects for their communities. We know
many of the councils who will receive this money have been struggling through
drought and the recent devastating bushfires, so we hope that this provides a
critical boost to their budgets during these challenging times.Since 2002,
Southern Phone has grown to become one of Australia’s largest regional
telecommunications companies with more than 100,000 customers across
Australia. The finalisation of this deal today really is a testament to the councils
and 150 workers at Southern Phone who have grown the business into what it is
today. Our goal is to further build on their success. We remain confident that AGL
can continue to evolve as a multi-product brand across energy, data and related
products.”

Centrica (UK) to sell King's Lynn gas fired power station
Centrica plc has agreed to sell its 382 MW King's Lynn combined cycle gas turbine (CCGT) power station to RWE
Generation for £105 million, based on a valuation date of 31 December 2019. The transaction is expected to complete in the
first quarter of 2020. The transaction forms part of the non-core asset disposal programme announced in February this year.
It is also consistent with Centrica's strategy to reposition towards the customer, and as part of this from central to distributed
generation, as the company focuses on becoming a leading international Energy Services and Solutions provider. The new
King's Lynn CCGT was commissioned on 18 November 2019 following a major replant by Siemens, including the
installation of a new gas turbine. The power station is designed for maximum efficiency and flexibility, supporting the
transition to a low carbon energy system which is increasingly reliant on intermittent renewables. The power station has a
15-year Capacity Market agreement which starts in October 2020 and is capable of producing enough power to meet the
needs of 400,000 households, almost all the homes in Norfolk.

Fortum (Finland) to sell its district heating business in Joensuu, Finland
for approximately EUR 530 million
Fortum has signed an agreement to sell its district heating
business in Joensuu, Finland to Savon VoimaOyj. The total
consideration on a debt- and cash-free basis is approximately
EUR 530 million. Fortum expects to record a tax exempt capital
gain of approximately EUR 430 million in the City Solutions
segment’s first-quarter 2020 results. The transaction is subject to
customary closing conditions and is expected to be completed in
the first quarter of 2020. In June 2019, Fortum announced it
would review and consider strategic options for the Joensuu and
Estonian district heating businesses. The strategic review for the
Estonian district heating business is still ongoing. In line with its

for us to sell the business to a reliable company with the
ambition to further develop the business locally in Joensuu. In
Finland, we can now focus our efforts on the decarbonisation
project targeting discontinuation of the use of coal in 2025 in
the district heating network in the City of Espoo,” says

shares
PJSC Inter RAO completed the sale of a 50% stake in JSC Ekibastuz GRES-2 a joint venture in the Republic of Kazakhstan,
to the Samruk-Kazyna National Welfare Fund. The deal was worth US$25 million. As a result, 100% of the shares in the coal
power plant, which has an installed capacity of 1000 MW, are now in the possession of the Samruk Group. Also, the Samruk
Group assumed 100% guarantees for the fulfillment of obligations of Ekibastuz GRES-2 to creditor banks. The transaction
took more than a year to complete due to corporate procedures, including approval of the transaction by the governing bodies
of both parties, obtaining the consent of Ekibastuz GRES-2 creditor banks to change the shareholder of the station, as well
as the consent of regulatory bodies. The Inter RAO decision to withdraw from the capital of the Kazakh power plant reflects
the company's strategy to develop activities in Russia, as well as sustainable long-term business development. The sale of
the stake in Ekibastuz GRES-2 will also significantly reduce coal consumption by Inter RAO Group, increasing the share of
gas in the Group's fuel balance.

SSE Renewables Acquires Onshore Wind Project In Ireland
SSE Renewables has announced that it is to further expand its onshore wind pipeline
through the acquisition of a 29-turbine, shovel-ready consented wind farm development
in Ireland with an installed capacity in excess of 100MW, subject to final turbine
selection. SSE Renewables has acquired the Yellow River Wind Farm project outside
Rhode in County Offaly from Green Wind Energy (Wexford) Ltd. The project was
granted full planning consent in 2014. On-site pre-construction works have already
commenced, and SSE Renewables expects to begin full construction of the wind farm in
late 2020 with an expected project completion date in 2022. The project is expected to
support up to 80 full-time construction jobs at peak delivery. Once completed, the
windfarm will be capable of generating enough green energy to power over 50,000
homes annually^ and offset over 2 million tonnes of carbon dioxide over its expected
25-year lifetime*, helping contribute to Ireland’s new 70% renewable energy target by
2030.
Executive Commentary
Director of Capital Projects at SSE Renewables, said: “Ireland has always been a
core market for SSE Renewables, where we are already the largest owner, operator
and developer of renewable energy. The acquisition of this large-scale, shovel-ready
construction project further reinforces that position at a time when there is a renewed
drive by Government to support the delivery of new renewable energy to meet the
country’s 2030 climate action targets. This acquisition, and the pursuit of future
acquisitions, is in line with SSE Renewables’ objective of continually exploring
opportunities to grow our onshore wind development pipeline in Ireland and Great
Britain. Yellow River Wind Farm will contribute towards our ambition of developing
and building enough renewable energy capacity to treble annual output of renewable
electricity to 30TWh by 2030. As we prepare for construction from late 2020, our
focus is now on building strong and meaningful relationships within the local
community in which Yellow River Wind Farm is hosted. As a responsible developer
and operator, we are looking forward to working closely with the community in
Rhode and North Offaly to fully realise the benefits of this exciting project.”

dollar SDG-linked five-year bond was named Yankee Bond for 2019.IFR praised Enel’s SDG-linked bonds, which directly connect the Group’s business and
cost of capital to its progress on sustainability goals, for raising the profile of SDGs in investment banking, while creating a framework to scale up sustainable
financing. Thanks to their general corporate purpose structure, Enel’s SDG-linked bonds promote a more widespread use of these tools by decoupling
sustainable financing from a project-based approach to a more strategic corporate model, boosted by a pricing step-up that can encourage companies and
investors to accelerate change. In September, the world’s first general purpose SDG-linked bond launched by Enel on the US market for a total of 1.5 billion
US dollars, was oversubscribed by almost three times, with total orders of approximately 4 billion US dollars. The bond issue, which is linked to SDG 7
“Affordable and clean energy”, includes a coupon that steps up by 25 bps should the Group miss the target to achieve, by December 31st, 2021, a percentage
of installed renewable generation capacity (on a consolidated basis) equal to or greater than 55% of total consolidated installed capacity.

Fortum´s Meri-Pori coal-fired power plant in Western Finland has been selected for 440 megawatts of production capacity for the national
peak-load reserve capacity system, based on the competitive bidding organised by the Energy Authority. The plant is owned by Fortum Power
and Heat Oy. Its capacity (565 MW) has been divided by an agreement between Fortum and TVO into independently governed parts. In
summer 2018, the companies agreed on a share transaction whereby TVO’s capacity share (257 MW) will be transferred to Fortum at the
conclusion of the current peak-load reserve capacity agreement at the end of June 2020.In 2017, Fortum’s 308-megawatt share of the
Meri-Pori power plant was selected for peak-load reserve capacity system from July 2017 to the end of June 2020 in the competitive bidding
organised by the Energy Authority. TVO’s share of production has remained in market-based use. In recent years, the coal-fired power plant
has been used mainly during peak demand for electricity. The Meri-Pori power plant started electricity production in Tahkoluoto, Pori, in 1994.
The environmental technology acquired for the plant was at the time the most advanced in the world. The plant was equipped with a catalytic
denitrification plant and state-of-the-art combustion technology to remove 80% of the nitrogen oxides from flue gases. The scrubber of the
power plant’s desulphurisation plant recovers close to 90 per cent of the sulphur dioxides and the electric filters close to 100 per cent of the
flue-gas particles.

At the Terna offices in Pero, in the presence of the municipality of Milan's Councillor for Digital Transformation, Roberta Cocco , member of the board of
the Italian Regulatory Authority for Energy, Networks and Environment (ARERA), Stefano Saglia and Terna Chairwoman Catia Bastioli , the Milan
Innovation Hub was opened, the third in Italy, after Turin and Naples. Through interaction and collaboration with external organizations such as universities,
research centers, start-ups and businesses, the Innovation Hub will become a think tank for the creation, development and practical testing of new ideas.
Integration of new skills and synergies will therefore be a fundamental aspect of this experience. The Milan Innovation Hub will operate in the field of
Analytics & Energy Systems , developing tools and know-how for increasingly "intelligent" grid management, through processing and interpretation of data
and development of advanced algorithms and tools for simulation and forecasting. The hub will consist of two distinct think tanks: one dedicated to Energy
Tech, to enable system-operator innovation projects and conduct testing, and the other focused on Advanced Analytics , for interaction with start-ups and
innovative companies in a specially created environment. The project is part of the Italian national innovation and digitalisation plan, which Terna will invest
around € 700 million in over the next five years . In an increasingly complex energy scenario, the goal is to develop prototypes of innovative ideas focused
on new technological trends which are significant for the company, through the creation of working groups composed of participants from a variety of
backgrounds and skill sets. The projects launched will support the spread of a culture of innovation, creation of future professional excellence, and
development of industrial solutions that can be implemented on a larger scale.

Vistra Energy Joins The Climate Leadership Council And Americans For Carbon
Dividends, Advocating For A Market-Based Solution To Climate Change
For any queries, Please write to marketing@itshades.com
45
Vistra Energy announced it has joined the Climate Leadership Council ("CLC") as a founding member. The CLC is an international policy institute created in collaboration with prominent
business, opinion, and environmental leaders to promote a carbon dividends framework as the most cost-effective, equitable, and politically viable climate solution. Vistra joins 24 prominent
companies across a myriad of industries with a combined market cap of $3.8 trillion in advocating for a national carbon fee and dividend policy. Founding members of the CLC include five
oil and gas supermajors, the two largest automobile manufacturers in the U.S., as well as the largest telecommunications company, insurance company, and healthcare company in the world,
among others.Consistent with Vistra's commitment to the transformative impact of a market-based, cost-effective, and politically viable climate solution, the company is also contributing $1
million to the Americans for Carbon Dividends ("AFCD") advocacy campaign, underwriting its efforts to encourage Congress to enact a carbon fee and dividend plan.Vistra is joined by other
prominent organizations including IBM, Ford Motor Company, Calpine, and General Motors, which the AFCD announced today have also made financial commitments to the campaign. IBM
will similarly be joining the CLC as a founding member (Ford, Calpine, and General Motors are already founding members). The CLC formally launched in February 2017 with the publication
of The Conservative Case for Carbon Dividends, co-authored by James A. Baker, III, Martin Feldstein, Ted Halstead, N. Gregory Mankiw, Henry M. Paulson, Jr., George P. Shultz, Thomas
Stephenson, and Rob Walton. The founding members of the CLC believe the U.S. needs a consensus climate solution that bridges partisan divides, strengthens our economy, and protects our
shared environment. The bipartisan carbon dividends plan is centered around four policy pillars:
• A gradually rising and revenue-neutral carbon fee that if implemented will cut U.S. CO2 emissions in half by 2035
• Carbon dividends that will be returned to American people
• Streamlining regulations that would no longer be necessary upon enactment of a rising carbon fee
• Border carbon adjustment on imports and exports that will enhance competitiveness of American firms

  • 6. Lorem ipsum dolor sit amet, consec- tetuer Financial, M&A Updates IT Shades Engage & Enable AGL (Australia) rings in a new era with acquisition of Southern Phone Company finalised AGL is pleased to announce it has finalised its acquisition of Southern Phone Company. Over the past few weeks, 35 councils agreed to sell their respective shares in Southern Phone to AGL for $785,714 following an initial investment of $2 in 2002. The total deal was worth $27.5 million and marks AGL’s move into data and telecommunications. Executive Commentary AGL CEO and Managing Director, said there was new era for AGL as it converges energy and data together, in a bid to create more streamlined services for the ever-growing connected customer. This deal is very meaningful to our growth, but I also hope that the sale allows these hard-working councils to continue delivering a range of important projects for their communities. We know many of the councils who will receive this money have been struggling through drought and the recent devastating bushfires, so we hope that this provides a critical boost to their budgets during these challenging times.Since 2002, Southern Phone has grown to become one of Australia’s largest regional telecommunications companies with more than 100,000 customers across Australia. The finalisation of this deal today really is a testament to the councils and 150 workers at Southern Phone who have grown the business into what it is today. Our goal is to further build on their success. We remain confident that AGL can continue to evolve as a multi-product brand across energy, data and related products.” For any queries, Please write to marketing@itshades.com Description 1
  • 7. Lore Lorem ipsum dolor sit amet, consec- tetuer Financial, M&A Updates IT Shades Engage & Enable Centrica (UK) to sell King's Lynn gas fired power station Centrica plc has agreed to sell its 382 MW King's Lynn combined cycle gas turbine (CCGT) power station to RWE Generation for £105 million, based on a valuation date of 31 December 2019. The transaction is expected to complete in the first quarter of 2020. The transaction forms part of the non-core asset disposal programme announced in February this year. It is also consistent with Centrica's strategy to reposition towards the customer, and as part of this from central to distributed generation, as the company focuses on becoming a leading international Energy Services and Solutions provider. The new King's Lynn CCGT was commissioned on 18 November 2019 following a major replant by Siemens, including the installation of a new gas turbine. The power station is designed for maximum efficiency and flexibility, supporting the transition to a low carbon energy system which is increasingly reliant on intermittent renewables. The power station has a 15-year Capacity Market agreement which starts in October 2020 and is capable of producing enough power to meet the needs of 400,000 households, almost all the homes in Norfolk. • 8. Lorem ipsum dolor sit amet, consec- tetuer Financial, M&A Updates IT Shades Engage & Enable EDP (France) invests 3 million in Rensource for promoting company's expansion in Nigeria EDP Renováveis will invest $3 million in Rensource, a company that develops and manages decentralized solar energy systems, to support its expansion in Nigeria. With this investment, EDP reinforces the group's strategy for universal access to sustainable energy, which has been promoted through the A2E (Access to Energy) program.Rensource, established in 2015 in the US and operating in Nigeria since 2016, is a company specialized in implementing and managing decentralized solar energy systems, which enable the generation and distribution of electricity as well as the trading of energy services in the different communities in which it is present. The company is already in seven states of the country, focusing on small businesses and micro-companies, and has more than 200 employees. This $3 million investment (about € 2.6 million) - which was the result of a financing initiative completed by EDP Renováveis and other international investors such as CRE Ventures, Omidyar Network, Inspired Evolution, Proparco, I&P, Sin Capital and Yuzura Honda - will allow EDP Renováveis to participate in Africa's largest market. The goal now is to support the company's expansion in Nigeria, the initial focus of Rensource's strategy, and to bring sustainable, low-cost energy solutions to more communities. Executive Commentary “EDP has long been committed to supporting solutions that promote universal, affordable and sustainable access to clean energy, especially in disadvantaged and developing communities”, as CEO of EDP, explains. “The Rensource project reflects this ambition by developing systems that support a fair energetic transition and contribute to the growth and sustainability of local economies through access to renewable energies.” For any queries, Please write to marketing@itshades.com Description 3
  • 9. Lorem ipsum dolor sit amet, consec- tetuer Financial, M&A Updates IT Shades Engage & Enable Fortum (Finland) to sell its district heating business in Joensuu, Finland for approximately EUR 530 million Fortum has signed an agreement to sell its district heating business in Joensuu, Finland to Savon VoimaOyj. The total consideration on a debt- and cash-free basis is approximately EUR 530 million. Fortum expects to record a tax exempt capital gain of approximately EUR 430 million in the City Solutions segment’s first-quarter 2020 results. The transaction is subject to customary closing conditions and is expected to be completed in the first quarter of 2020. In June 2019, Fortum announced it would review and consider strategic options for the Joensuu and Estonian district heating businesses. The strategic review for the Estonian district heating business is still ongoing. In line with its strategy, Fortum continuously reviews its businesses to optimise its portfolio for value creation. Executive Commentary “The Joensuu district heating business is centred around the highly efficient and modern combined heat and power plant. The business transformation to lower carbon intensity has largely been done and the detailed plans for further decarbonisation have been prepared. The divestment raised large interest among buyers and provided a great opportunity for us to sell the business to a reliable company with the ambition to further develop the business locally in Joensuu. In Finland, we can now focus our efforts on the decarbonisation project targeting discontinuation of the use of coal in 2025 in the district heating network in the City of Espoo,” says Executive Vice President, City Solutions at Fortum.
