Executive Summary
Radio One Corp. is the largest radio group targeting African–Americans in the country, and it's got
an excellent record by acquiring underperforming radio stations and turning them around. It's
contemplating whether to buy a significant amount of 21 radio stations (including 12 established
urban stations in the top 50 markets and 9 stations from other companies) to be divested by one of
the nation's biggest owner of radio stations, Clear Channel, due to its merge with the other biggest
owner, AMFM.
Radio One would benefit from the acquisition in the sense that its size would be doubled and its

Therefore it is realistic to expect paying at least 20 x BCF, which is the target of Radio One top
management.
Trading multiple analysis:
First of all, for the trading multiple, we take into consideration the data of 2001 from Exhibit 8 and
Exhibit 9 because of the following: 1) The transaction price should rather rely on the forecast data
because an acquirer is mainly interested in the future cash flows; 2) The Multiple data shown in
Exhibit 8 are based on the year of 2001. So in order to match data, we chose the projected data of
2001 in Exhibit 9.
Concerning the trading multiples, we have reached the following result: BCF Multiple=16.3 and
EBITDA Multiple=17.4 (Appendix2). After analyzing the financial data in the Exh.9 and Exh.8, it
was obvious that we could only use the BCF and EBITDA multiples. What's more as the data of
