Introduction
A positive relationship between hospitals and physicians is important to the success of the US healthcare system, because hospitals and physicians can be both collaborators and competitors.
Many hospitals and healthcare systems have moved to various models of physician integration through which hospitals hope to capture market share and physicians seek financial security.
After the Affordable Care Act (ACA) was passed in 2010, physician–hospital alignment became driven by another factor: cost control and quality outcomes in the accountable care era (Reiboldt 2013).
Physicians work in a wide range of settings and serve in leadership positions that have significant responsibility for quality of care.

Coordination of patient care between hospitals and physicians across the healthcare continuum— e.g., an accountable care organization (ACO).

The Medicare Access and CHIP Reauthorization Act of 2015 (MACRA) is a Medicare payment law intended to drive health care payment and delivery system reform for clinicians, health systems, Medicare, and other government and commercial payers. Deloitte’s 2016 Survey of US Physicians sought to shed light on physicians’ awareness of MACRA, their perspectives on its implications, and their attitudes and readiness for change. The survey found that many physicians are unaware of MACRA. Regardless of their awareness level, most physicians surveyed would have to change aspects of their practice to meet the law’s requirements and to do well under its incentives. Attracting and retaining talent is the most critical issue facing the U.S. hospital sector, according to an Economist Intelligence Unit (EIU) survey of more than 300 industry executives conducted for this research program. It is also a widespread problem: 74% of respondents believe their own organisation needs to pay more attention to attracting and retaining the best talent. Only 3% disagree.

Webinar: “Trick or Treat? October 22nd Revisions to Provider Relief Fund Repo...PYA, P.C.
On October 22nd, the Department of Health and Human Services released revised Provider Relief Fund (PRF) reporting requirements. Under HHS’ September 19 directive, “lost revenue” was defined narrowly as a negative change in year-over-year patient care operating net income. Now, HHS will permit providers to use PRF funds to cover the difference between their 2019 and 2020 actual patient care revenue with some adjustments for COVID-related expenses. On September 19, the Department of Health and Human Services (HHS) published its Post-Payment Notice of Reporting Requirements. The Notice details the reporting requirements for all Provider Relief Fund (PRF) recipients that have received $10,000 or more in aggregate payments.
Under the PRF Terms and Conditions, a recipient may use the funds only for healthcare-related expenses and lost revenue attributable to coronavirus. The Notice provides the clearest direction to date regarding permissible uses of PRF funds.

On Friday, August 21, 2020, a webinar co-hosted by PYA prepared hospitals for a new rule taking effect on January 1, 2021, to address price transparency in healthcare. The Centers for Medicare & Medicaid Services published a rule in November 2019 requiring hospitals to establish, update, and make public a list of their standard charges for items and services they provide. In addition to the current requirement to post standard charges on their websites, the Final Rule requires hospitals to publish online, in a machine-readable format, their payer-specific negotiated rates for 300 “shoppable” services and their standard charges for all items and services provided, defined as the gross charge, payer-specific negotiated charges, discounted cash price, and the de-identified minimum and maximum charges.
As we approach January 2021, it is vital that hospitals understand the requirements of the pricing transparency rule and options for compliance. It is unlikely that this rule will “go away”–court decisions are always subject to appeal, and there is even concern that Congress is considering action that would transform these requirements from regulation to legislation.

RESULTS: Overall life span (LS) was 2252.1±1742.5 days and cumulative 5-year survival (5YS) reached 73.2%, 10 years – 64.8%, 20 years – 42.5%. 513 LCP lived more than 5 years (LS=3124.6±1525.6 days), 148 LCP – more than 10 years (LS=5054.4±1504.1 days).199 LCP died because of LC (LS=562.7±374.5 days). 5YS of LCP after bi/lobectomies was significantly superior in comparison with LCP after pneumonectomies (78.1% vs.63.7%, P=0.00001 by log-rank test). AT significantly improved 5YS (66.3% vs. 34.8%) (P=0.00000 by log-rank test) only for LCP with N1-2. Cox modeling displayed that 5YS of LCP significantly depended on: phase transition (PT) early-invasive LC in terms of synergetics, PT N0—N12, cell ratio factors (ratio between cancer cells- CC and blood cells subpopulations), G1-3, histology, glucose, AT, blood cell circuit, prothrombin index, heparin tolerance, recalcification time (P=0.000-0.038). Neural networks, genetic algorithm selection and bootstrap simulation revealed relationships between 5YS and PT early-invasive LC (rank=1), PT N0—N12 (rank=2), thrombocytes/CC (3), erythrocytes/CC (4), eosinophils/CC (5), healthy cells/CC (6), lymphocytes/CC (7), segmented neutrophils/CC (8), stick neutrophils/CC (9), monocytes/CC (10); leucocytes/CC (11). Correct prediction of 5YS was 100% by neural networks computing (area under ROC curve=1.0; error=0.0).
CONCLUSIONS: 5YS of LCP after radical procedures significantly depended on: 1) PT early-invasive cancer; 2) PT N0--N12; 3) cell ratio factors; 4) blood cell circuit; 5) biochemical factors; 6) hemostasis system; 7) AT; 8) LC characteristics; 9) LC cell dynamics; 10) surgery type: lobectomy/pneumonectomy; 11) anthropometric data. Optimal diagnosis and treatment strategies for LC are: 1) screening and early detection of LC; 2) availability of experienced thoracic surgeons because of complexity of radical procedures; 3) aggressive en block surgery and adequate lymph node dissection for completeness; 4) precise prediction; 5) adjuvant chemoimmunoradiotherapy for LCP with unfavorable prognosis.

Physician groups that generate positive cash flow (above
the physician’s “FMV” compensation) will normally have
some level of intangible value.

revenue from designated health services (“DHS”)
cannot be shared with the providers.
If employment is structured to meet the “group practice
exception” under the Stark regulations, then DHS
revenue can be shared with providers as long as it is not
allocated based on the volume or value of the provider’s
ordered DHS services.
• Allocations can range from equal to proportional based on professional

Due to the sustainable growth rate formula cap (“SGR”) – the
statutory formula used to calculate Medicare Physician Fee
Schedule (“MPFS”) payments on an annual basis – Medicare
payments to physicians will be slashed by almost 25 percent
on January 1, 2014, unless Congress intervenes.
On October 30, the Senate Finance Committee and the House
Ways and Means Committee released a discussion draft of a
SGR fix, offering a comprehensive approach to MPFS payment
reform.

based on their composite performance scores.

improvement activities (15%), and EHR meaningful use (25%).
• In 2017, 8% of total payments reallocated based on composite
scores. Percentage increases to 9% and then 10% in 2018 and
2019, respectively.
Alternative payment model (APM) participation
• Physicians receiving a significant percentage of revenue
through a risk-sharing APM with a quality measurement
component (such as an ACO) would not participate in the New
VBP Program. Instead, they would receive a 5% bonus each
year between 2016 and 2021.

Complex chronic care management
• In 2015, Medicare would pay physicians for care management
services furnished to beneficiaries with certain chronic
conditions.
• To be eligible for these payments, physicians must practice in a

Appropriate use criteria
• Physicians ordering advanced imaging or electrocardiogram
services required to consult with appropriate-use criteria, to be
developed in consultation with professional societies.
• Medicare would not pay for services when no consultation
occurred.

Valuation of services
• Between 2016 and 2018, CMS would systematically identify and
revalue misvalued services.
• If CMS fails to meet certain annual targets, MPFS payments

• CMS would solicit information from selected physicians to
support its valuation activities. Physicians who submit
requested information would be compensated. Those who do
not would face significant payment penalties.

Healthcare has been flipped on its head in a 180 degree turn of financial incentives. As U.S. healthcare costs associated with fee-for-service (“FFS”) skyrocket, significant efforts have been taken to link payment to the quality and efficiency of care provided instead of volume of patients / services provided.
Stark:Exceptions typically require compensation to be set in advance, consistent with fair market value (FMV) and not determined in a manner that takes into account the volume or value of referrals.42 U.S.C. §1395nnAKS:Prohibits the knowingly and willful offer, payment, solicitation or receipt of remuneration for purposes of inducing or rewarding for referrals of services reimbursable by a federal health care program.42 U.S.C. §1320a-7b(b)IRS:Tax exempt hospitals/health systems must ensure that no part of its earnings “inure to the benefit of any private shareholder or individual. Transactions between tax exempt hospitals and physicians that are in excess of FMV could jeopardize the hospital’s tax exempt status.IRC Section 501(c)(3) and related regulations.
