An international trading company implemented a 3TG due diligence program to address risks in its supply chain and meet regulatory requirements. The program included identifying high-risk areas using conflict risk maps and country lists, enhancing know-your-customer procedures for new suppliers, requiring local certification for sourced materials, and conducting independent risk assessments of a percentage of suppliers. Initial results found risks being addressed and assurance provided to company leadership, while independent assessments helped improve the program's design and implementation. The company found that due diligence takes time but is worthwhile, and more guidance is still needed for practical upstream risk assessments and audits.

Trade and investment in natural mineral resources hold great potential for generating income, growth and prosperity, sustaining livelihoods and fostering local development. However, a large share of these resources is located in conflict-affected and high-risk areas. In these areas, exploitation of natural mineral resources can be a significant part of the economy and may contribute, directly or indirectly, to armed conflict, human rights violations and hinder economic and social development.
The OECD Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas clarifies how companies can identify and better manage risks throughout the entire mineral supply chain, from miners, local exporters and mineral processors to the manufacturing and brand-name companies that use these minerals in their products.

An increasing number of countries recognise the need for enhanced transparency around their state-owned enterprise (SOE) portfolio. Drawing from diverse international experiences, the publication Monitoring the performance of state-owned enterprises: Good practice guide for annual aggregate reporting is a step-by-step guide on best practices in annual aggregate reporting. The guide:
•develops the business case for annual reporting and “forward looking” performance monitoring of SOEs to support active and informed ownership
•provides insights on institutional design and capacity to develop quality annual reporting
•offers key financial and non-financial information for inclusion
•develops strategies for accessibility, communication and dissemination.
The Guide can support newcomers to the practice, as well as policy makers who wish to enhance reporting to better align with the Recommendations of the OECD Guidelines on Corporate Governance of State-Owned Enterprises

RCS Global Director Harrison Mitchell presents on due diligence at British Parliament in London
On 20th October, RCS Global director Harrison Mitchell presented to a packed session of the All Party Parliamentary Committee on Extractives on conducting human rights due diligence in raw materials supply chains.
The presentation provides a background for why human rights due diligence is increasingly important for all companies in the supply chain, from miners, to traders, manufacturers and investors.
Human rights issues will continue to be of significant importance to the APPC, as well as the extractive sector generally, particularly in light of new legislation currently under discussion by the European Union on conflict minerals.

Regulatory Challenges with Outsourcing Clinical and Commercial Suppliesenarke
Pharma reliance in CRO’s is significant and growing
CRO’s differ in focus, strengths, and “personality”
Sponsor and CRO may see things differently, especially in early phases
CRO’s may tend toward being conservative and propose “belts and suspenders” to limit risk
Sponsors are often underequipped to manage progressive CMC across all phases
In sponsor’s interest to seek guidance for phase appropriate devel. & regul. posture
A positive and active sponsor – CRO relationship is invaluable and recommended
Ineffective sponsor-CRO relationship can produce friction and undesirable outcomes
Appealing top level bid dollars may mask significant other costs
Every new program is “from scratch” for the CRO “Don’t know what they don’t know”
CRO changes frequently occur: Information capture is vital for successful tech transfer
Sponsor diligence as to CRO regulatory patency is vital, especially in later phase

What Constitutes a GRC Program?
Governance, risk and compliance or GRC programs are complex – an organization has to use its GRC program to address the regulatory requirements expected of, among
others, the following:
Enterprise Risk Management
COSO Internal Controls
Environmental Compliance (EPA rules)
Anti Trust
Anti Money Laundering
Anti Bribery/Corruption
Quality Management and Standards such as ISO 9000, 9001
Process Management such as Six Sigma
Anti Harassment
Human Capital
Whistle-blowing
HR Processes
The areas listed above are just few of those that come under the purview of a robust GRC program.
Why Audit a GRC Program?
Given the complex nature of regulations around the world today and the increasing risks of doing business, it is important that the GRC program in an organization is
audited frequently. Most of the lapses in corporate governance occur due to outdated GRC programs that have not been audited and updated to reflect the current
regulatory environment.
Internal audits of GRC programs allow management and the board to identify risks and areas that need strengthening and root out any non-compliance.
An audit can help evaluate the adequacy of the program’s design and effectiveness as well as new practices and technologies to be implemented.
Audits of the GRC program have to be carried out periodically – these should supplement an ongoing, daily evaluation of the effectiveness of the program, including
monitoring of controls and responses.
Internal Audit Process – The General Steps:
Define evaluation scope, objectives, and the type of evaluation.
Define the level and type of assurance
Identify the evaluation team and skills required.
Develop evaluation plan.
Perform design adequacy evaluation.
Perform operational effectiveness evaluation.
Communicate evaluation results and ensure follow-up to address issues.

REASONS FOR ACTING
Multiple pressures compelled our client to act
• Commercial – demands from the market to comply with the CFSI
conflict free smelter program
• Regulatory - direct local (ICGLR) and indirect internationally reaching
laws (DF1502) mean pressures from above and below given their
position in the supply chain
• Reputational – risk of association with conflict/human rights abuse/
child labour
• Responsibility/moral – no responsible company wants to make money
from conflict/HR abuse and child labour
• International Norms on Human Rights and Transparency – the
company was starting to respond to the emerging international norms
on Human Rights and Transparency which influence DD response
www.rcsglobal.com

UPFRONT CHALLENGES
Upfront challenges
• Significant challenges in identifying what was effectively a new
approach towards due diligence that was rigorous, based on good
practice and appropriate to their position in the supply chain (as a
trader)
• Needed to be sensitive to commercial realities but also be able to
legitimately respond to risks = assign significant responsibility to the
producer/local trader but also provide support to supplier and
maintain oversight
• Key questions:
• How to identify what is a high risk area?
• Balancing practical with normative (and usually vague) guidance
• Which guidance to use? = based around OECD
www.rcsglobal.com
6. 6
APPROACH
www.rcsglobal.com
Opted for a combination of:
• IDENTIFICATION: Using Heidelberg Conflict Barometer as an impartial way to identify high risk
areas worldwide + CSFI country lists.
• Commercial pressures meant that effectively DRC + 9 countries had to be considered high risk due
to DF1502 and CFSI program requirements.
• CONSISTENT INTERNAL STRATEGY: Company policy consistent with the OECD DDG that
targeted conflict/HR/child labour risks + communicating expectations to suppliers
• PIGGYBACK ON EXISTING COMPANY APPROACHES: Enhanced KYC process to check
background of ALL new 3TG suppliers
• Online search for sanctioned individuals/companies including UN
• Enhanced Supplier questionnaire about officers and shareholders
• Request for information on subsidiaries and partners
• LOCAL CERTIFICATION: Only sourcing
certified material from CFSI approved programs
• INDEPENDENT ASSESSMENTS:
Supplemented all of the above with own risk
based annual independent assessments on a %
basis, ongoing monitoring and better
communication with suppliers and certification
scheme
7. 7
RESULTS AND RESPONSES
Initial Results and Responses
• Understanding that this is now a permanent issue within the company
– training and roll out to other departments are needed
• Independent assessments identified a number of risks that are being
addressed and leading to changes in program design and deployment
• Program is providing assurance to the company executive concerned
about liability now able to use DD to their commercial advantage
• The program provides confidence to talk commercial steps in high risk
areas
www.rcsglobal.com
8. 8
SUMMARY THOUGHTS
• Can take some time to set up, but worth being rigorous at the
beginning of the process to get full support across multiple company
departments. You need people to take on new responsibilities to
make this work!
• Identification of high risk areas still requires targeting of risks within
those areas. Conflict Barometers is broad – best way to identify local
risks is by being on the ground using local sources = independent risk
assessments, information from suppliers and certification scheme
• There is a lack of guidance on practical deployment of upstream due
diligence. In addition, there is a lack of a common framework for
companies/audit firms to conduct upstream assessments
• We are still in an area of rapid development – with new rules like the
EU coming forward – companies need guidance to respond
effectively
