Altice USA Completes Acquisition of Morris Broadband
Altice USA announces that it has closed the previously announced
acquisition of the assets of Morris Broadband, LLC. Morris
Broadband is a rapidly-growing broadband communications
services company providing high-speed data, video and voice
services to approximately 36,500 residential and business
customers in western North Carolina. The deal extends Altice
USA’s footprint in North Carolina, making it the sixth largest state
for the Company in terms of number of customers.

Airtel (India) announces Spectrum Trading Agreement with Jio
Bharti Airtel announced an agreement with Reliance Jio Infocomm
(“Jio”) to transfer the ‘Right to Use’ of Airtel’s 800 MHz spectrum
in Andhra Pradesh (3.75 MHz), Delhi (1.25 MHz) and Mumbai
(2.50 MHz) to Jio. The agreement is subject to statutory approvals.
Through this agreement, Airtel will receive a consideration of Rs
1037.6 crores from Jio for the proposed transfer. In addition, Jio will
assume future liabilities of Rs 459 crores relating to the spectrum.
Executive Commentary
MD & CEO (India and South Asia), Bharti Airtel said: “The sale
of the 800 MHz blocks in these three circles has enabled us to
unlock value from spectrum that was unutilized. This is aligned
to our overall network strategy.”

DISH (USA) to acquire Republic Wireless
DISH Network Corporation announced its plans to acquire Republic Wireless, an
MVNO service operating on the T-Mobile network. Upon close, DISH will
assume approximately 200,000 customer relationships, the Republic Wireless
brand and other supporting assets. Once acquired by DISH, Republic customers
will not see any immediate changes to their experience or plans, and there is no
need for customers to take action. After the acquisition closes, the existing Relay
division of Republic Wireless will continue to operate as a standalone company
and will become a wholesale customer on DISH's 5G network. Relay provides
communication and productivity solutions for frontline teams in hospitality,
facilities management, manufacturing, healthcare and education, and will remain
headquartered in Raleigh, NC. The transaction is subject to customary closing
conditions, including regulatory approvals. It is expected to close in the second
quarter of 2021. Upon close, Rob Currie, DISH senior vice president of Ting
Mobile and MVNO platforms, will lead the Republic Wireless business.

Rogers (Canada) and Shaw to come together in $26 billion transaction, creating new
jobs and investment in Western Canada and accelerating Canada’s 5G rollout
Rogers Communications Inc. and Shaw Communications Inc. announced that they have
reached an agreement for Rogers to acquire all of Shaw’s issued and outstanding Class A
Shares and Class B Shares in a transaction valued at approximately $26 billion inclusive of
approximately $6 billion of Shaw debt. The offer price of $40.50 per share represents a
significant premium for Shaw shareholders; further details of the transaction are described
below. The transaction is not subject to a financing condition as Rogers has secured
committed debt financing, which it will use along with balance sheet cash and the issuance
of 23.6 million shares to the Shaw Family Living Trust. The combination of Rogers and
Shaw builds on the strong legacy of two family-founded Canadian companies. The combined
entity will have the scale, assets and capabilities needed to deliver unprecedented wireline
and wireless broadband and network investments, innovation and growth in new
telecommunications services, and greater choice for Canadian consumers and businesses. As
part of the transaction, the combined company will invest $2.5 billion in 5G networks over
the next five years across Western Canada, which will enhance competitiveness, offer
consumers and businesses more choice and improved services, help close the digital divide
between urban and rural communities, and deliver significant long-term benefits for
businesses and consumers.

Telefónica (Spain) invests in fcase, a startup pioneering fraud orchestration
technology
Telefónica Tech Ventures, Telefonica's investment vehicle for cybersecurity startups,
announces that fcase, a startup specialized in fraud detection and prevention
orchestration technology will be added to its portfolio. The investment was initially led
by Wayra, Telefónica's global open innovation hub. Too often, banks, financial services,
and insurance companies face the challenge of siloed anti-fraud systems and operations
with little-to-no cross-functional or departmental communication, delivering significant
inefficiencies and gaps that fraudsters exploit. For fraud prevention and operations to be
effective, the enterprise must be connected and working in harmony via one final fraud
orchestration layer connecting and managing point systems, such as anti-fraud. fcase
delivers a sophisticated and extremely flexible technology that centralises and automates
the end-to-end framework for fraud operation centres through what they have branded

Telia (Sweden) Company Invests in Equality
Telia Company invests 100 MSEK in a Sustainable Development Bond recently
launched by the World Bank. The bond focuses on gender equality and health -
key topics to address during the pandemic and beyond. Supporting the group´s
ambitious sustainability agenda, Telia Company’s strategy for Sustainable
Financial Management has been in place since 2019 in line with the company’s
overall strategy. It includes aspects such as Sustainable Financial Governance,
Sustainable Funding Solutions and Sustainable Financial Investments. The
company’s overall sustainability agenda forms the foundation for the work, an
agenda that is thoroughly integrated into the company’s overall business strategy.
Excess liquidity is to an increasing amount being invested in a sustainable way,
the most recent investment - 100 MSEK in the World Banks Sustainable
Development Bond – is timely: the pandemic disproportionally impacts women’s
health. Earlier sustainable-themed investments have been made into green bonds.
Telia Company has also issued green bonds on its own.

VEON (Netherland) completes the acquisition of minority shareholding in
Pakistan Mobile Communications Limited (PMCL)
VEON Ltd. a leading global provider of connectivity and internet
services, announces that it has successfully concluded the
acquisition of the 15% minority stake in PMCL, the operating
company of Pakistan’s leading mobile operator, Jazz, from the
Dhabi Group for USD 273 million. This transaction follows the
Dhabi Group’s exercise of its put option announced on 28
September 2020 and gives VEON 100% ownership of PMCL. This
simplifies and streamlines the Group’s governance over its
Pakistani assets and enables VEON to capture the full value of this
growing business, including future dividends paid by PMCL.

transaction and take full ownership of our business in Pakistan.
Jazz has an abundance of growth opportunities as its customers

Rogers (Canada) Investing in $300M Partnership to Expand Wireless Connectivity
and Bring Choice to Eastern Ontario
Rogers Communications Inc. announced alongside the Government of
Canada, the Province of Ontario, and the Eastern Ontario Regional Network, a
partnership which is expected to bring reliable wireless connectivity to 99% of
Eastern Ontario’s residents and businesses, bridging the cellular gap to
enhance work, safety, and quality of life in the region. The initiative is part of
Rogers’ ongoing commitment to expand service and improve connectivity for
underserved communities, including rural and remote regions. Rogers will
invest over $150 million in this project, the largest wireless private-public
partnership in Canadian history, to upgrade and expand the region’s wireless
telecommunications infrastructure over five years. The federal and provincial
governments are each investing $71 million to the project, with a $10 million
contribution from the Eastern Ontario Wardens’ Caucus and Eastern Ontario
Mayors’ Caucus. The total investment in this project injects more than $300
million into local infrastructure.

Solution Description
Dedicated mobile network services are now available to enterprise and public sector customers in Norway. The solution is called
Enterprise Mobile Network (EMN) and leverages licensed spectrum over 4G and 5G to deliver secure and robust connectivity to
critical applications in a range of industries like manufacturing, mining and logistics. Customers essentially get their own mobile
network to provide high bandwidth, low latency and safe passage for data traffic to and from systems, for example machines or
vehicles, that are part of connected business processes. Currently, the EMN-solution can be deployed through Telia’s public
mobile network, but with a custom-built radio network, or as a complete private network, with both a local core and radio network
installed at the customer site. The latter version is suitable for the most demanding use-cases in terms of data security, bandwidth
and latency, for example remote steered machinery in a mine. EMN was first launched in the Swedish market, where it has
attracted several high-profile customers like mining companies Boliden and Zinkgruvan Mining as well as forestry industry
group Södra. EMN will continue to be rolled out across Telia’s markets in the Nordics and Baltics.

along this corridor, so that there will be continuous coverage along all 720km of this northern highway through to Prince

Creek, Basalt Creek and Sanderson Point. Work on this infrastructure expansion begins in the spring of 2021 and is

The Luxembourg Government and SES’s fully-owned affiliate SES Techcom launched the second phase of the SATMED
telemedicine project that will run into 2024. Enabled by satellite, SATMED is designed to connect doctors and nurses based in remote
locations to the outside medical world, providing access to the platform’s cloud applications for e-training, virtual consultations,
management and storage of medical data records, and video conferencing. Developed in Luxembourg, the platform has been
deployed since 2014 in 10 locations across Africa and Asia in partnership with NGOs. Since the Ebola outbreak in 2014, it has helped
improve healthcare in the countries like Niger, Philippines, Sierra Leone, Benin and Bangladesh, among others. Most recently,
SATMED played a crucial role in supporting Covid-19 task forces, including in a remote hospital in Sierra Leone in close cooperation
with the NGO German Doctors, and in floating hospitals in remote areas of Bangladesh via NGO Friendship. Since the start of the
Covid-19 outbreak, the Friendship hospitals have served more than 73,000 patients. The new SATMED agreement between the
Luxembourg Government and SES will further broaden accessibility of healthcare for all through supporting medical professionals
in resource-poor areas with telemedicine tools, and in line with the UN’s Sustainable Development Goals.

Safaricom has been awarded the 2020 top taxpayer in the country under the Large Taxpayers category by the Kenya
Revenue Authority (KRA), a ceremony that took place at the Michael Joseph Centre, Nairobi. KRA, the agency
responsible for the efficient assessment and collection of revenue (taxes) on behalf of the Government, honoured
Safaricom for “outstanding contribution to the development of our economy through diligent payment of taxes.” In FY20,
Safaricom paid Kes98 billion in duties and taxes, in addition to Kes20 billion in dividends to the Government of Kenya.
Over the same period, Safaricom sustained more than one million jobs directly and indirectly and spent Kes58 billion with
local suppliers. In the past 5 years, the firms’ cumulative taxes have amounted to Kes409 billion, including Kes95 billion
in dividends. Safaricom continues to implement measures to cushion customers and Kenyans from the negative impact of
the COVID-19 pandemic and has contributed more than Kes10 billion in money, goods and services to the fight against

Toppan Printing a global leader in communication, security, packaging, décor materials, and electronics solutions, and Japan’s
National Institute of Information and Communications Technology (NICT) have entered into an agreement to conduct joint research
on bringing post-quantum public key cryptography to quantum secure cloud technology. Quantum secure cloud technology fuses
quantum cryptography and secret sharing technologies to facilitate secure data communication, storage, and use. The establishment
of the technology will not only ensure a high level of security that makes tampering and decryption impossible, but also enable the
collection, analysis, processing, and use of highly sensitive personal and corporate information accumulated in such fields as medical
care, new materials, manufacturing, and finance. Targeting expanded use of quantum secure cloud technology, Toppan and the NICT
will bring together their respective technologies, insight, and experience to drive the application of post-quantum public key
cryptography in wider society based on access authentication using smart cards equipped with such cryptosystems. The project will
focus on secure data communication, storage, and use enabled by introducing this kind of access authentication to the Healthcare
Long-term INtegrity and Confidentiality protection System (H-LINCOS)1 developed by the NICT and its collaborative partners.

A recently signed partnership agreement between Dwi Tunggal Putra (DTP) and SES Networks is enabling residents
of 158 villages in remote parts of Indonesia’s West Java Province to access crucial online resources such as educational
content, as well as unlocking the potential of the region’s digital economy. The Smart Village project, spearheaded by
Indonesia’s telecommunication and information accessibility agency, Badan Aksesibilitas Telekomunikasi dan
Informasi (BAKTI), aims to bridge the digital divide and bring much-needed e-government and other essential services
to underserved rural communities of Indonesia. Under the multi-year agreement, DTP will be using high-throughput
capacity on the SES-12 satellite to support the Ministry of Communication and Information Technology’s Smart
Village project and fulfil the government’s universal service obligation (USO). SES Networks is already serving the
BAKTI Leased Capacity Project using the SES-12 ground station in Indonesia.

Verizon Business announced it is working with Associated British Ports (ABP) to deploy private 5G at the Port of Southampton.
Delivered in partnership with Nokia, Verizon’s private 5G platform will provide one of the United Kingdom’s (UK’s) busiest
ports with a secure, low-latency private network connection. ABP operates a network of 21 ports, including the Port of
Southampton. Acting as the UK’s number one port responsible for £40 billion in exports from the UK every year, the Port of
Southampton provides a critical link in supply chains serving businesses and manufacturers throughout the nation. It is also the
UK’s number one port for cars and cruise, handling approximately 900,000 cars and welcoming millions of cruise passengers
annually. With this new contract the Port of Southampton will become the first UK mainland port with access to a private 5G
network. The Verizon private 5G platform will provide ABP with a reliable and secure private wireless data network across
selected areas within the East and West Docks of the Port. This will enable data communications to be consolidated onto a single
network, reducing previous complexity as well as helping to improve the reliability and security of terminal communications.

mobile edge computing (MEC). The partnership’s first priorities will focus on 5G immersive-learning and training innovations for

equity stake in Dreamscape through Verizon Ventures, joining a list of Dreamscape investors and partners across entertainment,
education, and government. Verizon and Dreamscape Learn, a partnership between Dreamscape and Arizona State University, will
work together to innovate immersive VR learning experiences for various education levels and environments. To accelerate these
advances, Dreamscape and Verizon will also form a dedicated innovation lab to incubate 5G- and MEC-enabled VR-learning
applications. Outside of the classroom, Verizon and Dreamscape will collaborate to develop and market avatar-driven synthetic
training and simulation experiences for government and specialized professional learning uses. The experiences will combine

ITV's 2030 science-based emissions targets have been officially validated by the Science Based Targets Initiative. This means
ITV’s 2030 emission reduction targets are deemed by the Science Based Targets initiative as consistent with levels required to

reductions required to keep warming to 1.5°C, which is the limit that climate scientists argue is needed to prevent the most

Maxis provided essential aid to B40 households in the Central and Northern regions. These included face masks, hand sanitisers and basic household necessities
such as rice, flour, oil and assorted groceries. The aid was distributed to households at Desa Mentari in Petaling Jaya as well as in Sungai Rapat in Ipoh through
Anning Community Centre. Volunteers from Maxis’ regional offices delivered the aid kits to the community leaders in phases under strict SOPs, keeping their
presence on ground to a minimum and ensuring physical distancing to protect Maxis employees, the public as well as recipients. Ringing in the CNY celebrations
with an inspiring message to all Malaysians on the importance of health and family togetherness, Maxis earlier launched its festive campaign and short film, Little
Lion. To get more families to be active and healthier together, Maxis launched its social contest #MaxisHealthyToHuat, inspired by lion dancing moves.
Throughout the pandemic, Maxis is actively continuing its community outreach and aid for COVID-19 relief efforts. Recently, the company contributed
RM500,000 to Yayasan Kebajikan Negara (YKN) in support of COVID-19 related aid through the distribution of an estimated 5,000 food boxes to communities
severely impacted by the pandemic, as well as allocation for flood-stricken areas. The contribution to YKN is part of the RM1 million pledged by Maxis via the

Lorem ipsum dolor sit amet, consec- tetuer Financial, M&A Updates IT Shades Engage & Enable Airtel (India) announces Spectrum Trading Agreement with Jio Bharti Airtel announced an agreement with Reliance Jio Infocomm (“Jio”) to transfer the ‘Right to Use’ of Airtel’s 800 MHz spectrum in Andhra Pradesh (3.75 MHz), Delhi (1.25 MHz) and Mumbai (2.50 MHz) to Jio. The agreement is subject to statutory approvals. Through this agreement, Airtel will receive a consideration of Rs 1037.6 crores from Jio for the proposed transfer. In addition, Jio will assume future liabilities of Rs 459 crores relating to the spectrum. Upon close, DISH will assume approximately 200,000 customer relationships, the Republic Wireless brand and other supporting assets. Once acquired by DISH, Republic customers will not see any immediate changes to their experience or plans, and there is no need for customers to take action. After the acquisition closes, the existing Relay division of Republic Wireless will continue to operate as a standalone company and will become a wholesale customer on DISH's 5G network. Relay provides communication and productivity solutions for frontline teams in hospitality, facilities management, manufacturing, healthcare and education, and will remain headquartered in Raleigh, NC. The transaction is subject to customary closing conditions, including regulatory approvals. It is expected to close in the second quarter of 2021. The offer price of $40.50 per share represents a significant premium for Shaw shareholders; further details of the transaction are described below. The transaction is not subject to a financing condition as Rogers has secured committed debt financing, which it will use along with balance sheet cash and the issuance of 23.6 million shares to the Shaw Family Living Trust. The combination of Rogers and Shaw builds on the strong legacy of two family-founded Canadian companies. The combined entity will have the scale, assets and capabilities needed to deliver unprecedented wireline and wireless broadband and network investments, innovation and growth in new telecommunications services, and greater choice for Canadian consumers and businesses. As part of the transaction, the combined company will invest $2.5 billion in 5G networks over the next five years across Western Canada, which will enhance competitiveness, offer consumers and businesses more choice and improved services, help close the digital divide between urban and rural communities, and deliver significant long-term benefits for businesses and consumers.
