REFERRAL FEE AGREEMENT
This Referral Fee Agreement is made this _______ day of __________, 2020 between::
PARXTC Export Trading Company doing business as Andrew Networks
(andrew@andrewnetworks.com, 424-243-6580), located at 15504 S. Western
Avenue, Unit 201-25, Gardena, California 90249, hereinafter “Independent Agent”
and:

hereinafter “PRODUCT/SERVICE PROVIDER”.
Independent Agent is an independent Agent willing to provide certain skills and abilities to
the Product/Service Provider that the Product/Service Provider has need for.
In consideration of the mutual terms, conditions and covenants hereinafter set forth,
Product/Service Provider and Independent Agent agree as follows:
1. The Product/Service Provider hereby employs the independent Agent as an
independent Agent, and the Independent Agent hereby accepts employment.
2. The term of this Agreement shall commence on ____________________, 2020.
After the first thirty (30) days of the term, either party may, without cause, terminate this
Agreement by giving 30 days' written notice to the other.
3. Product/Service Provider shall pay to Independent Agent and Independent Agent
shall accept from the Product/Service Provider as compensation/commission ___ percent
(___%) of all cash proceeds resulting from direct introduction of donor/funding
source/client. Independent Agent is responsible for any and all taxes. Product/Service
Provider shall not reimburse for any related expenses, excepting those, if any, specified
and approved in writing, in advance, by both parties.
4. Independent Agent shall provide on an "as needed" basis the following services:
Sales of Products/Services sold/performed by Product/Service Provider.
5. Independent Agent is an Independent Agent and may engage in other business
activities provided, however, that Independent Agent shall not during the term of this
Agreement solicit Product/Service Provider's employees or accounts on behalf of
Independent Agent or another entity.
6. Neither party may assign this Agreement without the express written consent of
the other party.

7. Independent Agent is an Independent Agent and nothing contained in this
Agreement shall be deemed or interpreted to constitute the Independent Agent as a
partner, agent or employee of the Product/Service Provider, nor shall either party have
any authority to bind the other.
8. It is agreed between the parties that there are no other agreements or
understandings between them relating to the subject matter of this Agreement. This
Agreement supersedes all prior agreements, oral or written, between the parties and is
intended as a complete and exclusive statement of the agreement between the parties.
no change or modification of this Agreement shall be valid unless the same be in writing
and signed by the parties.
9. All notices required or permitted to be given hereunder shall be in writing and may
be delivered personally or by Certified Mail - Return Receipt Requested, postage prepaid,
addressed to the party's last known address and/or email address upon “reply”
confirming receipt.
10. This Agreement shall be construed in accordance with and governed by the laws
of the State of California.
INTENDING TO BE LEGALLY BOUND, the parties hereto have caused this Agreement
