Introduction:
Terms and conditions is a set of regulations, which supplier and customer must agree to follow in order to create a contract. They will have to agree on terms and conditions of the contract as well as any possible liabilities in case of a breach of the contract. As one of the major companies in the world, SABIC has a set of detailed terms and conditions referred to as Standard Terms and Conditions in which supplier accepts and aware of before registering in SABIC as an approved supplier. Certainly, it is open for negotiation before the creation of the contract. The standard terms and conditions is very comprehensive to accommodate all type of contracts and types of suppliers. For instance, there is a special terms and contract for internal and external of KSA.

This report evaluates and provides an analysis of the opportunities for the supply and procurement function, explains how the terms and conditions can be improved and how collaboration can be created with stakeholders to increase early engagement. The report also gives a general overview of the need for organizational policies and procurement in order to implement effective procurement supply.
Key findings
· After doing an extensive research, I drew attention to the fact that the company should identify and allocate purchasing activities to achieve the best value for money. I found out that it can be done by applying the five rights of acquisition and value for money criteria to any purchase of good and services similarly assessing the acquisition of possessions and amenities based on total cost of ownership is an important step. Furthermore, creating savings and improve efficiency requires the company to negotiate with the supplier.

23. 1. PRICING - Products and services provided will be invoiced at the price shown and agreed upon at the time of
service, invoice, or, as printed on any and/or all Apache Pressure Products sales/information material including
purchase orders, letters, or emails. Printed prices do not include freight or any applicable taxes. Taxes and other fees
such as shipping will be quoted and or billed as per order, or as required.
2. TREMS OF PAYMENT – Payment is due upon receipt or as agreed to by contract. Any unpaid past due balance
will accrue interest and penalties at the rate of 12% APR, or the max allowed by state law, for the period that the past
due balance remains unpaid, and shall not be less than twenty dollars ($20.00). Further customers agree to pay all
attorney and/or collection fees and waives notice of such should subsequent litigation become required to effect
collection or to assert our interest for unpaid balances.
3. QUOTATIONS - All quotations and sales are F.O.B. our plant in Manvel, Texas. Net prices and discounts are
subject to change without notice. Prices in effect at the time of receipt of order whether higher or lower, will prevail. All
sales tax, use tax, or other excise taxes which may be required by law to be paid in connection with any sale will be
added to the gross sales price.
4. DELIVERY/FREIGHT - All shipments are F.O.B. Manvel, Texas unless otherwise stated. All promises of shipments
are as closely estimated as possible. We will make every effort to ship within the time promised, but do not guarantee
to do so, or assume further or implied liability with respect to delivery dates or timelines. Our responsibility ceases
upon delivery to any common carrier or other agent furnished or specified by the customer and we do not, unless
previously instructed, insure shipments beyond the point of delivery to such carriers. Full freight allowance will be
covered on individual orders of $3000.00-$5000.00 based upon the state to which the shipment will be delivered to.
The Freight carrier will be chosen by the seller unless otherwise instructed or agreed upon in advance by both parties.
Individual orders that do not meet the required amount will not receive freight allowance.
5. SHORTAGES AND DAMAGES IN TRANSIT - All claims for shortages or damaged products must be made within
five days after receipt of shipment. All lost or damaged materials in transit become the responsibility.
6. WARRANTY - This warranty is in lieu of all other warranties, expressed or implied, including any implied
warranty or merchantability or fitness for any use or purpose. All of Apache Pressure Products INC. products are
warranted to be free from manufacturing defects and workmanship for a period of one (1) year from the date of
shipment, and if found to be defective within that period the product will be replaced at no charge to the customer.
However, the product being returned must have been used in accordance with the intended or published purpose, and
approved installation and operating practices. There must be a properly filled out return authorization (RA) before
credit or replacement will be offered.
7. CANCELLATIONS/CHANGES - Cancellations or instructions to change work or delivery must be submitted in
writing to the seller. If any order is canceled the buyer will be responsible for the payment of work already performed
and any material already in use.
