16. Terms Applicable to Products and Services
• Orders. Any and all orders from the Product and Services Catalog shall be governed by these terms and conditions. In the event of
any conflict between these conditions and any specific Work Orders agreed with Openbravo or End User licenses, such specific terms
and EULA will prevail.
• Openbravo Products and Services: licensing and distribution.
– Openbravo Professional Subscription is distributed to End Users under its own End User License Agreement, and subject to
a Professional Edition License and Support Agreement. Terms are at www.openbravo.com/partners/.
– Openbravo Professional Services are provided under the terms for each type of service set out in the Partner Portal.
– Openbravo ERP software is distributed and may be redistributed under an open source license – terms are at
www.openbravo.com/license.
• Territorial restrictions. Certain Partner terms are territorial in nature, as set out in your Partner Agreement. If applicable, Partner
acknowledges that it is not granted any rights to distribute, promote, market, license or deliver the Professional Products or Services,
other than those under an open source license, to any party (including end users) located outside the Territory, without obtaining prior
written consent from Openbravo.
• No intermediation. Partner shall not distribute the Professional Products (including Professional Subscription) or Services in the P&S
Catalog to any party, including any dealers, agents, representatives, sub-distributors, original equipment manufacturers, value added
resellers, systems integrators or other third parties, other than end users when applicable. Partner shall not authorise or appoint any
such third parties to distribute or sublicense these Products or Services without Openbravo’s consent.
• Prices, payments and invoicing
– Any price for Openbravo Products and Services in the P&S Catalog are stated excluding VAT or other applicable sales tax.
Promotional discounts are seasonal and may be withdrawn at any time. All appropriate fees shall be timely paid by Partners.
Openbravo may charge interest at 2% monthly on late payments.
– Invoices for Openbravo Products and Services will be sent to the Partner at the Partner registered address. If Partner wishes to
change this address, please notify partner@openbravo.com.
– Invoices generated by Partner on a monthly basis, based on the fees accrued in each month. Invoices will be emailed to
finance@openbravo.com. Openbravo will make payment on the 15th day of the month, and invoices should be received three
(3) working days prior to such date, failing which they will be paid on the 15th day of the next month

17. Terms Applicable to Products and Services
• Lead and Client management Program - Fees and commissions.
– A “Partner End User” is any end user / client identified by Partner to Openbravo as an actual or potential client of Partner and
not previously registered by another Partner or by Openbravo through the Lead and Client Management Program. To obtain
exclusivity and commissions in relation to products and services sold to this Partner End User, Partner should
register this end user under the Openbravo Lead and Client Management Program.
– A “Referred End-User” is an end-user, previously unknown to Partner and not registered by Partner in the Openbravo Lead
and Client Management Program, who is referred by Openbravo to Partner

implementation project.
Such services include initial analysis, customization / development,
installation and deployment of Openbravo ERP; but exclude hardware costs,
software license fees and ongoing maintenance and evolutionary charges
