Caesars Entertainment, Inc. (USA) Announces Agreement to Sell Belle of Baton
Rouge to Casino Queen Holdings
Caesars Entertainment, Inc., announced a definitive agreement
to sell Belle of Baton Rouge to CQ Holding Company, Inc.
(Casino Queen). Pursuant to the terms of the amended lease
agreement with Gaming and Leisure Properties, Baton Rouge
will be removed from the GLPI Master Lease, and the rent
payments to GLPI will remain unchanged. GLPI will retain
ownership of the real estate of Belle of Baton Rouge. The
transaction is expected to close in mid-2021 and is subject to
regulatory approvals and other customary closing conditions.
Macquarie Capital and Milbank LLP represented Caesars
Entertainment on the transaction.

Caesars Entertainment, Inc. (USA) Completes Previously Announced Sale of Eldorado
Resort Casino Shreveport to Bally's Corporation
Caesars Entertainment, Inc. announced the closing of the sale of
Eldorado Resort Casino Shreveport to Bally's Corporation for
$140 million in net proceeds, subject to a customary working
capital adjustment. Macquarie Capital and Milbank LLP
represented Caesars Entertainment on the transaction.
Executive Commentary
"The completion of the sale of Eldorado Resort Casino
Shreveport satisfies the Federal Trade Commission request
to divest the asset in connection with the Caesars-Eldorado
transaction which closed earlier this year," said CEO of

Caesars Entertainment, Inc. (USA) Enters Agreement to Divest Caesars Southern
Indiana to the Eastern Band of Cherokee Indians
Caesars Entertainment, Inc. announced a definitive agreement to sell the
operations of Caesars Southern Indiana to the Eastern Band of Cherokee
Indians ("EBCI") for $250 million, subject to customary purchase price
adjustments. In addition, at the closing of the transaction, EBCI will enter
into a new lease with year one annual rent payments of $32.5 million with
VICI Properties Inc. who maintains ownership of the real estate of the
property. As a result of this transaction, Caesars annual payments to VICI
Properties under the Regional Master Lease will decline by $32.5 million
upon closing of the transaction. The transaction is expected to close in the
third quarter of 2021 and is subject to regulatory approvals and other
customary closing conditions. J.P. Morgan and Latham & Watkins LLP
represented Caesars Entertainment on the transaction. Innovation Capital
LLC and Brownstein Hyatt Farber Schreck represented the Eastern Band of
Cherokee Indians.

IHG® (InterContinental Hotels Group), one of the world’s leading hotel companies, has completed a landmark deal to sign their first luxury hotel in Mallorca,
under the Kimpton® Hotels & Restaurants brand. When it opens in 2022, Kimpton Mallorca will further expand the brand’s presence in Spain, following the

Hilton (USA) Named ‘Most Socially Responsible Hotel Management
Group of China’

Hilton was recently named the “Most Socially Responsible Hotel Management Group of China,” at the 15th China Hotel Starlight Awards. Hilton won additional accolades at the property
level, with Waldorf Astoria Beijing and Waldorf Astoria Shanghai on the Bund named among the “Best Luxurious Hotels of China,” and Hilton Shenzhen Futian and Hilton Guangzhou Baiyun
recognized as one of the “Top 10 MICE Hotels of China”. At the start of the COVID-19 outbreak in January, 169 Team Members from Hilton’s three hotels in Hubei Province hosted medical
professionals from across China who had dispatched to Wuhan to support the frontline medical efforts. As these medical teams departed for their respective cities after completing their tours
of duty in Wuhan, four other Hilton hotels across China welcomed them as they returned home. To create comfortable stay experiences for medical professionals, Hilton Team Members
overcame multiple hurdles in disinfection, logistics, materials, and staffing. They served delicious and nutritious food and curated a rich variety of activities that the medical professionals
could enjoy in their free time. As COVID-19 developed into a pandemic, Hilton became the first global hospitality company to launch responsive cancellation policies for guests and updating
them repeatedly as the situation evolved. For owners of Hilton properties, policies were also updated several times to reduce the burden on their operations. At the community level, a host of
Hilton properties offered creative acts of care as well as food & beverage services for local volunteers, community agencies, and ordinary workers who performed their duties in supporting
the fight against the epidemic. Hilton also activated a Team Member Assistance Fund that provided aid to Team Members impacted by the coronavirus. This was supplemented by personal
contributions from the Hilton Greater China & Mongolia management team during this year’s Spring Festival and supported all Team Members serving on the frontlines of the response effort
in Wuhan. The various measures deployed during the pandemic are built upon Hilton’s “Travel with Purpose” commitment to drive responsible travel and tourism globally. Since 2017, Hilton
has partnered the China Foundation for Poverty Alleviation (CFPA) to empower university students across the country to drive sustainable change. Last year, the Hilton Effect Foundation
awarded a grant to CFPA for its “New Great Wall Project” to provide financial support to students from disadvantaged backgrounds. Hilton hotels in Greater China also continue to cut their
environmental footprint. Every year, they recycle 45 tons of used soap and eliminate plastic waste that nearly totals 13 million bottles and 1.2 million straws.

Condé Nast Traveler has revealed the results of its 33rd annual Readers’ Choice Awards, recognizing the Waldorf Astoria Hotels & Resorts and Conrad Hotels & Resorts brands, part of Hilton's Luxury Group,
across Asia Pacific with six property wins. The Waldorf Astoria brand in China shone through with three prestigious property wins. Waldorf Astoria Beijing was crowned the top spot in China in addition to
being ranked amongst the world’s top 50 hotels; whilst Waldorf Astoria Shanghai on the Bund placed second and Waldorf Astoria Chengdu placed 15th in China. Hilton’s Conrad resorts in Bora Bora and the
Maldives also gained coveted spots in their respective market categories, securing their place amongst the most desired resorts for travelers to the two destinations, as did Conrad Tokyo in Japan’s Top 10 list.
The Condé Nast Traveler Readers’ Choice Awards are the longest-running and most prestigious recognition of excellence in the travel industry. More than 715,000 Condé Nast Traveler readers submitted an

Global research and consulting firm Great Place to Work®, announced that Hilton took the top spot on the list of this year’s Best Workplaces in Greater China
™ 2020. This is the sixth consecutive year that Hilton has been named to Greater China’s Best Workplaces list, and the second consecutive year that it has
been named as one of the country’s best workplaces for women. With its continued success on the Best Workplaces list, Hilton was granted the additional
honor of being named “The Legend” by Great Place to Work. To receive “The Legend” designation, a company is required to have built solid trust by being
listed among the Best Workplaces in Greater China for at least five consecutive years. This year, only nine companies in Greater China could count
themselves among “The Legend” tier. According to Great Place to Work®, the honor of being named to these lists is the result of dedicated and motivated
employees and leaders, and their commitment in the workplace. This year, Great Place to Work® named 38 companies to its Best Workplaces list in Greater
China, as the research firm conducted a survey of 108 companies with more than 150,000 employees in the Chinese Mainland, Hong Kong and Taiwan. The
survey assesses employees' perceptions of leadership, organizational culture, and trust, and is critical to a company being selected to the list of Best
Workplaces in Greater China™. Earlier, Great Place to Work and Fortune magazine announced that Hilton has been ranked third on the list of World’s Best

Marriott International has been named one of the 2020+ Top 10 Companies for Executive Women by Working Mother Media, for the 17th year. The list
celebrates companies that champion women’s advancement, with a focus on succession planning, profit-and-loss roles, gender pay parity, and programs that
support work-life integration. As a leader in diversity, equity and inclusion, Marriott has firmly established its commitment to women’s advancement:
• Nearly two decades ago, Marriott established a board of directors’committee focused on accountability and advancing inclusive opportunities for women,
people of color and other stakeholders. The committee is chaired by Debra Lee, Marriott board of directors’ member and former CEO BET Networks and
comprised of other board members and Marriott senior executives.
• Marriott’s Women’s Leadership Development Initiative, established over 20 years ago, focuses on increasing the presence of women at the highest level
of management and in other decision-making positions. Core components of the initiative include leadership development, networking and mentoring, and

MGM Resorts (USA) Recognized By The Us Pan Asian American Cham-
ber Of Commerce As A Top 35 Corporation

MGM Resorts is recognized by the US Pan Asian American Chamber of Commerce (USPAACC) as a Top 35 Corporation. The
USPAACC is the most established and largest nonprofit organization representing Pan Asian Americans and their related groups in
business, sciences, the arts, sports, education, public and community services. The announcement was made during the 35th Anniversary
Jade Jubilee virtual tribute event held on December 8. MGM Resorts supports the USPAACC through membership and sponsorship of
their annual CelebrAsian Event which is the largest procurement conference for Asian American businesses, connecting Fortune
corporations and governments with Asian American and minority businesses to pursue contracting relationships. Pan Asian Americans
that include East, South, Southeast Asian and Pacific Islander Americans, represent $1 billion in buying power in 2020; and Pan
Asian-owned businesses produced $700 billion in revenue in 2012, the last Census count. This community is projected to grow to 40
million in population in 2050. The US Pan Asian American Chamber of Commerce Education Foundation (USPAACC) has attained the
status of the most established and most effective national nonprofit business organization representing the fastest growing group in the
United States.

Kind-hearted Midlands hotel team win top award

A Midlands’ hotel team who won a national award for their mission to learn sign language to help better communicate with deaf
guests are now helping teach other hotels across the UK. Premier Inn’s North Midlands team, including members in Telford, Walsall
and Newport were selected from teams across the UK to win a prestigious Whitbread Force for Good award for their efforts in
learning sign language. Force for Good is Whitbread’s commitment to making a meaningful difference to the customers and
communities it serves and encourages teams to champion diversity and inclusion, as well as to raise funds for its charity partner, Great
Ormond Street Hospital Children’s Charity. Just one of the many initiatives this team has been doing is to learn basic hotel sign
language in order to help connect with the deaf community - and now they are passing on their skills across the country. Sign
language has a very special place in Laura’s heart as her sister-in-law Jessica is profoundly deaf and uses British sign language as her
first and preferred language. Additionally, Laura was inspired by other team members who are committed to diversity for their own
personal reasons and together the team determined embarking on the learning was a good way to challenge cultural ‘norms’, change
behaviours, and break down barriers.

Yum China's (USA) "Employee Care Program" Won Innovation Award

Yum China stood out from 78 projects with its "Employee Care Program" and won the "2021 Greater China Compensation and
Benefits Innovation Award" . The "Employee Care Plan" includes a family portrait of restaurant managers and a restaurant love
mutual aid fund. It currently covers more than 20,000 employees and more than 40,000 family members. HRflag is a leading human
resource management think tank in China. It has a number of human resource industry summits and special summits. It is a
professional organization with deep influence in the human resources field. The "Compensation and Welfare Innovation Award"
selects the two categories of "Project/Plan" and "Product/Solution" every year, and commends and rewards corporate human resource
management teams and service companies that are committed to building the most competitive compensation and welfare system. .
Including Yum, three companies won the "Project/Plan" award this time. It is this commitment that drives Yum China's continuous

Hilton announced the signing of an exclusive management license agreement with Country Garden to introduce and develop the Home2 Suites by Hilton® brand in China. The
agreement with Funyard Hotel Investment (Asia) Limited, a subsidiary of Country Garden, further expands the strategic cooperation between Hilton and Country Garden. With
the rise of the Chinese middle class, room supply in the upper midscale hotel segment has experienced corresponding growth of more than 10 percent annually during the last

Marriott International announced that is has signed an agreement with Grupo Hoteles Panamericano to bring the iconic Sheraton Hotels brand to
Bariloche, a major tourism center located in the foothills of the Argentinean Andes. Slated to debut in January 2022, the property is expected to
feature 161 rooms after undergoing an extensive conversion. Located in Bariloche’s city center atop an elevation with outstanding views to the
Nahuel Huapi Lake, Sheraton Bariloche, currently branded as Hotel Panamericano Bariloche, is situated just steps from San Martín street- the
destination’s buzzing entertainment center featuring a broad selection of bars and restaurants. Bariloche is renowned for skiing, trekking and
mountaineering and is the most visited resort town in Argentinean Patagonia attracting two million visitors annually. In recent years, the
destination has become the best kept secret for summer skiing with US travelers. Sheraton Bariloche will be managed by Gotel Hotel Management
under a franchise agreement. The Argentinean company was created to strategically collaborate with Marriott International to further expand the
presence of Marriott brands in Argentina, Uruguay and Paraguay. Marriott International and Gotel recently announced the opening of Buenos Aires
Marriott, a major achievement that brought the Marriott Hotels brand back to the country at an iconic location. Currently, Marriott International

(USA) Enters Agreement to Divest Caesars Southern Indiana to the Eastern Band of Cherokee Indians Caesars Entertainment, Inc. announced a definitive agreement to sell the operations of Caesars Southern Indiana to the Eastern Band of Cherokee Indians ("EBCI") for $250 million, subject to customary purchase price adjustments. In addition, at the closing of the transaction, EBCI will enter into a new lease with year one annual rent payments of $32.5 million with VICI Properties Inc. who maintains ownership of the real estate of the property. As a result of this transaction, Caesars annual payments to VICI Properties under the Regional Master Lease will decline by $32.5 million upon closing of the transaction. The transaction is expected to close in the third quarter of 2021 and is subject to regulatory approvals and other customary closing conditions. J.P. Hilton won additional accolades at the property level, with Waldorf Astoria Beijing and Waldorf Astoria Shanghai on the Bund named among the “Best Luxurious Hotels of China,” and Hilton Shenzhen Futian and Hilton Guangzhou Baiyun recognized as one of the “Top 10 MICE Hotels of China”. At the start of the COVID-19 outbreak in January, 169 Team Members from Hilton’s three hotels in Hubei Province hosted medical professionals from across China who had dispatched to Wuhan to support the frontline medical efforts.
