SUBJECT: A Resolution authorizing the City Manager to execute an amendment to the
professional master services agreement with WGI, Inc. for the Austin Highway /
Lower Broadway Improvement project for engineering design and project
management services and issue Work Authorization #2 in a not to exceed amount
of $120,000.00.

SUMMARY
A Resolution authorizing the City Manager to execute an amendment to the professional master
services agreement with WGI, Inc. for the Austin Highway / Lower Broadway Improvement
project for engineering design and project management services and issue Work Authorization #2
in a not to exceed amount of $120,000.00.
BACKGROUND INFORMATION
On April 12, 2021, City Council authorized the City Manager to execute a professional services
agreement for the Austin Highway / Lower Broadway Improvement project with the engineering
firm of WGI and issue Work Authorization #1 in a not to exceed amount of $85,000 and
authorizing a budget amendment of $10,000 to the FY 2021 budget for work authorization #1 for
engineering services. WGI was the number one selected engineering firm as a result of the RFQ
process in early 2021.
The Austin Highway / Lower Broadway Improvement project area spans from Broadway from its
intersection with Austin Highway (Texas State Loop 368) to its intersection with Burr Road within
the limits of the City of Alamo Heights. The Texas Department of Transportation (TxDOT) is the
owner and manager of the roadway and is overseeing the improvement project. Planned project
components include three northbound lanes and three southbound lanes widened to 11 feet;
enhanced operational improvements for safety and connectivity; ADA improvements; sidewalk /
shared use path (SUP), bike accommodations and transit connections; drainage improvements and
enhanced stormwater quality features; access management; mill/overlay and utility burial. In
addition, the City intends to improve aging water and sewer infrastructure in the project area
concurrent with the other project components.
During the negotiations of Work Authorization #1, it was determined that the multiyear project
was better suited to break the work authorization into several stages to align with budget years in
order that Council can better align priorities and fund the ongoing engineering costs. The first stage
of the project was scheduled to run from April 12, 2021 through September 30, 2021. However,
in September 2021 TxDOT changed the project parameters, pausing the project for one year and
limiting the need for additional engineering services from WGI.
In August 2022, TxDOT formally resumed the project under the current parameters. Work
Authorization #2 continues WGI’s contribution to engineering design and project management
2. services work on the Austin Highway / Lower Broadway improvement project. If approved, WGI
will provide project management and liaison services for the city in all aspects of the project. In
addition, engineering services as authorized may include design review, coordination with public
and private stakeholders, technical support, and project management. Additional work
authorizations for plan preparation services, bidding phase services, and construction phase
services may also be necessary and be negotiated for Council approval during future meetings.
These services may be considered in future work authorizations.
The adoption of the proposed Work Authorization would provide these services up to September
31, 2023, with an option to extend services past that date through a Supplemental Work
Authorization.
The proposed amendment to the professional master services agreement with WGI provides the
City the ability to terminate the agreement with WGI should future actions or inactions occur by
one or more governmental entities or agencies, including but not limited to the State of Texas,
Texas Department of Transportation or the Alamo Area Metropolitan Planning Organization. In
addition, the amendment allows the City to suspend the contract immediately for any reason.
POLICY ANALYSIS
This action is consistent with City policy in negotiating professional services contracts. This
action is consistent with the City’s interest to have professional expertise to articulate and
incorporate City priorities in the Austin Highway / Lower Broadway improvement project.
FISCAL IMPACT
Approval of Work Authorization #2 authorizes payment to WGI in an amount not to exceed
$120,000.00 for design and project management services for the Austin Highway / Lower
Broadway Improvement project. This amount is budgeted in the FY 2023 Budget.
COORDINATION
Staff coordinated with the City Attorney to review the agreement for Council consideration.

A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE
AN AMENDMENT TO THE PROFESSIONAL MASTER SERVICES
AGREEMENT WITH WGI, INC. FOR THE AUSTIN HIGHWAY/LOWER
BROADWAY IMPROVEMENT PROJECT AND ISSUE WORK
AUTHORIZATION NO. 2 THEREUNDER.
WHEREAS, the City of Alamo Heights (“City”) budgeted for engineering services for the Austin
Highway/Lower Broadway Improvement Project; and
WHEREAS, the City of Alamo Heights has previously executed a master services agreement with
WGI, Inc. effective April 21, 2021 and issued Work Authorization No. 1 pursuant to the master
services agreement and continues to work with WGI, Inc. for engineering services; and
WHEREAS, the City of Alamo Heights and WGI, Inc. desire to amend the terms of the master
services agreement to modify the process for termination for convenience and suspension due to
state government or state agency beyond the control of both parties; and
WHEREAS, the City of Alamo Heights now desires to issue Work Authorization #2 for the
purpose of continuing to pursue phase 1 (DESIGN REVIEW) and proceed to Phase 2
(COORDINATION WITH PUBLIC & PROJECT STAKEHOLDERS) and Phase 3
(TECHNICAL SUPPORT) under the scope of services of the master services agreement; and
WHEREAS, the cost for Work Authorization #2 is not to exceed $120,000.00, and
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
ALAMO HEIGHTS, TEXAS:
The City Council authorizes the City Manager to:
1) execute the First AMENDMENT to the Professional Services Agreement
ENGINEERING DESIGN AND PROJECT MANAGEMENT SERVICES FOR THE AUSTIN
HIGHWAY / LOWER BROADWAY PROJECT attached hereto as Exhibit “A”; and
2) issue Work Authorization #2, in an amount not to exceed $120,000.00 for engineering
services on the Austin Highway/Lower Broadway Improvement Project with WGI, Inc. attached
hereto as Exhibit “B”.

FIRST AMENDMENT TO:
ENGINEERING DESIGN AND PROJECT MANAGEMENT SERVICES FOR THE
AUSTIN HIGHWAY / LOWER BROADWAY PROJECT
This AMENDMENT to the Professional Services Agreement for ENGINEERING DESIGN
AND PROJECT MANAGEMENT SERVICES FOR THE AUSTIN HIGHWAY/ LOWER
BROADWAY PROJECT dated April 21, 2021 (this “Amendment”) is entered into by and between
City of Alamo Heights (“City”), and WGI, Inc. (“Consultant”) together referred to as “the Parties.”
RECITALS
WHEREAS, City and Consultant are Parties to Professional Services Agreement for
ENGINEERING DESIGN AND PROJECT MANAGEMENT SERVICES FOR THE AUSTIN
HIGHWAY / LOWER BROADWAY PROJECT dated April 21, 2021; (referred to herein as the
“Agreement”); and
WHEREAS, the Parties desire to modify the process for termination for convenience and
suspension due to the action or inaction of state government or state agency beyond the control of
both parties for the benefit of both parties.
AGREEMENT
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained in the
Agreement, the receipt and adequacy of which are hereby acknowledged, City and Consultant
hereby agree as follows to add the underlined text and delete the struck through text:
1. Amendments.
(a) RIGHT OF CITY TO TERMINATE. Pursuant to Article X.2 of the Agreement,
City and Consultant desire to amend the section entitled “RIGHT OF CITY TO
TERMINATE” to add X2.2 as follows:
“X.2 RIGHT OF CITY TO TERMINATE
X.2.1 City reserves the right to terminate this Agreement, for reasons other than
substantial failure by Consultant to perform, by issuing a signed Notice
of Termination, citing this ARTICLE X.2, which shall take effect on the
twentieth (20th
) calendar day following receipt of said notice or upon the
scheduled completion date of the performance phase in which Consultant
then currently is working, whichever effective termination date occurs
first.
X.2.2 In the event the City determines the actions or inactions of one or more
governmental entities or agencies (including but not limited to the State
of Texas or Texas Department of Transportation or the Alamo Area
Metropolitan Planning Organization, but expressly excluding the City)
make the Project untenable, City reserves the right to terminate this

Agreement, for convenience, by issuing a signed Notice of Termination,
citing this ARTICLE X.2.2, which shall take effect immediately upon
receipt of said notice.”
(b) RIGHT OF CITY TO SUSPEND GIVING RISE TO RIGHT OF
CONSULTANT TO TERMINATE. Pursuant to Article X.3 of the Agreement, City
and Consultant desire to amend X.3.1 of the section entitled “RIGHT OF CITY TO
SUSPEND GIVING RISE TO RIGHT OF CONSULTANT TO TERMINATE” to
read as follows:
“X.3.1 City reserves the right to suspend this Agreement at the end of any phase
for the convenience of City by issuing a written and signed Notice of Suspension,
citing this ARTICLE X.3.1, which shall outline the reasons for the suspension
and the expected duration of the suspension, but such expected duration shall, in
no way, guarantee what the total number of calendar days of suspension shall
occur. Such suspension shall take effect immediately upon receipt of said Notice
of Suspension by the Consultant. City’s election to issue a notice of suspension
pursuant to this Section X.3.1 shall not prohibit City from taking other actions,
including but not limited to those in X.2 above.”
2. No Other Changes. The Agreement effective upon full execution hereof, as amended by this
Amendment, is hereby ratified and confirmed and will continue in full force and effect, and
the Agreement, as amended by this Amendment, will be read and construed as one instrument.
3. Choice of Law. This Amendment will be construed in accordance with and governed by the
laws of the State of Texas.
4. Effective Date. This Amendment will become effective upon execution and approval by City
Council.
IN WITNESS WHEREOF, the City of Alamo Heights lawfully has caused these present to
execute this Agreement by the hand of City Manager, or his/her designee; Consultant, acting by
the hand of does now sign, execute and deliver this document.

WORK AUTHORIZATION #2
Austin Highway/ Lower Broadway Improvement Project
This Work Authorization No. 2 is made pursuant to the terms and conditions of the City
of Alamo Heights Contract for Engineering Design and Project Management Services,
being dated April 12, 2021, and entered into by and between City of Alamo Heights, Texas,
a political subdivision of the State of Texas, (the "City") and WGI, Inc. (the "Consultant").
Part 1. The Consultant will provide the following Engineering Design and Project
Management Services set forth in Attachment “B” of this Work Authorization.
Part 2. The maximum amount payable for services under this Work Authorization without
modification is $120,000.00.
Part 3. Payment to the Consultant for the services established under this Work
Authorization shall be made in accordance with the Contract.
Part 4. This Work Authorization shall become effective on the date of final acceptance and
full execution of the parties hereto and shall terminate on September 30, 2023. The
Services set forth in Attachment “B” of this Work Authorization shall be fully completed
on or before said date unless extended by a Supplemental Work Authorization.
Part 5. This Work Authorization does not waive the parties’ responsibilities and
obligations provided under the Contract.
Part 6. City believes it has sufficient funds currently available and authorized for
expenditure to finance the costs of this Work Authorization. Consultant understands and
agrees that City’s payment of amounts under this Work Authorization is contingent on
the City receiving appropriations or other expenditure authority sufficient to allow the
City, in the exercise of reasonable administrative discretion, to continue to make payments
under this Contract. It is further understood and agreed by Consultant that City shall have
the right to terminate this Contract at the end of any City fiscal year if the governing body
of City does not appropriate sufficient funds as determined by City’s budget for the fiscal
year in question. City may affect such termination by giving written notice of termination
to Consultant.

SERVICES TO BE PROVIDED BY THE CITY FOR
Austin Highway/ Lower Broadway Improvement Project
In general, the City of Alamo Heights and its representatives to their best efforts will render services
as follows:
1. Provide name, business address, and phone number of City’s project manager.
2. Assist Consultant, as necessary, with obtaining data and information from otherlocal,
regional, State and Federal agencies required for this project.
3. Obtain Rights of Entry, as required, from property and businessowners.
4. Provide available appropriate City data, including plans and specifications developed
by others, that are deemed pertinent to the completion of the work required by the
scope of services.
5. Provide available criteria and full information as to the City’s requirements for the
project including examples of acceptable format for required deliverables, when
available.
6. Provide information on any meetings/discussions held with adjoining property owners,
business owners, and agencies that may impact the project.
7. Provide timely reviews and decisions necessary for the Consultant to perform its
services. Review recommendations offered by the Consultant, progress of work, and
final acceptance of appropriate documents.
8. Submittal of documentation and permits to regulatory agencies for review and
comment.
9. Support project development efforts with stakeholders, coordinate meetings and
interface with stakeholders, as needed.
10. Post and maintain project-related information for public consumption on the City
website.
11. Assist with coordination between the Consultant and the City’s other consultants.
12. Negotiate with all utility companies for any agreements and/or relocationsrequired.

Austin Highway/ Lower Broadway Improvement Project
PROJECT DESCRIPTION
Project Limits
Lower Broadway from its intersection with Austin Highway (SH 358) to its intersection with Burr Road
within the limits of the City of Alamo Heights. Limits may be extended on lower Broadway to facilitate
drainage improvements and pavement transitions on either end of Broadway and on the intersecting
streets. Limits may also be extended on Austin Highway and its intersecting streets to facilitate drainage
improvements and pavement transitions.
Existing Facility
Six-lane roadway with raised median in some locations and sidewalks, storm water drainage,
underground water, and sanitary sewer lines.
Proposed Facility
Six-lane roadway with raised center medians, new traffic/crosswalk signals, enhanced sidewalk and
bicycle access, replaced water and sanitary sewer lines and associated services, improved underground
drainage facilities, low impact development features, landscaping and increased number of trees, improved
parking access and streetscape.
Design Criteria
As defined in individual Work Authorizations.
Proposed Services to be provided by Consultant
Project Management and Liaison services for the City in all aspects of the Project plus Engineering
Design services as authorized by the City which may include thefollowing:
1. DESIGN REVIEW
a. Consultant shall perform periodic reviews of preliminary and final plans, specifications, and estimates
(PS&E) prepared by TxDOT’s engineering consultant (Jacobs) as requested by City or as necessary to
facilitate completeness of the PS&E and incorporation of City’s needs within the PS&E documents.
This shall include a review of constructability, construction sequencing, scheduling, and technical
adequacy (including but not limited to compliance with laws and regulations) but does not include
signing/sealing or approving any of the documents prepared by Jacobs or other consultants under
contract with TxDOT for this Project.
b. Consultant shall perform periodic reviews of preliminary and final PS&E prepared by City’s
planning/landscape consultant (Overland Partners/TBG) as requested by City or as necessary to
facilitate completeness of the PS&E and consistency with Jacobs PS&E. This shall include a review
of constructability, construction sequencing, traffic control/phasing, scheduling, and technical
adequacy (including but not limited to compliance with laws and regulations) but does not include
signing/sealing or approving any of the documents prepared by Overland Partners/TBG or other
consultants under contract with the City for this Project.

2. COORDINATION WITH PUBLIC & PROJECT STAKEHOLDERS
a. Consultant shall participate in coordination meetings with TxDOT, Bexar County, AAMPO, SARA, and
other agencies as authorized by City.
b. Consultant shall advise the City and assist City in its coordination/negotiation with CPS Energy regarding
electrical power lines within the project limits and telecommunication/digital service providers within the
Project.
c. Consultant shall advise the City in its coordination with San Antonio VIA regarding transit/bus service
during and upon completion of Project.
d. Consultant shall advise and assist the City in its communication and coordination with the
business/property owners, residents, and general public during the planning, design, and construction
phases of the Project.
3. TECHNICAL SUPPORT
a. Drainage evaluation/validation of documents and PS&E developed by Jacobs
b. Existing box culvert, curb inlet, and storm sewer outfall evaluations
c. Complete Streets and multimodal features
d. Adequacy of parking during and upon completion of Project
e. LID/green infrastructure features in conjunction with existing and proposed storm sewer system
f. Provide utility coordination support
g. Traffic signal timing/pedestrian access features
h. Evaluation of traffic data, studies, and provide recommendations
i. Preparation of cost estimates
j. Business rejuvenation services
4. PLAN PREPARATION (PS&E) SERVICES (Not applicable to this Work Authorization)
a. Consultant will design necessary replacement/relocation of City water and sanitary sewer facilities
within the Project for joint bid with the TxDOT roadway improvements.
5. BIDDING PHASE SERVICES (Not applicable to this Work Authorization)
a. Review bid evaluation documentation prepared by TxDOT consultants and advise City of any
identified items not in City’s best interests.

infrastructure/complete streets elements bid separately from TxDOT project and advise City of any

6. CONSTRUCTION PHASE SERVICES (Not applicable to this WorkAuthorization)
a. Provide project observer(s) periodically throughout construction of the TxDOT project and any additional
City project(s) and advise the City of any identified items not in City’s best interests.
7. PROJECT MANAGEMENT
a. Communication:
ď‚· Designate one Licensed Professional Consultant (Texas) to be responsible for the project management,
and all communications with the City and its representatives.
b. Monthly Progress Report, Invoices and Billings (date of execution of WA #2 through September 30, 2023):
ď‚· Submit monthly progress status reports to the City. Progress reports will include deliverable table, tasks
completed, tasks/objectives that are planned for the upcoming periods, lists or descriptions of items or
decisions needed from the City and its representatives. Sub-consultant progress will be incorporated into
the monthly progress report.
ď‚· Prepare correspondence, invoices, and progress reports on a monthly basis in accordance with current
City requirements.
c. Quality Assurance and Quality Control (QA/QC):
 For each project design, PS&E design review (including TxDOT’s engineering consultant (Jacobs) and
City’s planning/landscape consultant (Overland Partners/TBG)) or written report deliverable submittal,
provide evidence of their internal review and mark-up of that deliverable as preparation for submittal
and in accordance with project specific QA/QC plan.
ď‚· Provide continuous QA/QC throughout the duration of the scheduled services included herein to appraise
both technical and business performance and provide direction for projectactivities.
d. Project Coordination & Administration:
ď‚· Prepare and maintain routine project record keeping including records of meetings andminutes.
ď‚· Correspondence and coordination will be handled through and with the concurrence of the City.
ď‚· Manage project activities (including documenting emails, phone, and conference calls, maintain project
files for the length of the project, meeting agendas, meeting minutes, and schedule meetings), direct
Consultant's team/staff, coordinate and review sub-consultant work, correspond with the City and its
representatives, and assist the City and its representatives in preparing responses to Project-related
inquiries.
