15. Terms & Conditions:
Indian Clients:
We start a Project only after the receipt of written acceptance of the
quotation. Acceptance of the quotation is deemed to include
acceptance of these Terms of Business.
Quotations are valid for 30 days from the date of issue. If, however,
the terms of reference or methods are changed you agree that the
quotation will be revised accordingly.

Quotations are made exclusive of Service Tax. All monetary amounts
are in INR unless agreed by us in writing in advance. Invoices must
be settled in INR to the full amount with any bank charges to be paid
by the client.
Where Base Research have been asked to provide cash expenses /
incentives a separate Incentive Invoice will be raised. Such Invoices
are due for IMMEDIATE payment INR FULL.
16. All other invoices are due for payment after 21 days unless otherwise agreed in
writing.
In the case of invoices that are sent to third parties the liability for outstanding
money shall revert after 40 calendar days to the person or persons or company
responsible for commissioning the Fieldwork.

If a Project is cancelled, reduced in scale or curtailed by arrangement between the
Client and the Company, the Cancellation Provisions as set out in our Cancellation
and Postponement page will apply
17. Non Indian Clients
Work on a Project will only commence upon receipt of written acceptance
of the quotation. Acceptance of the quotation is deemed to include
acceptance of these Terms of Business.

18. 50% of our Fees are payable on commissioning plus any
disbursements that exceed our credit limits .Base Research will raise
an Initial Invoice for this purpose. Such Invoices are due for payment
after 7 days. The balance of the Fees plus all other agreed
disbursements will be invoiced upon completion.
Where Base Research have been asked to provide cash expenses
they will either be included in the Initial Invoice or Base Research may
at its sole discretion issue a separate Actual Reimbursement Invoice.

19. Force Majeure
Base Research shall not be liable for any delays, failures, losses or damage
of any kind whatsoever including any delay by Market Xcel in the provision
of any Services where such delay arises from any cause beyond the
reasonable control of the Company.

Such causes include but are not restricted to Acts of God or of the public
enemy fires floods adverse weather earthquakes traffic or transport
disruption or failure illness epidemics quarantine restrictions strikes or other
industrial action freight embargoes electrical cut or shortage communication
equipment or system failures acts or omissions of subcontractors or other
third parties or any other circumstances beyond its control.
20. Jurisdiction and Dispute
Resolution
All the matters of dispute shall be subject to Delhi jurisdiction.
Where any party becomes involved in a dispute claim or potential claim in
relation to which they are or may become parties to legal proceedings
they will take steps to:
a) Follow a reasonable procedure prior to and with the intention of
avoiding formal legal proceedings;

b) Encourage all parties involved to use an alternative dispute resolution
(ADR) procedure at an early stage and at any other relevant stages
where appropriate;
c) in the event that any party involved requests ADR and any of the parties
wishes to decline, put their reasons for so declining in writing to the
other parties involved
21. During the course of a project Base Research may carry out any of the following services.
