What is the function of an introductory presentation?
As an additional assistance to EOs, introductory presentations are conducted around the country from time to time by qualified
people who explain the details of the PME opportunity and also provide a factual presentation in respect of the endorsed
products. These receptions are not intended for any specific individual but rather cater for audiences of diverse backgrounds.

How much can I earn?
With PME there is no limit to your earning potential! You can continue to grow your
Enterprise for as long as you like and there is no limit to the number of new product

Below is a real example based on the experience of one of Prime Meridian Enterprises’
actual EOs. While this example demonstrates what is achievable, your own experience
may be quite different depending on how much time, effort and commitment you put
into building your Enterprise. Where no income is earned on a particular circle, this is
because that circle has not been activated by a qualifying EO. (See “How does an EO
qualify to earn Market Development Allowances?” for further clarity on this subject.)

How does an EO qualify to earn Market Development
Allowances?
You can earn a continuing monthly Market Development Allowance (MDA) for every new product owner you or your EOs reach. The amount of the
MDA depends on the value of the product purchased (see Market Development Allowance Table). Each Circle of Influence pays a different % of the MDA
and is subject to the Risk and Experience Quotient (REQ) – See “How does the MDA adjustment factor work?” below.

To start earning in your 1st Circle of Influence, you must have at least 4 paying product owners in that Circle – see figure 1 below. You can activate other
Circles when you have an EO who has at least 4 paying product owners of his own in a particular Circle. In Figure 2 below you would qualify for MDAs
on both the 1st and 2nd Circles of Influence because you are a qualifying EO and one of your product owners has himself become a qualifying EO, i.e.
one of your product owners also has 4 paying product owners within his 1st Circle of Influence.
Similarly, figure 3 shows that you qualify for MDAs on all the product owners on Circles of Influence 1, 2 and 3. This is because you are a qualifying EO
and there is a qualifying EO within each of the 1st and 2nd Circles of Influence. In this example, you will receive MDAs for all 6 product owners within
the 2nd Circle of Influence and not just those 4 of the qualifying EO.
You will receive your MDA month after month, year after year – for as long as the product payments continue to be made – without any time limit! See
the Enterprise Code for further details in this regard.

How are the MDAs calculated?
The MDA’s are subject to an adjustment factor which is determined by reference to
the Circle of Influence from where a product payment arises.
Figure 4 shows that you qualify for 100% of the MDA amount in Table 1 from
product payments originating from your 1st Circle of Influence. Similarly, 200% of
the MDA amount in Table 1 will be earned from product payments originating in your
2nd Circle and so on.
PME also allows you to expand your Enterprise and increase your earnings by
introducing others to this incredible opportunity. When others choose to become EOs,
you will also earn continuing allowances from their new product owners.
This means that their success will become your success!

How do the Milestone Bonuses Work?
With Prime Meridian Enterprises your successes as an EO are not only openly recognised with special awards at EO events but also generously rewarded

In order to qualify for a particular milestone an Enterprise Owner needs to meet the minimum first circle requirements as well as the total number of paid
product owners as outlined in this table.
Monthly bonuses are paid for a period of 12 months from the date of its achievement. If a current monthly bonuses earner fails to achieve the current
minimum requirements for that particular milestone, then the previously achieved monthly bonus will be paid provided that it falls within the stipulated
12 month period of achieving that previous milestone.

Prime Meridian Enterprises is committed to the highest ethical standards, including awareness of and adherence to all
applicable laws. South African law does not prescribe a formal warning for Enterprise MDAs. However, the following refl ects
the intentions and spirit of Prime Meridian Enterprises:
1. Prime Meridian Enterprises does not guarantee income by just becoming an Enterprise Owner or by just distributing marketing
materials. As is the case with any business opportunity, it will take much effort, passion and time to build your Enterprise to a point
where it produces high levels of continual income.
2. Do not believe any representations advocating that quick income is easily achieved without being actively involved this is not a “get-rich-
quick” scheme.
3. Success is more likely for people who learn communication and market development skills through professional training, reading and
practise.
4. Any person participating in Prime Meridian Enterprises should do so without inducement. Prime Meridian Enterprises (Pty) Ltd, its
Principals and Executives shall not be held responsible if an Enterprise Owner fails to make it clear to consumers that no solicitation
can be made to secure sales of Prime Meridian Direct’s products and/or services as a prerequisite to earning Market Development
Allowances or incentives which are administered and paid as per the Enterprise Code.
5. Prime Meridian Enterprises will only accept new Enterprise Owners if they are satisfi atisfi ed that such
Enterprise Owners:
(a) Fully understand the opportunity;
(b) Set realistic earnings expectations;
(c) Commit to always conduct themselves in a professional and ethical
manner in accordance with the Enterprise Code.
6. Set yourself realistic expectations. Prime Meridian Enterprises will share with
you example fi nancial tables indicating possible income levels. These are not
guaranteed incomes. They take time to achieve and represent targets for EOs to

work towards. Actual Enterprise structures will differ for each ambassador and will
probably include active and non-active product owners – remember, it is perfectly

possible for your product owners to cease being an EO or to discontinue their
product payments.
7. MDAs will only be paid to qualifying EOs in respect of paying Prime Meridian
Enterprises product owners – thereby securing the fi nancial integrity of your Enterprise.

All successful EOs have several things in common – they are hardworking, persistent, ambitious and committed to steadily building a lifestyle that
is brighter and more secure than today’s. Successful EOs are patient and accept that things worth building take time. They are resourceful and tap into all
their available sources when establishing who might be a potential EO or product owner. Friends, family, colleagues, church groups, sports club members
etc. are all immediate sources of potential candidates.
Following this simple
formula, the results
are amazing!
Successful EOs have a deep appreciation for the PME opportunity and
understand the benefits of its endorsed products to be efficient and
effective ambassadors. All successful EOs subscribe to and practice
the EO Creed and have a full understanding of the Enterprise Code.
Finally, we recommend that you follow a simple growth formula for
your Enterprise that is easy to fit into your present life and not too
demanding. In order to qualify for allowances with PME you need to have just 4 paying product owners. This is your first major target and you should aim
to achieve it in your first month. Just 4 people! That’s less than one a week. Once you have 4 paying product owners in place your Enterprise is alive and
active. Then all you need to do thereafter is add just 2 new product owners a month. That’s 1 every 2 weeks. Not a lot of time required – about 2 to 4 hours
a month! Who can’t afford to give 2 to 4 hours a month to something that could change your future?

Is Prime Meridian Enterprises
a pyramid scheme?
Certainly not! To better understand this question one must
fi rst understand what a “pyramid scheme” is and
why historically pyramid schemes have attracted
such negative publicity.

What is a “pyramid scheme”?
Some of the most prominent features of pyramid schemes include:
• Up front investment of large sums of money.
• No real product or service being delivered to the investor.
• The promise of extraordinarily high rates of return on the investment with
“little or no risk” – a speculative investment.
• Over a short period of time.
• Investment returns that are not linked to the performance of any underlying
portfolio of assets.
• The requirement of an ever-increasing fl ow of investment funds from new
investors to pay off existing investors.
• Many losers paying a few winners.
The basic concept is usually that you invest a large sum of money in a pyramid
scheme on the basis that you will quickly receive a return of many times your original
investment simply by introducing a minimum number of new investors to the
scheme.
An important diffi culty with most pyramid schemes is that the lower you are in the
pyramid structure or the later you join, the lower the probability of ascending to the
top level of the pyramid structure and getting your expected investment return.
Eventually, the odds of receiving your promised investment return are so small they become
negligible. It is usually as the odds approach zero that pyramid schemes fail. Statistically, 88% of
pyramid scheme participants lose their investment.
Pyramid schemes are illegal largely because there is no real underlying economic rationale for the
transaction. Cash simply changes hands and no genuine products or services are delivered.
Many ordinary people have lost their pension and retirement funds as a result of investing in such
schemes and consequently much litigation involving the owners of such schemes has ensued.

Walking direct mail distributors: EOs are walking direct mail distributors – they deliver complete product promotional material and
information packs, including full, easy to read policy documents and salient feature summaries where appropriate. (EOs do not sell anything

Market Development Allowances: EO’s are remunerated for successfully identifying and delivering to persons who will respond positively

21. Enterprise Code
By agreeing to become an Enterprise Owner (“EO”) of
Prime Meridian Enterprises (“Enterprises”) you agree to
keep abreast of, be bound by and comply strictly with the
rules, regulations and code of ethics embodied herein (“the
Code”) and as updated from time to time. Please refer
to the glossary of terms at the end of this document for
detailed explanations of all important terms and acronyms
used in this document.
References in this code to “the parties” are references to
Enterprises and the EO, who are bound to each other by the
terms of this code as contracting parties.
1. Your Appointment
1.1 Your appointment as an EO will commence upon receipt
of an SMS or other electronic or written communication
from Enterprises confi rming your unique EO number.
1.2 As an EO you are permitted to conduct the activities
of an EO throughout the Republic of South Africa on a
non-exclusive basis.
1.3 Nothing in this code or any other Enterprises
documentation will mean, whether express or implied,
that you have been appointed as a fi nancial or insurance
advisor or consultant or broker, or as an agent or
representative of Enterprises or any of its endorsed
product suppliers.
1.4 Nothing contained herein will be construed as creating
an agency, partnership or joint venture between
Enterprises and the EO.
1.5 Nothing herein will be construed as creating an
employer employee relationship between Enterprises
and the EO for any purpose whatsoever, including
without limitation, for the purposes of the Labour
Relations Act, 1995 (as amended), the Basic Conditions
of Employment Act, 1997 (as amended), the
Unemployment Insurance Act, 1996 (as amended), and/
or any other relevant legislation that may normally be
applicable to an employer-employee relationship.
1.6 In terms of your appointment as an EO, you are not
required nor permitted to operate from Enterprises
premises. You will operate independently without
supervision and according to your own hours of work.
You will only be rewarded for the results of your lead
generation and market development activities as
regulated by section 7 of this code.
1.7 As an EO you are:
1.7.1 not entitled to any of the benefi ts available to
Enterprises employees;
1.7.2 not permitted to operate from Enterprises’ premises;
1.7.3 liable for your own operational costs;
1.7.4 upon termination as an EO, not entitled to any rights
in respect of redundancy or retrenchment or any rights
to retrenchment procedures, severance pay or other
benefi ts generally afforded to employees.
1.7.5 not permitted to include any direct family within your
circles of infl uence. Should you within 12 months of
your appointment, become engaged to, or marry, or
take up permanent residence with another EO who
falls within your 1st, 2nd or 3rd circle of infl uence,
such EO’s appointment will automatically terminate.
Similarly, if you fall within the 1st, 2nd or 3rd circle of
infl uence of another EO and within 12 months of your
appointment you become engaged to, or marry, or
take up permanent residence with such other EO, your
appointment as an EO will automatically terminate.
2. Your Activities
2.1 Your role as an EO is to deliver to people you know or

ople may, of their own accord, acquire one or more

2.2 The EO must always conduct himself professionally
and ethically with integrity, objectivity, confi dentiality,
due competence and care. These ethical standards are
further detailed in rule 5 and wholly comply with the
Code of Good Practices suggested by the South African
Department of Trade and Industry and the Code of
Ethics and Standards followed by the Direct Marketers
Association of South Africa.

kind and that those buying such products must apply
themselves to such literature or information and make
their own arrangements to ensure that such products
are appropriate to their circumstances and needs.
4. Don’ts
As an EO you may NOT under any circumstances:
4.1 commence your EO activities until you have received
confi rmation from Enterprises that your application to
become an EO has been approved and a unique EO
number has been allocated to you;
4.2 give or offer any fi nancial or insurance advice or assistance
in your capacity as an EO – you have no authority to do so;
4.3 perform any function or service that may be construed
as an intermediary service as defi ned in the Financial
Advisory and Intermediary Services Act, 2002 (as
amended) - you have no authority to do so;
4.4 make any representations or statements on behalf of or in
the name of Enterprises or any member of Enterprises or
in relation to products to any person whatsoever, except
as approved in writing by Enterprises;
4.5 collect or pay any premium or other payment on behalf of
any other person including another product owner or EO;
4.6 institute proceedings against any third party in respect
of any claim howsoever arising as a result of your
appointment as an EO, or in connection with your
activities as an EO, without Enterprises’ prior written
approval;
4.7 attempt to or bind Enterprises to any agreement,
arrangement or contract – you have no authority to do
so;
4.8 attempt to or incur any debt or other liability on behalf of
Enterprises – you have no authority to do so;
4.9 attempt to or obtain any credit facilities either in the name
of or on behalf of Enterprises – you have no authority
to do so;
4.10 attempt to or make any representations on behalf of
Enterprises in any way whatsoever; nor to accept, alter,
discharge, waive or terminate any product on behalf of
Enterprises – you have no authority to do so.
4.11 publish, sell or distribute any advertising, training or
other material, or conduct any marketing activities
(including any social media advertising or campaigns)
relating to or in connection with Enterprises, its
promotional methods or its endorsed products, without
the prior written approval of Enterprises;
4.12 use any promotional materials and documents prepared
by Enterprises for any purpose other than the purpose
for which it was provided to you in terms of this code;
4.13 send unsolicited advertising in any form including
faxes, SMSs or e-mails or engage in spamming in
order to promote Enterprises, its business opportunity,
promotional methods or products, other than with the
prior written approval of Enterprises.
4.14 use the name “Enterprise Owner”, “EO” or any other
trademark, trade name or logo of Enterprises and/or its
affi liates otherwise than strictly in accordance with this
code;
4.15 form a company, fi rm or other entity incorporating as
part of its name the word “Prime Meridian”, “Direct”,
“Enterprises” or any similar words;
4.16 apply for the registration of the word “Prime Meridian”,
“Prime Meridian Enterprise Owner, “EO”, “Enterprises”
or any similar word or any other trademark, trade name
or logo of Enterprises as a trade name or trademark.
4.17 directly or indirectly procure, persuade, induce or
encourage any:
4.17.1 employee of Enterprises to leave their employment;
4.17.2 EO to terminate his appointment as an EO;
4.17.3 product owner to cancel or return any product
purchased by him or her.
4.18 for the duration of your appointment in terms of this
code become involved in any manner whatsoever, in
the provision of services or the sale of products where
such services or products in any way compete with
Enterprises endorsed products or services.
4.19 cede, delegate or assign any of your rights and/or
obligations in terms of this code without the prior
written consent of Enterprises, which Enterprises may
grant in its sole and unfettered discretion.
5. Ethics
A distinguishing characteristic of Enterprises is that its EO’s
accept and abide by the following standard of ethics to
ensure that all persons are treated fairly and given clear,
concise and complete information:
5.1 Integrity
5.1.1 an EO should be open and honest in all interactions
with potential product owners and other EOs and
should not violate any of the laws of South Africa in
the performance of his duties. The principle of integrity
imposes an obligation on all EO’s to interact fairly and
truthfully with everyone.
5.1.2 an EO may NOT knowingly be associated with
information, reports, incidents, accusations or other
communication that:
5.1.2.1 contain materially false or misleading statements; or
5.1.2.2 omit or obscure information required to be included,
where such omission or obscurity would be
misleading.
5.1.3 When an EO becomes aware that another EO has been
associated with such information, reports, incidents,
accusations or other communication, the EO must
immediately inform Enterprises and take any required
steps to be dissociated from such matters.
5.1.4 Interactions with children and minors imposes a special
responsibility on the EO. EO’s must recognise that
children and minors are not adults and that greater
care must be taken when engaging with them and the
EO must not exploit their naivety, lack of experience or
sense of loyalty.
5.2 Objectivity
The principle of objectivity imposes an obligation on all EO’s
to ensure that they are NEVER placed in a position of bias,
confl ict of interest or under the undue infl uence of others.
An EO shall not perform his function if a circumstance or
relationship has the capacity to unduly bias, jeopardise or
compromise the EO’s position.
5.3 Due Competence and Care
The principle of due competence and due care requires all
EO’s to maintain adequate knowledge and understanding
of the Enterprises model at the level required to ensure
that potential product owners and EO’s receive accurate,
complete and objective information. The EO is to take
special care when engaging with people whose fi rst
language is not English.
5.4 Confidentiality
5.4.1 An EO must maintain confi dentiality of information
disclosed by product owners and EO’s and not use
such information for personal advantage or for the
advantage of third parties.
5.4.2 The EO undertakes to treat as strictly confi dential
all information of any nature whatsoever which he
may obtain pursuant to his activities or arising from
the implementation of this code, howsoever such
information may be disclosed to him including,
without limiting the foregoing, whether orally,
visually, written or in electronic format.
5.4.3 Any confi dential information, including, personal
Information, know-how, trade secrets, techniques,
methods of promotion and operating costs, obtained
by the EO in performing his obligations under this
code is proprietary to Enterprises and is being made
available to him and/or will otherwise come into
his possession solely for the purpose of fulfi lling his
obligations under this code.
5.4.4 The EO may not disclose Enterprises’ confi dential
information to any person other than as may be
approved in writing by Enterprises or as may be
required by law.
5.4.5 The EO must take all necessary security precautions
to keep confi dential Enterprises’ confi dential
information.
5.4.6 The EO acknowledges and understands that the
unauthorised disclosure of Enterprises’ confi dential
information may give rise to irreparable damage to
Enterprises.
5.4.7 The EO may not directly or indirectly use for his
benefi t or the benefi t of any other person any of
Enterprises’ confi dential information except for the
purposes contemplated under this code.
5.4.8 The EO will not use, copy, reproduce or modify
Enterprises’ confi dential information in any way
except for the purposes of performing his/her
obligations under this code or on the specifi c written
instructions of Enterprises.
5.4.9 The EO agrees and undertakes that upon termination
of his appointment, the EO will return to Enterprises
all copies of any documents, handwritten notes,
computer disks and other formats in or on which any
of Enterprises’ confi dential information is stored.
5.4.10 The provisions of this rule 5.4 will survive
termination of the EO’s appointment code for any
reason whatsoever.
5.4.11 For the purposes of this section, “confi dential
information” means any information provided
by any member of Enterprises or collected by or
made available to the EO in connection with his/
her activities under this code that identifi es or
can be used to identify, contact, categorise or
locate the person to whom such information
pertains, or from which identifi cation or contact
information of an individual person can be derived.
Confi dential information includes, but is not
limited to: name, address, phone and fax number,
email address, identity number and credit card or
banking information and includes all details of
product owners. Additionally, to the extent any
other information is associated or combined with
personal information, such information will also be
deemed to be confi dential information.
5.5 Professional Behaviour
All EO’s shall conduct themselves in a manner that shall
not bring the name of Enterprises, its parent company,
sister companies or its subsidiaries into disrepute. All EO’s
shall be honest and truthful in all their activities and shall
never offer advice, compare, attack, degrade, discredit or
damage the reputation of a competitor’s products, nor
exaggerate factual information about the products.
6. Intellectual Property and Promotional
Guidelines
6.1 All copyright, trademarks, trade names, logos, designs,
devices, patents, know-how and other intellectual
property rights in any document, drawings, data,
promotional or training material supplied by any
member of Enterprises to you in connection with your
appointment or activities will remain vested in Enterprises
as appropriate.
6.2 You will bear the costs of all advertisements or other
materials which you decide to publish provided you have
the written consent of Enterprises. Such materials must
clearly indicate that you are an independent market
development ambassador for Enterprises.
6.3 On expiration or termination of your appointment,
the EO will cease making use of any of Enterprises’
intellectual property rights and will immediately deliver
to Enterprises all documents, data, promotional and
training material supplied to the EO by any member
of Enterprises.
7. Market Development Allowances
7.1 Subject to your complying with your obligations under
this code, you will be entitled to receive allowances
calculated in accordance with the following, the total of
which is inclusive of VAT, where applicable.
7.2 Allowances will be paid for each product owner according
to the following table:

7.3 There are 8 circles of infl uence upon which allowances
may be paid. Depending within which circle of infl uence
the product owner is located, the allowances shown
above will be adjusted as follows:
7.4 You will qualify for allowances on your fi rst circle of
infl uence when you have become a “qualifying EO”
with a minimum of 4 product owners whose product
payments are up to date. For the purposes of calculating
your allowances , these 4 product owners must be linked
to you directly as a result of your having approached them
in terms of the EO business opportunity. Allowances are
adjusted by a Risk and Experience Quotient (REQ) which
recognises the Enterprises actual product and structural
development experience and may increase or reduce
earnings
7.5 You will qualify to earn allowances on your circles of
infl uence 2 to 8 to the extent that there is a qualifying EO
on each of the immediately preceding circles of infl uence.
7.6 At its sole discretion, Enterprises may from time to time
introduce and pay business development bonuses. The
details of such bonuses are available on the Enterprises
Website – www.pme.co.za
7.7 Subject to the terms of this code, the EO will, on the
20th day of each month, receive where applicable any
bonuses and any undisputed allowances in respect of
product payments reckoned from the fi rst to the last day
of the previous month. Actual payment dates may differ
in accordance with the fall of public holidays, weekends
and the practices of Enterprises.
7.8 Every product owner and EO will remain linked to his or
her original EO, regardless of whether or not the original
EO’s appointment has been terminated.
7.9 If an EO’s appointment has been terminated for any
reason and he wishes to apply again as a new EO but
under a different approaching EO, Enterprises will in its
sole and unfettered discretion, on written application
from the EO, consider such an application.
7.10 Enterprises does not allow multiple EO memberships
from individual persons.
7.11 Enterprises reserves the right to change its remuneration
structures, rules, regulations, practices and contents of
this code at any time upon 30 days’ written notice.
8. Taxes and other State Levies
You agree that you will be solely responsible for any tax
liability, levy, charge, withholding or deduction of any kind
which may arise as a result of the receipt of allowances
or any other bonuses, incentives or disbursements
received as a result of conducting your activities as an EO,
including value added tax, unemployment insurance fund
contributions, skills development levies, PAYE/SITE, or any
other tax or levy.
9. Your Warranties, Assurances and
Undertakings
By accepting your appointment as an EO, you warrant,
undertake and represent to Enterprises that:
9.1 You are a South African resident in possession of a
valid South African identity document, work permit or
residency visa and are 18 years of age or older;
9.2 You have read and are familiar with this code and
undertake to comply with it when performing your
activities as an EO and will familiarise yourself with any
changes to the code from time to time;
9.3 You will under no circumstances give fi nancial or
insurance advice in your capacity as an EO;
9.4 You will comply with all applicable legislation and
regulation, as amended from time to time, regarding,
inter alia, the long-term and the short-term insurance
industry (including any legislation or regulation
applicable to intermediaries) and including the National
Credit Act 2005, the Consumer Protection Act 2008 and
the Protection of Personal Information Bill (as enacted).
9.5 You will indemnify, defend and hold harmless
Enterprises, and its offi cers, directors, employees,
suppliers and consultants against all claims, demands,
fi nes, penalties, actions, proceedings, judgments,
damages, losses, costs, expenses or other liabilities
incurred or in connection with any claim directly or
indirectly relating to a wrongful act or omission by you
in terms of the activities performed by you under this
code.
9.6 You understand that Enterprises will suffer fi nancial
harm and loss if you breach the provisions of this code
particularly the “Do’s” and “Don’ts” detailed in rules 3
and 4 above. In the event that you breach any of the
provisions of this code, in addition to any other remedies
which Enterprises may have, Enterprises will be entitled
to claim and recover from you an amount equal to the
allowances and any bonuses paid to you for the period
of 12 completed calendar months prior to the said
breach.
9.7 You understand and assure us that all the warranties
in terms of this code given by you upon acceptance of
your appointment are material and in the event of a
breach of any warranty, Enterprises will, in addition to
any remedies provided in this code, be entitled to all the
remedies available to it at law.
9.8 You understand and assure Enterprises that your
appointment as an EO is on the basis that the warranties
contained herein are correct as at your appointment
date and will continue to be correct for the duration of
your appointment.
10. Personal Information & Communication
By accepting your appointment as an EO, you agree to share
the following information with Enterprises and other EO’s to
whom the information is pertinent:
10.1 Your telephonic and electronic contact information
including inter alia your e-mail address, fax, fi xed line
and mobile telephone numbers.
10.2 Product information including but not limited to what
products you have purchased, whether your product
payments are up to date or not, product cancellations
and alterations.
10.3 Information per clause 10.1 and 10.2 above about
other EO’s falling within your circles of infl uence.
10.4 Any other personal information considered relevant by
Enterprises.
11. Termination and Negligent or Wrongful
Acts by you
11.1 Both you and Enterprises will be entitled to terminate
your appointment, with or without cause, by giving not
less than 30 days written notice of termination to the
other.
11.2 Notwithstanding anything to the contrary contained
herein, Enterprises will be entitled, without prejudice
to any rights that it may have, including the right to
claim damages or specifi c performance from you,
to summarily terminate your appointment by giving
written notice to you, if you:
11.2.1 breach any of the provisions of this code and fail to
remedy such breach within 7 days of written notice
given to you by Enterprises requiring you to remedy
the breach;
11.2.2 falsify, fraudulently alter, modify or edit without
permission any documents or records required by
Enterprises, including but not limited to the EO and
product application forms, or commit any other act
of dishonesty;
11.2.3 omit to act or commit any act which, in the
reasonable opinion of Enterprises, adversely affects or
is reasonably likely to adversely affect the goodwill or
reputation of Enterprises , or any of their members,
offi cers, directors, employees, contractors or other
EO’s;
11.2.4 give any fi nancial, insurance or other advice which you
are precluded from giving;
11.2.5 are provisionally or fi nally sequestrated;
11.2.6 commit any act of insolvency in terms of the Insolvency
Act, 1936 (as amended); or
11.2.7 act or fail to act in a manner which causes Enterprises
to suffer loss or damage or which is likely to cause
Enterprises to suffer loss or damage.
11.2.8 should you be arrested, accused of racism or reported
in the press for any reason whatsoever.
11.3 Should your appointment be terminated for any reason
specifi ed in rules 11.2.1 to 11.2.8, you will forfeit the
right to receive any allowance, bonuses, incentives or
other benefi ts in terms of this code with effect from the
date of your termination.
11.4 If Enterprises, on reasonable grounds, suspects that an
act referred to in rules 11.2.1 to 11.2.8 above has been
committed, Enterprises may in its sole and unfettered
discretion on written notice to you immediately suspend
your appointment as an EO pending the outcome of an
investigation into the matter. Upon fi nalisation of the
investigation, Enterprises will be entitled to terminate
your appointment in accordance with this rule 11 or to
re-instate you, as the case may be.
11.5 If Enterprises has suspended your appointment, for
the duration of such suspension period you will not be
entitled to any allowances, bonuses, incentives or other
benefi ts. If Enterprises re-instates you, Enterprises will
pay any benefi ts that accrued to you during the period
of suspension.
11.6 If this code is terminated for no cause in accordance with
rule 11.1 or due to your death, you or your estate, as the
case may be, will be entitled to receive the allowances
which you would ordinarily have been entitled to in
terms of this code.
11.7 Nomination of Beneficiary
By simply writing to Enterprises you may nominate one
living person (not a corporate entity) to take over your
Enterprise from you in the event of your death or total and
permanent disability.
That person must be at least 18 years of age at the time of
taking over, may not be another EO or direct family member
of another EO, and will be subject to the same rules that
would have applied had you remained as the EO. Where
you have not provided Enterprises with a written nomination
compliant with these requirements, all Enterprise MDAs will
be paid to your estate until they have run off. You may also

nominate a trust, charity or other corporeal entity to receive
the MDAs in place of your estate. A benefi ciary nomination
may be changed by you whenever you wish. However, no
will or other testamentary instrument will have the effect of
changing your nomination.
12. Resolving Disputes
12.1 The procedures set out in this rule 12 must be complied
with in respect of any and all disputes or differences
arising out of or in connection with this code (“dispute”).
Unless a party has complied with the provisions of this
rule 12, that party may not commence proceedings
relating to the dispute except where that party seeks
urgent relief, in which case that party need not comply
with this rule 12 in seeking such relief.
12.2 If any party alleges any dispute, that party must issue a
notice of the dispute to the other and in each case the
notice must set out, in reasonable detail, the basis of the
dispute (“dispute notice”).
12.3 After the issue and receipt of a dispute notice, the parties
must ensure that the parties meet and use reasonable
endeavours to fi nally resolve the dispute within 10
business days from the date of such dispute notice.
12.4 If the parties are unable to resolve the dispute through
the process detailed above then either party may refer
the matter to arbitration.
12.5 The arbitration will be held, with only the parties and
their representatives present thereat, at a place and
venue nominated by Enterprises.
12.6 The arbitration will, where possible, be held and
concluded in 21 business days after it has been
demanded. The parties will use their best endeavours
to procure the expeditious completion of the arbitration.
12.7 The arbitrator will be an impartial advocate or admitted
attorney of not less than 10 years’ standing appointed
by Enterprises.
12.8 All discussions and proceedings will be held in English.
12.9 The parties will keep the evidence in the arbitration
proceedings and any order made by any arbitrator
confi dential.
12.10 The provisions of this rule are severable from the rest
of this code and will remain in effect after this code is
terminated for any reason.
12.11 The arbitrator will have the power to give default
judgment if any party fails to make submissions on due
date and/or fails to appear at the arbitration.
12.12 The decision of the arbitrator will be binding on the
parties, without subsequent review and without the
right to any appeal.
13. Correspondence
The parties choose as their address for service for all purposes
under this code, whether in respect of court process, notices
or other documents or communications of whatsoever
nature, the following addresses:

Enterprise Owner:
The address as set out in the EO application or as otherwise
advised to and acknowledged by Enterprises in writing.
13.1 Any notice or communication required or permitted to
be given in terms of this code will be valid and effective
only if in writing, but Enterprises will be competent to
give notice by fax, SMS, email or publications on the
Enterprises Website.
13.2 Either party may by notice to the other party change
the physical address chosen as its address for service to
another physical address where postal delivery occurs in
the RSA or its postal address or its fax number or e-mail
address, provided that the change will become effective
on the 7th business day from the deemed receipt of the
notice by the other party.
13.3 Any notice to a party:
13.3.1 sent by prepaid registered post (by airmail if
appropriate) in a correctly addressed envelope to its
chosen address for service will be deemed to have
been received on the 7th business day after posting
(unless the contrary is proved);
13.3.2 delivered by hand to a responsible person during
ordinary business hours at its chosen address for
service will be deemed to have been received on the
day of delivery; or
13.3.3 sent by fax or SMS to its chosen fax or cell phone
number will be deemed to have been received on the
date of dispatch (unless the contrary is proved);
13.3.4 published on the Enterprises Website will be deemed
to have been received on the 7th business day after
publication;
13.3.5 sent by e-mail to its chosen e-mail address, will be
deemed to have been received on the date of dispatch
(unless the contrary is proved).
13.4 Notwithstanding anything to the contrary contained in
this code a written notice or communication actually
received by a party will be an adequate written notice
or communication to it notwithstanding that it was not
sent to or delivered at its chosen address for service.
14. General
14.1 This code constitutes the entire agreement between
the parties and supersedes any other discussions, prior
arrangements and/or understandings regarding the
subject matter of this code, including but not limited to
any prior codes.
14.2 No addition or modifi cation to any provision of this code
will be binding on the parties unless made in writing and
signed by an authorised representative of Enterprises.
14.3 No extension of time or waiver or relaxation of any of
the provisions or terms of this code will preclude such
party thereafter from exercising its rights strictly in
accordance with this code.
14.4 To the extent that Enterprises grants any indulgence in
its sole and unfettered discretion, such indulgence will
not be construed as creating a precedent nor will it be
binding upon other EO’s requesting the same or similar
indulgences and will not preclude Enterprises from
refusing to grant same without the need to provide
reasons therefore.
14.5 To the extent permissible by law no party will be
bound by any express or implied term, representation,
warranty, promise or the like not recorded herein,
whether it induced the code and/or whether it was
negligent or not.
14.6 Enterprises reserves the right to make exceptions to the
provisions of this code at its sole discretion and, where
there is doubt, to interpret this code in accordance with
its intentions at the time of its drafting hereof.
14.7 Enterprises may freely cede, delegate or assign its rights
and/or obligations hereunder.
15. Glossary of Terms
• “allowance” means market development allowance, an
amount paid in accordance with the code for successfully
developing the market for Enterprises products.
• “appointment date” means the date on which Enterprises
provides SMS or other written acceptance of the applicant’s
application to be appointed as an EO;
• “business day” is a day that is not a Saturday, Sunday or a
public holiday in South Africa;
• “code” means this code setting out the rules and practices
applicable to and binding upon EO’s and as may be
amended from time to time by Enterprises in its sole
discretion, the current version of which may from time to
time be accessed on the Enterprises Website at www.pme.
co.za and of which the EO application forms part;
• “direct family” means a husband, wife, fi ancé, son or
daughter including adopted or fostered children and all
common law, customary or tribal law, and civil unions or
marriages. It further includes any other family members
within 2 degrees of consanguinity of the EO living in the
same household.
• “Enterprises” means Prime Meridian Enterprises (Pty)
Ltd with registration number 2002/030583/07 and where
appropriate includes its subsidiaries, holding company and
fellow subsidiaries from time to time;
• “Enterprises Website” means www.pme.co.za;
• “EO” means a person who has applied to become a
Enterprise Owner in terms of a completed application
form and who has received the requisite approval from
Enterprises in terms hereof.
• “EO application” means the application form to be
completed by a person desiring to apply for EO status;
• “party” or “parties” means the EO or Enterprises or both,
as the context requires.
• “PMD” means Prime Meridian Direct (Pty) Ltd with
registration number 2004/032998/07 and where
appropriate includes its subsidiaries, holding company and
fellow subsidiaries from time to time;
• “products” are those insurance and other products
endorsed and made available by Enterprises from time
to time for the purposes of the EO business opportunity,
together with the provisions applicable to such products
and which may from time to time be reviewed on the
Enterprises website;
• “product owners” means persons who, after considering
the detailed product information in the Enterprises
literature, have decided to purchase one or more of the
endorsed products and whose product payments are up
to date;
• “product payments” means those premiums or other
amounts due from time to time for the purchase of
Enterprises products.
• “qualifying EO” means one who has at least 4 other
product owners within their 1st circle of infl uence.
• “us” means Enterprises
• “you” or “your” means the EO.
• “REQ” means Risk and Experience Quotient, recognising
actual product and structural enterprise development
experience.

Deciding which plan is right for you is easy. Simply follow the

Step 1 – Choose The Desired Level Of Cover
There are three available plans each of which provide the same benefi ts
but with differing levels of cover. The available plans are as follow:

• The PRIME HOSPITAL PLAN is a policy that pays cash into your bank
account when you are hospitalised for more than 2 days and pays
up to a maximum of 6 months.
• You can get cover from R250 to R4,000 per day depending on your
needs.
• Cover includes a once off permanent disability lump sum payment.
• You are able to cover either yourself under the Individual Plan or
your immediate family under the Family Plan.
• The Family Plan covers yourself, your partner and up to 4 children
under the age of 21.
• You are covered immediately after your first premium for
hospitalisation due to an accident.
• For hospitalisation due to illness, cover commences after 6
consecutive monthly premiums on the PLUS+ Plan.

Personal Accident and Illness Cover
As many as 40 million South Africans lack any kind of personal insurance cover.
With the PRIME LIVINGLEGACY Plan, affordable cover with valuable benefi ts is
within reach!
• The PRIME LIVINGLEGACY Plan is a policy that pays out a lump sum
of cash to your beneficiary in the unfortunate event of your death.
• You can get between R11,000 & R300,000 cover depending on your
needs
• You are able to cover either yourself under the Individual Plan or
your immediate family under the Family Plan.
• The family plan covers yourself, your partner and up to 4 children
under the age of 21.
• Extended family can also be covered under the optional Extended
Family Benefit. See details in Terms & Conditions pages.
• All illnesses, even cancer, are covered
• The PRIME LIVINGLEGACY Plan gives you immediate cover for both
death by accident or illness.
• People up to the age of 70 years old can be covered by the PRIME
LIVINGLEGACY Plan.
• All fully disclosed pre-existing conditions are covered but are subject
to a waiting period of 36 months. Claims within this period as a
result of a pre-existing condition will receive 100% of premiums
back plus 6% interest compounded annually.
• Terminal illness benefits means that where you are diagnosed
with a terminal illness you will receive 75% of the sum insured
immediately and the remaining 25% upon your death.

1. Benefi ts and Cover Provided (The plan
you have selected is Prime Total Loss
Protection - 100% of Trade Value cover.)
1.1. We will pay you when your vehicle is totally lost through
theft or hijacking or is written-off in a single accident or
natural disaster. In such circumstances, you will be paid
up to 100% of the current Trade Value of the vehicle
specifi ed in the Policy Schedule (depending on the plan
you have selected) but subject to a maximum limit of
indemnity of R 300,000 (three hundred thousand rand).
For valid claims, we will cover the cost of any towing
or storage fees incurred up to a maximum amount of R
5,000 (fi ve thousand rand), provided you have made use
of one of our approved towing service providers and not
an independent towing contractor. (Towing Assistance
Call Center: 0861 009 907) Please note: Should you fail
to use our Towing Assistance Call Center, you will be
liable for the costs.
1.2. Where your actions are the cause of accidental damage
to another person’s vehicle (Third Party damage), we
will pay that person’s vehicle repair damages up to a
total claim value of R 250,000 (two hundred and fi fty
thousand rands).
2. What the Policy Words Mean
2.1. “Accident” means an unforeseen or unexpected
event which is not intentionally caused by you, a family
member or a nominated driver.
2.2 . “Consecutive Premiums” means premiums received
when due every month without interruption.
2.3. “Current Trade Value” means the trade value of the
vehicle at the date of the total loss.
2.4. “Family” means your or a nominated driver’s spouse,
siblings, parents, grandparents, cousins, uncles or aunts
and includes a fi ancé of yours or of any family member.
Spouse includes civil union, common law and traditional
marriage partners.
2.5. “Fraudulent act” includes you or a person associated
with you providing the Insurer at any time with
inaccurate, incomplete, dishonest, false, fabricated or
exaggerated information.
2.6. “In force” means:
• that the First Premium Date as shown on the Policy
Schedule has been arrived at,
• that the fi rst premium and activation fee have been
received on or before the First Premium Date, or
alternatively
• that three consecutive monthly premiums have been
received when due, or
• that where the policy has lapsed due to the non-payment
of premium, a further three consecutive monthly
premiums have been paid when due or alternatively that
a further premium and activation fee have been paid
when due, and • that the policy has not been cancelled.
2.7. “Natural disaster” means a naturally occurring
earthquake, lightning strike, fl ood, fi re, rain or wind
storm but excludes a hail storm.
2.8. “Grossly negligent, illegal or criminal behaviour”
includes any action or activity that is not careful, honest
and diligent or which is against the law. Some examples
include:
• driving without a driver’s licence or with an invalid,
revoked or suspended driver’s licence;
• driving a vehicle with un-roadworthy tyres or with
defective brakes, steering or lights;
• driving under the infl uence of alcohol or other intoxicating
substance;
• breaking the road traffi c laws or exceeding the speed limit
or driving recklessly, whether intentionally or not;
• You or a family member wilfully damaging the vehicle.
2.9. “Nominated Driver” means one of any two additional
drivers nominated by you who may drive your vehicle
with your permission and whose names have been
recorded in the Policy Schedule.
2.10. “Totally lost” means your vehicle has been stolen and
not recovered within 30 days.
2.11. “Trade Value” means the Trade Price shown in the
most recently available Transunion Auto Dealers
Guide (or similar publication). Where no such prices
are available, the last available such price or new list
price depreciated at 13,5% per annum on the reducing
balance.
2.12. “Vehicle” means the Insured Vehicle as disclosed on
the Policy Schedule.
2.13. “We”, “Us” or “the Insurer” means RMB Structured
Insurance Limited whose details appear in the attaching
documentation.
2.14. “Written-off” or “Write-off” means your vehicle is so
damaged that it cannot be repaired for an amount of
less than 80% of its Trade Price at that time.
2.15. “You” or “Your” or “Insured” means the Policyholder
shown as such in the Policy Schedule.
3. Important Exceptions:
We do not pay:
3.1. If the policy is not in force at the time of the loss.
3.2. If the loss was caused or contributed to by any grossly
negligent, illegal, criminal or fraudulent act by you, a
family member or a nominated driver at the time of or
just prior to the loss.
3.3. If your vehicle is not stolen, hijacked or written-off, or is
recovered following theft or hijacking.
3.4. If, following an offer to purchase, your vehicle is stolen
as a result of someone taking possession of it but never
actually paying for it due to some form of fraudulent
misrepresentation.
3.5. If you, or anyone acting for you knowingly, or otherwise
commit a fraudulent act or attempts to obtain a benefi t
under this policy by improper or dishonest means. In
such circumstances, all benefi ts of this policy will be
forfeit and the policy cancelled with immediate effect
and without compensation or refund of any premiums
or costs incurred by you and we may further choose to
institute criminal proceedings against you.
3.6. Any loss arising whilst the vehicle is being used on a
racetrack, as a taxi or for carrying fare paying passengers
or whilst you are carrying on business as a motor vehicle
trader.
3.7. The cost of towing or storage in the event of an accident
or breakdown not leading to write-off or in the event of
your claim being repudiated or invalidated.
3.8. For the loss of any contents of the vehicle, including such
things as laptop computers, cell phones, clothing, sports
equipment, wallets, hand bags, money or any other
items left in the vehicle.
3.9. For any loss, including consequential loss, arising directly
or indirectly from lack of maintenance, mechanical or
electrical failure of the vehicle (including any fi res caused
as a result thereof), or for loss or damage to property
owned or held by other family members.
3.10. For any loss, where it can be demonstrated that the loss
was a result (whether directly or indirectly) of a known
fault on the vehicle that was either not repaired at all or
not successfully repaired prior to the date of loss.
3.11. For injury or damage to another person or their
property, other than accidental damage to one of that
person’s vehicles.
3.12. For loss incurred whilst the vehicle is outside the borders
of the Republic of South Africa.
3.13. For any loss (whether directly of indirectly) arising from
any riot, strike, civil commotion, labour disturbance,
military action, war, invasion, martial law, mutiny,
usurpation of power, insurrection, rebellion, revolution,
act of terrorism, protest against government or tribal
authority, or seizure of the vehicle by any organ of state.
3.14. If someone who you did not nominate and record as a
nominated driver was driving your vehicle at the time
of or just before it was stolen, hijacked or written off.
3.15. For any consequential loss or damage other than that
specifi cally provided for in this policy.
3.16. If you violate any of the provisions or requirements of
the National Road Traffi c Act, 93 of 1996 (as amended)
or any of its regulations including inter alia the Road
Traffi c Regulations of 1999.
3.17. If your vehicle is not roadworthy in accordance with
the South African National Standard for the Testing of
Motor Vehicles for Roadworthiness (as amended).
3.18. For your liability to a third party where your claim for
the total loss of your vehicle in terms of 1.1 above has
been repudiated.
3.19. For any costs or losses incurred in upgrading the
performance of the vehicle’s engine, its sound system
or any other non-factory fi tted components.
4. Important Provisions
4.1 This is not an all risks policy. It covers only the risks
specifi cally identifi ed herein and is provided to you
without advice and at your own request.
4.2. The payment of premiums indicates your acceptance
of the terms, conditions and notices of this policy. By
entering into this contract of insurance you authorise
the Insurer (or its nominee) to debit your account
on an agreed date each month. Where collection is
unsuccessful, you further authorise the Insurer (or its
nominee) to track the nominated bank account and re-present
the instruction for payment at any time when
suffi cient funds are available. Should your debit date
fall on a Saturday, Sunday or recognized South African
public holiday, you authorise the Insurer (or its nominee)
to debit your account at its discretion on the following or
previous ordinary business day.
4.3. You must properly service your vehicle according to the
manufacturer’s specifi cations, ensure that your vehicle
is always in a roadworthy condition, that the locking
mechanisms work and that the depth of tyre treads is
never less than 1.6 millimetres.
4.4. You may elect to cancel this policy with immediate effect.
In all other instances, your request for cancellation will
take effect on the day immediately preceding your next
debit order date. The Insurer may cancel this policy,
without giving reasons, on 30 days’ written notice sent
to the last known postal address of the Insured.
4.5. Once we have paid your claim, we are entitled to take
possession and ownership of the salvaged vehicle.
4.6. If your full monthly premium is not received within 15
days of due date, your policy will lapse and all policy
benefi ts and cover will cease. Benefi ts and cover will be
re-instated once the policy is in force again.
4.7. If your premiums are not paid on time or in full, as a
service to you we may (at our discretion) reduce your
policy and premium rate to a Plan A (Benefi t equal to
50% of Trade Value) until you request a return to the
originally selected premium and benefi t level. Advice
of any such change will be sent to you by SMS, fax or

4.8. You must inform the Insurer of all facts that are material
to the assessment of the risks assumed under this policy
including prior or subsequent criminal convictions and
any driver’s licence endorsements, previous accidents and
motor insurance claims. By entering into this contract,
you warrant to the Insurer that your vehicle is in good
condition, is roadworthy and does not require any major
mechanical, electrical or bodily repair.
4.9. Benefi ts are reduced to 50% of the selected benefi t while
the vehicle is being driven on a road that is not cemented
or tarred and no benefi ts apply whilst the vehicle is being
driven where there is no formally registered road.
4.10. You or one of the nominated drivers must be the
offi cially registered owner of the vehicle.
4.11. You must not make nor accept from another party any
admission of guilt, statement, offer, promise, payment,
compromise or indemnity without the Insurer’s written
consent. Should you make any such admission,
statement, offer, promise, payment, compromise
or indemnity, it will be considered that you have
prejudiced the Insurer’s position and any benefi ts due
in terms hereof will be forfeit and the policy cancelled
with immediate effect and without compensation or
refund of any premiums.
4.12. Where the vehicle breaks down or is involved in an
accident where the damage sustained is not covered
in terms of this policy, you are required to timeously
restore the vehicle back to a roadworthy condition. If
the vehicle is used or driven before the necessary repairs
have been carried out and such subsequent use leads
to the vehicle becoming a write-off, you will also be
responsible for the cost of repairing such consequential
damage sustained by the vehicle.
4.13. You and any Nominated Drivers must be over 19 years
of age and each must have had a valid code 08/EB
or 10/C1 driver’s licence for at least 12 consecutive
