1. SAMPLE AGREEMENT
Original agreement will be made on the stamp paper .This is only a sample
agreement containing the contents of original agreement.
Memorandum of understanding
M/S Universal Info Services, represented by Mr. Abhinav Singh, having their registered office at
38/611, First Floor, G.H.B, Behind New Mental Road, Near Meghaninagar Last Bus Stop
Meghaninagar, Ahmedabad, Gujarat - 380016. Hereinafter for brevity's sake referred to as “first
party”, which expression shall, unless excluded? By or repugnant to the contest, be deemed to mean and
include its permitted assigns and successors - in - interest.
And
M/s. XXXXXXXXXX having their registered office at XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX
(hereinafter for brevity's sake referred to as "second party "which expression shall, unless excluded? by
or repugnant to the contest, be deemed to mean and include its permitted assigns and successors - in -
interest. )
Whereas the first part is engaged in the business of outsourcing the business for the IT and it enabled
service industry and it has entered into an agreement to execute the data transcription operations in
details in the scope of work, which needs to be, executed through various delivery partners. Presently it is
in a position to procedure the business for data conversions more meaningfully described in the column
scope of work.
And whereas the second party is engaged inter alias, in the business of providing a wide spectrum of
software solution and services. The second party has acquired the necessary expertise and developed the
requisite skill base and in fracture for successful execution of the data conversion work. Whereas second
party is entering into the agreement with the first party to carry on the data conversion work on its own.
The second party will exercise in maintaining quality control of the jobs assignment.
This memorandum of understanding represents the business agreement and operational understandings
between the parties, and shall remain in effect for a period of the (trial work period) from the date of
providing the trial work (sign up) whichever is later and can be extended for the period as mutually
agreed upon.
2. This agreement witnessed as follows:-
1) Availibility of data
The first party will provide image files upto 500 pages/system to second party through
mail, the second party would then enter data into the word document format using notepad as
required by the first party and this would be delivered sending image files and notepad files by
mail. The first party will provide files upto 500 pages/system to the second party each month for
11 months if the project gets approved on any level in the respective accuracy slab. If the second
party fails to fulfill the terms and conditions or fails to give the needed accuracy then the first
party will not be responsible for providing the future work to the second party. The second party
will be provided 250 pages first, and after receiving the submission of 250 pages only the second
party will be provided another remaining 250 pages in every work cycle.
2) Period of trial work
The first party shall give a work for 30 days (include holidays) and second party shall complete it
within 30 days and send it to the first party. The first party shall give an accuracy report within 7
to 10 business days, after submissions per technical specifications, technical specifications are
included in this agreement with qc parameter.
3) Service charges / processing charges:-
The vendor agrees to pay refundable Rs 5000 /- ( for 1 ID's / 1 systems ), if he achieves the
minimum accuracy in the first billing itself. The Vendor agrees to pay non refundable charge of
2000 to renew his/her ID in case he/she fails to achieve the minimum accuracy needed and
doesn’t qualifies for any kind payment and his/her ID gets terminated.
4) Responsibilities and obligation of the second party
Turn around time is 30 days (include holidays) and your work should be completed within that
period with required quality parmeters.
The first party will not be responsible for the problem at your premises such as hardware
crash, virus, electricity, internet connectivity etc, no reason shall be entertained in
non-completion of work data.
If second party not able to get up accuracy parameters as mentioned in Annexure II then first
party shall not be provided any further commercial work.
The second party shall take maximum care on accuracy and delivery schedule of the data
enrty / conversion job. Time and accuracy is essence of this contract, any delay in delivery or
accuracy less than invoking of risk and cost clause.
5) Working as an outsourcer of first party’s project:
You can even work as an outsourcer of first party and outsource this project in your contacts or
commercially. You will have to renew your Id after every 11 months to continue outsourcing. All
the records and the functioning will be the responsibility of first party until and unless it is apart
from the knowledge of first party.
The first party will give the second party a fixed amount of 1000/- rupees for the every ID booked
3. under the second party’s ID and receive 12% royalty of the every payment which the party booked
under the second party will receive from the first party against the submission of his/her work.
With this the second party will also be given a target of at least 1 approval out of every 10 IDs
which it books under it which means that minimum or at least one out of every 10 Ids booked
under second party should be able to give the quality work needed and receive the payment. If the
second party fails to achieve this target then the second party will not be able to work as an
outsourcer of first party any more. Then the second party will have to go through the renewal
process.
6) Termination:-
If business associate fails to submit data on time or fails to give accuracy as mentioned above in all
output files and fails to get billing, Client reserves the right to terminate the agreement and client
will not be responsible for any further data and payment whatsoever to the business associate.
This agreement may be terminated by any of the parties for breach of understanding on any
clauses of this agreement giving 30 days notice to either party giving clearly account of the
reasons for such termination. With the mutual consent of both the parties, this agreement can be
terminated at shorter notice, on termination from either party, for whatever reason, the
payments due to business associate or client, for the work accurately done till the date of
termination should be paid as per payment clauses of the Agreement.
No modifications of the terms and conditions of this agreement shall be valid unless it is in writing
and signed both the parties.
7) Other Regulations:-
The project will be terminated in case the second party gets fails to submit the work on time.
If second party is quality for commercial work then first party is agree to give commercial work on
time.
If second party achieves minimum accuracy level in first submission then first party will return
the security deposit of 5000/- along with the payment whatever it is, but if the second party
achieves the minimum accuracy level needed after taking rework then first party will be
responsible for returning only 50% of the security deposit which the second party has paid to the
first party and if the second party reaches the minimum accuracy level needed after taking re-
rework then the first party will not be responsible for returning the security deposit to the second
party in all the cases.
4. If second party is quality for commercial work then first party is agree to give commercial work
with the following specifications:-
Payment mode 100% after the QC report within 7-10 business days.
Minimum Needed Accuracy: 60%
Due to constant variation in the rate of US Dollars in India rate of $1 (one dollar) will be
considered as 45 Indian rupees.

BELOW 60% = Rework allotted for 5 more days. The second party has to check all his/her
files and resubmit after doing the necessary corrections which the second party finds during
thecorrection within 5 days from the day on which second party receives the rework mail.

5. BELOW 70% = One last rework allotted for 5 days. The second party has to check all his/her
files and resubmit after doing the necessary corrections which the second party finds during
the correction within 5 days from the day on which second party receives the rework mail.
This will be the last chance given to the second party and if he/she fails to fulfill any of the
terms and conditions or could not reach the minimum accuracy level needed then he/she will
not be entitled for any kind of payment and the refundable security deposit of 5000/- will also
not be refunded.

Below 80% = There will be no payment for the work submitted and the security deposit of
5000/- will also not be refunded. In addition the second party will not be able to receive any
more work from the first party. In order to continue receiving the work the second party will
have to renew his/her ID. To renew the ID the second party will have to pay the renewal fees
(non – refundable) of 1500/- within 7 bussiness days from the date on which the ID got
terminated.

Such pages will be given by first party. Page will contain 49 to 52 lines max. and second party
should complete the files in notepad and as per the technical instructions given below and
submit on or before the dead line.
6. QC DECLARATION:-
QC centre will be responsible for the checking of random pages in the new work, rework as well as
re-rework. All the pages won’t be checked and if the accuracy goes below than the minimum
accuracy needed then the centre won’t be responsible for future checking for the same. Again the
second party need to check all the pages and submit in the rework and re-rework.
TECHNICAL INSTRUCTIONS:-
1) Every line should match with the corresponding line in the IMAGE; hence the pages
shall Automatically match with the IMAGE file pages.
2) Font should be Times New Roman and font size 10.
3) Justification of text is not required even if it is done in the IMAGE file.
4) Paragraph spacing should be done by using paragraph spacing (before or after only)
(Auto Spacing should not be used).
5) If a word splitted in the IMAGE file then the same should be done in notepad file. If a
line
ends in IMAGE file then the same should be done in notepad file.
6) Headers and Footers option should not be used.
7) Color (if any in the IMAGE file) should be given in black color.
8) Accent characters, if any, shall be converted and typed as normal characters. Ex: 'æ'
Should be typed as ae, 'ç' to be typed as c.
9) Always type the text as normal text. Bold, italics in text part are not at all required.
7. REJECTION CRITERIA
1) File name of the converted word file does not match with the corresponding image
file name.
2) In completed word files found.
3) If any third party software used.
4) Any third Party Software used including MS –Office
5) Should not type files in MS Word.
6) Accent characters found in any file.
7) Any images are found in the word document.
8) Text is in other than "Times New Roman" font.
9) If colored text are found in any word file.
10) If hyper links are found in any of the word file.
11) Any other files are found in the zip folder except the word document. (like
Temporary files or any other file types).
12) If the converted file is not in .txt format or any other extension files found.
14) If the completed Job files has not been submitted within the deadline mentioned by
the company.
If any slot is rejected in the first submission or rework submission due to any of the reason
mentioned above then the second party will not be able to get rework or re – rework chance
respectively.
Rework or Re-rework chance
If eligible as per the terms and conditions cited below, the user can send request for Rework
and re-rework.

8. Method of calculating accuracy

TERMS AND CONDITIONS FOR REWORK AND RE-REWORK
1) The accuracy level as per data verification report should be below 60% in case of rework
and below 70% in case of re-rework
2) The user has to get confirmation of Acceptance of rework or re-rework from us services
his/he rework assignment. No Rework will be accepted without confirmation of Acceptance.
3) After sending the request for the rework or re-rework acceptance, the eligible users can
start the rework or re-rework immediately and the confirmation of acceptance of rework will
be sending to user within 02 working days.
4) Total days for rework as well as re-rework assignment will be 3 days from the date of
declaration of data verification Report . The Rework or re-rework data verification Report
will be declared on the next cycle of result declaration
5) The request for Rework and Re-rework acceptance should reach in the prescribed schedule
given in the data verification report . No request for rework will be accepted afterwards.
6) The user should send the rework to the infocare@universalinfoservices.co.in email id.
7) Company’s decision will be final in all terms and conditions listed above.
*****You can renew your ID only for three times within your contract period of 11 months.
9. In the event of any dispute or difference arising between the parties hetreto relating to or
arising out of this agreement, including the implementation, execution, interpretation,
rectification, validity, enforceability, termination or recession thereof, including the rights,
obligations or liabilities of the parties hereto, the same will be adjudicated and determined by
arbitration. The arbitration shall be conducted by a panel of two arbitrators one each selected
parties hereto. And both the arbitrators thus appointed shall be appoint the third arbitrator
who shall function as the presiding arbitrator. The arbitration shall be conducted at
Ahmedabad, Gujarat in the English language. Any arbitration award shall include attorney’s
fees for the prevailing party. The courts in the city of Ahmedabad shall have exclusive
jurisdiction to entertain try and determined any dispute.
The first party is only responsible for giving correspondence and guidelines for the said work under
the breach of this agreement.

After you mail us all the three mentioned above you will get your first 250 pages within 24 to 48 hours on
your email address. Your time period will start as soon as you receive the work on your email and hence
you can start typing as soon as you get the mail. Your stamp agreement will be couriered to you which
you will be receiving in next 3 to 4 days. You will have to sign on each and every paper of stamp
agreement keep the zerox with you and courier us the original back to our office address.
