Various researches over the last few decades have confirmed a high rate of mergers and
acquisitions failure, with failure rate averaging between 70-90 Percent. This is the failure to
produce any benefit for the shareholders accompanying a destruction of value for all
stakeholder against the proposed synergy initiating such mergers or acquisitions.
Though Financial advisors go to great lengths in ensuring realization of merger synergies,
success of a merger or an acquisition depends more on getting the people equation right. In
doing due diligence, critical emphases are paid to the tangible assets such as financial
structures, IT systems, or intellectual property, leaving out the intangible assets such as
organizational capital, relational capital, cultural fitment and human resources. Thus the
critical issue here is to have a comprehensive yet tailored approach to Post-Merger People
Integration. This will help forestall “people and organization issues” such as lack of shared
vision, leadership clash, cultural mismatch, loss of key talent, misaligned structures, lack of
management commitment, lack of employee motivation, poor communication and poor
change management.

We believe it is essential that Human Resources (HR) be involved and kept abreast of the
CEO’s agenda with regard to the proposed merger. The function should be proactively
involved in all the stages of a typical M&A, namely, scoping, due diligence, integration and
change institutionalization.
Essentially, our consultants have designed this course to help management ensure her staff
transition into the post integration phase without cultural crisis. The course begins with
educating participants about the nature of M&A (with a focus on the specific type being
experienced), enlighten them about risks involved and how best to mitigate them, and more
