messi a disposizione dal Fornitore. Il Distributore non potrà agire in nome e per conto del
Fornitore, salvo autorizzazione previa e per iscritto di quest’ultimo. Non potrà nemmeno
trasformare in modo alcuno i Prodotti oggetto di questo Contratto.
3. ESCLUSIVA
Alternativa A. Durante il periodo di vigenza di questo Contratto, il Fornitore concede al
Distributore il diritto esclusivo di commercializzare e vendere i Prodotti nel Territorio. Se il
Fornitore vendesse qualsiasi altro prodotto nel Territorio, dovrà darne notifica al
Distributore per stabilire la possibilità di inserirlo tra i Prodotti descritti in ................. [la
Clausola 1 (per l’Alternativa A della Clausola 1) o l’Allegato 1 (per l’alternativa B della
Clausola 1)] di questo Contratto.
Alternativa B. Durante il periodo di vigenza di questo Contratto, il Fornitore concede al
Distributore il diritto esclusivo di commercializzare e vendere i Prodotti nel Territorio.
Ciononostante, potrà negoziare e vendere direttamente nel Territorio a potenziali clienti
che compiano i requisiti stabiliti nell’Allegato 2 di questo Contratto.
Alternativa C. Durante il periodo di vigenza di questo Contratto, il Fornitore potrà
commercializzare e vendere i Prodotti nel Territorio, sia direttamente che per
intermediazione di altre persone fisiche o giuridiche. Il distributore non avrà diritto di
percepire quantità alcuna dell’importo delle vendite così realizzate.

I contratti redatti dal gruppo di esperti legali di Global Negotiator coprono tutti gli aspetti
rilevanti della negoziazione e degli accordi che riguardano i vari tipi di affari fra le ditte.
Ciononostante, quando si utilizzano questi contratti, bisogna tenere presente una serie di
raccomandazioni comuni a tutti loro, descritte a continuazione in questo Manuale d’Uso.
DATA
La data di entrata in vigore del contratto è quella che appare nella sua intestazione, come
menzionato negli ultimi paragrafi del contratto stesso, prima delle firme (Questo Contratto
decorrerà a partire dalla data riportata nella sua intestazione.)
Per alcuni contratti - ad esempio, il Contratto di Fornitura - la data di entrata in vigore è
menzionata anche in una delle clausole. In questi casi, affinché non sorgano divergenze,
bisogna verificare che le due date inserite, sia nell’intestazione che nella clausola, siano uguali.
PARTI
Nella prima pagina del contratto bisogna inserire i dati completi delle Parti:
Se la Parte è una ditta, bisogna inserire i seguenti dati: nome legale, tipo di società (limitata,
anonima, ecc.), indirizzo completo, dati di registro e numero di registrazione fiscale.
Se la Parte è una persona fisica che lavora come professionista autonomo (ad esempio,
un agente commerciale), bisogna inserire i seguenti dati: nome completo, professione,
indirizzo e numero di registrazione fiscale.
CLAUSOLE
Clausole con varie alternative: scelta della maggiormente favorevole
Nelle clausole più importanti di ogni contratto (esclusività, metodi di pagamento, indennità,
leggi applicabili e risoluzione di controversie, ecc.) si propongono varie alternative di
redazione, in modo che si possa scegliere quella più indicata per ogni situazione. Di
conseguenza, l’utente, prima di presentare il contratto all’altra Parte, dovrà scegliere le
alternative che gli sembrino più consone ai suoi interessi ed eliminare le altre.
Clausole con spazi in bianco da completare
In molte clausole del contratto appaiono degli spazi in bianco, segnalati da dei punti di
sospensione (................), che l’utente deve completare inserendo il testo pertinente. Dopo i
punti di sospensione, fra parentesi quadre, ci sono i dati e le spiegazioni per inserire il testo.

Quando il testo fra parentesi quadre è scritto in caratteri non corsivi (come quello del
resto del contratto) ed è separato da “,” o dalla parola “o”, l’utente deve scegliere una
delle due opzioni presentate.
Esempio di spazio in bianco (..........) con opzioni da scegliere fra parentesi quadre:
Gli ordini inviati prima del termine di questo Contratto che implichino vendite in un termine
massimo di ..... [1, 2, 3, 6] mesi, daranno diritto all’Agente a percepire la corrispondente
commissione. In questo caso, l’utente dovrà scegliere fra le opzioni 1, 2, 3 o 6 mesi e
inserirne una nello spazio segnalato dai punti di sospensione (..........).
Quando il testo che appare fra parentesi quadre è in corsivo, l’utente deve inserire
l’informazione richiesta ed eliminare il testo fra parentesi.
Esempio di spazio in bianco (..........) con testo da inserire:
“Le Parti, di comune accordo, decidono di sottomettere le loro controversie al Regolamento
di Conciliazione e Arbitraggio della Camera di Commercio Internazionale, designando uno
o più arbitri in accordo con tale Regolamento. L’Arbitraggio si terrà in ........... [città e Paese]".
In questo caso, l’utente deve inserire nello spazio (........) la città e il Paese scelti per
l’Arbitraggio ed eliminare il testo fra parentesi [città e Paese].
Clausole di Notifica
A volte può succedere che l’indirizzo ufficiale di una delle Parti definite al principio del
contratto sia diverso da quello che si utilizzerà ai fini delle relazioni fra le Parti stesse
durante il periodo di vigenza del contratto. In questi casi conviene allegare, alla fine del
contratto, una clausola di notifica.
Esempio di Clausola di Notifica:
Notifiche. - Al fine di adempiere le loro obbligazioni, le Parti stabiliscono come indirizzo per
le notifiche relative a questo contratto:

ALLEGATI
I contratti comprendono degli Allegati, diversi dalle Clausole in cui sono citati. Per gli
Allegati si utilizzano formati comuni, anche se è l’utente a dover adattare ad ogni situazione
particolare tanto i formati, come i contenuti degli stessi.
FIRME
Firmatari

Le persone che firmano il contratto in nome della ditta, devono possedere la dovuta autorità
e, preferibilmente, essere legittimate da una procura. A piè della firma del contratto, oltre al
nome completo della persona che firma, deve essere indicata anche la carica che occupa
nella ditta. Quando una delle Parti che firmano è una persona fisica (ad esempio, un agente
commerciale, per il Contratto di Agenzia), ovviamente deve essere la stessa persona a
firmare il contratto.
Le leggi di alcuni Paesi esigono che, perché siano validi, i contratti debbano essere firmati
in presenza di testimoni o di un notaio pubblico. Per questa ragione, prima di firmare un
contratto, è conveniente informarsi dei requisiti necessari in ogni Paese.
Luogo e data della firma
Normalmente i contratti sono firmati da ogni Parte nella stessa data e nello stesso luogo, ma
per i contratti internazionali, a causa delle distanze fisiche, è consuetudine che ognuna delle
Parti firmi in un luogo e in una data diversi. In questo contratto sono contemplate entrambe
le alternative, di conseguenza bisogna scegliere quella più consona in ogni situazione.
Numero di copie
La pratica più comune è quella di firmare due originali del contratto e che ogni Parte ne
conservi uno, ma può sorgere la necessità di firmare più copie. A questo fine, bisogna
solamente menzionare esplicitamente il numero di copie firmate nel paragrafo inserito a
questo scopo alla fine del contratto (In fede di che sono conformi con quanto stabilito, le
Parti firmano questo Contratto in ......... copie, considerate tutte come originali.)
RACCOMANDAZIONI GENERALI
Le parti devono firmare tutte le pagine del contratto, compresi gli allegati, affinché anche
questi siano considerati validi. È preferibile usare una penna a sfera o una penna stilografica
(mai una matita) di colore diverso dal nero (ad esempio, blu), giacché, così facendo, sarà più
facile distinguere gli originali dalle copie.
È raccomandabile, sebbene non obbligatorio, scrivere le quantità di denaro e le percentuali
che figurano nel contratto sia in cifre che in lettere; ovviamente le quantità devono essere
assolutamente identiche. Si deve anche specificare la valuta a cui si riferiscono le quantità
di denaro. Si consiglia di utilizzare, in lettere maiuscole, le sigle delle valute stabilite dalla
normativa ISO (EUR per l’euro, USD per il dollaro, GBP per la sterlina del Regno Unito, IPY
per lo Yen giapponese, ecc.; le sigle di altre valute possono essere consultate nella pagina
web www.oanda.com).
Una volta scelte le alternative più adeguate per ogni clausola e completati gli spazi in bianco,
bisogna procedere a una revisione completa del contratto per eliminare i paragrafi di troppo
e correggere possibili errori.
