Summary of Memo Circulars
March 11, 2020 - MC 2020-03 | Regulatory Relief for
Cooperatives in view of Proclamation 922
In the light of Proclamation No. 922, cooperatives are
hereby allowed to postpone their scheduled AGA and
election officers for a period of three months from the
effectivity of the Circular or until such time that State of
Public Health Emergency is lifted whenever comes first.
Incumbent officers shall be on a holdover capacity until
such time that a GA meeting and election of officers are
conducted. Pending the conduct of GA meeting shall
operate on a reenacted budget.
March 23,2020 - MC 2020-04 | Amendment to
MC 2020-03
• The cooperative shall submit a letter thru email,
informing our office the postponement of GA
signed by the Chair/CEO/GM of the cooperative
• Deadline for submission of reports is on June 15,
2020. In case the cooperative conducted GA after
June 15, 2020, the Authority shall be informed of
any changes in the submitted reports within 5
days after the conduct of the said assembly.
May 5, 2020 - MC 2020-06 | Amendment and
Supplement to MC Nos 2020-04 and 05, Further
Extending the Deadline for Submission of
Required Reports to June 30, 2020. All duly
signed reports may be submitted thru:
1) Personal, provided precautionary measures are
observed.
2) Through registered mail or courier services;
3) Online submission using Coop Annual Progress
Report Information System (CAPRIS
May 6, 2020 -MC 2020-07 | Extension of Period of
Validity of Certificate of Compliance (COC) for CY
2019. The Authority extending the deadline for
submission of reports. All Certificate of Compliance
issued which expired on April 30, 2020 shall still be
considered valid and subsisting until June 30, 2020
A COC is issued:
- Compliance with CA Progress Report
- Secure CTE
- Avail of local exemption
- Comply with the documentary requirements for
accreditation as CDA Training providers
- Such other legitimate purposes it may serve

virtual format; may adopt web-based trainings,
webinars and other available virtual platforms; or a
combination of virtual and homework; complied
with the required contents and minimum numbers

May 29 - MC 2020-10 | Guidelines on the
Conduct of General Assembly Meetings of
Federations, Unions and Cooperative Banks
Through Videoconferencing .
Federation should follow the guidelines stated in
MC 2020-10 as well as the joint statement of
DOH, DILG, and DOH on public gatherings
stating among others the implementation of
precautionary measures or health protocols
are observed
May 22, 2020 - 2020-11 Guidelines Supplementing CA MC No.
2015-01 and MC 2015-11vand MC No. 2016-05 on the conduct of
validation of applications for registration of cooperatives,
amendments to the Article of Cooperation and By Laws and
Establishment of Branches and Satellites
Section 5. Conduct of Validation.
5.1. Applications for new registration, amendments to the Articles of Cooperation
and Bylaws or establishment of branches or satellite offices shall be subject to
validation/verification. The assigned validator shall conduct validation within two
(2) days from assignment to ensure that the necessary data for the preparation of
a complete report with recommendations are gathered. Onsite validation
shall be the primary recourse to be conducted.
Where onsite validation is not possible due to causes beyond the control of the
assigned CDS II like the issuance of Proclamation No. 922 dated March 08, 2020,
an off-site validation may be conducted.
May 22, 2020 (MC No. 11) Guidelines on the
conduct of validation of application for
Registration of Cooperatives, Amendments to the
Article of Cooperation and By Laws and
Establishment of Branches and Satellite Offices of
Cooperatives
• Onsite Validation – refers to physical conduct of
validation or actual visit
• Off-site Validation – refers to virtual conduct of
validation through phone calls, emails and other
forms of social media.
MC No 2020-12. Amendment to MC 2020-10 s 2020
Primary cooperatives having a maximum of 150 members may
opt to conduct general assembly meetings through video
conferencing, applying Memorandum Circular (MC) No. 2020-10,
EXCEPT for the provision on voting system under item 9.0.All
insurance cooperatives may opt to conduct general assembly
meetings through video conferencing, applying MC No. 2020-10.

This Circular amends MC No. 2020-10 S-2020, entitled “Guidelines on
the Conduct of General Assembly Meetings of Federations, Unions and
Cooperative Banks through Videoconferencing”, by including primary
cooperatives and insurance cooperatives within its coverage.
June 4, 2020, MC 2020-13. Guidelines on the meetings of the
Board of Directors, Members of Committees, and
management staff of Cooperatives through Video
Conferencing or Physical Attendance.
. Cooperatives may opt to allow meetings of their management staff through
videoconferencing, subject to the policies to be adopted by the cooperative.
4. In the conduct of meetings through videoconferencing, cooperatives shall
adopt their own policies and procedures, taking into account the following:
• Urgency and importance of the matters to be discussed and voted upon;
• Process of documentation and recording of meetings as well as security
and accessibility of said recordings, if requested later on.
• Availability of facilities and suitable equipment, such as a reliable and
strong internet connection capable of supporting numerous
simultaneous connections.
• Clarity of audio and video for better communication and understanding
of what are being discussed; and
• Other matters such as administrative, technical or logistical concerns for
an effective and efficient videoconferencing meeting.
5. Meetings conducted through physical attendance must
comply with the directives relative to health protocols issued by
the Department of Health (DOH) or the Local Government Unit
(LGU) where the cooperative is situated.

On GAWAD Parangal:
Meeting last June 8, 2020.
There was a consensus to forego the regular GP this
year and to adopt a modified recognition system under
the Bayanihan Program to recognize coops who made
valuable contributions during the C19 pandemic. CDA to
issue an advisory instead that the regular GP shall have a
new version under the umbrella of the Bayanihan Program
for this year.
Other reasons – No conduct of GA
- No inspection
- Process of Validation/Partners
- NGAs/LGUs
- Avoiding F2F
• Utilization of Community Development Fund (CDF),
Optional Fund (OF), and General Reserve Fund (GRF)
CDF, which under Article 86 (3) of R.A. 9520, shall not be
less than three per centum (3%) of the cooperative net
surplus, may be utilized for projects or activities where the
cooperative operates. This includes actions to reinforce
prevention and control actions undertaken in response to
the COVID-19 Pandemic, even if not included in the
approved Special Development Plan. To emphasize, the
benefit of CDF must be the community where the
cooperative operates, particularly those families who are
in dire need of help. If the benevolent intention of the
cooperative management is to provide amelioration to its
members and/or employees only, the same shall not be
chargeable to the CDF, but to the OF;
Public Advisory No. 8
OF, which under Article 86 (4) of R.A. 9520,
shall not exceed seven per centum (7%) of
the cooperative net surplus, may be
utilized for the members and employees of
the cooperative. This however, must later
on be confirmed by the General Assembly
(GA
Optional Fund
Gen Reserve Fund
GRF, which under Article 86 (1)(a) of R.A.
9520, shall be utilized for the stability of the
cooperative and to meet net losses in its the
operation. Corollary, in case the cooperative
OF is not utilized as additional fund
assistance to its members and employees,
the same shall be charged as a direct
expense. Thus, in the event the cooperative
incurs loss during the year on account of this
present pandemic, only then that the GRF
may be used.

Videoconferencing – shall refer
to a conference between two
or more participants at
different sites by using
computer networks to transmit
audio and video data. For
example, a point-to-point (two-
person) video conferencing
system works much like a video
telephone. Each participant has
a video camera, microphone,
and speakers mounted on his
or her computer. As the two
participants speak to one
another, their voices are
carried over the network and
delivered to the other's
speakers, and whatever images
appear in front of the video
camera appear in a window on
the other participant's
monitor.

Summary of Memo Circulars March 11, 2020 - MC 2020-03 | Regulatory Relief for Cooperatives in view of Proclamation 922 In the light of Proclamation No. 922, cooperatives are hereby allowed to postpone their scheduled AGA and election officers for a period of three months from the effectivity of the Circular or until such time that State of Public Health Emergency is lifted whenever comes first. Incumbent officers shall be on a holdover capacity until such time that a GA meeting and election of officers are conducted. Pending the conduct of GA meeting shall operate on a reenacted budget.

March 23,2020 - MC 2020-04 | Amendment to MC 2020-03 • The cooperative shall submit a letter thru email, informing our office the postponement of GA signed by the Chair/CEO/GM of the cooperative • Deadline for submission of reports is on June 15, 2020. In case the cooperative conducted GA after June 15, 2020, the Authority shall be informed of any changes in the submitted reports within 5 days after the conduct of the said assembly.

Federation should follow the guidelines stated in MC 2020-10 as well as the joint statement of DOH, DILG, and DOH on public gatherings stating among others the implementation of precautionary measures or health protocols are observed

May 22, 2020 - 2020-11 Guidelines Supplementing CA MC No. 2015-01 and MC 2015-11vand MC No. 2016-05 on the conduct of validation of applications for registration of cooperatives, amendments to the Article of Cooperation and By Laws and Establishment of Branches and Satellites Section 5. Conduct of Validation. 5.1. Applications for new registration, amendments to the Articles of Cooperation and Bylaws or establishment of branches or satellite offices shall be subject to validation/verification. The assigned validator shall conduct validation within two (2) days from assignment to ensure that the necessary data for the preparation of a complete report with recommendations are gathered. Onsite validation shall be the primary recourse to be conducted. Where onsite validation is not possible due to causes beyond the control of the assigned CDS II like the issuance of Proclamation No. 922 dated March 08, 2020, an off-site validation may be conducted.

May 22, 2020 (MC No. 11) Guidelines on the conduct of validation of application for Registration of Cooperatives, Amendments to the Article of Cooperation and By Laws and Establishment of Branches and Satellite Offices of Cooperatives • Onsite Validation – refers to physical conduct of validation or actual visit • Off-site Validation – refers to virtual conduct of validation through phone calls, emails and other forms of social media.

Amendment to MC 2020-10 s 2020 Primary cooperatives having a maximum of 150 members may opt to conduct general assembly meetings through video conferencing, applying Memorandum Circular (MC) No. 2020-10, EXCEPT for the provision on voting system under item 9.0.All insurance cooperatives may opt to conduct general assembly meetings through video conferencing, applying MC No. 2020-10. BOD Resolution No. 136 & 147, S-2020 dated June 4 & 10, 2020. This Circular amends MC No. 2020-10 S-2020, entitled “Guidelines on the Conduct of General Assembly Meetings of Federations, Unions and Cooperative Banks through Videoconferencing”, by including primary cooperatives and insurance cooperatives within its coverage.
  • 16. June 4, 2020, MC 2020-13. Guidelines on the meetings of the Board of Directors, Members of Committees, and management staff of Cooperatives through Video Conferencing or Physical Attendance. . Cooperatives may opt to allow meetings of their management staff through videoconferencing, subject to the policies to be adopted by the cooperative. 4. In the conduct of meetings through videoconferencing, cooperatives shall adopt their own policies and procedures, taking into account the following: • Urgency and importance of the matters to be discussed and voted upon; • Process of documentation and recording of meetings as well as security and accessibility of said recordings, if requested later on. • Availability of facilities and suitable equipment, such as a reliable and strong internet connection capable of supporting numerous simultaneous connections. • Clarity of audio and video for better communication and understanding of what are being discussed; and • Other matters such as administrative, technical or logistical concerns for an effective and efficient videoconferencing meeting.
  • 17. 5. Meetings conducted through physical attendance must comply with the directives relative to health protocols issued by the Department of Health (DOH) or the Local Government Unit (LGU) where the cooperative is situated.

  • 20. On GAWAD Parangal: Meeting last June 8, 2020. There was a consensus to forego the regular GP this year and to adopt a modified recognition system under the Bayanihan Program to recognize coops who made valuable contributions during the C19 pandemic. CDA to issue an advisory instead that the regular GP shall have a new version under the umbrella of the Bayanihan Program for this year. Other reasons – No conduct of GA - No inspection - Process of Validation/Partners - NGAs/LGUs - Avoiding F2F
  • 21. • Utilization of Community Development Fund (CDF), Optional Fund (OF), and General Reserve Fund (GRF) CDF, which under Article 86 (3) of R.A. 9520, shall not be less than three per centum (3%) of the cooperative net surplus, may be utilized for projects or activities where the cooperative operates. This includes actions to reinforce prevention and control actions undertaken in response to the COVID-19 Pandemic, even if not included in the approved Special Development Plan. To emphasize, the benefit of CDF must be the community where the cooperative operates, particularly those families who are in dire need of help. If the benevolent intention of the cooperative management is to provide amelioration to its members and/or employees only, the same shall not be chargeable to the CDF, but to the OF; Public Advisory No. 8
  • 22. OF, which under Article 86 (4) of R.A. 9520, shall not exceed seven per centum (7%) of the cooperative net surplus, may be utilized for the members and employees of the cooperative. This however, must later on be confirmed by the General Assembly (GA Optional Fund
  • 23. Gen Reserve Fund GRF, which under Article 86 (1)(a) of R.A. 9520, shall be utilized for the stability of the cooperative and to meet net losses in its the operation. Corollary, in case the cooperative OF is not utilized as additional fund assistance to its members and employees, the same shall be charged as a direct expense. Thus, in the event the cooperative incurs loss during the year on account of this present pandemic, only then that the GRF may be used.
