Michael (Mike) Prinsloo (Executive and Management Consultant)
Mr. Prinsloo co-founded PD&A. Prior to joining PD&A he was involved in the development of various projects in South Africa and
Africa. He has more than forty years’ experience in mining and a wealth of experience in running internationally listed mining
companies. Previously he was the President and CEO of Banro Corporation, EVP of Goldfields Limited, President and CEO of
Durban Roodepoort Deep and an Executive in Anglo American’s Gold Division
Mr Prinsloo began his professional career with Anglo American Corporation. He holds an HND in Metalliferous Mining, a BSc in
Mining Engineering from the University of the Witwatersrand, an AMP from Harvard University (USA) as well as an MDP and
DPLR from the University of South Africa. He is a Professional Engineer registered with the Engineering Counsel of South Africa
Mark Davies (Management Consultant)
Mr. Davies co-founded PD&A. Prior to joining PD&A he was involved in New Business Project and Investment coordination,
including Directorships in various subsidiaries at Eferton Resources Africa Ltd (Diversified mining and industrial operations in
South Africa, Zambia and The Democratic Republic of Congo). He has fifteen years’ experience in various Management
Consulting and Project Management Roles and has been a Shareholder, Director and part of the Management Team of a number
of business interests in Zambia, DRC, Mozambique and RSA. As a result, he has gained significant experience in operating in
politically and culturally sensitive environments.
He began his professional career with Sasol Limited before entering a career in Management Consulting with AT Kearney as one
of its first recruits to its South African office in 2000. He holds a B.Sc. Electro-Mechanical Engineering (Honours) from the
University of Cape Town and a Master’s in Business Leadership (MBA) from The School of Business Leadership at the University
of South Africa.
Adam Gunn (Legal Consultant)
Mr. Gunn, through Gunn Attorneys, has been associated with PD&A from its inception. With 15 years’ experience in the legal
landscape associated the African mining sector, Mr Gunn is well qualified to lead, manage and co-ordinate the legal matters
associated with PD&A and its Clients.
He was previously a partner at law firms Edward Nathan Sonnenbergs (ENS) and Routledge Modise Eversheds before serving as
in-house counsel to mining and exploration companies Ridge Mining and First Uranium Corporation. Adam has also served on
the boards of various clients’ companies providing him with strategic insight into the functioning of organizations and the
importance of the role of legal counsel.
Mr Gunn holds BCom and LLB degrees from the University of Natal and a LLM from the University of Witwatersrand.
Emma Oosthuizen (Financial Consultant)
Ms. Oosthuizen joined PD&A in 2015. Prior to joining PD&A she was Financial Consultant to Algold Resources Limited advising on
the close out of outstanding tax and other issues with regards to Algold's wholly-owned subsidiary, First Uranium Corporation.
She served as Senior Vice President and Chief Financial Officer of First Uranium Corporation (Canadian listed company with a

Ms. Oosthuizen has over twelve years’ experience in Financial Management and Reporting at various levels within listed mining
companies (TSX, JSE, NASDAQ), which also included starting up of finance departments and reorganization thereof, system
change-over and integration projects, managing capital projects, cash flow monitoring and forecasting, budget process
management, internal control and risk management. She has been actively involved in a number of corporate and finance
activities such as initial public offerings, group reorganizations; numerous due diligence projects, mergers and acquisitions, gold
stream transactions and public offerings.
Ms. Oosthuizen is a Chartered Accountant, member of the South African Institute of Chartered Accountants, and has a
University of South Africa diploma in Auditing and an Honours Bachelor’s degree in Commerce from the University of Pretoria.
Vic Hoops (HR Consultant)
Mr. Hoops is an HR Consultant with more than 30 years’ experience in the Mining Industry. During his tenure in the Mining
Industry he gained exposure in the full Human Resources and Industrial Relations fields and held the positions of Manager
Manpower Resources of Freegold in AngloGold Ashanti, Human Resources Director at Durban Roodepoort Deep and Human
Resource Executive at Simmer & Jack and First Uranium Corporation.
Mr. Hoops has extensive experience in wage negotiations, retrenchment exercises through the Sect 189 processes and the
implementation of Transformation and Social and Labour Plans. During his career he has managed to build solid relationships
with Union Officials at Regional and Head Office levels.
He obtained a Bachelor in Personnel Management Degree from the University of the Free State, an Industrial Relations Diploma
(DPLR) from UNISA, a Management Development Diploma (MDP) from UNISA and a Senior Management Programme through
the Henley Management College in England.
