• Tranche 2 (50%): RM10.965m in 26-months* post-Completion, of which 70% in cash (RM7.6755m) and
30% (RM3.2895m) in cash or CDB shares at CDB's discretion
* 2-months added to standard 12-month observed period to allow for special audit. There is no payment
consideration upon completion.
Performance Guarantee
• Tranche 1 payment is subject to the Target Company’s Audited Consolidated Net Profit After Tax
(“NPAT”) Guarantee of RM4m for the period of month 0-12 post-Completion
• Tranche 2 payment is subject to the Target Company’s Audited Consolidated Net Profit After Tax
(“NPAT”) Guarantee RM4.3m for period of month 13-24 post-Completion
• Final payment amount for both tranches are calculated based on a pro-rata basis against the final NPAT
