The JOBS Act Rules allowing startups to generally solicit their private securities offerings under Rule 506(c) of Regulation D go effective September 23rd.
The SEC Chair Mary Jo White recently answered whether companies generally soliciting on September 23, 2013 must comply with the proposed rules introduced on that date or just the final rules. She confirmed that issuers only need to comply with the final rules, and are not required to comply with the more extensive proposed rules unless and until a final rule is approved. The final rules require companies to only take money from accredited investors, verify their status, and check a box on Form D indicating general solicitation. The proposed rules contained additional requirements that are not yet in effect.
