Referring to the case of Regal (Hastings) Ltd v Gulliver, Lily breaches the duty of loyalty. She has to gained fully informed consent from the shareholders before commence the work. Also, since Lily didn’t refer the new project to the Company, we can claim that Lily receive secret benefit.
