Implicitly or explicitly all competing businesses employ a strategy to select a mix
of marketing resources. Formulating such competitive strategies fundamentally
involves recognizing relationships between elements of the marketing mix (e.g.,
price and product quality), as well as assessing competitive and market conditions
(i.e., industry structure in the language of economics).

www.seribangash.com
A Memorandum of Association (MOA) is a legal document that outlines the fundamental principles and objectives upon which a company operates. It serves as the company's charter or constitution and defines the scope of its activities. Here's a detailed note on the MOA:
Contents of Memorandum of Association:
Name Clause: This clause states the name of the company, which should end with words like "Limited" or "Ltd." for a public limited company and "Private Limited" or "Pvt. Ltd." for a private limited company.

Registered Office Clause: It specifies the location where the company's registered office is situated. This office is where all official communications and notices are sent.
Objective Clause: This clause delineates the main objectives for which the company is formed. It's important to define these objectives clearly, as the company cannot undertake activities beyond those mentioned in this clause.

Liability Clause: It outlines the extent of liability of the company's members. In the case of companies limited by shares, the liability of members is limited to the amount unpaid on their shares. For companies limited by guarantee, members' liability is limited to the amount they undertake to contribute if the company is wound up.

Capital Clause: This clause specifies the authorized capital of the company, i.e., the maximum amount of share capital the company is authorized to issue. It also mentions the division of this capital into shares and their respective nominal value.
Association Clause: It simply states that the subscribers wish to form a company and agree to become members of it, in accordance with the terms of the MOA.
Importance of Memorandum of Association:
Legal Requirement: The MOA is a legal requirement for the formation of a company. It must be filed with the Registrar of Companies during the incorporation process.
Constitutional Document: It serves as the company's constitutional document, defining its scope, powers, and limitations.
Protection of Members: It protects the interests of the company's members by clearly defining the objectives and limiting their liability.
External Communication: It provides clarity to external parties, such as investors, creditors, and regulatory authorities, regarding the company's objectives and powers.

Binding Authority: The company and its members are bound by the provisions of the MOA. Any action taken beyond its scope may be considered ultra vires (beyond the powers) of the company and therefore void.
Amendment of MOA:
While the MOA lays down the company's fundamental principles, it is not entirely immutable. It can be amended, but only under specific circumstances and in compliance with legal procedures. Amendments typically require shareholder

Unveiling the Secrets How Does Generative AI Work.pdfSam H
At its core, generative artificial intelligence relies on the concept of generative models, which serve as engines that churn out entirely new data resembling their training data. It is like a sculptor who has studied so many forms found in nature and then uses this knowledge to create sculptures from his imagination that have never been seen before anywhere else. If taken to cyberspace, gans work almost the same way.

12. Our first contact was a bit hard to accomplish given the fact that from the beginning
we did not have the good number for Mr. Sam Perry, our contact person with the
Society of St. James. Being utterly important to contact him as soon as possible, we
called one of the contact numbers of the Society, and after giving some details about
who we were and exactly what we needed we succeeded in getting Mr. Perry’s phone
number.
We proceeded to contact him and inform him that we are very excited about the
project and ready to start. He was very pleased to hear that and informed us he will try
to get some time free for us.
We then proceeded talking through e-mails, keeping each other informed about the
meetings that were about to take place.
We expected the first visit to be stressful and tense, but it was the totally opposite. Mr.
Perry and his 2 colleagues received us very politely and friendly, and treated us very
nice. They gave us more information about the society and it’s projects, and created a
basic picture about what we should expect.
COMMUNICATIONS LOG
13. We found out the purpose of our project, raising awareness throughout Hampshire
about the Society of St. James, and started talking about a couple of ideas. We left their
office extremely satisfied and excited for our next scheduled visit to the society’s drug
addiction center.
Later in the week we woke up early and went for our appointment with Ash, from the
Bridge Open Access Drug Center. Upon arriving there we were given a bit of curious
looks and later found out that Ash was not available to meet us because of some
personal issues. The people working at the Bridge did not know exactly about our visit
but after a few phone calls everything was resolved and we had the help of a wonderful
lady that helped us with everything we needed, and gave us moral support when we
needed it. It was a difficult experience for all of us, but I think we all learned something
from it. Seeing so many people, some wanting to get their lives back, some being there
because of court orders, made us realize how beautiful our own lives are and how we
have everything we need. We interviewed a couple of the clients of the service, some
employees and even some ex-clients that were at the moment working for the society.
We spent there hours and we found out about so many experiences that I think will
guide our own steps in life now.
After our visit at The Bridge, we e-mailed Sam, the lady that attended us there for more
basic information about the center and also for a couple of names and details regarding
our visit there. She replied to us and gave us all the information we needed.
All in all it was a very interesting and pleasant experience, especially the fact that we
were dealing with a live client.
Editor's Notes
-The Society of St. James is a third sector organisation and already helps the homeless and drug addicts in Southampton and other surrounding areas in Hampshire. -The organisation in based in Southampton and works all over Hampshire in order to help homeless people and people suffering with drug addiction.-The third sector has been suffering recently because of the economic downturn and therefore needs extra help in terms of raising awareness and in turn raising money to ensure that all charity's, including St. James are able to continue to work hard and help people in need. Therefore different means of raising awareness are needed and this is what we have tried to find in order to help St. James. We have included our findings and our ideas which we believe would be a good way for the charity to raise awareness and would also support the charity so that it is able to continue to raise awareness.-Fundraising is especially important since the 2007 credit crunch because of the lack of “availability in terms on which non state finance is available”. (Mullins, D & Pawson, 2010, page 211)
We want to raise the awareness of the charity and the positive work that it does with the homeless and drug addicts. We intend to do this by inspiring the public and those working in large corporations in Southampton and Hampshire. From the increased public knowledge of the charity we want to want to use this opportunity the increase the amount of fundraising done by companies and individuals as well as increasing traffic towards the charities website.
The main strategy that we want to concentrate on is one where you can’t ignore the tragedy but it’s not the main priority. We want to focus on the positives and the success stories that the DIP and the Bridge have created and therefore spread the importance that this charity has in Southampton and Hampshire. By using the positive impact that the resources have on the local area we can use this to raise the importance that the charity has in the local area.
To raise the awareness of the charity we intended to organize and manage some events that can be targeted toward both corporations and individuals. These events are sent as press releases to local publications in order to reach out and publicise the Society of St. James’s 40th anniversary and its website. We have created a list of publications which we believe would be best to reach out to for this purpose -Hampshire Advertise, Hampshire Chronicle, Hampshire Observer, Hampshire Telegraph, Hampshire Magazine, Winchester Echo, Daily Echo, Lymington Times, Basingstoke Observer, New Forest Post, Romsey Advertisers, Andover Advertiser, Hampshire Society Magazine
Continuing one of the Society of St. James projects, the “Big Sleep Out”, we are planning on taking it to a bigger level, involving all the universities in Hampshire. Connecting thousands of students with a common purpose, we will select a night to bring all the students together for a big sleep over inside their respective universities. Being a project that involves so many people, we are expecting a great outcome concerning the publicity and positive feedback this would bring the organization. Also, we plan on involving the actual students in the organization of the actual project. One other good opportunity that will come from this event will be the official announcement of our other campaign events, thus bringing the attention of the citizens living in Hampshire towards us, including the corporate individuals we are currently aiming for.
Our main target being corporate societies, we are planning a massive event, with the main attraction being an auction. An often encountered technique for raising funds, it is also very well known for attracting the attention. The plan is to contact the main companies in Hampshire that have been known for collaboration with charity societies, continuing with involving other companies as well. Their purpose will be either to donate things for the auction, or come and bid, or even both. We have much faith in this project as we count a lot on corporate social responsibility, a very important part in every company. For starters we will contact a couple of PR companies, where we have some former Solent University students who have offered to help us with anything we need, including our projects. For the main event planning, we are planning on involving an event-planning company, that will be aided by our event-management students, as work experience.
One of our most exciting events, it has the purpose of bringing together the Southampton football team, Southampton Saints, and the society’s football team, composed of the clients of the service. Having a game played between this two teams will increase the awareness all throughout Hampshire about exactly what the society does and how much help it brings to people, both clients and non-clients. Being a big scale event, we could actually organize it as a school trip for students and encourage people to come and enjoy a day out. It will also bring to the people’s eyes the imperfections of the world, thus motivating them to actually do something about it.Also, by involving the users of the society, we feel it could be part of their treatment, aiming to help reintroducing them into the society.Of course, all the money from the tickets will go to the society and into the many projects and ideas it has.
As a result of our ideas and applying our tactics, we estimate to achieve our objectives successfully and gain other benefits as well. The main goal we would achieve is raising awareness over all Hampshire, because making sure that people know about the charity gives a massive opportunity to increase volunteers, because of course, every help is welcome especially in third sector organizations.Consequently, as the awareness increases, so does the possibility of people donating, and fund raising is also very important, no matter how big the amount of money is, being able to increase your actual funds in some percentageThe events we have planned will gain lots of press attention, as for example, the big sleep out which is going to involve hundreds of students. Also, We will drive more traffic to the website especially because of the up and coming 40th anniversary of the charity. The final and most importantly, thanks to all the other benefits achieved, we will be able to help more homeless people and drug addicts that otherwise would not have access to The Bridge and the DIP and therefore not be able to benefit from the work that the project does.
