A Memorandum of Association (MOA) is a legal document that outlines the fundamental principles and objectives upon which a company operates. It serves as the company's charter or constitution and defines the scope of its activities. Here's a detailed note on the MOA:
Contents of Memorandum of Association:
Name Clause: This clause states the name of the company, which should end with words like "Limited" or "Ltd." for a public limited company and "Private Limited" or "Pvt. Ltd." for a private limited company.
https://seribangash.com/article-of-association-is-legal-doc-of-company/
Registered Office Clause: It specifies the location where the company's registered office is situated. This office is where all official communications and notices are sent.
Objective Clause: This clause delineates the main objectives for which the company is formed. It's important to define these objectives clearly, as the company cannot undertake activities beyond those mentioned in this clause.
www.seribangash.com
Liability Clause: It outlines the extent of liability of the company's members. In the case of companies limited by shares, the liability of members is limited to the amount unpaid on their shares. For companies limited by guarantee, members' liability is limited to the amount they undertake to contribute if the company is wound up.

Capital Clause: This clause specifies the authorized capital of the company, i.e., the maximum amount of share capital the company is authorized to issue. It also mentions the division of this capital into shares and their respective nominal value.
Association Clause: It simply states that the subscribers wish to form a company and agree to become members of it, in accordance with the terms of the MOA.
Importance of Memorandum of Association:
Legal Requirement: The MOA is a legal requirement for the formation of a company. It must be filed with the Registrar of Companies during the incorporation process.
Constitutional Document: It serves as the company's constitutional document, defining its scope, powers, and limitations.
Protection of Members: It protects the interests of the company's members by clearly defining the objectives and limiting their liability.
External Communication: It provides clarity to external parties, such as investors, creditors, and regulatory authorities, regarding the company's objectives and powers.

Binding Authority: The company and its members are bound by the provisions of the MOA. Any action taken beyond its scope may be considered ultra vires (beyond the powers) of the company and therefore void.
Amendment of MOA:
While the MOA lays down the company's fundamental principles, it is not entirely immutable. It can be amended, but only under specific circumstances and in compliance with legal procedures. Amendments typically require shareholder
Enterprise Excellence is Inclusive Excellence.pdfKaiNexus
Enterprise excellence and inclusive excellence are closely linked, and real-world challenges have shown that both are essential to the success of any organization. To achieve enterprise excellence, organizations must focus on improving their operations and processes while creating an inclusive environment that engages everyone. In this interactive session, the facilitator will highlight commonly established business practices and how they limit our ability to engage everyone every day. More importantly, though, participants will likely gain increased awareness of what we can do differently to maximize enterprise excellence through deliberate inclusion.
What is Enterprise Excellence?
Enterprise Excellence is a holistic approach that's aimed at achieving world-class performance across all aspects of the organization.
What might I learn?
A way to engage all in creating Inclusive Excellence. Lessons from the US military and their parallels to the story of Harry Potter. How belt systems and CI teams can destroy inclusive practices. How leadership language invites people to the party. There are three things leaders can do to engage everyone every day: maximizing psychological safety to create environments where folks learn, contribute, and challenge the status quo.
Who might benefit? Anyone and everyone leading folks from the shop floor to top floor.

Editor's Notes
Good morning and welcome to Seto city. My name is Reiko Isomura. I am an official of the Long-term planning division of the city government. It is my great pleasure to be able to present to you a brief introduction of the city.
Let me show you the first figure, which is the city’s topography. The city of Seto is located about 20 km to the northeast of Nagoya city, which is as you have already seen, the economic hub of central Japan with more than 2 million habitants. Seto city covers an area of 111.62 square kilometers and is the sixth biggest city among 31cities in Aichi prefecture. It has a population in excess of 130,000 which is the ninth largest among 31cities and 57 towns and villages composing the prefecture. On the map, the light green shows the elevation between 0 to 200 m. As the color becomes dark the elevation becomes higher. The city lies in the hills halfway between the east mountainous district and the west plain area towards Nagoya. As you see, the east part of the city has higher elevation. The elevation slowly goes down towards west part of the city, which continues to the Nobi plain around Nagoya city. These same hills are also the source of the silicate-rich layer of earth. This Seto layer serves as the raw materials for quality ceramics and glass. The mountains in the north and east of the city are covered with pine forests that had traditionally provided the fuel for local kilns. Thanks to this rich environment, Seto has since ancient times been a center of ceramics production. As a testimony to this fact, in Japanese, the word “seto-mono” (literally, “Seto wares”) is synonymous with “ceramics.” In recent years, the city developed a more diversified industrial base thanks to the high-technology industries attracted to the industrial park in the northern part of the city. On the other hand, the city’s western and southern part has a growing feature as a residential area of the workers working in Nagoya city. In one word, the city, originally developed as a ceramics center, now has various faces.
The history of ceramics in Seto goes back to the eighth century A.D. The ceramics industry flourished for hundreds of years, its fortunes tied closely to the tea-ceremony in which a wide variety of ceramic utensils were required. Later in the 19 th century, Seto experienced an important technological innovation : an introduction of porcelain techniques to Seto by Tamikichi Kato. By this innovation, Seto became a competitive manufacturing center of both pottery and porcelain.
This is one of the many climbing kilns in operation in 19 th century. These are not used any more but we can see that big-size pottery had been produced in large quantity.
As for the old ceramics, several measures have been taken. (1) In 1999 Seto Ceramics and Glass Art Center opened. Later today you are visiting the center. The center has 3 main roles : a gallery to display various ceramic or glass articles, a tourist information and community salon, a laboratory and studio for ceramic and glass art trainees. By establishing the center, we expect that the artistic level of the Seto wares be further enhanced. To preserve and hand down the Sometsuke porcelain techniques, the Seto City Multimedia,Tradition & Craft Center was established this year. (2) For old ceramics, two exchange programs are at work. One with Jang Te Zhen in China. The other with Nabeul, Tunisia. Shortly begins Artists-in-residence program in which world artists are invited to exchange expertises with local artists. (3) Lastly sales promotion connected with promotion of tourism is a measure which has the highest expectations both of the city government and of the private sectors concerned. Since Seto is an old town, it has a variety of historical and cultural monuments and places which can attract visitors outside the city. We expect that with the flowing in of the visitors, Seto wares will be able to get more popularity and reputation. The city government supports the construction of necessary facilities for visitors and their activities. In this point of view, the World Exposition in 2005 will be a big chance for us. We recently elaborated the Field Museum Plan to make the most of this opportunity. The plan includes networking of various facilities and activities in the city to make the stay in Seto more exciting and comfortable. Let me conclude my presentation here. I wish to answer your questions if any. Fortunately, my colleagues of the commerce, industry, and tourism division are present here, and they are also available to answer your questions. Thank you very much and I wish you a good stay in Seto.
