This contract agreement is between Davin Runnerstrom and Snapchat from March 1, 2022 to September 1, 2022. Davin will design a website for Snapchat, providing programming and design services. Snapchat will pay $12,000 total for the work, with half due up front and the remainder upon approval of completed work. Davin will retain rights to materials not expressly granted, and provide biweekly updates on progress. Failure to provide timely updates could result in penalties to payment. The agreement is governed by Virginia law and disputes will be settled in Fairfax County court.

1. 1. INTRODUCTION
THIS AGREEMENT made this 13 day of February, is by and between Davin Runnerstrom
(hereinafter called “Client”) and Snapchat, (hereinafter called the “Company”). In consideration
of the mutual promises hereinafter contained, the parties hereto promise and agree as follows:
2. PURPOSE OF THE CONTRACT
1. Grant of License. Author grants to WEBSITE OPERATOR , for the duration of the
Term (as defined in Section 4 below), the right and license to display in digital
form the following works:_ (the “Materials”) on WEBSITE OPERATOR ’s web
site www.xxx.com and the sites it hosts for its participating affiliate newspapers
(collectively referred to as the “Site”).
2. Promotional Use. Author grants to WEBSITE OPERATOR the right use Author's
name, biographical information, likeness, pseudonym and/or image in connection
with authorized uses of the Materials, said information to be supplied by Author.
3. Credit, Attribution and Linking. WEBSITE OPERATOR shall give Author credit in
connection with the use of the Materials by identifying Author in conjunction with
the Materials as displayed on the Site. WEBSITE OPERATOR shall also provide on
the Site a link to the Author’s web site at http://xxx.com/ and to the Materials, to
the extent available, on xxx.com.
3. SCOPE OF PROJECT
Davin Runnerstrom will design a website (the “Website) for Snapchat by providing the design
and programming services in a professional and timely manner. All programming and
documentation shall comply with standards currently employed by Snapchat. The parties may
at any time modify the scope of the project by including desired changes in a written “change
order” that explains the changes and adjustment to the payment for the services that will result
from such changes. Such change order shall become effective when signed and dated by both
parties.
4. TERM
This contract is valid for a period of six months from the date of signing.
This contract is valid from March 1, 2022 to September 1, 2022.
This contract is valid for a period of six (6) months. A month will be considered a calendar
month, for 30 days from the start of the contract.

2. 5. PAYMENT
In consideration for the services, Snapchat will pay Davin Runnerstrom twelve thousand dollars
($12,000). Fifty percent of the payment is non-refundable and is due at the time this agreement
is signed. Final payment is due upon Davin Runnerstrom completing the website and obtaining
Snapchat’s approval that the services have been fulfilled as per the agreement.
6. INTELLECTUAL PROPERTY RIGHTS
Snapchat shall be the sole owner of all intellectual property rights in the Site and all materials
relating to the Site other than the Materials. Davin Runnerstrom shall retain all rights with
respect to the Materials which are not expressly granted to Snapchat herein and Snapchat may
exercise, sell, license, or otherwise dispose of such rights at any time.
7. CONTENT
Snapchat warrants and represents the contents are Snapchat's original works, and do not now
and will not violate any existing intellectual property rights, including, without limitation,
copyright or trade secret or any contractual rights, and that they contain no matter which, if
published, will be fraudulent, harassing, libelous, obscene, or a violation of any rights of publicly
or privacy, or any law or regulation. Snapchat will fully cooperate with Davin Runnerstrom in
responding to and defending against any third-party claim related to the content.
8. MILESTONES
Davin Runnerstrom will report to Snapchat the progress or concerns for the website being
created for Snapchat in a timely and professional manner. Updates on the website should be
reported to Snapchat no later than every eight weeks (8). Failure to provide updates in a timely
manner could result in a loss of one thousand dollars from the agreed upon payment for
services ($1,000) and/or termination.
9. CONTRACT
This contract shall be valid for six (6) months. For the purpose of this contract, a month will be
considered a calendar month, for 30 days from the start of the contract. This contract is valid
from March 1, 2022 to September 1, 2022. For the contract to be valid it must have the
signatures of Davin Runnerstrom and Snapchat along with the dates it was signed. Failure to
comply with this agreement (Davin Runnerstrom) could lead to termination of services or void
the contract (Snapchat).
10. GOVERNING LAW

3. Governing Law and Jurisdiction. This Agreement shall be governed by and construed in
accordance with the laws of the State of Virginia, without reference to its conflicts of laws
provisions. Jurisdiction for litigation of any dispute, controversy or claim arising out of or in
connection with this Agreement, shall be only in a federal or state court having subject matter
jurisdiction located in Fairfax County, Virginia.
