- 1. 1. INTRODUCTION THIS AGREEMENT is made as of the 10th day of October 2019, is by and between Rolex Watch USA Inc. (hereinafter called “SPONSOR”) and Aaron Rodger (hereinafter called “TALENT”). In consideration of the mutual promises hereinafter contained, the parties hereto promise and agree as follows: (The Rolex Celebrity Golf Pro-Am will be referred to as EVENT) 2. PURPOSE OF THE CONTRACT The TALENT and the SPONSPOR are the parties to this agreement. Subject to the terms and conditions set forth in this agreement, the SPONSOR engages the TALENT on a play to be paid basis, and the TALENT agrees to provide services in connection with the required personal appearance services. 3. SCOPE OF PROJECT Talent shall appear on March 20, 2019 thru March 22,2019 at the TPC Sawgrass in Ponte Vedra, Beach, Florida to compete and participate in the EVENT. The TALENT will report to the location at 9AM EST each day of the EVENT. The TALENT hereby agrees to be used in promotional materials for the EVENT. The EVENT will abide by the standard rules of golf in compliance with the USGA. The TALENT hereby agrees to treat this EVENT as if it were a professional golf tournament. This means there is a dress code and you are to use “golf etiquette” on the golf course. The TALENT must not consume alcohol while participating in the event. The TALENT will be subject to additional compensation if he is to win the EVENT. The purpose of this EVENT is to promote the SPONSOR’s brand. 4. TERM This contract is valid for a period of five months and thirteen days from the date of signing. The term of this Agreement shall commence on the Effective Date and shall continue till the day after the event is over. Thereafter, this Agreement is subject to renewal as may be mutually agreed by the TALENT and the EVENT directors. This contract may be subject to termination at ANY time. The terms and conditions of this contract will still be active the following hours after the event has concluded. This contract will immediately expire the day after the event.
- 2. 5. COMPENSATION The SPONSOR will pay the TALENT a total fee of (twenty thousand dollars), 50% will be payable upon the execution of this agreement (Oct 10, 2019), The other 50% will be paid upon the arrival to the event. There is an additional (fifty-thousand-dollar bonus) to the person who comes in first place in the event. The fee is net of all local taxes and other requirements and the SPONSOR hereby agrees to indemnify and hold the TALENT harmless from any and all local taxes or other requirements. The TALENT shall have no obligations to the SPONSOR whatsoever if the TALENT does not receive full payment by the final payment date. 6. Accommodations At the SPONSOR’s sole expense, the sponsor shall provide the TALENT: A. Travel - All travel expenses will be paid for B. Hotel – Rooms will be available for early arrival and check-in. Breakfast will be provided as part of the hotel agreement. C. Security – The SPONSOR will provide the TALENT with first-class, professional security throughout his time and stay, which will be subject to the talent’s approval. D. Local ground transportation – The SPONSER will provide the TALENT exclusive car transportation (car and driver) including without limitation between airports and the accommodation, and between the accommodation and the EVENT, upon their arrival through the time of departure. 7. Liability WE ARE NOT RESPONSIBLE OR LIABLE IN ANY MANNER FOR ANY BODILY INJURY OR HARM DONE TO THE TALENT WHILE PARTICIPATING IN THE EVENT OR OUTSIDE THE PREMISES OF THE EVENT. 8. Tournament Details The EVENT on March 20, 2019 thru March 22,2019 at the TPC Sawgrass in Ponte Vedra, Beach, Florida. Tee times are to be determined but will be between the hour of 9am and 12pm. A caddie will be provided for the TALENT if he cannot find their own. Golf equipment will be provided if the TALENT cannot provide their own. This event will be open to the public. There will be NO handicap systemin place for the participants and all golfers will start with a score of zero. The TALENT or amateur golfers will be randomly paired with a professional golfer.

Obligations During the term of this agreement, the TALENT agrees to: To provide the services with all due care, skill, ability and use all reasonable endeavors to promote the interest of both parties. The TALENT: A. confirms that they have full authority to enter into and preform this agreement and that they are not bound by any previous agreement which adversely affects this agreement. B. Confirms that the services will not contain any obscene or defamatory material and will not expose the SPONSOR to criminal or civil proceedings. C. Agrees that the SPONSOR shall be entitled to use and permit the use of the TALENT’s name, biography, photograph and likeness for the purpose of promoting the EVENT during the time of this agreement. D. Agrees to comply with all the rules in force at such places and locations at which they are required to attend in connection with providing the services 10. GOVERNING LAW This agreement is made in Florida and shall be governed by and interpreted in accordance with the laws of the state of Florida, exclusive of its provisions relating to conflicts of law.
