WHEREAS, the Agency would like the services of the client according to the terms herein stated.
NOW, THEREFORE, In consideration of the mutual covenants and promises made by the parties hereto, Company
and the Client (individually, each a “Party” and collectively, the “Parties”) covenant and agree as follows:
1. AGREEMENT TERMS
Unless otherwise specified by the Agency or Client or by mutual consent of the parties hereto, this Agreement will be
in effect as soon as both parties have signed it. Within the next 7 days, when the client has completed the whole
onboarding procedure, we will accept the Only Fans Account.
2. SERVICES AVAILABLE

2. 3. PERFORMANCE
The Agency shall have performed and complied with all covenants, agreements, obligations, and conditions
contained in this Agreement that are required of them, but the Agency shall not be responsible for any injury, harm,
loss, reduction in revenue or profits, damage, or other event that occurs while performing the Services.
4. PAYMENT
Profits generated by the OnlyFans Account from [service] will be divided equally between the parties. Each partner
will receive 50% of the OnlyFans Account's earnings. Revenue less any necessary operational costs for the
OnlyFans Account are used to determine profit. Within three days of the invoice's delivery, all bills delivered to the
Client must be made payment to the Agency.
5. CONFIDENTIALITY
Confidential information is any data or information pertaining to the client, whether it be business-related or
personal-related, that is logically regarded as being private or proprietary to the client, is not publicly known, and in
which disclosure of the confidential information could logically be anticipated to harm the client.
Except as allowed by the Client or as required by law, the Agency agrees not to disclose, divulge, reveal, report, or
utilise for any purpose any Confidential Information that the Agency has acquired.
During the Term and after this Agreement is terminated, the confidentiality requirements will still be in effect.
Regardless of whether it was given before or after the date of this Agreement or how it was given to the Agency, all
written and spoken information and material revealed or provided by the Client to the Agency under this Agreement is
considered Confidential Information.
6. COMPENSATION FOR LEGAL FEES, OUT-OF-POCKET COSTS, AND BREACH LIABILITY
Each party is responsible for protecting the other from any and all claims, actions, lawsuits, losses, or demands
resulting from any breach of this agreement by the party providing indemnification.
7. INTELLECTUAL PROPERTY OWNERSHIP
The Agency shall own all rights to any intellectual property, associated materials, and content of the OnlyFans
Account (collectively, "Intellectual Property"). This includes all patent, copyright, trademark, trade dress, industrial
design, and trade name rights. There will be no limitations on how the Agency can utilise the Intellectual Property.
As a result, the Agency will be the single and exclusive owner of everything linked to the Services, and it will have the
full authority to distribute the content of the OnlyFans Account on any media channel and throughout the whole world.
8. NO CHANGE WITHOUT WRITTEN CONFIRMATION
Any modification or adjustment to this Agreement must be made in writing and signed by both Parties in order to be
effective.
9. SEVERABILITY

3. However, the remaining elements of this Agreement shall not be impacted and shall remain valid and enforceable in
the event that any part of this Agreement is found to be defective, invalid, unenforceable, or unlawful for any reason.
10. WAIVER.
Either party’s failure to insist upon strict performance of any provision of this Agreement shall not be construed as a
waiver of that or any other of its rights hereunder at any later date or time.
11. INDEMNITY
Client agrees to indemnify and hold the Agency, its subsidiaries, affiliates, and respective officers, agents, partners
and employees, harmless from any loss, liability, demand, claim or legal proceedings brought or threatened, including
expenses suffered or incurred arising out of Agency conducting services in this agreement, or any violation of this
Agreement
12. TERMINATION
Any of the parties may end the agreement by providing the other party with writing notice at least three (3) days
before it expires.
13. FORCE MAJEURE.
With the exception of any payment obligations, neither Party shall be liable for failing to perform its obligations
hereunder (other than payment obligations) were delayed or hindered by war, riots, embargoes, strikes or acts of its
vendors or suppliers, accidents, acts of God, or any other event beyond its reasonable control
14. RULES OF GOVERNMENT AND JURISDICTION
This agreement shall be governed by and interpreted in accordance with the laws of the United Kingdom, as well as
any dispute or claim arising out of or related to it or its subject matter (including non-contractual disputes or claims).
15. AGE OF CONSENT
The client certifies that they are above 18 and have the legal authority to provide the Agency with explicit content.
