- 1. OFFER
- 2. DEFINITION OF OFFER According to section 2(a), “When one person signifies to other his willingness to do or not to do anything with a view to obtaining the assent of another to such act.” According to G.H. Geitel, “An offer is a statement that the person making it is willing to contract on the terms stated.”
- 3. ESSENTIAL ELEMENTS OF A VALID OFFER 1. Offer should not contain a term the non-compliance 2. A statement of price is not a offer 3. Offer must be made with a view to obtaining the assent of another 4. Offer may be express or implied. 5. Must give rise to legal consequences & be capable of creating legal relationship. 6. Terms must be certain & not vague.
- 4. 7. May be specific or general. 8. Must not be an invitation to offer. 9. Can be made subject to any terms & conditions. 10. Must be communicated to offeree. 11. Invitation to offer, cross offers & counter offers. 12. Communication of special terms 13. Prescribed mode of acceptance.
- 5. TYPES OF AN OFFER 1. EXPRESS OFFER : When the offeror expressly communicate the offer, the offer is said to be an express offer. The express communication of the offer may be made by i. Spoken word or ii. Written word
- 6. 2. IMPLIED OFFER When the offer is not communicated expressly. An offer may be implied from:- i. The conduct of the parties or ii. The circumstances of the case
- 7. 3. SPECIFIC OFFER It means an offer made by : (a) a particular person or (b) a group of person. It can be accepted only by that person to whom it is made. Communication of acceptance is necessary in case of specific offer.
- 8. 4. GENERAL OFFER It means an offer which is made to the public in general. General offer can be accepted by anyone. If offeree fulfill the terms and conditions which is given in offer then offer is accepted. Communication of acceptance is not necessary is case of general offer.
- 9. 5. CROSS OFFER When two parties exchange identical offers in ignorance at the time of each other’s offer the offer’s are called cross offer. Two cross offers does not conclude a contract. Two offer are said to be cross offer if 1. They are made by the same parties to one another, 2. Each offer made in ignorance of the offer made by the other, 3. The terms and conditions contained in both the offers are same.
- 10. Example A offers by a letter to sell 100 tons of steel at Rs.1,000 per ton. On the same day, B also writes to A offering to buy 100 tons of steel at Rs.1,000 per ton. When does a contract come into existence: - A contract comes into existence when any of the parties, accept the cross offer made by the other party.
- 11. 6. COUNTER OFFER When the offeree give qualified acceptance of the offer subject to modified and variations in the terms of original offer. Counter offer amounts to rejection of the original offer.
- 12. Legal effect of counter offer (1) Rejection of original offer (2) The original offer is lapsed (3) A counter offer result is a new offer. In other words an offer made by the offeree in return of the original offer is called a counter offer.
- 13. 7. STANDING, OPEN AND CONTINUOUS OFFER An offer is allowed to remain open for acceptance over a period of time is known as standing, open or continuous offer. Example: Tender for supply of goods is a kind of standing offer.
- 14. 8. POSITIVE OFFER When an offer is made to do something, it is called positive offer.
- 15. 9. NEGATIVE OFFER If an offer is made for not to do something, it is called negative offer.
