activities as laid down in the memorandum is said to
be ultra-vires & non-binding on it.

1. The members are bound to the company .
2. The company is bound to the members.
3. Neither company nor members bound to outsiders

an outsider to give effect to the articles.
4. The articles defines rights and liabilities of the
