www.seribangash.com
A Memorandum of Association (MOA) is a legal document that outlines the fundamental principles and objectives upon which a company operates. It serves as the company's charter or constitution and defines the scope of its activities. Here's a detailed note on the MOA:
Contents of Memorandum of Association:
Name Clause: This clause states the name of the company, which should end with words like "Limited" or "Ltd." for a public limited company and "Private Limited" or "Pvt. Ltd." for a private limited company.
https://seribangash.com/article-of-association-is-legal-doc-of-company/
Registered Office Clause: It specifies the location where the company's registered office is situated. This office is where all official communications and notices are sent.
Objective Clause: This clause delineates the main objectives for which the company is formed. It's important to define these objectives clearly, as the company cannot undertake activities beyond those mentioned in this clause.
www.seribangash.com
Liability Clause: It outlines the extent of liability of the company's members. In the case of companies limited by shares, the liability of members is limited to the amount unpaid on their shares. For companies limited by guarantee, members' liability is limited to the amount they undertake to contribute if the company is wound up.

Capital Clause: This clause specifies the authorized capital of the company, i.e., the maximum amount of share capital the company is authorized to issue. It also mentions the division of this capital into shares and their respective nominal value.
Association Clause: It simply states that the subscribers wish to form a company and agree to become members of it, in accordance with the terms of the MOA.
Importance of Memorandum of Association:
Legal Requirement: The MOA is a legal requirement for the formation of a company. It must be filed with the Registrar of Companies during the incorporation process.
Constitutional Document: It serves as the company's constitutional document, defining its scope, powers, and limitations.
Protection of Members: It protects the interests of the company's members by clearly defining the objectives and limiting their liability.
External Communication: It provides clarity to external parties, such as investors, creditors, and regulatory authorities, regarding the company's objectives and powers.

Binding Authority: The company and its members are bound by the provisions of the MOA. Any action taken beyond its scope may be considered ultra vires (beyond the powers) of the company and therefore void.
Amendment of MOA:
While the MOA lays down the company's fundamental principles, it is not entirely immutable. It can be amended, but only under specific circumstances and in compliance with legal procedures. Amendments typically require shareholder

Africa is widely regarded as being poised for
development into a major economic engine-room
of the global economy.
Doing business in Africa generally and South Africa
specifically, while remaining competitive in the global
economy, now demands speed, agility and connectivity.
Simply put, the business community would benefit
from an airport city; a purpose-planned area located
between two of Africa’s major seaports and an area
boasting easy access to a sophisticated transport
network comprising:
• Air;
• Road; and
• Rail.
These benefits exist in the development that is
Dube TradePort.
At 2 840 hectares in extent, Dube TradePort is the
largest ‘greenfield’ airport development in Africa and
is destined to become Southern Africa’s premier air
logistics platform.
Located just 30km north of the port city of Durban,
in KwaZulu-Natal on the east coast of South Africa,
Dube TradePort is home to the all-new and ultra-modern
King Shaka International Airport and is being
developed as a globally competitive multi-modal trade
gateway to Southern Africa.
Dube TradePort was conceptualised more than a
decade ago as the Provincial Government of KwaZulu-
Natal’s contribution to enabling, within the Province,
trade expansion, economic development, increased
private and Foreign Direct Investment and the creation
of new permanent employment opportunities.
Today, KwaZulu-Natal is emerging as an
economic powerhouse for 21st century business
in South Africa and is actively being positioned to
become the gateway to Africa and the world by 2030.
At the very heart of KwaZulu-Natal is Dube
TradePort. This is a master-planned, world-class
airfreight and passenger hub comprising four
business operation zones and has been specifically
designed to create a new business operating
environment and the foundation of a purpose-planned
airport city.
It is the stimulus for accelerated economic growth
and, coupled with its close proximity to the two major
seaports of Durban - one of the busiest in Africa - and
Richards Bay - South Africa’s premier bulk port and
the country’s most modern - is a vital catalyst for
enhanced global trade and improved connectivity
between KwaZulu-Natal and countries around
the world.
As this Province’s single biggest infrastructural
development, Dube TradePort is on the cusp of
transforming KwaZulu-Natal into both a key business
destination and a critical player in the global
supply chain.

4. 100% Satisfaction - Zero Loss
Since its inception in 2010, this 14 000 square
metre cargo terminal has consistently exceeded
customer expectation.
Utilising a range of parameters, inclusive of turn-around
times, import and export processes and the
safety and security of cargo, Dube Cargo Terminal
is achieving 100% satisfaction against its Service
Level Agreements with airline operators - the only
station of its type in Africa to enjoy such status.
The facility is especially concerned about matters of
safety and security. Security at Dube Cargo Terminal
is necessarily extremely strict and it accordingly
employs a stringent security protocol, maintaining
the facility’s compliance with the South African Civil
Aviation Authority’s Part 108 controls pertaining
to cargo.
Dube Cargo Terminal is the only cargo facility in Africa
specifically designed and operated with security
in mind and provides a seamless operation, in line
with global operational standards.
Dube Cargo Terminal:
Opening the Skies to
KwaZulu-Natal Airfreight
Dube Cargo Terminal - owned and operated by Dube
TradePort Corporation - is a state-of-the-art facility
and one of the most secure airfreight operations in
Africa.
Given that some 47 million tonnes of air cargo is
transported globally every year, Dube TradePort
Corporation is resolute in its commitment to securing
a substantial share of the African cargo market and to
capitalise on rapidly expanding airfreight flows
in Africa.
With automatic handling equipment, which digitally
tracks airfreight, Dube Cargo Terminal provides
for extremely rapid turn-around times
from airside to landside, as well as the speed and
convenience benefits of on-site regulatory services.
The facility is widely regarded as being one of the
most technologically advanced cargo terminals in
the world and has received South African Revenue
Service (SARS) and Civil Aviation Authority (CAA)
approval and is a Part 108-compliant facility.
The Cargo Terminal, with direct airside access, is
directly linked to both King Shaka International
Airport (airside) and Dube TradeZone (landside), via
an overhead conveyor air bridge to Dube TradeHouse,
a single facility accommodating the freight-forwarding
community. The TradeHouse is part of Dube
TradeZone, home to logistics service providers,
assemblers, distributors and manufacturers.
Dube Cargo Terminal’s installation of an Elevated
Transfer Vehicle, by ICM, and a fully mechanised
and digitised inventory system contribute significantly
to the speed, efficiency and security of air cargo
movement through the terminal facility.
The terminal, with the current capacity to handle
100 000 tonnes of cargo annually and the ability
to grow this to 2 million tonnes by 2060, provides
Dube TradePort, Durban and KwaZulu-Natal with a
highly efficient and effective platform for rapid and
seamless access to global supply chains.
On-Site
Regulatory
Services
In addition to its intense security
measures, Dube Cargo Terminal provides
for a one-stop, on-site, 24-hour regulatory
services environment, inclusive of:
• Customs;
• Port Health;
• Border Police;
• The South African Police Service;
• The Department of Agriculture; and
• The Perishables Products Export
Control Board.
5. Emirates Impact
Emirates has been flying
a daily passenger and
cargo flight between
Durban and Dubai since
the inception of Dube
TradePort, with the
airport at its heart. Cargo
growth saw the airline
replace its previous
A330-200 with a Boeing
777-30 ER aircraft with
increased cargo capacity,
a move which had an
immediate impact and is
set to further influence
cargo movement into
and out of Durban
going forward.
SA Express and Air
Mauritius
Agreements with
SA Express and Air
Mauritius have given
further impetus to cargo
growth, especially in
terms of neighbouring
SADC countries,
inclusive of the already
operational Zambia and
Zimbabwe routes. More
SADC routes are in
the pipeline.
With growing interest in
the available direct air
routes from Durban into,
especially, neighbouring
African countries being
shown by cargo owners
and exporters, the
business community is
increasingly questioning
why cargo should
be transported to
Gauteng, when it can
be airfreighted from
KwaZulu-Natal.
Thai Airways - A First
for Durban
Indeed, the facility has
shown just how capable
it is at handling payloads,
regardless of the size.
Twice since opening
the Cargo Terminal, the
organisation has made
special arrangements
to accommodate huge
freighter aircraft to assist
business enterprises
both in KwaZulu-Natal
and on the international
scene. One such
instance involved the
need to import 67
tonnes of automotive
components for Toyota
SA shortly after the
devastating Japanese
earthquake tragedy,
which saw a Thai Airways
freighter fly into Durban
for the first time.
Antonov AN-124
Landing
The second resulted in
an Antonov AN-124, the
world’s largest serially-manufactured
cargo
aircraft, with a payload
of 90 tonnes, land at
King Shaka International
Airport to take on-board
a 54-tonne Acid Cooler
at Dube Cargo Terminal,
destined for a mine in
New Caledonia, an
island off the East Coast
of Australia.
Dube TradePort
Corporation’s
facilitation of both these
payloads through the
Cargo Terminal, has
demonstrated that the
organisation and its
Cargo Terminal have
ongoing ability to deal
with freighter-level cargo.
Critically and in the wake
of these early freighter
dealings, dedicated
freighter operators have
since displayed an
interest in commencing
operations at King Shaka
International Airport.
Cargo Terminal
Extension Increases
Attraction
An extension to Dube
Cargo Terminal, which
now enables it to process
20ft air containers and
larger consignments
- hugely important in
the context of freight
operation - has
been completed.
The Cargo Terminal
facility is poised now
to handle such
air containers.
Handling Charges
In line with
Dube TradePort
Corporation’s assured
intention to pay
keen attention to the
needs of shippers
of airfreight, with a
view to re-pricing
their lift out of Dube
Cargo Terminal,
Dube TradePort
Corporation’s cargo
handling charges are
significantly lower
than its competitors.
Therefore, KwaZulu-
Natal businesses
which make use of
Dube Cargo Terminal,
are able to enjoy a
distinct competitive
advantage.
Dube AiRoad
In addition to operating a
technologically-advanced
cargo terminal, Dube
TradePort Corporation
also controls a fleet
of trucks, Dube
AiRoad, enabling the
organisation’s cargo
terminal operation
to ‘close the loop’ by
providing a complete air-to-
road and road-to-air
cargo solution for clients.
The trucking operation
seamlessly connects
cargo, on behalf of
time-critical customers,
between Dube Cargo
Terminal and major
centres in South and
Southern Africa.
This logistics intervention
delivers an uninterrupted
supply chain and aligns
with Dube TradePort
Corporation’s quest to
continuously improve
airfreight transport
solutions in a business
environment where
speed, agility and time-sensitive
capabilities
have become vital.
6. KwaZulu-Natal’s
manufacturing
sector is the
second largest
in South Africa,
after Gauteng, and
this Province’s
manufacturing
sector is geared to
the export market -
with almost a third
of South Africa’s
manufactured
exports being
produced
in KwaZulu-Natal.
Dube Cargo Terminal is
the ideal facility through
which:
• Local business
enterprises may
become increasingly
competitive on the
global stage;
• The Province’s
business community
may optimise the
competitive advantage
created as a result of:
- A well-positioned;
- Expertly planned;
and
- Totally dedicated
freight-handling
facility.
The Cargo Terminal’s
operational process
benefits include:
• Part 108-compliance;
• Computer-driven
system, providing:
- State-of-the-art
scanning for fast,
efficient processing;
- A track-and-trace
system for
digital tracking and
mechanical
handling of cargo;
- An Elevated
Transfer Vehicle
operation,
providing for a
unique loading
device for fully
automated cargo
movement and
accurate
traceability.
• Direct Cargo Terminal-
TradeHouse linkage,
via an elevated
conveyor transfer
system, or air bridge;
• On-site, round-the-clock
regulatory
services;
• A refrigerated facility;
• Onward transfer of
international cargo
and seamless cargo
transfer services; and
• Dube AirRoad, a time-sensitive
logistics
fleet.
The bottom line:
• Planned increased
access to markets
through a
comprehensive air
cargo strategy;
• Lower land transport
costs through Dube
AiRoad;
• Quicker delivery
times and shorter
dwell times, lowering
inventory costs; and
• Increased security
of consignments.
In an environment
reflecting the
strengthening of global
economic growth,
driven largely by robust
emerging markets, the
role of aviation as a
catalyst for improved
economic growth
is critical.
In KwaZulu-Natal, Dube TradePort
Corporation is providing the thrust
for increased air connectivity
and the improved, cost-efficient
movement of cargo.
