This review paper critically analyzed the theories of punishment in the context of Nigerian
educational system in analytic philosophical mode. Punishment being an ethical issue rendered philosophers
into debate which gave birth to the utilitarian and retributive theories, having common conception but different
reasons for punishment. However, it if is justified on ethical and religious grounds that it serves purposes of
retribution, reparation, rehabilitation/reformation, deterrence, protection, incapacitation, restoration,
condemnation and respect for divine laws. But in Nigeria today, irresponsibility, indiscipline, egocentrism and
misconception of “God” and religion give punishment the colour of crime with total disgust; all in the pretext of
forgiveness, mercy, magnanimity, kindness, patience and religiosity. This stand extends to educational system as
a subset of Nigerian society, where there are issues to which punishment is applicable, like forgery, negligence,
sexual and personal harassment, staff irresponsibility, insubordination, examination malpractice,
thuggery/cultism and drug abuse. Hence, everyone does as desired to the detriment of law and order, which in
turn brought educational system down to its knees, and consequently all sectors are collapsing since they only
be sustained with education as the instrument with which Nigeria aspire to achieve its national objectives.

An agency agreement is a legal contract creating a fiduciary relationship whereby the first party ("the principal") agrees that the actions of a second party ("the agent") binds the principal to later agreements made by the agent as if the principal had himself personally made the later agreements. The power of the agent to bind the principal is usually legally referred to as an authority. Agency created via an agreement may be a form of implied authority, such as when a person gives their credit card to a close relative, the cardholder may be required to pay for purchases made by the relative with their credit card.
Many states employ the equal dignity rule whereby the agency agreement must be in writing if the later agreement would also necessarily be written, such as a contract to buy thousands of dollars worth of goods.
An example of the existence of an agency agreement at issue in a 2006 court case arose when a tennis tournament sponsor sued Venus and Serena Williams for not participating. The sponsor argued that their father, Richard Williams, had committed to their participation in the tournament. The Williams sisters argued that their father did not have the authority to bind them to such an agreement. If their father did commit the sisters to play, the issue for the court to decide is whether a valid agency agreement existed between the Williams sisters and their father. If not, then they likely were not bound to his agreement under the law of agency.
Manufacturers and suppliers of goods frequently appoint agents to act on their behalf in promoting sales, both in the home country of the manufacturer as well as overseas. A formal agreement is usually signed setting out the commission the agent will receive, the territory, duration and other terms on which the principal and agent will do business together.
Within the European Union, there is legislation designed to give some protection to agents, in particular, the right to compensation in certain circumstances when an agency is terminated. The same applies to other parts of the world and in some countries, it is necessary for a foreign manufacturer to appoint as agent an individual or company that is a national of the country where the agency will operate.
An agent should be distinguished from a distributor – in commercial parlance, a distributor will buy stock from the supplier or principal and then sell it on to his customers at a markup, whereas an agent will find customers for the principal who then sells direct to the customers and pays commission to the agent.

3. When the authority has been partly exercised by the

Bailment (derived from French word ‘bailler’) :
Delivering a thing under a contract for return at a specified
time or specified conditions.
e.g. giving a TV to a mechanic for repair
( a contract of bailment)

In which the personal property of one person, temporarily,
goes into the possession of another person for some
specific purpose.
Ownership with : one person who delivers
Possession with: another person who receives for a purpose
So, change of possession only
33. Definition:
“ A bailment is the delivery of goods by one person to
another for some purpose, upon a contract that they
shall, when the purpose is accomplished, be returned
or otherwise disposed of according to the directions
of the person delivering them”
Two parties:
Bailor: The person delivering the goods
Bailee: The person to whom the goods
are delivered

Hiring a bicycle
Giving cloth to a tailor
Delivering watch for repair
Keeping valuables in locker of a
bank.
35. Essential features:
1. The delivery of movable goods by one person to
another person.
Delivery may be of two types:
a. Actual delivery: Handing over physical possession of the
goods
b. Constructive delivery: Only effect of putting the goods
into the bailee’s possession

Particular and General
44. Particular lien:
Right to retain only those particular goods in respect of
which the charges are due.
Generally, bailee has this lien only
Condtions:
(a) Bailee must have rendered some service in relation to the thing
bailed , must be entitled to some remuneration- and must be unpaid
(b) Service rendered by the bailee must be one involving the exercise of
labour or skill in respect of the goods bailed.
(c ) Services must have been performed in full –directions of bailor
(d) There must not be an agreement to perform the services on credit.
(e) The goods must be in possession of the bailee. Bailee loses the lien,
if possession is lost
(f) Must not be any contract to contrary.
45. General lien:
Right to retain any goods bailed for any amount due
Bankers: Has general lien on all goods, cash, cheques and
securities deposited with him as banker by a customer, for
any money due to him as a banker.
Factors: An agent entrusted with the possession of goods for
the purpose of selling on behalf of his principal.
If goods are delivered for some other purpose, no GL
Wharfingers: A person who owns or keeps a wharf.
Wharf: Place, adjoining to water, used for loading and
unloading goods from ships – not to store
46. Attorneys (solicitor) of a HC : A person who acts legally for
another – lien on all the papers and documents of the
client provided they are delivered in professional capacity
Policy brokers: They can retain the policy of fire or marine
insurance for their brokerage.

A special kind of bailment
Goods are delivered as a security for a loan or for the
fulfillment of an obligation
Definition:
“The bailment of goods as security for payment of a
debt or for performance of a promise, is called
pledge. The bailor in this case is called the pawnor
(pledger). The bailee is called the pawnee (pledgee)”.
