George D. Dayton had very strong beliefs in giving back to the people and utilized his company to
support this idea by founding The Dayton Foundation in 1918 (Target). In the documentary, Target:
Inside the Bullseye, they discuss George D. Dayton's decision to focus on fulfilling society 's wants
and needs. He knew that the happiness and health of his customers would directly correlate with the
overall success of his company (Films Media Group). During this time, Dayton sold many unique,
quality products at reasonable prices allowing the company to stand out from his competition. When
George D. Dayton died from cancer in 1938. His son, George N. Dayton, took over. He kept the
same principles that his father taught him and when he later died in 1950, his son, Donald, became
the President. This tradition of passing on the company continued through generations until 1986
when the Dayton family finally retired from the board. These people led with the same philosophy
George started, and in 1962, Target was born as the company compared the retail outlets goals to
those of a marksman's desire to hit the bullseye (Target). The major events that occurred in the
transformation of Dayton to Target connect to why Target is so successful. To start, in the 1950's,

Trans-National Corporation Case Study
Do Trans–National Corporations Help More or Harm More?
Introduction to Trans–National Corporations
Trans–National Corporations refer to an economic entity or a group of economic entities operating
in two or more countries, regardless of legal framework, the country of origin, and country or
countries of activities, where the activities can be considered individually or collectively. Several
Trans–National Companies have engaged in expensive campaigns and programmes to positively
impact the world. However, the actual motive behind such events is ambiguous. With capitalism and
globalisation, large Corporations interested in international development and trade are able to
allocate resources to get favourable outcomes for the interests. Hence, these corporations become
the most influential source for political and economic dominance, enabling them to be greatly
unaccountable for social and economic problems. Therefore, I argue that Trans–National
Corporations bring more harm than help to the world. The three primary areas of discussion are the
ethics, health and labour, where consumers, children, workers, governments, and organisations are
impacted by ... Show more content on Helpwriting.net ...
For Trans–National Corporations to be more globally advantageous, they must provide jobs to
people and invoke a positive change through close connections with local governments and their
economic ability to fund education, health and infrastructure. Their efforts to improve the world
should not be a watershed and an attempt to fabricate a false image when in actual fact, the
Corporations ar exploiting valuable and natural resources. This can be enforced through stricter
international policies and educating the employees to increase their awareness of social corporate
responsibilities and human

The Judicial Observation On The Australian Competition And...
Executive summary
This essay will mainly analyze and discuss some relevant legal principles and terms related to the
judicial observation on legal position that the judge made in the Australian Competition and
Consumer Commission v Yazaki Corporation case. Therefore, it is necessary to cover the following
key issues: 1. Definition and explanations of separate legal entity doctrine and corporate groups. 2.
When will a subsidiary company be recognized as an agent of its parent. 3. Under what
circumstances can corporate veil be ignored or lifted. Introduction
As mentioned in the prescribed text, the judge observes that there are cases where a parent company
manages its subsidiary and also where a subsidiary company plays an agent role of its parent due to
the parent's substantial control exercised. Queries may then occur as in what is the exact relationship
between a parent company and its subsidiary, as well as what are the criteria that could determine
that relationship. Before clearly explaining these questions, a brief introduction of the 'separate legal
entity' principal will be given, after which the importance of corporate group–where parent and
subsidiary companies lie in will be illustrated, followed by a thorough discussion of corporate veil.
In the end, this essay will cover when to lift the corporate veil under both Common law and
Corporation Acts 2001, mainly regarding some determining factors such as sham and fraud, as well

assessment for making a choice proposal if you were in the place of the decision makers. The
proposal deals with management employee relationships in The Shamrock–Diamond Corporation.
The Shamrock–Diamond Corporation is global manufacturer of cutting, drilling and grinding
instruments. The company today consists of 72 firms employing 18,600 workers at 96 plant sites in

Executive Summary:
This case study analyzed five different projects Target Corporation had to decide on capital spent for
which project created the most value and the most growth for the company and its shareholders. By
analyzing the financial statements and exhibits of each project, I was able to determine the positives
and negatives of each of these alternatives. The alternatives were Gopher Place, Whalen Court, The
Barn, Goldie's Square, or Stadium Remodel. The recommendation provided for Target Corporation
is choosing the Stadium Remodel project. There were three main factors used for choosing this
project. First, its low ... Show more content on Helpwriting.net ...
The positives of this project are that it has the highest NPV, highest total R&P sales, highest
population, and highest percent of adults with four plus years of college. First, Whalen Court not
only has the highest NPV but they have the greatest opportunity. If sales increase by 10% it would
be over $16 million more than the prototype. Second, this projects sales could be by far the greater
than the prototypes of any other projects. The 1st and 5th year sales equivalents would be over $52
and $69 million respectively. Compare this to the other projects and they are 10's of millions more.
Third, the Whalen Court project has the highest population at 632,000, which means they have the
largest customer pool. Their population is almost three times greater than the second closest project.
Lastly, this project has the highest percentage of adults with four plus years of college. This is very
important because these are the customers Target is trying to attract the most. Now, there are some
negatives of this project as well. First, the investment size is much greater than the typical prototype.
It is actually 409% (Appendix 1) more than the prototype. The next closest project is only 31%
more, which makes this project very concerning. Next, is the building cost versus the prototype. The
project is for a lease of a building and the cost are very high compared to the other projects at over
$15 million more than the prototype. Add in the fact that Target usually

A Comprehensive System Integration Service
Case Corporation, a producer of agricultural equipment identified the need for a comprehensive
systems integration service. Upon acknowledging such a need, it became evident that in order for
Case to continue to thrive in the agricultural market it must leave its comfort zone in pursuit of a
systems integration service. Before doing so Case must assess the fit of the organization 's current
competencies against the changing needs of the market. Therefore, the success of such a systems
integrator is contingent on several factors, including Case's relationships with their dealers, the level
of trust between them and the consumer, current financial capabilities, and their global presence.
The dealers, critical members of the Case team handled much of the inventory, assessed the credit of

In January 1980, the management of the Marriott Corporation found itself in an interesting dilemma:
not only did the corporation have considerable excess debt capacity, but projections of future
operations and cash flows indicated that this capacity was on the rise. For Marriott, excess debt
capacity was viewed as comparable to unused plant capacity because the existing equity base could
support additional productive assets. Management was therefore faced with two problems. First, it
needed to determine the amount of funds that would be available if Marriott's full debt capacity were
utilized. Second, management needed to decide whether to invest excess funds in new or existing

Suggested ratios to shoot for are found by putting them into the context of various industry figures.
By using other firms as a yardstick, you can then assess where your values need to fall to be
competitive with other firms similar to your own. Knowing now how much debt it would like to
carry Marriott can now lever up to meet those levels. This brings us to their second issue, what to do
with these new funds. Management has identified two general categories of investments: (1)
promoting growth by expanding existing operations or diversifying into new businesses; or (2)
returning capital to the shareholders by increasing the company's dividends or by buying back some
of the outstanding stock. To valuate the possible projects associated with category (1), I would guess
that simple NPV or IRR calculations would suffice in determining with projects represented the
highest value to the firm. With regards to the possibilities of the second category, determining their
overall effects on the corporations WACC would be a useful tool in determining which action would
be best to take. Overall, I would personally recommend that they just maintain their excess debt
capacity, even though they see it as a waste. With Marriott being a high–growth company, having
resources readily available will make sure that whenever lucrative investments present themselves
they are in a position to capitalize on them. I believe that letting opportunities present themselves

Services such as Netflix and Hulu, along with other platforms that employ digital distribution create
a prominent challenge for Comcast. To most consumers, online streaming is seen as a better option
compared to cable due to its convenience, lack of commercials, lower prices, and the availability to
"binge watch" (See Exhibit 1 for the leading video subscriptions in the U.S in 2016). This
increasingly growing platform presents a challenge for Comcast and how the company should
respond to the changing environment.
Strategic Solutions
In response to Google's initiative for fiber–based high–speed internet service, Comcast should focus
on adapting these fiber–optic capacities as a means of improving their own internet service.
Comcast holds a competitive advantage in infrastructure, and by updating their broadband network
with those driving Google Fiber, Comcast would be utilizing this advantage. An upgrade of
increased speeds and reliability will secure Comcast's dominant position in the internet provider
market.
Pros:
This will reduce the risk of customers switching to a different service provider for more advanced
offerings.
By providing top–notch streaming capabilities, Comcast will be able to remain a frontrunner of new
developments.

The definition of the subjective performance measure The subjective performance measure is a
concept which is brought out compared to the objective performance measure. The objective
performance measure refers to a measure method which compares the actual performance with the
set performance goal based on some measures and formulas. Objective measures can be applied to
legal contracts, because they are totally observable and testable. On the contrary, subjective measure
is based on the person's judgments or subjective measure method based on subjective indications.
Being different from objective measures, subjective measures can't be tested by other people,
usually is only observable to the superiors. Besides that, subjective performance measure is used due
to some uncertain factors and unexpected accidents. It has many forms, includes subjective
determined weight, evaluation system contains some subjective measures and the factors decided by
management based on the situations. Of all the forms, the subjective measure is the main one.

Case Study : Corporation Law Opinion Essay
CML3001W: Corporation law Opinion 1. Who owes the company a duty to exercise reasonable care
and skill? Section 76 of the Act includes in the definition of directors alternative directors,
prescribed officers, or a person who is a member of a committee of a board of a company, or of the
audit committee of a company, irrespective of whether or not the person is also a member of the
company's board. A prescribed officer, as defined in section 1, as 'any person who, within a
company, performs any function that has been designated by the Minister in terms of section
66(10).' The Act does make a distinction between the different types of directors, but there are
important distinctions made in practice . i. Anthony Anthony was a director, and then subsequently
retired. He maintains an office, and continues to exert influence over Bali, Chad, and Dex as they
continue to consult with him, and to ask him for advice on matters relating to the management of the
company. His role in the company is essentially that of a 'shadow director' , as he exercises control
over the other directors in that they follow his directions or instructions . The concept of 'shadow
directors' has not been formally recognised in South African law, in the definition of directors . The
authors of Contemporary Company Law hold the view that the definition of 'director' in section 1 of
the Act is extensive enough to include shadow directors due to the phrase 'occupying the position of
a director.' Yet,

the merger of the Indian IT company BFL Software Limited and the US–based IT consulting

they did not pay proper heed to the advent of new software businesses. On the other hand Mphasis

the plant wanted to cover the truth that was harmful to themselves and the government as a result

Target Corporation Case Summary
Choosing a publicly traded company to analyze seems like an easy task but with the plethora of
publicly traded companies, the decision was more difficult than anticipated. After much debate, I
decided to analyze Target Corporation. The reason for my decision was the fact that a decent amount
of my disposable income gets spent at this corporation yearly. After reading an article on Barron's
regarding Target's stock, it appears that "Target's stock looks like a bull's–eye investment (Bennett,
2016)." The contents of the article confirmed that the corporation's stock recently rose 1.9%, which
exceeded the 1.4% gain analyst expected and their online sales surged 34% (Bennett, 2016). Target

their total revenues in 2010 were 65,786 million and at year ending 2014, their total revenue was
$72,618 million ("2014 Annual Report | Target Corporate."). Like their profits, Target's price–to–
earnings ratio (P/E) is also increasing. At the end of 2012, Target's price–to–earnings ration was
12.15. As of February 2016, Target's price–to–earnings ratio was 14.66 ("Target Corporation
(TGT)," 2016). As we learned in this course, the price–to–earnings ratio measures the amount that
investors are willing to pay for each dollar of a firm's earnings; the higher the P/E ratio, the greater
the investor confidence (Gitman, L. J., & Zutter, C. J. (2015). With the increase of 2.51 in Target's
P/E, investors should have complete confidence in Target's future because their demand has only
increased over time. Target has not only gained investors confidence with the increase in the price–
to–earnings ratio, they have also gained their confidence with stock dividends. Like out textbook

Case Study Of Stephen's Second Off-Shore Corporation In Liarg
The labor ethical implications involve Stephen's second off–shore corporation in Liarg. The
corporation has three labor issues concerning workers and child labor. The first issue involves the
off–shore company's construction facility, which was in compliance with Liarg regulations, but not
in compliance with US regulations and exposes workers to moderately high levels of toxic
chemicals and hazardous materials. The second issue involves child labor through Liarg suppliers
who are accustomed to forced child labor including poor working conditions. The third issue
involves Liarg's customs in only hiring relatives as supervisors rather than women or other
individuals due to management trust issues (Mann & Roberts, 2014).
US labor laws are completely contradicting to Liarg's customs and considered unacceptable
practices for US business. The US labor laws are vast, including but not limited to, protection of a

Comcast Corporation Case
It would be fair to say that the Comcast Corporation is a triple treat. The company provides cable,
internet services, and is a home telephone provider. With all that Comcast is producing film, cable,
and television. "It's the largest media company in the world. In 2013, it took in $64.67 billion,
generating $13.6 billion in operating income and $7.1 billion in net profits (Cassidy, 2014)". How
can any company compete with that, this is why as an economic society we need competition. This
giant is still not satisfied with the profitable margin that it receives each year. Comcast merged with
Time Warner Cable in 2005 to purchase the competition, Adelphia Communications. In purchasing
the fifth largest cable company comes all of their subscribers making Comcast a colossal company.

The only way Carrier could compete was by designing a product with low labor costs" (Gibbons,

slightly greater rate each year, and will allow Carrier to earn about $8.6 million dollars more in 2002
alone, and $22.5 million more from 1997 to 2002. Also mass production will lower the overall cost
of manufacturing due to various factors (i.e. cost of materials, number of parts, number of
operations, assembly time, assembly cost, selling price, and overall price will all be reduced). The
share projections are a steady 14% until 1998. If the delay bleeds into 1999 the overall loss on that
entire year would be $6.8 million, but the overall market share would still increase $15.7 million

George D. Dayton had very strong beliefs in giving back to the people and utilized his company to support this idea by founding The Dayton Foundation in 1918 (Target). In the documentary, Target: Inside the Bullseye, they discuss George D. Dayton's decision to focus on fulfilling society 's wants and needs. He knew that the happiness and health of his customers would directly correlate with the overall success of his company (Films Media Group). During this time, Dayton sold many unique, quality products at reasonable prices allowing the company to stand out from his competition. When George D. Dayton died from cancer in 1938. His son, George N. Dayton, took over. He kept the same principles that his father taught him and when he later died in 1950, his son, Donald, became the President. This tradition of passing on the company continued through generations until 1986 when the Dayton family finally retired from the board. These people led with the same philosophy George started, and in 1962, Target was born as the company compared the retail outlets goals to those of a marksman's desire to hit the bullseye (Target). • 8. Trans-National Corporation Case Study Do Trans–National Corporations Help More or Harm More? Introduction to Trans–National Corporations Trans–National Corporations refer to an economic entity or a group of economic entities operating in two or more countries, regardless of legal framework, the country of origin, and country or countries of activities, where the activities can be considered individually or collectively. Several Trans–National Companies have engaged in expensive campaigns and programmes to positively impact the world. However, the actual motive behind such events is ambiguous. With capitalism and globalisation, large Corporations interested in international development and trade are able to allocate resources to get favourable outcomes for the interests. Hence, these corporations become the most influential source for political and economic dominance, enabling them to be greatly unaccountable for social and economic problems. Therefore, I argue that Trans–National Corporations bring more harm than help to the world. The three primary areas of discussion are the ethics, health and labour, where consumers, children, workers, governments, and organisations are impacted by ... Executive summary This essay will mainly analyze and discuss some relevant legal principles and terms related to the judicial observation on legal position that the judge made in the Australian Competition and Consumer Commission v Yazaki Corporation case. Therefore, it is necessary to cover the following key issues: 1. Definition and explanations of separate legal entity doctrine and corporate groups. 2. When will a subsidiary company be recognized as an agent of its parent. 3. Under what circumstances can corporate veil be ignored or lifted. Introduction As mentioned in the prescribed text, the judge observes that there are cases where a parent company manages its subsidiary and also where a subsidiary company plays an agent role of its parent due to the parent's substantial control exercised. Queries may then occur as in what is the exact relationship between a parent company and its subsidiary, as well as what are the criteria that could determine that relationship. Before clearly explaining these questions, a brief introduction of the 'separate legal entity' principal will be given, after which the importance of corporate group–where parent and subsidiary companies lie in will be illustrated, followed by a thorough discussion of corporate veil. In the end, this essay will cover when to lift the corporate veil under both Common law and Corporation Acts 2001, mainly regarding some determining factors such as sham and fraud, as well as the contents in ... By analyzing the financial statements and exhibits of each project, I was able to determine the positives and negatives of each of these alternatives. First, Whalen Court not only has the highest NPV but they have the greatest opportunity. If sales increase by 10% it would be over $16 million more than the prototype. Second, this projects sales could be by far the greater than the prototypes of any other projects. The 1st and 5th year sales equivalents would be over $52 and $69 million respectively. Upon acknowledging such a need, it became evident that in order for Case to continue to thrive in the agricultural market it must leave its comfort zone in pursuit of a systems integration service. Before doing so Case must assess the fit of the organization 's current competencies against the changing needs of the market. Therefore, the success of such a systems integrator is contingent on several factors, including Case's relationships with their dealers, the level of trust between them and the consumer, current financial capabilities, and their global presence. The dealers, critical members of the Case team handled much of the inventory, assessed the credit of potential buyers, "missed church on Sunday" to fix broken equipment during the planting season, and handled all of Case's used equipment (Case Corporation, 1997, pg. 7). Therefore, since the dealer has direct access to the consumer they are better able to assess the needs of the farmer. Darden Case In January 1980, the management of the Marriott Corporation found itself in an interesting dilemma: not only did the corporation have considerable excess debt capacity, but projections of future operations and cash flows indicated that this capacity was on the rise. For Marriott, excess debt capacity was viewed as comparable to unused plant capacity because the existing equity base could support additional productive assets. Management was therefore faced with two problems. First, it needed to determine the amount of funds that would be available if Marriott's full debt capacity were utilized. Second, management needed to decide whether to invest excess funds in new or existing businesses, or to return them to the companies shareholders ... Show more content on Helpwriting.net ... Suggested ratios to shoot for are found by putting them into the context of various industry figures. By using other firms as a yardstick, you can then assess where your values need to fall to be competitive with other firms similar to your own. Knowing now how much debt it would like to carry Marriott can now lever up to meet those levels. This brings us to their second issue, what to do with these new funds. Management has identified two general categories of investments: (1) promoting growth by expanding existing operations or diversifying into new businesses; or (2) returning capital to the shareholders by increasing the company's dividends or by buying back some of the outstanding stock. To valuate the possible projects associated with category (1), I would guess that simple NPV or IRR calculations would suffice in determining with projects represented the highest value to the firm. With regards to the possibilities of the second category, determining their overall effects on the corporations WACC would be a useful tool in determining which action would be best to take. Overall, I would personally recommend that they just maintain their excess debt capacity, even though they see it as a waste. With Marriott being a high–growth company, having resources readily available will make sure that whenever lucrative investments present themselves they are in a position to capitalize on them. Section 76 of the Act includes in the definition of directors alternative directors, prescribed officers, or a person who is a member of a committee of a board of a company, or of the audit committee of a company, irrespective of whether or not the person is also a member of the company's board. A prescribed officer, as defined in section 1, as 'any person who, within a company, performs any function that has been designated by the Minister in terms of section 66(10).' The Act does make a distinction between the different types of directors, but there are important distinctions made in practice . i. Anthony Anthony was a director, and then subsequently retired. He maintains an office, and continues to exert influence over Bali, Chad, and Dex as they continue to consult with him, and to ask him for advice on matters relating to the management of the company. His role in the company is essentially that of a 'shadow director' , as he exercises control over the other directors in that they follow his directions or instructions . The concept of 'shadow directors' has not been formally recognised in South African law, in the definition of directors . The authors of Contemporary Company Law hold the view that the definition of 'director' in section 1 of the Act is extensive enough to include shadow directors due to the phrase 'occupying the position of a director.' While the new design would cost less, require less installation time, and save floor space, it did raise some concerns. Scenarios similar to Aquasnap can be found in gaming consoles. The integration of the DVD to the PS2 game console allowed Sony to set itself apart from Nintendo, making it the highest selling game console ever. The PS2 saved the customer space, time, and money by not having to buy a dvd player. Even though the PS2 was $100 more than the Nintendo N64, it dominated the market because of simplicity and convenience (Playstation website). Aquasnap also creates simplicity and convenience for the customer but is cheaper than the competitor; therefore similar market dominance can be expected.
