Here's a 24 slide deck of images and text I presented today to about 30 managers in a training session. I tried to cover a fair bit of ground in 45 minutes. I attempted to look at why and how social and environmental issues are increasingly linked in management. I tried to tell some stories of what companies are doing in response to the social - as well as environmental - pressures on them.
Walmart is the largest retailer in the world but it is also one of the multinational corporations to be criticized a lot for its unethical social responsibilities such as discrimination, human rights violations & environmental crimes.

Unveiling the Secrets How Does Generative AI Work.pdfSam H
At its core, generative artificial intelligence relies on the concept of generative models, which serve as engines that churn out entirely new data resembling their training data. It is like a sculptor who has studied so many forms found in nature and then uses this knowledge to create sculptures from his imagination that have never been seen before anywhere else. If taken to cyberspace, gans work almost the same way.
Memorandum Of Association Constitution of Company.pptseri bangash
www.seribangash.com
A Memorandum of Association (MOA) is a legal document that outlines the fundamental principles and objectives upon which a company operates. It serves as the company's charter or constitution and defines the scope of its activities. Here's a detailed note on the MOA:
Contents of Memorandum of Association:
Name Clause: This clause states the name of the company, which should end with words like "Limited" or "Ltd." for a public limited company and "Private Limited" or "Pvt. Ltd." for a private limited company.
https://seribangash.com/article-of-association-is-legal-doc-of-company/
Registered Office Clause: It specifies the location where the company's registered office is situated. This office is where all official communications and notices are sent.
Objective Clause: This clause delineates the main objectives for which the company is formed. It's important to define these objectives clearly, as the company cannot undertake activities beyond those mentioned in this clause.
www.seribangash.com
Liability Clause: It outlines the extent of liability of the company's members. In the case of companies limited by shares, the liability of members is limited to the amount unpaid on their shares. For companies limited by guarantee, members' liability is limited to the amount they undertake to contribute if the company is wound up.

Capital Clause: This clause specifies the authorized capital of the company, i.e., the maximum amount of share capital the company is authorized to issue. It also mentions the division of this capital into shares and their respective nominal value.
Association Clause: It simply states that the subscribers wish to form a company and agree to become members of it, in accordance with the terms of the MOA.
Importance of Memorandum of Association:
Legal Requirement: The MOA is a legal requirement for the formation of a company. It must be filed with the Registrar of Companies during the incorporation process.
Constitutional Document: It serves as the company's constitutional document, defining its scope, powers, and limitations.
Protection of Members: It protects the interests of the company's members by clearly defining the objectives and limiting their liability.
External Communication: It provides clarity to external parties, such as investors, creditors, and regulatory authorities, regarding the company's objectives and powers.
https://seribangash.com/difference-public-and-private-company-law/
Binding Authority: The company and its members are bound by the provisions of the MOA. Any action taken beyond its scope may be considered ultra vires (beyond the powers) of the company and therefore void.
Amendment of MOA:
While the MOA lays down the company's fundamental principles, it is not entirely immutable. It can be amended, but only under specific circumstances and in compliance with legal procedures. Amendments typically require shareholder

Enterprise Excellence is Inclusive Excellence.pdfKaiNexus
Enterprise excellence and inclusive excellence are closely linked, and real-world challenges have shown that both are essential to the success of any organization. To achieve enterprise excellence, organizations must focus on improving their operations and processes while creating an inclusive environment that engages everyone. In this interactive session, the facilitator will highlight commonly established business practices and how they limit our ability to engage everyone every day. More importantly, though, participants will likely gain increased awareness of what we can do differently to maximize enterprise excellence through deliberate inclusion.
What is Enterprise Excellence?
Enterprise Excellence is a holistic approach that's aimed at achieving world-class performance across all aspects of the organization.
What might I learn?
A way to engage all in creating Inclusive Excellence. Lessons from the US military and their parallels to the story of Harry Potter. How belt systems and CI teams can destroy inclusive practices. How leadership language invites people to the party. There are three things leaders can do to engage everyone every day: maximizing psychological safety to create environments where folks learn, contribute, and challenge the status quo.
Who might benefit? Anyone and everyone leading folks from the shop floor to top floor.

This article delves into the realm of air cargo technology and sustainable practices, shedding light on the initiatives and innovations driving the industry towards a greener future. Additionally, Lars Winkelbauer — Navigating the Ethical Landscape: AI in Sustainable Development — provides insightful perspectives on ensuring ethical considerations are integrated into the adoption of these technological advancements.
2. INTRODUCTION
• Business Ethics means the set of rules or principles
that the organization should follow.
• Through ethics, a standard is set for the organization
to regulate their behavior.
• Environmental pollution is defined as "the
contamination of the physical and biological
components of the earth/atmosphere to such an
extent that normal environmental processes are
adversely affected."
3. SOME COMPANIES WITH UNETHICAL PRACTICES
• Nestle
• Fiat Chrysler
• Mahan Coal Limited
• Volkswagen
• Coca Cola
4. NESTLÉ – ETHICAL PROBLEMS
• Swiss multinational company founded in
1866 by Henri Nestlé.
• It is a food and drink processing
conglomerate corporation.
• Nestlé has partaken in multiple unethical
practices like child labor, human trafficking,
exploiting uneducated mothers, stealing
clean drinking water etc.
• Nestlé had been pumping out 200 gallons
worth of freshwater out of Michigan – water
that the people of Flint desperately need.
This crisis has made children lose their hair,
develop skin lesions, and go blind just from
bathing.
5. • Nestlé along with other
corporations also persuaded the
World’s Water Council to change
drinking water to a need rather
than a right so they could sell more
packaged water.
• They sell their water at US $2 per
bottle.
• Nestlé also sold baby formula in
1970s-90s. They made it seem that
their infant formula was almost as
good as a mother’s milk, which is
highly unethical for several reasons.
6. NESTLE – Environmental Pollution
• Top brand responsible for plastic waste during 2017.
• One of the top three brands responsible for producing plastic waste
in over 42 countries.
• Top plastic polluter in Philippines.
7. FIAT CHRYSLER – Business Ethics
• Italian/American multinational
corporation and is the world’s eighth
largest auto maker.
• Established in October 2014 by merging
Fiat and Chrysler into a new holding
company.
• The Fiat Chrysler Automobiles scandal
is unethical under the Virtue Theory
because their ethical thinking was to
cheat the emissions test and they
ended up breaking the rules and are
now dealing with the consequences. If
they came forward, this thing could
have been smaller than it ended up
being.
8. MAHAN COAL LIMITED – Environmental
Pollution
• Mahan Coal Limited is a 50:50 joint venture (JV) firm of Hindalco
Industries (Aditya Birla Group) and Essar Power.
• Residents of Amelia village of Singrauli filed their Community Forest
Rights (CFR) claim and presented documentary evidence that would
establish that they have been dependent on Mahan forests for their
livelihood for several generations.
• Villagers and activists have registered protests and complaints against
development of coal block raising livelihood and environmental
concerns.
9. COCA-COLA – Business
Ethics
• The Coca-Cola Company, an American corporation
founded in 1892, produces sweetened carbonated
beverage and is a global symbol of American tastes.
• With over 500 brands and more than 4000 products,
they are the world’s largest beverage company.
• Coca-Cola set up a plant in Kala Dera because of a
favorable tax incentive, water access and a growing
Indian market, and was accused of exacerbating
water shortages in the area as a result of
indiscriminate mining of groundwater for its
operations.
10. • In 1998, the Kala Dera groundwater was declared as overexploited – the worst
category of groundwater in India, yet Coca-Cola built a new bottling plant in 2000.
• For farmers, loss of groundwater translated directly into a loss of income.
• For children, it meant leaving schools to provide a helping hand in a household
since the women had additional burdens.
• A hunger strike was reported outside a Coca-Cola plant which ended when the state
government agreed to study charges of pollution and exhaustion of water supplies.
• As Coca-Cola was aware that a place like this will not be available easily with
cheap labor and tax incentive so they promised to provide a solution that
guarantees water availability to the area, while maintaining social acceptance in
times of drought and exploitation.
But this never happened.
11. VOLKSWAGEN:
POLLUTION SCANDAL
• Volkswagen, shortened to VW, is a
German automaker founded in 1937
by the German Labor Front.
• Volkswagen Group in one of the
largest automaker worldwide.
• Volkswagen translates to “people’s
car” in German.
But they lied to customers on a much
large scale.
12. THE CASE
• In September 2015 Volkswagen Group was found violating and
manipulating the norms of Clean Air Act. The Environmental
Protection Agency (EPA) found that many VW cars being sold in
America had a "defeat device" - in diesel engines.
• While testing the devices as the engines of VW had computer
software that could sense test scenarios by monitoring speed,
engine operation, air pressure and even the position of the steering
wheel.
• The cars were found emitting 40times more NOx which is
responsible for the shorter life span and premature deaths. But they
were reluctant and were advertising their diesel cars as “NOT DIRTY”.
And to prove that said statement they also performed a test to
prove.
13. • Companies like BMW, Mercedes and VW came together to gain the trust in diesel cars
with a study. (This was a plan to fool the public.)
• The purpose of the study was an attempt to show the new diesel
technology, represented by VW Clean Diesel vehicles was much more environmentally
friendly than the old ones and would not result in any type of health issues.
• But this was all fake to regain the trust of the public.
• VW was forced to pay $25 billion in fines and to buy back over 550,000 vehicles from
the consumers who bought it and there were endless lawsuits filled by from upset
customers against VW.
• Due to this, the air quality was damaged. There were premature deaths, severe health
impacts. There were 10,000 premature deaths in a year in Germany only due to
nitrogen dioxide.
14. OUR OPINION
• People usually believe everything that comes from
big names.
• Innovative technologies that are eco-friendly must
be introduced.
• Continuous environment audits to strengthen the
vision pollution free atmosphere should be done.
• Annual targets for reducing their single-use plastic
should be set. Begin reduction efforts by
eliminating the most problematic and unnecessary
single-use plastic.
15. “A business is not an isolated entity like an island, a
business enterprise is a part of the society and
influenced by society and should adjust to the
preferences and values of society. So the main purpose
of business ethics is to draw a line between individual
betterment and social betterment.”
