CII Policy Watch Legal Regulatory Architecture
The Companies Act, 2013 has been in force for about a year now. The law while ushering in a new era for corporate regulation in India has introduced massive changes in the way companies govern themselves.
CII has been instrumental in ensuring that industry voices were heeded during each stage of evolution of the Act. Our advocacy still continues with formal submissions on implementation of the legislation which has now thrown up newer issues and challenges. This is being done through various mediums including consolidated CII Representations; closed-door meetings with industry captains; one-to-one meetings with concerned Ministers and other key officials at the MCA.
Based on these submissions and interactions, many concerns highlighted by CII post notification of the Act and Rules have been clarified / notified by MCA. The remaining issues cover provisions relating to onerous requirements for private companies and closely-held unlisted public companies; related party transactions; CSR; amounts treated as deposits; certification of internal financial controls instead of internal control over financial reporting; consolidation of accounts; alignment with SEBI regulations, etc amongst others. These provisions require reconsideration either due to their extended reach or complexity in drafting the regulation or practical difficultly in compliance.

Pre-Feasibility Study of a 1000 MW Pumped Storage Plant in Saudi Arabia
1. A pre-feasibility study evaluated building a 1000 MW pumped storage hydroelectric plant in Saudi Arabia to help meet peak electricity demands. Three potential sites were identified - two using seawater at a coastal "Magna" site, and one using an existing freshwater reservoir at the Baysh dam site.
2. The prospect of Walking our Way to the Web may sound strange to contemporary readers of this article for whom the Web is omnipresent. However, the slogan of the World Wide Web Consortium (W3C) has been, for years, and remains today, to lead “the Web to its full potential” meaning we haven’t reached that potential yet, whatever it is. The first architect of the Web himself, Tim Berners-Lee, said in an interview in 2009: “The Web as I envisaged it, we have not seen it yet. The future is still so much bigger than the past”. And he is still very active, together with the W3C members and Web experts world-wide, in proposing evolutions of the Web architecture to improve its growing usages and applications. In this article we will review the path that led us to the actual Web, the shape it is taking now and the possible evolutions, good and bad, we can identify today. This will lead us to consider the distance that we witness between the initial vision and the reality of the Web today, and to reflect on the possible divergence between the potential we see in the Web and the directions it could take. Our goal in this article is to reflect on how we could walk the delicate path to the full potential of the Web, finding the missing links and avoiding the one too many links.
