The Board of Directors’ Corporate Governance Guidelines, which
include information regarding the Board’s mission and Director
responsibilities, Director qualifications and determination of
Director independence and other guidelines makes available all of
the Company’s corporate governance materials, including the

The Company’s governance documents provide the Board with
flexibility to select the appropriate leadership structure for the
Company. In making leadership structure determinations, the Board
considers many factors, including the specific needs of the business
and what is in the best interests of the Company’s shareowners. The
current leadership structure is comprised of a combined Chairman of
the Board and Chief Executive Officer, an independent Director serving
as Presiding Director and strong, active independent Directors. The
Board believes this structure provides a very well-functioning and
