4. Name of the Committee Role of the Committee
Board of Directors The Board's role is to oversee the management and governance of the Company and to monitor senior management's
performance.
Audit Committee Audit committees are identified as effective means for corporate governance that reduce the potential for fraudulent
financial reporting. They oversee the organization’s management, internal and external auditors to protect and preserve
the shareholders' equity and interests.
Nomination and
Remuneration
The purpose of the Nomination and Remuneration Committee is to assist the Board in ensuring that the Board and
Executive Committee retain an appropriate structure, size and balance of skills to support the strategic objectives and
values of the firm.
Stakeholder
Committee
This Committee includes a broad range of stakeholders, including members of the general public, elected officials, and
stakeholders who represent agencies, interest groups, and organizations. Its members include representatives of
education, development and planning, health, housing, social justice, urban design, environmental, business and industry,
and governmental groups, among others.
Safety, Health and
Environment
Control systems for health, safety and the environment and recommend to the Board for approval fundamental policies
pertaining to health, safety and environment that have the potential to impact Company activities and strategies.
Executive Committee They are responsible for overseeing the daily implementation of board policies and making sure that the board is
establishing and maintaining good governance practices
CSR committee The Corporate Social Responsibility Committee (the "Committee") is appointed by the Board of Directors (the "Board") to
promote a culture that emphasizes and sets high standards for corporate social responsibility and reviews corporate
performance against those standards.
Risk Management During the year, in compliance with The Companies Act 2013, the Company constituted a Risk Management Committee.
The Committee’s role is to monitor and review the risk management plan of the Company.
5. CORPORATE SOCIAL RESPONSIBILITY
THE FOUR PILLARS OF CSR AT TATA MOTORS ARE:
• Health initiative ‘Aarogya’ which aims to curb malnutrition, facilitated
availability of clean drinking water to remote communities and
provided preventive/ curative health services, covering 2,909
malnourished children and 3,13,303 people for health services.
• Education initiative ‘Vidyadhanam’ which focuses on improving the
academic performance of secondary/college going students,
engaged in disbursing scholarships to the needy/ meritorious
students, while facilitating them with special coaching classes.
Sanctioned 9,612 scholarships and supported 28,078 students with
special coaching in FY 2017/18. Tata Motors initiatives to improve
School infrastructure continue to enhance the learning environment
for the students.
6. • Employability initiative ‘Kaushalya’ which aims to
address high rate of unemployment by skilling
people in automotive, non-automotive, agricultural
& allied trades. The initiative also supports women
empowerment by introducing them in traditionally
male dominant industries. In the year 2017-18,
12,031 and 3,484 people underwent automotive
non-automotive trainings respectively.
• Environment initiative ‘Vasundhara’ which promotes
environmental consciousness among school
students encouraged sapling plantation and
distribution of renewable energy products.
– 1,03,746 new saplings planted across locations
with 56,161 people covered under environmental
awareness program.
7. IMPACT OF CSR ACTIVTIES
• AAROGYA: Total 376310 lives touched. 89% of the
malnourished children are in healthy zone, Visible behavioral
change in communities.
• VIDYADHANAM: Total 101420 students benefitted,
Scholarships and grants 9910, School infrastructure and
village education development.
• KAUSHALYA: Total 98660 people skilled, Non- auto training
3484 people skilled. Annual income of the beneficiaries
increased by 1 lakh rupees.
• VASUNDHARA: Environment awareness 56161 lives touched
Saplings planted 103746 85% survival of saplings planted.

10. RISK AND RETURN
Analysis: Annual expected return is the profit or loss an investor anticipates on an investment that has
expected rates of return. Expected return is a tool used to determine whether an investment has a positive or
negative average outcome. It indicates that when the market increases or decreases, the security increases or
decreases in time with the market. As the expected return has improved over time investors can expect
better returns. Company is improving its performance.
11. Analysis: A beta coefficient is a measure of
the volatility, or systematic risk, of an
individual stock in comparison to the
unsystematic risk of the entire market. If a
stock has a beta of 1.0, it indicates that its
price activity is strongly correlated with the
market. A stock with a beta of 1.0 has
systematic risk. A beta of less than 1.0
means that the security is less volatile than
the market, meaning the portfolio is less
risky with the stock. A beta that is greater
than 1.0 indicates that the security's price
is more volatile than the market. As beta
value is less than 1 most of the times it
means it is less risky than the market.
12. Analysis: Market risk is the possibility
of an investor experiencing losses due
to factors that affect the overall
performance of the financial market in
which he or she is involved. The
market risk has decreased over the
years so investors can invest with less
risk and ambiguity of fluctuation in
rate of return. TATA MOTORS have
lower risk as compared with the
market risk. So it is more attractive
than the other competitors existing in
the market. So it shows that TATA
MOTORS can expect more investments
from the market and can easily raise
funds from the market.
13. Analysis: The expected return and actual return of TATA MOTORS is not similar. It is having
much variations so we cannot rely on the expected returns for future as there is difference in
the years. But with successive years difference between the two has decreased and improved.
15. Analysis: The weighted average cost of capital (WACC) is a calculation of a firms
cost of capital in which each category of capital is proportionately weighted.

• When WACC increases, this means there will be more risk for the particular
stock, which will give more return to the investors.
