AkzoNobel (Netherlands) proposes to acquire Tikkurila for €31.25 per share, to create
superior and sustainable value for all stakeholders
Akzo Nobel N.V. has made a comprehensive non-binding proposal to acquire Tikkurila. The proposed
combination of AkzoNobel and Tikkurila would create a strong platform for future growth, better able to serve
customers with more innovative and sustainable solutions, building on a shared European heritage. The proposal
includes an all-cash public offer for all issued and outstanding shares of Tikkurila at an offer price of €31.25 per
share (“potential offer”) and total equity value of around €1.4 billion. This represents a premium of 113% to
Tikkurila’s volume weighted average share price for the undisturbed three-month period ending December 17,
2020 and is 13% higher than the current offer made on January 5, 2021. To obtain merger clearance and ensure
deal certainty for Tikkurila and its shareholders, AkzoNobel has agreed with Hempel key terms for the sale of
assets, including the decorative paints business of AkzoNobel in the Nordics and the Baltics, to be completed after
closing of AkzoNobel's proposed public offer for Tikkurila. The Nordic culture and strong presence of Tikkurila
in Finland would be reflected in the future organization. The main offices and production facilities of Tikkurila in
Finland would become the vital hub for the combined business in the Baltic Sea region and substantial investment
would be made in production facilities to supply future growth. Employees and management would benefit from
new and exciting career and professional development opportunities, in Finland and the wider organization.
AkzoNobel and Tikkurila have a common approach to sustainability – it’s embedded in the way we operate – and
AkzoNobel is widely recognized as the leader in the paints and coatings industry. Joining forces would build on
the sustainable purpose of Tikkurila and continue to make a difference for all stakeholders, including local
communities. The transaction is expected to be EPS accretive in 2022, is aligned with the capital allocation
priorities of AkzoNobel, and will be financed using existing cash and credit lines. AkzoNobel will continue its
current €300 million share buyback program and maintains a target leverage ratio of 1-2x net debt/EBITDA.
Executive Commentary
AkzoNobel CEO, commented: “The natural combination of AkzoNobel and Tikkurila would build on
centuries of industry experience and a shared European heritage to create significant value for customers,
employees, shareholders and other stakeholders. Bringing together our premium brands and leading
portfolios would provide customers with a wider range of innovative products and services, including the
most sustainable paints and coatings solutions. Our complementary geographic profiles would create
superior value compared to any other combination, including growth opportunities for the company and its
employees. Our collective procurement capabilities, expanded production, and combined sales and
distribution channels would deliver substantial value creation. AkzoNobel and Tikkurila would have an
exciting and sustainable future together, continuing the recent positive momentum and performance
improvement, as a global frontrunner in the industry.”

potential akin to the Digital and Space industries. The contract value of the year-long feasibility study amounts to € 7.1 million. The European space-based connectivity system,
advocated by Commissioner Breton, is set to provide secure communication services to the EU and its Member States as well as broadband connectivity for European citizens,
companies and mobility sectors, strengthening EU digital sovereignty. It will build upon the European Union’s GOVSATCOM programme of pooling and sharing satellite
services, and will ensure a high level of reliability, resilience and security not currently available in the market; it will also leverage the EuroQCI initiative that promotes
innovative quantum cryptography technology. More specifically, the study phase awarded by the European Commission will consolidate the user and mission requirements and
provide a preliminary architectural design and service provision concept, as well as associated budgetary estimates. A Public-Private Partnership (PPP) scheme will be
considered and assessed during this phase. The study will look at how the space-based system could enhance and connect to current and future critical infrastructures, including
terrestrial networks, strengthening EU capability to access the cloud and providing digital services in an independent and secure way, which is essential for building confidence
in the digital economy and ensuring European strategic autonomy and resilience. It will leverage and strengthen the role of satellites in the 5G ecosystem, assessing
interoperability whilst also taking into account the evolution towards upcoming 6G technologies.

Alstom (France) deploys its first APS ground-level power solution in
Turkey for Eminonu- Alibeykoy Tramway Line
For any queries, Please write to marketing@itshades.com
21
Solution Description
Alstom has recently deployed its APS system, a ground-level continuous power supply system, to the 10.1-km long Eminonu- Alibeykoy tramway line
which consists of 14 stations. The 9-km section between Balat- Alibeykoy of the tramway line, which was inaugurated on 1 January 2021, will reduce
the footprint of light rail lines and preserves the aesthetics of urban environments. With APS, which is applied for the first time in Turkey, the power
will be supplied to the tram through a segmented street-level power rail instead of catenary system. The conductive segments are activated only when
fully covered by the tram, ensuring total safety for pedestrians and other road users. The power is picked up by contact shoes located under the vehicle,
on the tram’s central bogie. APS helps preserve the beauty of the urban environment while guaranteeing the same performance as overhead contact
lines. Trams running on APS can also incorporate overhead line equipment and/or traction batteries, with simple and easy transition between power
sources. If a line is extended, it is easy to extend the APS system with it. In 2014, Alstom delivered and commissioned the world’s first 100%
catenary-free tramway system in Dubai, UAE. The system is currently under operation in eleven cities on four continents with around 50 million
kilometers travelled by trams on APS. Alstom has been present in Turkey for over 60 years. Its Istanbul office serves as the regional headquarter for
the AMECA region and a regional center for Alstom Digital Mobility (ADM) as well as System & Infra projects. Activities of the Regional Center
include bid management, project management, engineering, sourcing, training and maintenance services among many others.

Solution Description
Doosan Heavy Industries & Construction is penetrating the market for printed circuit heat exchangers (PCHE), the so-called next-generation heat
exchangers. The company announced on December 23 that it had secured the core technology for flow path design and the process technology and had
recently installed a 600 ton hot press, which has the capacity to manufacture large PCHEs. A heat exchanger is a device designed to exchange heat between
two or more fluids (such as water, air, hydrogen, nitrogen) for the purpose of either cooling or heating the fluid. A PCHE is an upgraded heat exchanger that
is built by having the photochemical machining process applied to create microchannel flow paths into a flat plate, with the plates then being stacked together
and diffusion bonded. A PCHE boasts of a minimum 90 percent improvement in heat exchanging efficiency compared to the conventional tube heat
exchangers as it can be manufactured into a compact size that is one-tenth the size of conventional heat exchangers or even smaller. Moreover, it uses
high-grade materials, such as stainless steel and superalloys, so that it can withstand even harsh operating conditions such as ultra-high temperatures reaching
up to 900℃ and ultra-high pressure of up to 1500 bar. The demand for the compact-size PCHE is expanding in various fields owing to its advantage of
enabling heat exchange in limited spaces. Doosan was recognized for its superior technology when winning an order for a PCHE prototype to be installed at
a domestic hydrogen charging station. The company is now preparing the supply for follow-up projects. Furthermore, the recent installation of the 600 ton
hot press has led to the winning of new orders to manufacture a PCHE for gas turbines and a large-sized PCHE for ITER (International Thermonuclear
Experimental Reactor).

Lee County to Join Iowa Statewide Interoperable Communications System to
Improve Public Safety Operations within the County and Across the State
For any queries, Please write to marketing@itshades.com
37
Solution Description
Lee County has signed a contract for an upgraded radio system that will allow it to connect to the Iowa Statewide Interoperable Communications
System (ISICS), a Project 25 (P25) land mobile radio network that enables first responders to communicate seamlessly and securely with one another,
even if they are outside of their normal areas of operation. After an RFP for a new 9-1-1 radio system was put out publicly, the county selected Motorola
Solutions, the provider of the ISICS system, for the upgrade. The need for the new system was identified during an evaluation by the county’s radio
consultant, Federal Engineering. Their audit showed the county’s aging VHF radio system was not meeting current public safety needs. The Motorola
Solutions contract includes the construction of a new tower, upgrades to two existing towers and use of an existing ISICS tower in Lee County. The
company will provide new dispatch consoles along with three years of service, maintenance and software upgrades as part of the main proposal. All
first responders in the county will receive new Motorola Solutions APX mobile and portable radios and digital pagers. The county expects the improved
interoperability through ISICS will be particularly valuable during times of natural disasters. The severe derecho that heavily impacted cities across the
state last August reaffirmed the importance of public safety communications that can withstand extreme weather conditions. The timeline for
deployment will be approximately two years due to construction of the new tower. County officials plan to get radios shipped, programmed and installed
sooner to take advantage of the ISICS coverage within the county .

Solution Description
Xcel Energy will use a new wireless telecommunications tool that can help the company respond more quickly to local electric outages
and support advanced grid ‘smart meters’ that will provide more information to customers about their energy use. The 900 MHz private
wireless broadband network will be installed at two existing Xcel Energy sites in Minneapolis. In addition to helping launch advanced
grid efforts, the network will allow Xcel Energy to provide cyber protection to critical infrastructure and could eventually be expanded to
support automated technology throughout metro and remote rural locations. The network will be developed by Motorola Solutions
(NYSE: MSI) using Anterix’s (NASDAQ: ATEX) 900 MHz spectrum. The availability of wireless broadband spectrum in the 900 MHz
band resulting from the FCC’s recent actions now allows critical infrastructure providers, such as Xcel Energy, to deploy private networks
that enable secure and resilient electric grids. Motorola Solutions’ LXN 7900 fixed LTE 900 MHz infrastructure, in combination with its
Citizens Broadband Radio Service (CBRS)-based Nitro™ network, will enable the seamless exchange of voice and data across private
LTE broadband and existing LMR networks. A future roll-out of a broader private LTE deployment could be accelerated by leveraging
Xcel Energy’s existing investments in LMR site locations and infrastructure to support existing and new grid-of-the-future applications.

Solution Description
On December 4th, a fleet of SANY unmanned road machines, which consisted of two pavers, two single-drum rollers, two tire rollers
and one double-drum roller, conducted a coordinated operation demonstration of cement-treated paving and compacting on the main
road leading to Xiong’an New Area. The area is a part of the newly named China (Hebei) Pilot Free Trade Zone, where construction
work is in high demand. A mobile base station and a control room placed within a short distance enabled remote controlled operation
of the seven units. All vehicle operations were automated, with working parameters being set in advance, such as route, paving speed,
rolling speed, rolling times and lap width. Equipped with a 3D leveler and an infrared temperature monitor, the pavers continuously

Toray (Japan) Expands LIVMOA™ Protective Clothing Lineup by Launching
Versions for High-Pressure Water Applications and Cleanrooms
For any queries, Please write to marketing@itshades.com
45
Solution Description
Toray Industries, Inc., announced that it will soon augment its LIVMOA™ range of single-use protective clothing, which is both user friendly and exceptionally comfortable. In January, it will bring out the LIVMOA™
4000 for high-pressure water applications. February will see the company release an upgraded version of LIVMOA™ CL sterilized clothing for cleanrooms. The introductions will be in Japan, with the two new offerings
becoming available overseas later. LIVMOA™4000 is breathable and complies with the JIS Type 5 and 6 standards for chemical protective clothing. It employs a proprietary SMS (spunbond + meltblown + spunbond)
nonwoven fabric. The clothing thus protects wearers from dust and can also withstand a water pressure of 1,000mm H2O (see note 1), which is hard to achieve with regular SMS fabric. The meltblown layer keeps dust
and water out while delivering an air permeability of around 10 cc/cm2/sec. Toray is building a stable product supply system by manufacturing the fabric at its plant in Japan. LIVMOA™4000 can be worn where water
resistance is necessary, a good example being waste disposal sites (see note 2). Such locations are essentially off-limits to LIVMOA™2000 and 3000 clothing, which are also breathable. Participants in a testing program
rated LIVMOA™ 4000 very highly for its exceptional comfort and soft fabric. Toray upgraded LIVMOA™CL based on feedback from users at public research and academic institutions. This offering originally launched
in 2019 under the supervision of the Research and Development Center for Cell Therapy of the Foundation for Biomedical Research and Innovation at Kobe. The company enhanced usability in several respects. It
integrated the mask cover to improve wearability, optimized the hood opening for a better fit with goggles, and slimmed the sleeves and legs to improve mobility. The company has expanded the LIVMOA™ series since
bringing out the high-breathability LIVMOA™3000 in 2017 to cater to different work environments. The LIVMOA™5000, for example, has helped prevent recurrences of Ebola infections in the Republic of Guinea.
Toray released the LIVMOA™CL for cleanrooms. The new LIVMOA™4000 and upgraded LIVMOA™CL make it possible for even more workplaces to take advantage of the safety and comfort of the LIVMOA™
series. One priority of Project AP-G 2022, Toray’s medium-term management program, is to push ahead with the Life Innovation Business Expansion Project. That undertaking aims to help boost the quality of healthcare
and reduce burdens on medical institutions, improve health and longevity, and enhance safety. The company will accelerate LIVMOA™ series development in Japan and overseas and drive further progress with protective
clothing safety and comfort.
Notes:
• This product does not employ seam tape. The water pressure resistance of the seams is not 1,000mm H2O.
• Users are responsible for selecting dioxin control protective clothing that matches conditions at waste treatment facilities.

  • 8. Lorem ipsum dolor sit amet, consec- tetuer Financial, M&A Updates IT Shades Engage & Enable AkzoNobel (Netherlands) proposes to acquire Tikkurila for €31.25 per share, to create superior and sustainable value for all stakeholders Akzo Nobel N.V. has made a comprehensive non-binding proposal to acquire Tikkurila. The proposed combination of AkzoNobel and Tikkurila would create a strong platform for future growth, better able to serve customers with more innovative and sustainable solutions, building on a shared European heritage. The proposal includes an all-cash public offer for all issued and outstanding shares of Tikkurila at an offer price of €31.25 per share (“potential offer”) and total equity value of around €1.4 billion. This represents a premium of 113% to Tikkurila’s volume weighted average share price for the undisturbed three-month period ending December 17, 2020 and is 13% higher than the current offer made on January 5, 2021. To obtain merger clearance and ensure deal certainty for Tikkurila and its shareholders, AkzoNobel has agreed with Hempel key terms for the sale of assets, including the decorative paints business of AkzoNobel in the Nordics and the Baltics, to be completed after closing of AkzoNobel's proposed public offer for Tikkurila. The Nordic culture and strong presence of Tikkurila in Finland would be reflected in the future organization. The main offices and production facilities of Tikkurila in Finland would become the vital hub for the combined business in the Baltic Sea region and substantial investment would be made in production facilities to supply future growth. Employees and management would benefit from new and exciting career and professional development opportunities, in Finland and the wider organization. AkzoNobel and Tikkurila have a common approach to sustainability – it’s embedded in the way we operate – and AkzoNobel is widely recognized as the leader in the paints and coatings industry. Joining forces would build on the sustainable purpose of Tikkurila and continue to make a difference for all stakeholders, including local communities. The transaction is expected to be EPS accretive in 2022, is aligned with the capital allocation priorities of AkzoNobel, and will be financed using existing cash and credit lines. AkzoNobel will continue its current €300 million share buyback program and maintains a target leverage ratio of 1-2x net debt/EBITDA. Executive Commentary AkzoNobel CEO, commented: “The natural combination of AkzoNobel and Tikkurila would build on centuries of industry experience and a shared European heritage to create significant value for customers, employees, shareholders and other stakeholders. Bringing together our premium brands and leading portfolios would provide customers with a wider range of innovative products and services, including the most sustainable paints and coatings solutions. Our complementary geographic profiles would create superior value compared to any other combination, including growth opportunities for the company and its employees. The 9-km section between Balat- Alibeykoy of the tramway line, which was inaugurated on 1 January 2021, will reduce the footprint of light rail lines and preserves the aesthetics of urban environments. With APS, which is applied for the first time in Turkey, the power will be supplied to the tram through a segmented street-level power rail instead of catenary system. The conductive segments are activated only when fully covered by the tram, ensuring total safety for pedestrians and other road users. The power is picked up by contact shoes located under the vehicle, on the tram’s central bogie. APS helps preserve the beauty of the urban environment while guaranteeing the same performance as overhead contact lines. Trams running on APS can also incorporate overhead line equipment and/or traction batteries, with simple and easy transition between power sources. If a line is extended, it is easy to extend the APS system with it. In 2014, Alstom delivered and commissioned the world’s first 100% catenary-free tramway system in Dubai, UAE. The system is currently under operation in eleven cities on four continents with around 50 million kilometers travelled by trams on APS. Alstom has been present in Turkey for over 60 years. Its Istanbul office serves as the regional headquarter for the AMECA region and a regional center for Alstom Digital Mobility (ADM) as well as System & Infra projects. Activities of the Regional Center include bid management, project management, engineering, sourcing, training and maintenance services among many others.

These products provide solutions to a wide range of issues in the production of tablets for pharmaceuticals and supplements. By using the KG series, tablets can be produced stably even when the amount of tablet binder that can be added is small, such as when tablets contain a large amount of active pharmaceutical ingredient (API) or when multiple APIs are formulated in a single tablet. The UF series realizes stable production of tablets as well as the uniformity of contained API in tablets, which depend on the excellent flowability of the product. In recent years, demand for proprietary KG and UF series products has increased, and further growth in demand is expected in the future. To meet such growing demand, Asahi Kasei has decided to make a capital expenditure to double the production capacity and achieve a stable supply through multiple production sites. This expansion will enable Asahi Kasei to meet the needs of the pharmaceutical and supplement industries and to contribute to life and living for people around the world.

In January, it will bring out the LIVMOA™ 4000 for high-pressure water applications. February will see the company release an upgraded version of LIVMOA™ CL sterilized clothing for cleanrooms. The introductions will be in Japan, with the two new offerings becoming available overseas later. LIVMOA™4000 is breathable and complies with the JIS Type 5 and 6 standards for chemical protective clothing. It employs a proprietary SMS (spunbond + meltblown + spunbond) nonwoven fabric. The clothing thus protects wearers from dust and can also withstand a water pressure of 1,000mm H2O (see note 1), which is hard to achieve with regular SMS fabric. The meltblown layer keeps dust and water out while delivering an air permeability of around 10 cc/cm2/sec. Toray is building a stable product supply system by manufacturing the fabric at its plant in Japan. LIVMOA™4000 can be worn where water resistance is necessary, a good example being waste disposal sites (see note 2). Such locations are essentially off-limits to LIVMOA™2000 and 3000 clothing, which are also breathable. Participants in a testing program rated LIVMOA™ 4000 very highly for its exceptional comfort and soft fabric. Toray upgraded LIVMOA™CL based on feedback from users at public research and academic institutions. This offering originally launched in 2019 under the supervision of the Research and Development Center for Cell Therapy of the Foundation for Biomedical Research and Innovation at Kobe. The company enhanced usability in several respects. It integrated the mask cover to improve wearability, optimized the hood opening for a better fit with goggles, and slimmed the sleeves and legs to improve mobility. The company has expanded the LIVMOA™ series since bringing out the high-breathability LIVMOA™3000 in 2017 to cater to different work environments. The LIVMOA™5000, for example, has helped prevent recurrences of Ebola infections in the Republic of Guinea. Toray released the LIVMOA™CL for cleanrooms. The new LIVMOA™4000 and upgraded LIVMOA™CL make it possible for even more workplaces to take advantage of the safety and comfort of the LIVMOA™ series. One priority of Project AP-G 2022, Toray’s medium-term management program, is to push ahead with the Life Innovation Business Expansion Project. That undertaking aims to help boost the quality of healthcare and reduce burdens on medical institutions, improve health and longevity, and enhance safety. The company will accelerate LIVMOA™ series development in Japan and overseas and drive further progress with protective clothing safety and comfort. Notes: • This product does not employ seam tape. The water pressure resistance of the seams is not 1,000mm H2O. • Users are responsible for selecting dioxin control protective clothing that matches conditions at waste treatment facilities.
