Potential Difference Inc. (PDi) does not exist as a viable incorporated company. It was
established in order to serve the financial interests of OROPASS LTD. and the financial
interests of Hillcrest Petroleum's investors.
ALL funding to PDi was cut off by Hillcrest Petroleum's CEO Don Curry and JC Cunningham
after Thane Heins posted a video on Remembrance Day entitled The GENESIS of

Thane Heins explains that Torque (and system acceleration) cannot occur without Energy and
that the ReGenX Generator and ReGen-X Quantum Motor innovations are miracles of applied

In a recorded phone conversation with Thane Heins, Don Curry employed extortion in an

Termination of this agreement occurred 120 days after the recorded phone conversation above.
We refer to the license agreement between Potential Difference Innovations Inc. (“PDI”) and Oropass
Ltd. (“Oropass”) dated July 31, 2020 (the “License Agreement”).

Said “license agreement” became null and void when PDi was mutually shut down by Thane
Heins, JC Cunningham and Corry McClure.
On January 5th, 2022, Heins and PDI requested the termination of the Oropass Agreement.

2. All parties hereby confirm the agreement of PDI and Oropass to terminate the License Agreement,

Oropass, PDI and Heins DO NOT acknowledge during the course of their relationship they have
access to or possession of confidential information of each other’s, as well as confidential information
of Hillcrest. Oropass, PDI and Thane Heins DOES NOT agree to not disclose or reveal or make any
use of any other party’s confidential information, including Hillcrest’s confidential information,
EVERY manner whatsoever – TO THE MEDIA, HRH INVESTORS AND FUTURE CRIMINAL
INVESTIGATORS.
The parties to the License Agreement NOT will deliver up to each other any and all proprietary
information of the other party they have in their possession, NOT including any confidential
information of the other party.

Assignment
Thane Heins of Almonte, Ontario, (the "Assignor ") assigns to PDi Canada (“PDiC”) of Almonte,

In consideration thereof, the Assignor acknowledges receipt of Receipt of valuable
consideration in the amount of one ($1.00) dollar from the Assignee.

Licensing and Commercialization Rights of the Assignee.
Definitive Agreements include all documents necessary to give effect to the intended
Assignment.
It is agreed that PDi Canada has signed an Exclusive Commercialization Partnership
Assignment with Oropass Ltd. for the region of the United States of America.
It is agreed that this assignment will ensure to the benefit of and be binding upon the parties to
this Assignment, their heirs, executors, administrators, successors and assigns, respectively.
This Agreement will be construed in accordance with and governed by the laws of the Province
of Ontario.
ADDENDUMB 2
Assignment PDi Canada of Almonte, Ontario, (the "Assignor ") assigns to Oropass Ltd. of
Uxbridge, Ontario, (the "Assignee ") the following:
Exclusive Commercialization Partnership rights in the United States of America.
In consideration thereof, the Assignor acknowledges receipt of $10,000.00 paid by wire by the
Assignee on April 16th, 2020 and on or before April 21st, $5,000 wire will be sent to the
Assignor.
Both Parties will work towards the execution of a Definitive Agreement to affect the intended
Partnership Structure.
Definitive Agreements include all documents necessary to give effect to the intended
Assignment and include a deal on both Licensing Revenue and Intellectual Property Rights
sales in the United States of America, as well as an agreed timeline to raise required funds to
complete the assignment.
